This will allw the wner t prvide yu with histrical financial statements, sales reprts and an asking price. Validatin: Review A Saring Opprtunity sectin f WBU Virtual Brchure in detail Begin yur Validatin - Yu must review the Franchise Business Review Survey t mve t the next step f the Franchise Develpment prcess and get access t the WBU Franchise Disclsure Dcument. We als recmmend that yu visit and call at least 1-2 existing WBU franchisees as sn as pssible and then cntinue thse validatin calls and visits thrughut this prcess. Cmplete rating and answer cnfirmatin questins n Seeds f Success sectin f WBU Virtual Brchure Review FDD in detail, making nte f any cmments r questins that yu want t g ver in mre detail during yur FDD call Cnduct scheduled call with Lisa/Paul t g ver the FDD in detail and t decide if yu want t cntinue yur investigatin f the WBU pprtunity Additinal infrmatin, if yu are pursuing the purchase f an existing WBU stre: Lisa/Paul will yu a list f tpics t address in the Letter f Intent that yu will prvide t the seller that addresses the material terms (price f the business, amunt f inventry at transfer, amunt f training seller will prvide, hw custmer liabilities will be dealt with, etc.). This Letter f Intent is very similar t a first ffer that is given t the seller f a huse in a residential real estate transactin. Once yu draft the first versin f this Letter f Intent, please submit it t Lisa/Paul t ensure that all f the necessary tpics are included. Please nte that just like buying a huse; yu may have several back and frth ffers between yu and the seller befre settling n the final terms f the sale. Step 4. Business Planning and Financing: Lisa/Paul will pen Learning Hw t Fly sectin f WBU Virtual Brchure and review it with yu Yu will be able t dwnlad the Sample Business Plan, Prjectin Wrksheets and additinal infrmatin regarding packaging yur lan request. We will als prvide yu much mre infrmatin n financing resurces we have develped fr prspective franchisees wh are attempting t get financing fr the pening f their WBU franchise. Lisa/Paul will schedule call t discuss yur prgress n yur Business Plan and Financial Prjectins Begin drafting yur Wild Birds Unlimited Business Plan and wrking n yur Financial Prjectins

4 Cmplete rating and answer cnfirmatin questins n Learning Hw t Fly sectin f WBU Virtual Brchure Send a draft f text prtin f yur Business Plan t Lisa/Paul fr review Cnduct call with Lisa/Paul t discuss yur Business Planning Prcess and Financing Optins and decide if yu want t cntinue yur investigatin f the WBU pprtunity Additinal infrmatin, if yu are pursuing the purchase f an existing WBU stre: Once yu have agreed t the terms f the sale with the seller, Lisa/Paul will prvide bth the buyer and the seller with the Wild Birds Unlimited Purchase Agreement Guidelines t prvide t the attrney wh is drafting the Purchase Agreement. WBU, Inc. des need t apprve the final versin f the Purchase Agreement prir t it being signed by the buyers (yu) and the seller. Step 5. Visit the Wild Birds Unlimited Franchise Supprt Center: Lisa/Paul will pen Jin the Flck sectin f the WBU Virtual Brchure and review it with yu Lisa/Paul will yu access t ur nline Zracle reprt Cmplete the Zracle reprt and discuss results with Lisa/Paul G ver any last questins and cmments that yu have regarding the WBU pprtunity Cmplete rating and answer cnfirmatin questins n Jin the Flck sectin f WBU Virtual Brchure We will run a credit and backgrund check. We will send the frm t cmplete and submit that allws us t run the backgrund check. Schedule and cmplete yur Pre-Jin the Flck day call with ur COO. This call will take apprximately ne hur. Schedule yur Jin the Flck day Step 6. Final Decisin Day Cnduct yur Jin the Flck day at the Wild Birds Unlimited Franchise Supprt Center Lisa/Paul will cntact yu immediately after yur Jin the Flck day t reslve any final questins that either f us has. If the decisin is t mve frward with yur pening f yur wn Wild Birds Unlimited stre, we will then send yu Reservatin Agreements r Franchise Agreements t sign and will then begin the Site Selectin Prcess. Additinal infrmatin, if yu are pursuing the purchase f an existing WBU stre: If the decisin is made t mve frward n yur purchase f an existing WBU stre, we will send yu Franchise Agreements and additinal assciated dcuments that will be signed n the day f transfer.

5 Training Infrmatin Yu must have a signed Franchise Agreement in rder t attend the Wild Birds Unlimited New Owner Training sessin. We require that yur Franchise Agreement is signed at least tw weeks prir t the scheduled training sessin s that yu have ample time t cmplete yur Online WBU Learning (OWL) mdules befre attending yur training sessin. If yu are purchasing an existing WBU stre, yu will sign yur Franchise Agreement the same day yu sign yur fficial Purchase Agreement with the seller, which must als be a minimum f tw weeks prir t attending yur training sessin.
