Membership Rights: NSSF members in good standing sha have the rights and privieges extended to them under the NSSF byaws or, in the absence of an express byaw provision, as may from time to time be granted at the soe discretion of the NSSF. Ony NSSF voting members sha have voting rights and privieges. Neither memberships nor membership rights are transferabe. Some NSSF membership privieges are provided by third parties. The NSSF sha not be responsibe for any oss, damage or dispute reated to products or services provided by third parties. Members shoud make their own inquiries regarding the terms and conditions that appy to products or services offered by third parties. 2. Term of Membership & Membership Renewa: Membership in the NSSF is for one (1) fu year. Membership sha commence on the date of approva of this appication by the NSSF. Memberships may be renewed for additiona one (1) year terms thereafter upon fu payment of a membership dues. 3. Membership Dues: NSSF Membership dues are estabished annuay by the NSSF and may be adjusted from time to time as needed to support the operations and mission of the Foundation and can take the form of a specia assessment. Faiure to pay membership dues in a timey manner coud resut in suspension or expusion from membership. The commencement date of dues payments for new members sha depend on when their membership appications are approved by the NSSF. Members sha continue to be in good standing unti 60 days after receipt of written notice requesting payment of dues owed to the NSSF. Thereafter, a deinquent member sha no onger be in good standing and sha ose a membership rights and privieges. 4. Suspension, Expusion & Resignation: Non-payment of dues and other conduct detrimenta to the best interests of the Foundation sha be grounds for suspension of or expusion from membership. Voting members may be suspended or expeed from membership for non-payment of dues or other detrimenta conduct upon two-thirds vote of the NSSF Board of Governors. Voting members are afforded the opportunity to be heard before such decision is made. Supporting members may be expeed from membership for non-payment of dues or other detrimenta conduct by NSSF staff, provided that the NSSF Board of Governors may upon request suspend the member, extend the time for payment of dues or take such other action as the Board deems appropriate. Uness otherwise provided for by the NSSF Board of Governors, an expeed member sha remain obigated to pay dues owed at the time of expusion and a suspended member sha remain obigated to pay a dues owed at the time of suspension and sha continue to accrue dues obigations during any period of suspension. Any member may resign at any time; however, such member sha remain obigated to pay dues owed at the time of resignation. No member who resigns, is suspended or expeed from membership sha have any caim for refund of any contribution or have any interest in or right to any assets of the Foundation. 5. Conformance with Antitrust Laws: It is NSSF poicy to require that a of its trade association activities be conducted in compiance with U.S. federa and state antitrust aws. It is the responsibiity of NSSF members to be aware of the types of activities that are prohibited by antitrust aws in connection with their NSSF membership. NSSF s Antitrust Poicy & Guideines are avaiabe to a NSSF members upon request. If members have specific questions reating to antitrust compiance in connection with their NSSF membership they shoud contact their own ega counse. 6. Use of NSSF Trademarks: Members in good standing are granted the non-excusive, non-transferabe, royaty-free icense to use the NSSF Member Logo to promote their membership in the Foundation and to highight their commitment to promoting, protecting and preserving the hunting and shooting sports. Members agree that they wi do nothing inconsistent that might harm NSSF or NSSF s ownership rights in its name and ogo. Each member agrees to use the NSSF Member Logo ony as prescribed by NSSF and not to use it in any manner that expresses or impies, or coud be construed to express or impy, that the NSSF endorses or certifies a member s products, services or opinions, or in any manner that misrepresents, or has the appearance of misrepresenting, the reationship between a member and the NSSF other than as a member-trade association reationship. Members who fai to maintain their NSSF membership must immediatey discontinue any and a use of the NSSF Member Logo. These membership terms, incuding the rights and privieges of membership, may be revised, suppemented, suspended or terminated at any time upon reasonabe notice to members. 5/16

5 NATIONAL SHOOTING SPORTS FOUNDATION POLITICAL ACTION COMMITTEE 11 Mie Hi Road s Newtown, CT s Te (203) NSSF Corporate Member Prior Approva Form For Corporations and LLCs Acting as Corporations Ony The Nationa Shooting Sports Foundation (NSSF) has formed the NSSF Poitica Action Committee (NSSF PAC), a federa muticandidate poitica action committee, to enabe NSSF to support pro-firearms and ammunition industry, pro-second Amendment and pro-sportsmen candidates for federa office. Federa aw requires a trade association PAC to obtain prior approva from its corporate members before it may soicit contributions from the corporate member s executive and administrative personne, stockhoders, and their famiies (coectivey known as the restricted cass ). The aw defines executive and administrative personne to mean saaried empoyees who have poicymaking, manageria, professiona, or supervisory responsibiities (but not foremen or ine supervisors). Providing consent to the NSSF PAC does not imit or restrict your company s PAC (if you have one) from soiciting contributions from your own empoyees. Pease note that a corporation can ony give prior approva to one trade association PAC each caendar year. If you provide consent, your company s restricted cass is free not to make any contributions.
