2 Since the University of North Carolina opened its doors in 1795, faculty have shared responsibility with a Board of Trustees for running the campus. Beginning with the consolidation of the University of North Carolina system in 1971, a Board of Governors has held overall responsibility for general management of the entire system. The UNC Policy Manual The UNC Policy Manual includes all policies governing the University of North Carolina system, including The Code of the Board of Governors of The University of North Carolina (known as The UNC Code. ). The Code contains the full description of the university s governing structure, outlined in brief below, as well as many policies related to academic freedom, faculty employment, and tenure (see especially Chapter VI). President The President, elected by the Board of Governors, is the chief administrative and executive officer of the UNC system. The President has complete authority to manage the affairs and execute the policies of the UNC system and its constituent institutions, subject to the direction and control of the Board of Governors. The President is charged with nominating chancellors for each of the UNC system s universities for appointment by the Board of Governors. The President and other senior administrative officers of the University of North Carolina system comprise the UNC General Administration. This core administrative staff is responsible for executing the policies of the UNC Board of Governors and providing University-wide leadership in the areas of academic affairs, business and financial management, long-range planning, student affairs, research, legal affairs, and government relations. UNC General Administration also has administrative oversight of a number of University affiliates, including the UNC Health Care System, UNC-TV, the North Carolina Arboretum, the NC State Education Assistance Authority, the NC State Approving Agency, the UNC Press, and the NC Center for International Understanding. Board of Governors The Board of Governors is the policy-making body legally charged with the general determination, control, supervision, management, and governance of all affairs of the constituent institutions within the seventeen-university system. It elects the President, who administers the university system. The 32 voting members of the Board of Governors are elected by the North Carolina General Assembly for four-year terms. Special non-voting members have varying terms. Such members are former chairs of the board, former governors, and the president of the UNC Association of Student Governments, or that student s designee. Faculty Assembly The UNC Faculty Assembly is the elected body of representatives of the faculty of the seventeen constituent institutions of the University of North Carolina. The Assembly is dedicated to upholding and exercising the principles o academic freedom, shared governance, tenure, and the faculty s primary responsibility for the University s curriculum. Board of Trustees The UNC-Chapel Hill Board of Trustees promotes the sound development of UNC-Chapel Hill within the functions prescribed for it, helping it to serve the people of the state in a way that will complement the activities of the other institutions and aiding it to perform at a high level of excellence in every area of endeavor. Each constituent university s board of trustees serves as an advisor to the Board of Governors on matters pertaining to its respective university and serves as advisor to its university s Chancellor concerning the management and development of the institution. The Board of Trustees is composed of thirteen people: eight are elected by the UNC Board of Governors, four are appointed by the governor, and the president of the student government is an ex officio member.

3 Chancellor Each constituent institution of the UNC system is headed by a chancellor, whose duties are outlined in Section 502 of the Code of the Board of Governors. The Chancellor is vested with complete executive authority, subject to the direction of the President of the UNC System. The Chancellor is responsible for carrying out policies of two governing boards: the UNC System s Board of Governors and the University s Board of Trustees. The Chancellor also makes recommendations to the president regarding academic program development, personnel matters (subject to policies of the Governors and Trustees), and budget development. The Chancellor maintains wide discretion in decisionmaking with regard to student affairs (subject to policies of the governing boards) and other aspects of the administration of the University, as provided under the General Statutes of North Carolina and the UNC Code. Past presidents and chancellors of UNC-Chapel Hill Office of the Chancellor organizational chart Provost The Provost is the Chief Academic Officer of the University of North Carolina at Chapel Hill and has oversight responsibilities for budget and planning. The Roles and Responsibilities of the Provost s Office gives a full account of the Provost s duties, which include leading the University in its academic planning and in the setting of academic values, policies, and practices; guiding and evaluating the deans of each school and selected vice chancellors and senior administrators (in concert with the Chancellor); chairing the University s Budget Committee; making major resource allocation decisions relative to state funding and overhead funds; preparing budget requests for academic and capital projects that are forwarded to UNC General Administration for review and approval; providing oversight and assigning budgets to the dean of each schoo and the directors of university centers and institutes; and co-chairing the Tuition and Fees Advisory Task Force, which develops proposals for tuition and fees for the following fiscal year. The Provost recommends and approves all promotions, retentions, special hires, tenure decisions, and new appointments to the faculty, and helps schools establish their own promotion and tenure policies. The Provost also has responsibility for fostering globalization initiatives, guiding development of information technology infrastructure, and overseeing conduct of research, scholarship, admissions, financial aid, educational offerings and educational policies and practices. Office of the Provost organizational chart Centers and Institutes In addition to schools and departments (described below), the university has many centers and institutes that sponsor interdisciplinary collaboration or focus on particular issues. Centers are administered through the Provost s Office, Office of the Vice Chancellor for Research, or housed within the schools. University facts and figures (Office of Institutional Research and Assessment) The university s Office of Institutional Research and Assessment (OIRA) provides data and other types of information about the University of North Carolina at Chapel Hill to support institutional decision making and achievement of our vision of becoming the nation s leading public university. In addition, the OIRA site provides a variety of descriptive information about the University for use by our many constituents and the general public. Here you will find, for instance, basic demographic data about the faculty. Faculty Governance

4 Founded in 1789 as the first public university in the United States, the University of North Carolina at Chapel Hill has a long history of shared governance at all levels. The faculty has always played a key role in making decisions about academics and policy or, as Secretary of the Faculty Joseph S. Ferrell has often said, regarding who shall teach, what shall be taught, and who shall be taught. Office of Faculty Governance The UNC-Chapel Hill Office of Faculty Governance, coordinates and facilitates faculty participation in governance at the campus level. The office maintains historical and current information about faculty governance at the university, including meeting schedules, rosters for the Faculty Council and faculty governance committees, and other information. One of the main responsibilities of faculty governance staff is to conduct the annual spring campuswide faculty elections via an electronic ballot. All members of the Voting Faculty, described in Section 1-4 of the Faculty Code of University Government are eligible to vote. The Faculty Code of University Government First adopted in 1950, The Faculty Code of University Government outlines the roles and responsibilities of faculty in the system of shared governance operating on the campus. Notably, the Faculty Code established the Faculty Council, the legislative body of the UNC Chapel Hill faculty. Secretary of the Faculty The office of the Secretary of the Faculty was established with the university s founding. The secretary was also responsible for keeping student records until As stated by Section 3-2 of The Faculty Code, the secretary of the faculty has the following responsibilities: To keep minutes of all meetings of the General Faculty and of the Faculty Council and enter them in the permanent minute books of the faculty, To conduct all elections of the General Faculty and the Faculty Council, To conduct correspondence pertaining to elections and actions of the two faculty bodies To maintain files of all nominations and citations for honorary degrees and special awards, and To maintain records of the charge, membership, and duration of all committees about which (s)he is notified The Secretary of the Faculty serves a five-year term and is eligible for re-election. The Advisory Committee nominates one member of the voting faculty for the position. After the opportunity for addition nominations from the floor has been given, The Faculty Council elects the Secretary of the Faculty. Chair of the Faculty The position of Chair of the Faculty was created on 26 October 1951 as a part of the Faculty Code of University Government. According to Section 3-1 of The Faculty Code, the Chair of the Faculty has the following duties, in addition to those that may be determined by the chancellor or Faculty Council: To serve as chair pro tempore of the Faculty Council and of the General Faculty, To make an annual report to the Faculty Council on the state of the faculty, and To represent the chancellor in all academic matters whenever requested by the chancellor The Chair of the Faculty serves a three-year term and is ineligible for immediate reelection. Nominations take place every third year and are made by the Advisory Committee. The elected chair takes office the following July 1. Interim vacancies in the office of Chair of the Faculty are filled through appointment by the Advisory Committee.

5 Faculty Council The Faculty Council serves as the legislative body of the faculty. Although The Code of the Board of Governors of the UNC system (which authorizes the Council) designates the Chancellor as the Council s presiding officer, at Chapel Hill, the Chair of the Faculty has traditionally presided over Faculty Council meetings. The Council meets monthly from September to April each year. Section 2-8 of The Faculty Code outlines the legislative powers vested in the Council: 1) to determine the educational policies of the University and the rules and regulations under which administrators and faculty will conduct the educational activities of the University; 2) to prescribe the requirements for admissions, programs of study, and the award of academic degrees by the University in the context of the basic educational policies of the University and the special competencies of the faculties of particular colleges and schools; 3) to recommend persons for honorary degrees and special awards; and 4) to advise the chancellor and other officers of administration and the student body in matters of student conduct and discipline, and to approve any rules and regulations governing student conduct that affect academic standards or performance. The Council also has power, concurrently with the General Faculty: 1) to provide for such standing and special committees as the Council may deem necessary or useful for the effective and expeditious conduct of its business; 2) to act upon reports from and to make recommendations to the General Faculty, faculty committees, colleges, schools, institutes, and other units of the University; 3) to request information and reports from and to give advice to the chancellor and other officers of administration with respect to any matter affecting the life of the University; and 4) to discuss and resolve upon matters relating to the life of the University. Resolutions passed by Faculty Council from 1997 to the present Standing Committees of the Faculty Campus-level faculty governance work at Chapel Hill also proceeds through the activities of more than two dozen elected and appointed standing committees of the faculty, as well as through occasional ad hoc committees and task forces. With two exceptions (the Agenda Committee and the Fixed-Term Faculty Committee), these committees are constituted independently of the Faculty Council, although they report to the Council at least annually. Department and School Governance While many decisions about academic policy are made at the campus or system level through the structures outlined above, much of the work of faculty governance happens locally, within the schools and departments, all of which have their own policies, procedures, guidelines and standards, and internal committees. 6 Arts and Sciences Advisory Committee consists of four members of the Arts and Sciences Faculty holding the rank of professor, one elected by each of the divisions specified in Faculty Code Section 8-1 from among its members. The term is three years, and members may not be elected to more than two consecutive terms. Sitting department chairs may not serve on this committee. The dean of the College of Arts and Sciences consults the committee on appointments, reappointments, and promotions that have the effect of conferring permanent tenure; promotions to a higher rank of persons holding permanent tenure at the rank of associate professor or assistant professor; and appointments to distinguished professorships. Bylaws of the College of Arts and Sciences outlines procedures for selecting divisional chairs and vice chairs, calling meetings, and establishing ad hoc committees. The Chair s Manual contains information about the selection of department chairs in the College, the organization of the Dean s Office, faculty voting requirements, policies pertaining to faculty in the College. Access to the manual is ONYEN protected. Eshelman School of Pharmacy The Office of the Dean contains links to the school s strategic plan, faculty committees and their charges. Gillings School of Global Public Health The Dean s Council is comprised of department chairs, deans and directors from throughout the School who provide oversight and management of day-to-day operations such as administration, academics, research, service, communications, technology and external affairs. The Graduate School The Administrative Board of the Graduate School was established in 1922 to consider matters affecting graduate education, to admit members to the teaching faculty of The Graduate School, and to authorize curricula and courses carrying graduate credit. Kenan-Flagler Business School Several Boards are involved in decision-making and oversight of the school s operations: the UNC Kenan- Flagler Board of Visitors, the UNC Kenan-Flagler Alumni Council, the Kenan-Flagler Business School Foundation Board of Directors and the UNC Kenan-Flagler International Board of Advisors. School of Dentistry The DDS Academic Policies and Procedures Manual outlines the charges and responsibilities of the school s cirriculum, teaching and academic performance review committees. School of Education The Faculty Executive Council and Faculty Chair in the School of Education appoint committees, makes decisions, and acts on policy except as limited by university Faculty Code. School of Information and Library Science School of Information and Library Science Boards and Committees provides a membership listing for the Board of Visitors, the SILS Alumni Inclusion and Diversity Committee and the Administrative Advisory Board.

7 School of Medicine The Faculty Affairs Code, Appendix A sets forth policies and regulations for UNC Faculty Physicians, a medical practice among eligible clinical faculty in the School of Medicine, and outlines the composition and charge of the UNC Faculty Physicians Board. Constitution and Bylaws of the School of Medicine describes procedures and charges for faculty committees, as well as the responsibility of the faculty to determine educational policy, admissions guidelines and degree requirements. School of Nursing The Faculty Handbook outlines the faculty governance structure of the school, which includes the election of a faculty chair and procedures for standing committees.
