5 DEAL REGISTRATION PROGRAM - EFFECTIVE MARCH 1ST 2016 Cyance is peased to provide a dea registration program to our authorized Cyance partners. The purpose of the program is to offer additiona product discounts to those partners who are presenting incrementa opportunities to Cyance and have demonstrated saes and technica expertise with Cyance soutions. Our mission is to be easy to work with and to ceary communicate how Cyance pricing and non-standard pricing (NSP) poicies are created and enforced. We wi estabish processes and poicies to create goba compiance for partner pricing activities. DEFINITION QUALIFICATION PARTNERS VALUE ADD DISCOUNT PRODUCTS DEAL SIZE Dea registration is defined as a vaid saes opportunity that meets the Cyance program criteria and is a quaified saes opportunity. Any dea, regardess of origin (partner or Cyance), can quaify. Opportunities are defined as projects not customers. Each dea registration request must be approved by Cyance s saes organization, which coud incude a conference ca or in-person meeting with the partner to discuss the opportunity and confirm the dea is NOT aready in the Cyance pipeine. The partner must be authorized to se the product they are registering. A partner eves quaify to participate, predicated on the partner being in good standing with Cyance. Must be the first partner to register the dea and receive a Cyance dea registration number. Partner must demonstrate cear vaue add to the end-user. This coud incude, but is not imited to, the abiity to provide a demonstration, pre-saes support, instaation and post-saes support. Discounts wi differ for products and services based on partner eve (see partner discount schedue for specifics). Discounts wi be provided at the time of order, and are based on MSRP pricing. MSRP ist price is specific to the region in which the end-user is based. Pease refer to the US/ROW price ist for detais. A Cyance products quaify, incuding renewas. Minimum dea size is 250 endpoints, however, Cyance wi provide and accept orders for 100 to 250 endpoints through our SMB group. No demos or POCs wi be provided by Cyance. Propose measurabe pans for joint promotion, such as events, campaigns and other activities to drive your saes funne (each request wi be reviewed and coud be matched up to 50%). LENGTH OF DEAL REGISTRATION DEAL REGISTRATION EXTENSION RFP AND CYLANCE SALES LED OPPORTUNITIES RESCINDING A DEAL REGISTRATION NON-STANDARD PRICING (NSP) TIMING COMPETITIVE PRODUCTS FIRST COME, FIRST SERVED PROGRAM GEOGRAPHY PROGRAM CHANGE A dea registration is effective for 90 days from date of registration receipt at Cyance. The fied saes teams wi connect to discuss the opportunity and vaidate the buyer/budget/timeine/need criteria within the first 30 days. Dea registration is vaid for the opportunity when it is spit into mutipe orders over the initia 90-day period. This assumes any foow on orders are for the same project. A registered dea expires 90 days from the date of registration. The soution provider may request an extension for the opportunity, based on the same quaification criteria. A dea can be registered and extended in 90-day increments for a tota of 270 days, or 3 registrations. In scenarios where the customer has requested neutra pricing across a partners (an RFP) or Cyance is driving a dea with no partner registration extended, partners within the same program tier wi be extended the same pricing. Cyance reserves the right to rescind a dea registration if our program changes, if there is a ack of activity for 30 days, or if we receive a written request from an officer of the end customer requesting to work with another partner. The partner wi receive written notification in such rare cases, and if the dea coses within seven days of notification, the partner with the most recent registration wi be eigibe for a rebate. There wi be competitive situations when the discount to the resae partner through the program is not sufficient to win the opportunity, in which case the NSP approva process wi appy. The partner must submit a written emai request to their Channe Account Manager incuding the foowing required information: Cyance dea registration ID number Partner company name as stated in the resae agreement Customer information Copy of BOM with SKUs, quantities and ength of subscription for customer pricing Business justification and pricing request (meet comp) Dea must be registered at east seven days prior to receipt of purchase order at Cyance. Leads provided to the partner by Cyance wi ony be offered Cyance soutions (and NOT competitive products). Cyance confidentia information, incuding product features, functionaity, pricing, strategy and roadmap, are to be hed in the strictest confidence and ARE NOT to be discosed to competitors. The soution provider that communicates the opportunity and requests registration first wi receive a dea registration approva confirmation and number authorized by the Cyance Regiona Saes Director. The dea must be registered via the onine system within 24 hours, and the Regiona Saes Director shoud be sent an emai advising them of a pending registration request to begin the process. Goba Cyance reserves the right to change or terminate the dea registration program at any time. The current program wi aways be posted on our partner porta and supersedes the dea registration program anguage contained in the partner contract. PROMOTIONS AND INCENTIVES PROGRAM PARTICIPATE IN CYLANCE-SPONSORED TRADE SHOWS DEDICATED CHANNEL MANAGER SUPPORT DEDICATED CHANNEL MARKETING SUPPORT QUARTERLY PARTNER NEWSLETTER MARKET INFORMATION COMPETITIVE ANALYSIS SALES TOOLS BRAND USAGE Participate in Cyance promotions, incuding emais, ads, events, etc., and earn extra incentives tied to saes behaviors.
