Messages can either be forwarded to you by or transferred to any number you wish. By signing the Form below you confirm that you have read and agree to our Terms and Conditions. 4 TERMS & CONDITIONS The following terms and conditions apply to all Virtual Services including Mail and Registered Office address, Call Answering and Pay As You Go packages. MEMBERSHIP FEE: The fee shall be paid monthly in advance on the first day of each month. In respect of any broken period a pro-rate adjustment shall be made. CREDIT CARD BILLING & SECURITY DEPOSIT: If a credit/debit card is used, the Member irrevocably authorises Waterman House Business Centre to deduct all amounts charged to the Member by Waterman House Business Centre on such credit/debit card at any time during any billing period. Waterman House Business Centre reserves the right to require a security deposit and agrees to notify Members in advance. Should a security deposit be required, refund of security deposit shall be made to the Member within 60 days after the termination of the Agreement. The security deposit shall not be deemed as advance payment however Waterman House Business Centre is entitled to deduct from the security deposit any monies owed to Waterman House Business Centre for services provided. Such deduction shall not be deemed to waive any breach by the Member of this Agreement. If a member wishes to pay by invoice only the invoice will be payable within 7 days from invoice date. TERMINATION: Contracts are on a month to month basis. One month s written notification is required by either party to terminate this Membership Agreement. Receipt of termination notification and the termination date will be confirmed in writing by Waterman House Business Centre. Only once this confirmation has taken place will outstanding rental be confirmed. Should Waterman House Business Centre have reason to suspect immoral, unethical, illegal or fraudulent business practice, it reserves the right to immediately terminate this agreement and all services being provided. SERVICES: The services provided by Waterman House Business Centre may vary at Waterman House Business Centre s absolute discretion during the term of membership and shall be provided during our normal business hours. Services include, but are not limited to telephone call charges, excessive incoming call charges, secretarial services, photocopying and printing, facsimile charges, postage and courier charges, sundries including stationery, conference rooms/private offices rental, refreshments, and internet. The Member acknowledges that Waterman House Business Centre owns all telephone numbers and I.P. addresses allocated for use by the Member. Waterman House Business Centre retains the right to not accept any excessively large, unreasonable or unlawful packages. All services are to be paid 7 days after date of invoice. During the term of membership, should the level of service not meet the Member s expectations, please contact our Head Office at customerrelations@watermanhouse.co.uk and we will respond within two working days. LIABILITY: To the maximum extent permitted by applicable law, Waterman House Business Centres Ltd will not be liable for any loss sustained as a result of Waterman House Business Centres failure to provide a service as a result of any mechanical breakdown, strike, or termination of Waterman House Business Centres' interest in the building containing the Centre. The client expressly and specifically agrees to waive, and agrees not to make, any claim for damages, direct, and indirect, punitive, special or consequential, including, but not limited to, lost business, revenue, profits or data, for any reason whatsoever arising out of or in connection with this agreement. Any failure to furnish any service provided hereunder, any error or omission with respect thereto, from failure of any and all courier service to deliver on time or otherwise deliver any items, (mail packages etc) or any interruption of services. INCREASES: The Members shall pay during the term of this Agreement all charges for services rendered at the rates stipulated and documented by Waterman House Business Centre at its absolute discretion. The Members agree that Waterman Houses Business Centre reserves the right to change, or vary the charges for such services upon giving one month s notice in writing of such change, and such new charges shall apply from the date of expiration of notice. CALL TRANSFER OPTIONS: Waterman House Business Centre will be in contact with Virtual Members to confirm which telephone number you wish your calls to be transferred to. This number may include mobile phone, home or an office number. Call charges will apply to all transferred calls. Mobile calls incur a higher rate. Check the set-up of your telephone number and transfer options and notify your Virtual Office manager of any changes. In the case message delivery, the Member is responsible for browser and ISP security settings which enable or prevent delivery of voic packets. Change to the communication services must be notified in writing. INDEMNITY CLAUSE: The Landlord shall be expressly indemnified by the Member against any loss, damage which is caused by corruption of data or any loss of information from hardware, software, mechanical, internet damage or any errors by Waterman House Business Centre. The member guarantees that it will not use the Virtual Office for any immoral or illegal purposes. INVOICE: Invoices shall occur on approximately the 1 st day of each month. Declined credit cards, insufficient funds from direct debit payments or dishonoured cheques will incur a 20 service fee. Should payment not be receipted by the 20 th of any month, for any reason, Waterman House Business Centre, at their absolute discretion, may request a security deposit if late payment occurs and/or suspend or terminate all services. Any monies owing to Waterman House Business Centre for more than 20 days shall bear a fixed penalty charge equivalent to 30 and an administration fee at a rate of 5% on the overdue balance per month until payment. All bank fees will be paid by the member. A 3.5% charge on the balance will be applied to all card payments.
5 STAFF: If the Member of which the ownership or control is directly or indirectly associated with the Member at any time during the term of Membership or within 12 months after termination of the membership employs any of the staff employed or who were employed by Waterman House Business Centre or any business affiliated with Waterman House Business Centre during the term of the membership the Members shall pay to Waterman House Business Centre by way of liquidated and ascertained damages an amount equal to 100% of the new annual wage or package of the employee which the parties agree is a genuine pre-estimate of the loss suffered by Waterman House Business Centre. The applicability of liquidated and ascertained damages applies to all staff whether permanent part-time or otherwise. CONFIDENTIALITY: Waterman House Business Centre shall treat all messages & information as confidential. However, should Waterman House Business Centre be served with an appropriate order or warrant, Waterman House Business Centre shall disclose such information as required by law. We are registered with the Information Commissioner s Office Data Protection No Z CALL VOLUME: The Pay as you go package is charged at 1.00 per call. Where a caller is diverted to a number additional charges apply, which are BT Standard Business Rates and subject to fair usage, a deposit may be required. International calls are charged at BT Business Standard Rates and will incur an additional 40% service charge. The higher volume package is charged at 150 per month for unlimited calls. DRESS CODE: When utilising Waterman House Business Centre locations business-like standard dress applies at all times. TAXES: All prices quoted are exclusive of any government taxes where applicable and allowable by law. IDENTIFICATION: It is a requirement of all Communications packages to provide 2 forms of ID. This must be a recent utility bill, no more than 2 months old and a copy of a driving licence or passport. We also require a copy of the Incorporation Certificate. If Waterman House Business Centre does not receive the Documentation from the Member they have the right in their absolute discretion to terminate the membership.
