1 r Provisional IPMA-Texas Chapter Bylaws ARTICLE I Texas IPMA-HR Chapter This Chapter shall be known as the " The Texas IPMA-HR Chapter of the International Public Management Association for Human Resources, hereinafter referred to as " The Chapter." The Texas IPMA-HR Chapter is the public sector organization representing and serving Human Resources professionals in the state of Texas which provides the opportunity for them to convene and discuss issues that affect them in the Human Resources profession. The Texas IPMA-HR is affiliated with the International Public Management Association for Human Resources. Through this affiliation, the Texas IPMA-HR offers its Texas members a unique opportunity to share information and resources that represent the interests of human resource professionals at all levels and strive to promote excellence in HR management. g? f Section 4. The geographical area covered by this Chapter shall be the state of Texas. The Texas IPMA-HR Chapter is part of the Texas Municipal Human Resources Association ( TMHRA) until such time it can function as a unique entity and financially support itself. A. TMHRA will review the relationship with the Texas IPMA-HR Chapter every two years to determine if the Texas IPMA-HR Chapter is can function as its own entity. The Texas IPMA-HR Chapter may gain autonomy from TMHRA through an affirmed vote of the TMHRA Board (or) 4/ 5 of the IPMA membership. Permanent Bylaws will then be adopted by The Chapter Board as described in Article VII, fr: rs B. While a part of TMHRA, the Chapter budget and programs will be approved by the TMHRA Board. C. At the time of separation from TMHRA, all funds allocated to the Texas IPMA-HR Chapter shall be released to the Chapter. ARTICLE II Objectives 1

2 The purpose of the Chapter shall be as follows: A. provide a forum for persons engaged in public human resource management administration to discuss their current problems and to provide a medium for their mutual self-improvement; B. To implement the objectives and program of the International Public Management Association for Human Resources within the Chapter area; C. To explain and interpret the objectives and methods of human resource management to the general public, civic groups, government officials and employees; and D. To encourage and facilitate cooperative action among public jurisdictions and private employers within the Chapter area on public HR issues of mutual concern. E. Collaborate and provide complimentary training to TMHRA members and participate in education and training provided by The Chapter and national organization. There is no requirement for The Chapter to host a national or regional conference and any programming is at the discretion of The Chapter. F. Provide an opportunity for the members to be aware of national and global policy and legislative issues and share perspectives on behalf of human resources professionals in the Texas public sector. ARTICLE III Chapter Membership Types of Membership A. Active. Membership in the Chapter shall be open to any person within the Chapter area who is a member of the International Public Management Association for Human Resources ( IPMA-HR). B. Associates. Independent consulting groups or other third party vendors or for-profit, private sector agencies. While the TMHRA Board is responsible for administration of the Texas IPMA-HR Chapter, TMHRA Board Members shall be required to be members of both IPMA-HR and the Texas IPMA-HR Chapter. Selection for membership. 2

3 A. There shall be an application for membership. Eligibility for or continuation of membership shall be determined by action of the Chapter' s Board of Directors with consideration from the committee assigned to consider such applications. B. Members changing positions may retain their membership for a reasonable period of time, provided all other obligations of membership are met and the member is not employed in a position contrary to the goals and objective of the Texas IPMA-HR Chapter, and so long as the member is seeking a position which would permit the member to retain membership status. Eligibility for membership or continuation of membership shall be determined by action of the Chapter Board and on a specific case basis. C. Except as otherwise provided by these bylaws, Active Texas IPMA- HR Chapter membership shall entitle the member to all membership privileges extended by the Texas State IPMA-HR Chapter. Special member privileges for other types of membership shall be determined by the Chapter Board. D. When the Texas IPMA-HR Chapter is separated from TMHRA, all active members will be afforded voting rights, Chapter Board elections, and service on Chapter committees. Section 4. Annual dues for Chapter membership shall be $ 100 per year. Changes to dues may be made as necessary and voted on by The Chapter' s Board to cover expenses. ARTICLE IV Chapter Officers and Board of Directors Chapter Officers A. The Chapter shall have three Officers: President, Vice President, and Secretary/ Treasurer. B. The Chapter Officers shall be appointed by the TMHRA President and approved by a majority vote of the TMHRA Board while under TMHRA' s purview. Selection, Appointment and removal of Officers and Board Members A. The Chapter Board shall have seven members. i. While under TMHRA' s purview, it shall consist of the three Chapter Officers, one additional TMHRA Board member and 3

4 three Board members appointed by the Chapter President and approved by a majority vote of the Chapter Board. ii. Once The Chapter becomes independent, the membership shall vote on the makeup of Chapter Officers and members of the Chapter Board including terms of office and numbers of Officers and Chapter Board members. B. Chapter Board members may be removed by a super-majority of the Chapter Board for cause. Terms of Office A. The term of office of The Chapter Officers and Board members shall begin on October 1 and occur as follows: i. Place 1: President 1 year Term ii. Place 2: Vice President 1 year term; automatic succession to President iii. Place 3: Secretary/ Treasurer 1 year term, automatic succession to Vice iv. President Place 4: TMHRA Board Member -- appointed by TMHRA President for a two-year term in even years v. Place 5: Texas IPMA-HR Chapter Member appointed by Chapter President for two- year term, appointed in even years. vi. Place 6: Texas IPMA-HR Chapter Member appointed by Chapter President for two- year term, appointed in odd years. vii. Place 7: Texas IPMA-HR Chapter Member appointed by Chapter President for two- year term, appointed in odd years. ARTICLE V Duties of Officers and the Board of Directors President: A. The President shall preside at all meetings of The Chapter and the Board of Directors. B. The Chapter President shall appoint such committees as deemed necessary or appropriate for carrying on the activities of the Chapter. The President will be responsible for ensuring that the annual chapter reporting form is submitted to IPMA-HR by June 30 of each year. C. The President is responsible for coordination with TMHRA and assuring that budgets and programs are, approved through the TMHRA Board. Vice President: 4

5 A. In the temporary absence/ incapacity President shall exercise the functions covered in Section 1 article. of the President, the Vice of this B. In the event of a vacancy in the office of the President, the Vice- President shall assume the Presidency. Secretary/ Treasurer: A. In the temporary absence/ incapacity of the Vice President, the Secretary/Treasurer shall exercise the Vice President functions. B. In the event that the President and Vice President are simultaneously incapacitated or absent, the Secretary/ Treasurer shall exercise the role of President. C. The Secretary/ Treasurer shall be responsible for keeping the membership records of the Chapter and for notifying members of Chapter meetings. The Secretary/ Treasurer shall review and report on the financial records maintained by the Texas Municipal League. Section 4. Board Meetings: A. The Board of Directors shall meet at the call of the President. Such meetings shall be held at least bi-annually. Board meetings shall be for the purpose of reviewing the activities of the Chapter, developing plans for future activities and for considering other matters brought to the attention of the Board of the Chapter officers or by the Chapter membership. B. The management of the Chapter' s affairs and the development and guidance of its program of activities shall be the responsibility of the Board of Directors of the Chapter. ARTICLE VI Chapter Meetings Regular Meetings A. At least one regular meetings of the Chapter shall be held annually. The President sets the time and place of Chapter meetings, and the Secretary shall notify the members. B. Special meetings may be scheduled at the discretion of the Board of Directors. Special meetings may be conducted through use of communication technology. 5

6 xt C. Meetings of the Chapter shall be presided over by the Chapter President or, in his/her absence, by the Vice-President. Meetings of The Chapter Board may be held as called and presided over by the President, if present. In the event of a vacancy or the absence of the President from a meeting, the highest officer at the time the vacancy occurs, or present at the meeting, shall assume the duties or chair the meeting, as appropriate. D. At any meeting held for the purpose of transacting Chapter business, a hr: quorum shall consist of at least a majority of the current board members of the Chapter. ARTICLE VII Amendments & Creation of Permanent Bylaws Proposed amendments to these bylaws may be made with a majority vote of the Chapter Board of Directors in conjunction with a vote of the TMHRA Board and approval of the Executive Council of the International Public Management Association for Human Resources. Upon The Chapter separating from TMHRA as described in Article I, Section 4 ( a), Permanent bylaws will be drafted and adopted by the Chapter Board with the approval of the Executive Council of the International Public Management Association for Human Resources. ARTICLE VIII Dissolution This Chapter may be dissolved at any time by the TMHRA Board. In such an instance, notice would be given to the Executive Council of the International Public Management for Human Resources. Any Chapter funds remaining after all outstanding obligations are met by the Chapter would be transferred to the Executive Council of the International Public Management Association for Human Resources. jt ARTICLE IX Chapter Liabilities The International Public Management Association for Human Resources, the Texas Municipal League and the Texas Municipal Human Resources Association are not responsible for any liabilities this Chapter might incur. ARTICLE X Effective Date 6

7 These bylaws shall become effective upon approval by the Executive Council of the International Public Management Association for Human Resources and upon approval by adoption of the TMHRA Board.
