These terms and conditions are subject to change without notice. Overview Our people are our success. The commitment of our people is vital to the success of Benchmark Group. In appreciation of that commitment, we offer long-term Staff Members an opportunity to own shares of stock in the company. Benchmark Group, Inc. is currently 100% owned by Staff Members. It is the policy of the Board of Directors of Benchmark Group, Inc. that Staff Member must meet one or more of the following: Any Staff Member having 5 consecutive years of full-time service, based on Seniority Date, may apply to become a Shareholder. Any Staff Member having non-consecutive and/or part-time service of over 5 years and over 10,000 total hours may also apply. The Board may choose whether to accept this service. Any returning Staff Member may use their previous years of service toward eligibility to apply, or may resume the application process if previously started. Any returning Staff Member who was previously approved to acquire shares remains approved, after a 90-day waiting period. Each application is subject to the approval of the Board. This policy is subject to revision by the Board at any time without advance notice. If you wish to find out more, ask the Chairman of the Board or any Board Member for an Application For Approval form. There are certain Shareholder responsibilities, which are explained on the form. If you then wish to pursue ownership, sign the form and return it to the Corporate Secretary (SHA). If you are approved, some time after your paperwork is completed, you will receive two free shares of stock in Benchmark Group, Inc.

3 Section: Shareholder Privileges Page 3 of 6 Shareholder Privileges Attend the annual Shareholders meeting, which includes: Presentation of the annual report, which is an overview of corporate operations and performance. Voting for members of the Board of Directors. Attend any special Shareholders meetings which may be held from time to time. Attend unofficial meetings of the Shareholders which may be held from time to time. See some privileged information. Sell shares for capital gains, if the opportunity arises. Receive dividends (which are not usually paid, but may be paid in some years, depending on profitability and other factors).
