1 Amended and Restated Constitution and Bylaws of the Canyon Aristocats Parents Association (CAPA) These Amended and Restated Constitution and Bylaws of the Canyon Aristocats Parents Association are effective May 4 th, Article I Name The name of this organization shall be the Canyon Aristocats Parents Association (CAPA). Article II - Objective, Purpose and Dissolution Section 1 The objective of CAPA shall be to support the Canyon High School Aristocat Dance Team (Aristocats) within the policies of the Comal Independent School District (CISD) Booster Club Guidelines. Section 2 The purpose of this organization shall be to support fundraising activities, to promote scholarship and excellence in dance, and to encourage high moral standards within the Aristocats. Section 3 CAPA shall operate as a non-profit organization, and no part of its assets shall inure to any individual. All net earnings shall be contributed to the projects of the Aristocats. In the event this organization is dissolved, the CISD board shall designate and disperse all funds of CAPA in accordance with the laws governing non-profit organizations. Article III Fiscal Year and Meetings Section 1 CAPA's fiscal year shall begin June 1 st and shall end May 31 st of the following year. Section 2 A "First Meeting" of CAPA shall be held at the beginning of each school year, and an "Ending Meeting" shall be held at the end of each school year. The agenda for the Ending Meeting of CAPA shall include a review of CAPA finances for the last fiscal year, election, and induction of officers for the next school 1 P age
2 year. Other meetings of CAPA shall be held regularly throughout the school year at such times as the President and/or the Executive Board shall deem appropriate. Section 3 The President or the Executive Board may call special meetings that require an emergency vote after giving a 72 hour notice to all members. Article IV - Membership Membership in CAPA is open to all current parents and/or legal guardians of Aristocat Dance Team members, or any other entity of the Aristocat Dance Team, including Aristocat Managers and New-New members as of March following tryouts. The Aristocat Director(s) shall be advisor(s) to this organization by virtue of their position. Article V - Elected Officers The elected officers of CAPA shall be comprised of the following officers: President, Vice President, Secretary, Treasurer, Treasurer Elect, Parliamentarian, and Member at Large. These Officers shall be elected on an annual basis. Employees of the Comal Independent School District shall not serve in a financial capacity. Financial capacity includes holding positions of Treasurer, Treasurer Elect, Fundraising Chairperson, or serving as a check signer. Section 1 Article VI - Duties of Officers The President shall be chief elected officer of CAPA. The President shall seek the advice and counsel of the Aristocat Director(s) on all matters relating to the Aristocat Dance Team. The President shall be an individual who has previously been active in the CAPA organization. The major duties include, but are not limited to the following: Preside at all meetings of this organization and of the Executive Board. Regularly meet with the Aristocat director regarding CAPA activities. Resolve problems in the membership. Regularly meet with the Treasurer and Treasurer Elect of CAPA to review CAPA's financial position. Select an officer as the designee to receive bank statements electronically or via in accordance with the Finance Section of CAPA bylaws. Schedule an annual audit of records or request an audit if the need should arise during the year. Appointment of all Committee Chairs. 2 P age
3 Oversee all CAPA Committees. Present all files and records to the incoming President by May 31st. Maintain an information file of the activities of the year and present an annual report at the Ending Meeting of CAPA. Section 2 The Vice President shall act as the President's representative in the President's absence. In the event of co-occupancy of this position, the Executive Board will appoint a Vice President to the President's position. The Vice President is authorized to handle funds of the association and shall be covered by a fidelity bond as stated in the CISD Booster Club Guidelines Treasurer section. The major duties include, but are not limited to, the following: Section 3 Preside at meetings in the absence or inability of the President to serve. Assist the President in administering the activities of CAPA. Complete a Fundraising Application for each type of planned, scheduled or anticipated event and receive approval of the CHS principal Oversee all Fundraising Projects of CAPA in accordance with the CISD Booster Club Guidelines section on Fundraising, Assist the Treasurer in counting all income resulting from fundraising in accordance with CAPA and CISD Booster Club Guidelines regarding Fundraising Present all files and records to the incoming Vice President by May 31st. The Secretary is responsible for keeping accurate records of the proceedings of CAPA and reporting to the membership. The Secretary must ensure the accuracy of the minutes of the meetings, and have a thorough knowledge of parliamentary law and CAPA's bylaws. The major duties include, but are not limited to, the following: Keep an accurate record of the proceedings of all CAPA and Executive Board meetings. Maintain the records of the minutes, approved bylaws and any standing committee rules, current membership and committee listing. Report on recommendations made by the Executive Board. Conduct and report on all correspondence on behalf of CAPA Executive Board. Maintain a current roster and attendance records of CAPA members. Provide a current roster for the membership. Prepare and distribute CAPA member notebooks to be handed out at the first "New Team Parent Meeting" complete with all updated handout material. Convey all records to the incoming Secretary by May 31st. Section 4 3 P age
4 The Treasurer shall be the authorized custodian of CAPA funds. The Treasurer shall receive and disburse all monies indicated in the budget and prescribed in CAPA's bylaws or as authorized by the action of CAPA. The Treasurer is responsible for maintaining and distributing all financial information for CAPA outlined under Financial Information in the CISD Booster Club Guidelines. The Treasurer is authorized to handle funds of the association and shall be covered by a fidelity bond as stated in the CISD Booster Club Guidelines Treasurer section. The major duties include, but are not limited to the following: Serve as chairperson of the Budget and Finance Committee if prescribed within the bylaws of the organization Issue a receipt for all monies received and deposit said amounts on a weekly budget (daily if receipts on hand exceed $250.00) Prepare an annual budget for approval by the Executive Board. Maintain and manage financial accounting for CAPA at the direction of the Executive Board in conformance to the annual budget. Keep an accurate record of all receipts, deposits, and disbursements. Present a current financial report including bank statements, bank reconciliations at each regular meeting of CAPA and at the request of the President. Responsible for counting all income resulting from fundraising in accordance with CAPA and CISD Booster Club Guidelines regarding Fundraising. File current financial reports with appropriate CISD personnel. Maintain an accurate and detailed account of all monies received and disbursed. File sales tax reports as required by the comptroller s office. (monthly/quarterly/annually) File annual IRS form 990 in a timely manner. Reconcile all bank statements as received and resolve any discrepancies with the bank immediately. Submit records to the Audit Committee appointed by CAPA upon request and on annual audit dates. The Treasurer shall make available all financial records within a reasonable amount of time after the May 31 st fiscal year end so that the Audit Committee may conduct and complete the required annual audits outlined in CAPA bylaws. * Note: Due to the increasing requirements placed on charitable organizations, by the Internal Revenue Service; it is strongly recommended that the Treasurer have an accounting background. Section 5 The Treasurer Elect shall receive and deposit monies from individual team members for prescribed mandatory personal team dancewear. The Treasurer Elect is responsible for maintaining and distributing personal account balance information to each individual team member. In the absence of the Treasurer, the Treasurer Elect shall be the authorized custodian of CAPA funds of the association and shall be covered by a fidelity bond as stated in CISD Booster Club Guidelines Treasurer section. The major duties include but are not limited to the following: 4 P age
5 Provide periodic statements for individual team member accounts and distribute to team members and parents or guardians. Maintain an accurate and detailed account of all monies received and distributed. Reconcile all bank statements as received and resolve any discrepancies with the bank immediately. Assist the Treasurer in counting all income resulting from fundraising in accordance with CAPA and CISD Booster Club Guidelines regarding Fundraising. Maintain, report, and provide any CAPA financial information required by the CISD Booster Club Guidelines sections State and Federal Reporting, Financial Information, Sales Tax, and Appendix B Memorandum. File current financial reports with appropriate CISD personnel. Submit records to the Audit Committee appointed by CAPA upon request and on annual audit dates. The Treasurer Elect shall make available all financial records within a reasonable time after the May 31 5t fiscal year end so that the Audit Committee may conduct and complete the required annual audits outlined in CAPA bylaws. Present all files and records to the incoming Treasurer Elect by May 31st. Section 6 Parliamentarian: The primary duty of the Parliamentarian is to advise the presiding officer on parliamentary law and matters of procedure when requested. The Parliamentarian should be thoroughly familiar with the bylaws and any standing rules of CAPA. The Parliamentarian shall assist other officers and chairpersons as needed when required by the President or Executive Board. The Parliamentarian shall maintain a copy of Roberts Rules of Order Newly Revised to reference as needed. The Parliamentarian shall convey all records to the incoming Parliamentarian by May 31 st. Section 7 Member at Large: The primary duty of the Member at Large shall be to assist the Vice President on all CAPA fundraising projects. The Member at Large shall be the parent of a 2+ year Aristocat and have been previously active in the CAPA organization. The major duties of the Member at Large include, but are not limited to the following: Section 8 Assist the Vice President in the oversight of all Fundraising Projects of CAPA in accordance with the CISD Booster Club Guidelines section on Fundraising. Serve as the tie breaking vote on Executive Board decisions. The tie breaking vote shall reflect the best interest of CAPA s general membership. An Elected Officer may be removed from office at any meeting of the Executive Board upon motion of any elected officer, and the concurring vote of at least three (3) elected officers, provided that such 5 P age
6 removal from office may be set aside by the majority vote of the members of CAPA that are in attendance at any regular or special meetings of CAPA. Article VII - Special Committees Special Committees shall be created for a specific purpose and voted upon by membership. The committee shall automatically dissolve as soon as that purpose is accomplished and the committee report has been submitted to the President. Special Committees shall complete their assignments by May 31st. If the objectives are not met by May 31st, Officers will be required to reappoint members of the committee for the following year until the purpose of the committee has been achieved. Article VlII - Nominating Committee The nominating committee shall be formed from CAPA s membership in the spring of each year. The purpose of the committee is to recommend various members of CAPA for office in the coming school year. The CAPA Board will nominate the chairperson. The nominating committee shall be charged with soliciting recommendations for officer positions within CAPA. The committee shall then contact the potential candidate directly to ascertain their willingness and desire to serve. The nominating committee shall report back to the membership on their results in the spring (typically by mid-march) so that elections may be held. Article IX - Election of Officers The election of officers will occur annually (typically by mid-april) so that newly elected officers may be in place for the start of the physical year beginning June 1 st. The transfer records and audit of the accounts should comply with CISD requirements. Simple majority or secret ballot shall elect officers. The nominating committee shall present the slate of officers in March of each year. Recommendations may also be taken from the floor at the time of the vote in accordance with Roberts Rules of Order. At no time should officers be appointed without the input and approval of the membership. 6 P age
7 Article X - Audit Committee An audit shall be conducted after the May 31 st fiscal year end. Two (2) or three (3) individuals that are independent of day-to-day financial activities shall perform the audit. The primary objectives of the audit are to: Verify the accuracy of the Treasurer's financial reports; Ensure that cash balances are accurate; Determine that established procedures for handling booster funds have been followed. Ensure that expenditures occurred in a manner consistent with CAPA's bylaws. Ensure that all revenues have been appropriately received and recorded. The audit committee shall make a report to the general membership upon completion of the audit. Any discrepancies noted shall be brought to the attention of the President of CAPA and a resolution reached prior to the presentation. All officers of CAPA shall make records available as requested by the committee. Suggested audit procedures included in Appendix A of the CISD Booster Club Guidelines should be followed. Article XI - Standards for Meetings Notice of all meetings of CAPA shall be published, at "the Canyon High School campus seventy- two (72) hours prior to the meeting date. The notice shall indicate the date and time of the meeting, and the meeting agenda. Booster club meetings must be held in the presence of the Aristocat Director or her designee. Business determined at meetings without the attendance of the Aristocat Director or her designee shall be considered null and void. Article XII - Rules for Dissolution To dissolve CAPA, a resolution shall be adopted by the Executive Board stating that the question of such dissolution be submitted to a vote at a special meeting of CAPA members having voting rights. At least 30 days prior to the meeting, written or printed notice shall be given to each member entitled to vote stating that the purpose of such meeting is to consider the advisability of dissolving CAPA. In compliance with Internal Revenue Service guidelines, excess funds are to be distributed with the Canyon High School dance program. Article XllI - Financial: Returned Checks The President shall select an officer as the designee to receive bank statements electronically or via . This individual shall not be a signer on the account. Upon receipt, the designee should review the activity on the bank statement and cancelled checks for reasonableness. This provides an independent review by an individual not associated with disbursement activity. 7 P age
8 In the event any check received by CAPA is returned for any reason, any bank penalties or charges assessed by CAPA's financial institution shall be charged back to the CAPA member who issued the returned check. At any time after one (1) returned check, the issuing member may be required to pay by cash, money order, or certified funds. Article XIV - Record Keeping CAPA's Secretary and Treasury records shall be retained for a period of 10 years for audit purposes. Article XV Fundraising Prior to the start of the school year, CAPA's Vice President shall complete a Fundraising Application for each type of planned, scheduled or anticipated event and receive approval of the CHS principal. A copy of the application shall be forwarded to the Business Services Department. Funds raised by parents through CAPA activities must be used to benefit CAPA as a whole. Funds raised by students may NOT be earmarked for individual student accounts. The Treasurer and Vice President, or in the absence of the Vice President any member with a fidelity bond, shall count all income resulting from fundraising. A photocopy of the deposit ticket shall be signed and dated by the Treasurer and Vice President, or any fidelity bonded Executive Board member acting in the Vice Presidents behalf. The Treasurer shall immediately relinquish all financial records to the President whenever requested in writing by at least three (3) elected officers. All rollover monies in excess of the end of year budget will be designated for the following year s budget. Article XVI CAPA Scholarship CISD requires booster clubs to implement scholarship programs that are consistent with all other scholarship programs. CAPA will comply with all scholarship award requirements found in the CISD Booster Club Guidelines, and scholarship applications and awards are subject to the following additional requirements: Each scholarship applicant must be a senior, a member of the current Aristocat Dance Team, or a manager and remain on the team through May of the applicant's senior year; All of the applicant's CAPA accounts must be in good financial standing at time of application and at the time of the release of any scholarship funds; During the applicant's senior year, the applicant's parent or guardian must attend a minimum of three CAPA meetings and participate in a minimum of one major fundraiser; During any one year on the team, if applicant receives a probation point, she will be ineligible to receive a scholarship for that said year; 8 P age
9 Scholarship is valid for one year from date of award. If not used within one year, recipient forfeits the scholarship. Proof of enrollment in an accredited university, college, trade school, or career enhancement course is required prior to release of funds; The amount of award shall be determined by number of years on the team. In the event of any conflict between these additional requirements and the CISD Booster Club Guidelines, the Guidelines shall control Article XVII Brianna Rodriguez Memorial Scholarship (BRMS) BRMS will be awarded to the recipient of the Shine Forever RED Award. The BRMS recipient will be presented the scholarship and Shine Forever Award Friday Night of the Spring Review performance. BRMS fund will be a set a $1, Maximum. Eligibility for the BRMS is as follows: 1. Open to Aristocat members that have participated in Aristocats during their senior year of high school and be in good financial standing at the time of the application and at the time of the release of any scholarship fund. 2. During the applicant s senior year, the applicant s parents or guardian must attend a minimum of three (3) CAPA meetings and participate in a minimum of one (1) major fundraiser. 3. Candidate must submit an essay per the Dance Director Requirements no later than March 11 th or four weeks before Spring Review. 4. Candidates must demonstrate dedication to the team, scholarship, leadership and uphold the standards set in the CISD spirit organization guidelines. 5. Candidates must have qualities that exemplify drive, love and respect for team tradition. 6. Candidate must have remained probation free for their senior year. 7. Recipient will need to submit in writing their University or Trade School identification number to the CAPA Treasurer. Payment to the institution of choice will be made in the students account as soon as practical. 8. In case of a tie, a ranking of all submitted essays by a CHS English Teacher will be the deciding factor of the recipient. Shine Forever Red Award is determined by all current Aristocat team members nominating vote for the senior candidate who has the qualities that exemplify drive, love and respect for team tradition. Megan Nebgen will be in charge of the process of tabulating and administering the task of the Aristocat Team vote in line with her current voting practice.
