1 Renting desk space in a shared office The Hatchery NI offers the option to rent desk space in a shared Office, this enables small businesses to access the benefits of Antrim Enterprise Agency without the initial requirement of renting a whole unit. The terms and conditions for renting desk space within a shared Office at Antrim Enterprise Agency are covered in a License Agreement entered into between Antrim Enterprise Agency LTD. as the Licensor and the applicant as the Licensee. What is a License? A license provides greater flexibility than a tenancy agreement and tends to be more suited to small growing businesses with changing space requirements. Please note: the grant of a license does not create an estate in land and the Licensee does not gain an interest in the premises, purely permission to occupy it during the term of the License granted under the License Agreement. What does the License Fee include? Rent Rates Water Desk and chair Filing cabinet Internet access Telephone access 24/7 access 365 days a year during the term of the license Free shared parking Support from Antrim Enterprise Agency professional business services

2 Desk space license agreement shared office This Agreement is made the 1st day of August 2012 BETWEEN Antrim Enterprise Agency 58 Greystone Road, Antrim, BT41 1JZ (the licensor) AND (the licensee) The licensor and the licensee agree that the licensor shall give to the licensee, a nontransferable, non-exclusive and revocable at will License to use the shared business Office and allocated desk space at The Hatchery NI in Antrim Enterprise Agency (the premises) ( premises -includes all rights of access, fixtures, fittings, contents and effects) TOGETHER WITH the Licensor s other Licensees. This Agreement will commence on the day of 20 and will continue on a month to month basis until terminated by either party WITHOUT WRITTEN NOTICE and is OFFERED AND ACCEPTED ON THE FOLLOWING TERMS AND CONDITIONS; 1. The licensee agrees to pay a Fee in the amount of 100 per month payable in advance on the 1 st day of each month by direct debit to the licensors bank. Direct debit forms must be completed before the licensee takes up occupancy. 2. Under the license Antrim Enterprise Agency Ltd. will provide the following for the licence fee paid and at no additional cost to the licensee; EQUIPMENT: UTILITIES: FACILITIES: SERVICES: A desk, chair and filing cabinet. Rates, Water, Electric and Heat Shared Toilet, Kitchen and Parking. Telephone and Internet and cleaning services. 5: The license is granted on the following terms and conditions:

3 1) To pay the license fee on the first day of every month by direct debit to the licensor s bank. 2) The licensee acknowledges that the licensor is entitled to review the license fee on an annual basis. The licensee will be entitled to be given 3 months written notice of any increase in the license fee. The licensee is entitled to terminate this Agreement in the manner provided for before any increase takes effect. 3) The licensee agrees to pay such additional sums for utilities not included in the license fee and incurred during each month the licensee s had use of the premises including call costs. 4) The Licensee must take out adequate insurance cover in respect of Employers and Public Liability, contents and effects and shall provide a copy of their insurance cover listing Antrim Enterprise Agency Ltd as additionally insured. 5) The desk space allocated in the premises under this license must only be used for the purpose of general office administration and for the running of the business which is stated on the APPLICATION FOR LICENSE. 6) The licensee must not breach any statutory requirement in relation to the premises. 7) The licensee must not glue stick or otherwise affix in anyway anything whatsoever on or to the premises. 8) The licensee must not alter or install any lock on any door or window in or on the premises or have any additional keys made for any lock without the prior written consent of the licensor. 9) The licensee cannot transfer this license, sub-let the allocated desk space or premises or permit the use of the allocated desk space or the premises by a third party. 10) The licensee must report any damage to the premises or the need for repair as soon as is practicable. The licensee must report any emergencies in relation to the premises immediately. 11) The licensee must not store in or on the premises or on any part of it any inflammable liquids or gases or any goods, liquids or gases which by reason of their smell or any other reason shall be or become a nuisance or annoyance to the licensor or to any other person or which may affect the policy or policies of Insurance affecting the premises or the licensees use of it.

4 12) The licensee, those employed by the licensee and visitors to the premises must not harass, or act in an anti-social manner to, any person in the Enterprise Agency on any ground, including that person s racial or ethnic origin, colour, religion, sex, gender, sexual orientation, age, disability or other status. Anti-social behaviour means causing, or likely to cause, alarm, distress, nuisance or annoyance to any person or causing damage to anyone s property. Harassment of a person includes causing the person alarm or distress. 13) The licensee those employed by the licensee or those visiting the licensee agree to take all reasonable care not to cause or allow to be caused damage to the premises, the common parts or any property of the licensor. 14) The licensee agrees to pay the cost of all repairs for any damage done to the premises or any property of the licensor, by themselves, any agents that they hire or by any one visiting them on the premises. 15) The licensee acknowledges that he/she is under a duty to comply with all Laws Orders Ordinances Policies and all other public or private requirements now or in the future pertaining to the premises and or the licensees use of it. 16) The licensee is responsible for all personal possessions that they may bring on to or leave on the premises and Antrim Enterprise Agency Ltd assumes no liability whatsoever for the licensee s personal property. The licensee agrees to indemnify Antrim Enterprise Agency Ltd from all damages, costs and expenses by reason of any accident, injury, loss or damage to any person or property occurring as a result of the licensee acts or omissions in or about the licensee s occupation and use of the premises. 17) Upon termination of this agreement the licensee agrees to leave the allocated desk space and the premises in good order and in a clean and tidy condition and repair (meaning substantially the same condition, state and repair at the time of the commencement of this agreement) by 10.00am on the day on which the agreement is terminated. 18) All keys provided for the licensee s use must be signed for and the licensee agrees to return all keys provided to reception by 10.00am on the termination date. The licensee acknowledges that he/she will be charged a replacement fee for any keys or locks which have to be replaced as a result of the licensee not returning keys pursuant to this Agreement.

5 19) If in the event any material provision of this agreement has been breached and such breach has continued for more than 5 Working days after the licensee has received written notice of such breach and the licensee has not remedied the breach to the total satisfaction of the licensor. The licensor may terminate this agreement WITHOUT NOTICE and this Agreement will absolutely determine. In this event it will be lawful for the licensor to refuse the licensee entry to or request that the licensee vacate the premises immediately in a quiet and orderly fashion. The licensee will be liable for the entire month s license fee which has been paid in advance and will not be entitled to a refund. 20) The licensee understands that this agreement is for a license not a lease and that the license can be terminated by and is revocable at will by the licensor. 21) The licensor reserves the right to deny the licensee access to the premises, to enter the premises and exercise self- help remedies without court approval in enforcing its rights where the license has been revoked and this Agreement has been terminated. 22) The signature of the licensee on this agreement confirms the following: a) That the licensee has not knowingly or carelessly given false or misleading information to the licensor in connection with obtaining a license under this agreement. b) That the licensee made a full and true disclosure of all information sought by the licensor in connection with the grant of the license. c) The licensee has inspected the premises and agrees to accept the premises AS IS on the date of the commencement of this Agreement 6. As long as the licensee ABIDES BY THE TERMS AND CONDITIONS OF THIS AGREEMENT the licensor shall allow the licensee to have quite usage of

6 the allocated desk space in the premises during the license. The licensor agrees to take reasonable steps to keep the premises in repair and Fit for Purpose ( As They Were at the commencement of the license.) It being expressly understood that the licensor hereby grants a License to use and occupy the premises and allocated desk space subject to the terms and conditions contained in this Agreement. It is expressly understood that the licensee will have no real property interest in or other rights to the premises and that this License is non-exclusive, revocable at will by the licensor and is not transferable. The License is not intended to create a tenancy or lease or any other interest in the property in favour of the licensee, but merely creates a License, revocable at will by the licensor i.e. that the licensor s right to revoke this License is not subject to or contingent upon whether the licensee is in default of the License or this Agreement. The licensor reserves the right to terminate the license and all the licensees rights and liberties hereunder shall cease if at any time the licensee is in material or persistent breach of this Agreement.
