The theme of the awards was unity in diversity. The SATY2015 awards were a lavish event, attended by South Africa s elite including South African President Jacob Zuma. There were performances by local musicians including Mango Groove, Mafikizolo, Chiano Sky, AKA and The Soil; and an international performance by American singer songwriter Jason Derulo. The awards show was broadcasted live for 3 hours, ANN7 was the most viewed channel for the 2nd consecutive year in the news genre during the SATY Awards, with a 55% dynamic share during the time band 19:00PM to 23:00PM on October 17, 2015.

12 GENERAL TERMS AND CONDITIONS 1. Rates quoted are for 30 Seconds duration spots. 2. Specified positions in break: Specific break will attract a 50% surcharge. 3. Solus Breaks (subject to availability):100% proposed change 4. These rates do not apply to special broadcasts: ANN7 TV will publish rates for such broadcasts well in advance of the broadcast date. 5. The rates quoted include commissions on net time costs. 6. All rates quoted are exclusive of VAT. 7. The advertising agency that enters into this contract on behalf of the advertiser shall be liable to ANN7 TV for payment of any fees in terms of this agreement. For purposes of interpretation the word advertiser appearing hereunder, shall be deemed to include advertising agency. 8. The broadcast of spot announcements and the acceptances of the facilities of the advertiser shall be subject to the provisions of the Broadcasting Act of 1999 and any regulations governing the advertising services of ANN7 TV and amendments thereto now or hereafter in force. As well as any special terms and conditions which may from time to time apply. 9. Any fees shown on monthly statements as due to ANN7 TV in terms hereof, shall be payable before the expiry of the term of payment indicated, calculated from the date of the monthly statement. Should ANN7 TV at the request of the advertiser or advertising practitioner agree to provide other facilities and/or services, the advertiser shall be obliged to pay in accordance with the same conditions the charge or charges determined from time to time by ANN7 TV. 10. If the advertiser omits, refuses or fails to pay any due amount promptly in accordance with the provisions of this contract or the abovementioned advertising code and regulations. ANN7 TV shall be entitled, without prejudice to any of the rights it may have. Forthwith to cease further broadcast of advertisements, to deny the advertiser the use or benefit of any other facilities and/or services included in this agreement, to cancel this contract and to recover any outstanding amounts which shall become immediately payable on such omission, refusal or failure. 11. In the event of ANN7 TV omitting for any reason whatsoever to broadcast a spot announcement in terms of this agreement in full, any claim by the advertiser against ANN7 TV shall be limited to a rebate as prescribed by the abovementioned advertising code and regulations. 12. Any rebate claim by an advertiser must be lodged with ANN7 TV within the payment terms as stipulated on the invoice of a spot announcement. Failure to do so will render the claim null and void. 13.The advertiser shall not be entitled to cede any of its rights in terms of this agreement to third parties. 14. The advertiser hereby indemnifies and holds ANN7 TV and its employees harmless against any claims for damages to property or personal injuries, infringement of copyright, defamation, losses, legal costs or claims otherwise howsoever arising out of, in respect of or as a result of the broadcasting of advertisements covered by this agreement and of the use of the advertiser of facilities provided by ANN7 TV. Should any such claim be made against ANN7 TV, reserves the right to defend any such claim brought against it and to proceed to the final end and determination thereof and to lodge any appeal or appeals to any court of courts, to which it has the right to do so and in addition shall have the right to compromise, abandon or settle any claim made against it and to nominate legal representatives and to brief counsel in connection therewith, and the advertiser shall be liable for and shall pay all costs, charges and expenses necessary and reasonably incurred by ANN7 TV in connection therewith, or otherwise in addition to all sums of money whether for damages, costs, charges, expenses or otherwise howsoever which ANN7 TV may be ordered to pay to the said plaintiff in the said actions on the advice of its legal representative and counsel. 15. Commitment contracts: Contracts must be completed in writing and signed by both parties. 16. Although ANN7 TV will endeavour to ensure that the requested your choice of programmes are available, it is to be understood that no such guarantee is given and that nonavailability of the aforesaid advertising channel/programme of choice shall not constitute a valid defence for not paying the amount-agreed upon in terms of many as per the commitment and agreement. 17. A 100% cancellation fee will apply to commercials or advertisements cancelled within 20 working days prior to the broadcast date, the aforesaid cancellation deadline will be strictly adhered to and no exceptions shall apply. 18. Material to be delivered at the ANN7 no later than 5 business days prior to scheduled broadcast. i) Application for airtime (existing material) to be confirmed in writing no later than 3 days prior to a scheduled broadcast. ANN7 is indemnified by the advertiser for any losses, damages or non-broadcast or any other consequences that may arise as a result of date of delivery or confirmation of any advertising or broadcasting material, the advertiser however remain liable for full payment of the agreed amount. ii) Application for airtime (new material) to be confirmed in writing no later than 5 days prior to broadcast. 19. ANN7 Television Sales shall not accept responsibility for incorrect flightings if flighting codes are revised after finalisation of logs or if flighting codes are received less than 5 working days prior to broadcast. This will also apply to late additions and cancellations on finalised logs. 20. The advertisers shall in the event of any deviations of actual broadcast times or agreed of up to 30 minutes shall not to be entitled to withhold payment and remain liable towards ANN7for commercials flighted within the deviated period. 21. ANN7 TV reserves the right to cancel programmes and reallocate at its sole discretion. ANN7 TV will have the right to displace commercials purchased and rebook same at a revised rate. 22. Rates quoted in the programme schedule must be related back to the rate grid. 23. This agreement does not create any partnership or agency relationship between ANN7 and the advertiser shall be entitled to act as each other s agent or representative or hold itself, and neither ANN7, nor the client shall be entitled to act as other s agent or represent or hold itself out in anyway as representing or acting on behalf of the other unless such representation or action is specifically authorized in writing by the other prior to such representation or action. 24. Programme content and time slots at which programmes are to be transmitted shall be sole and entirely within the absolute discretion of ANN7 and ANN7 shall not be held liable for any failure to transmit any program advertised in any publication or failure to transmit any programmes at an advertised rates. 25. The client agrees that the invoice raised by ANN7 is definitive proof that the advertisement/s were delivered and screened properly and in a manner consistent with this agreement. 26. The channel (ANN7) will accepted in HD File format or any other technology OR format may be may be accepted by the channel. 27. The advertiser hereby agrees that the Run on Schedule/ Run of Day Part (RODP)/ frequency builder spots can appear in any part of the day within the specified time band. 28. ANN7 shall not be obligated to return airing material; however ANN7 shall reasonably endeavour within a period of Ninety (90) days upon requirement by the advertiser to do so. and 29. On 15th day and the last day of each calendar month, ANN7 shall raise an invoice for the amount payable by the advertiser or the agency, as the case may be. The invoices will indicate gross Advertising fee, agency commission, net amount and applicable rates. 30. The client agrees to fulfil the terms of the agreement in its entirety within the Term set out in the attached commercial terms. In case the total entitlements are not used up within the term, the advertiser shall forecast same and remain liable to ANN The client hereby grants to ANN7 the non-exclusive right to use the Advertiser s logos, trade names and trademarks in the performance of its obligations under this agreement and in ANN7 s advertising sales marketing materials. The advertiser represents and warrants that it has the authority to grant such authorities and rights. 32. No party shall be liable to any other party for any breach of this agreement caused any force majeure event which shall be includeddue to war, strikes, power failures, lock outs, fire, floods, natural calamities or other act of God or any regulation or order of any competent statutory or Judicial authority or of any government in the country of telecast or other unforeseen circumstances beyond its control. The advertiser shall however remain liable for any such payments due to ANN7 which arose prior to any force majeure event. 33. All parties represent and warrant to others that they have the requisite right, power and authority required there affiliates and assign to enter into this agreement. 34. All parties agree that this Agreement shall be legally binding on all the parties. 2. E & OE Broadcasting Act of 1999 and Regulations All confirmation of orders and broadcast of spot announcements are subject to the Broadcasting Act No.4 of 1999 as amended and the current Advertising Code and Regulations as amended, including any special conditions which may be applicable from time to time. 3. Rates: 3.1 All rates quoted by ANN7 are exclusive of VAT. 3.2 Published rates are subject to change without prior notice. 3.3 All rates quoted are based on standard 10 second duration spots. ANN7 will apply a conversion table for rates of different durations and special broadcasts may attract different rates. 3.4 The rates quoted from time to time include commissions due on net time costs. 3.5 In the event of ANN7 omitting for any reason whatsoever to broadcast a spot announcement, whether in part or in full, then any claim shall be limited to a rebate as prescribed by the current Advertising Code and Regulations. Any such rebate claim must be lodged by within (20) TWENTY days of date of the dispatch of the applicable invoice. Failure to lodge the rebate claim within the prescribed period will render any such claim null and void. 3.6 Where applicable, settlement discount (agency commission) will only be granted where the payment has been received in the chosen account of ANN7 on or before the payment due date. 3.7 Commitment contracts must be completed in writing and signed by both ANN7 and the advertiser. No orders, amended order will be executed without a signed acknowledgement by both parties that they are in agreement with rates and / or adjustments. This arrangement applied to all contracts and agreements with the ANN ANN7 will not accept responsibility for incorrect flightings of material if flighting codes are revised after finalisation of logs, or if flighting codes are received after deadlines for submission of material. This will also apply to late additions and cancellations on finalised logs 4. The following terms and conditions are also applicable: 4.1 Specified positions in breaks are subject to a 50% surcharge. 4.2 Although ANN7 will endeavour to ensure that the advertiser choice of programmes are available, it however does not provides any guarantee to the advertiser or any third parties that any particular advertising channel or programme of choice shall be available. THE advertiser shall remain liable for the payment in the event of any non-availability of any advertising channel or programme of choice. 4.3 A 100% cancellation fee will be applicable to commercials cancelled within 20 working days prior to broadcast. 4.4 Theadvertiser accepts that deviations of actual broadcast times, from advertised broadcast times, of up to 30 minutes may occur from time to time. The advertiser shall under no circumstances be entitled to withhold any payment resulting from such deviations and shall remain liable for payment. 4.5 ANN7 reserves the right to cancel and reallocate programmes at its sole and absolute discretion. In such an instance ANN7 shall have the right to displace commercials purchased and rebook at a revised date. The advertiser shall remain liable for payment to ANN7 in the event of any revised or changed bookings. 5. Disclaimer and indemnity THE APPLICANT hereby indemnifies and holds ANN7 and its employees harmless against any claims for damages to property or personal injuries, infringement of copyright, defamation, losses, consequential losses, legal costs or claims otherwise howsoever arising out of, in respect of or as a result of the broadcasting of advertisements or any other broadcasts covered by this agreement, or of the use of THE APPLICANT S facilities provided by ANN7. Should any such claim be made against ANN7, it shall be entirely at ANN7 s discretion as to whether it admits or denies any such claim, and ANN7 reserves the right to defend any such claim brought against it and to proceed to the final end and determination thereof and tolodge any appeal or appeals to any court of courts - to which it has the right to do so - and in addition shall have the right to compromise, abandon or settle any claim made againstit and to nominate legal representatives and to brief counsel in connection therewith. THE APPLICANT shall be liable for and shall pay all costs, charges and expenses necessary and reasonably incurred by ANN7 in connection therewith, or otherwise in addition to all sums of money whether for damages, costs, charges, expenses or otherwise which ANN7 may be ordered to pay to the said plaintiff in the said actions on the advice of its legal representatives and counsel. The advertiser shall further not be entitled to cede any of it rights in terms of this agreement to any third parties. 6. Proof of Claims A certificate signed by duly authorized manager or any director of ANN7 reflecting the amount owing by the advertiser to ANN7, in respect of any services rendered to the advertiser relating to the advertiser s dealings with ANN7, and of the fact that such amount is due, owing and unpaid shall be prima facie (face value) proof of the effects therein stated for the purpose of any action (whether by way of provisional sentence or otherwise), proof of debt on insolvency or for any purpose whatsoever where the amount of such claims is required to be established, and it shall rest with the advertiser to prove that such amount is not owing and/or due and unpaid 7.
