1 Danske Bank (and National Irish Bank) cardholder terms and conditions of service for MasterCard SecureCode and Verified by Visa These are the terms and conditions under which Danske Bank A/S trading in the Republic of Ireland as Danske Bank (Danske Bank) agrees to furnish the MasterCard SecureCode ( MasterCard SecureCode ) and Verified by Visa service ( Verified by Visa ) services. By using MasterCard SecureCode and/or Verified by Visa, you are confirming that you have read and agreed to the following terms and conditions. In this Agreement, "we", "us", or "our" refers to Danske Bank, and "you", "your", or "yours" refers to the user of MasterCard SecureCode and/or Verified by Visa. The Services means MasterCard SecureCode and Verified by Visa, but for the avoidance of doubt, but if you use only one of them, any provision referring to Services refers to that service. 1. ACCEPTANCE OF TERMS 1.1. We provide the Services or either of them to you, subject to these Terms and Conditions (the Terms ), which may be updated by us from time to time without notice to you. You can review the most current version of the Terms at any time at In addition, when using particular MasterCard SecureCode and/or Verified by Visa services, you shall be subject to any posted guidelines or rules applicable to MasterCard SecureCode and/or Verified by Visa that may be posted from time to time at the same web site You agree that creation of a MasterCard SecureCode and/or Verified by Visa password for you, and/or use of the Services by you will represent your acceptance of these terms and conditions and that continued use of the Services after you have been advised of revisions to these Terms shall constitute your agreement to such revised terms and any applicable posted guidelines or rules Unless explicitly stated otherwise, any new features that augment or enhance the Services shall be subject to this Agreement We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice Upon our request, you agree to sign a non-electronic version of these Terms You understand and agree that, except as otherwise required by any applicable law, we make no representations or warranties of any kind, express or implied, including any warranties as to merchantability or fitness for a particular purpose. Applicable law may not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

2 2. DESCRIPTION OF MASTERCARD SECURECODE/VERIFIED BY VISA The Services provide you with a way of increasing security in online transactions by reducing the chances of fraud for those transactions. Registering for the Services involves providing personal information to us, which is then used to confirm your identity in connection with future online transactions. The Services may also be used to help resolve any transaction disputes. Your Registration Data, as defined in Section 3.2, and other personal information are not shared with the online retail merchant. 3. YOUR REGISTRATION OBLIGATIONS 3.1. By signing up for the Services, you authorise us to retain certain information about you and your credit cards, and to use and retain this information in accordance with our Privacy Policy (see Section 5 below). Your information will be associated with a unique identifier for you (your credit card and your login name) You agree to (a) provide true, accurate, current and complete information about yourself as prompted by the registration form for the Services (Registration Data), and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any Registration Data that is untrue, inaccurate, not current or incomplete, or if we have reasonable grounds to suspect that your Registration Data is untrue, inaccurate, not current or incomplete, we have the right to suspend, terminate, or refuse your current or future use of the Services. 4. REGISTRATION 4.1. In order to use the Services, you must provide certain information to us that will allow us to validate your identity and verify that you are the owner of or an authorised user on the account. The information that you provide will be validated against information that we already have on file that is associated with your account, or it may be validated against information maintained by an independent third party If you are unable to provide adequate information for us to validate your identity, we have the right to not allow you to register for the Services. You warrant that the information is correct and that you have the legal right to use all of the credit cards that you register for the Services. Your participation, or failure to participate, does not affect your credit card account status. The Services also may be used to help resolve transaction disputes In order to use the Services, you must have the ability to access the World Wide Web and must pay any service fees associated with such access. In addition, you must have the equipment necessary to make such a connection to the World Wide Web, including a computer and modem or other access device In the event you have a question regarding the registration process for the Services or a transaction using the Services, you should direct that question to our customer service department. 5. PRIVACY POLICY 5.1. The MasterCard SecureCode and/or Verified by Visa service stores your Registration Data. Your Registration Data will not be shared with online retail merchants.

Your Registration Data will, subject to the other provisions of these Terms, only be used by us to validate your identity and verify that you are the owner of or an authorised user on the relevant account. 5.3 You acknowledge and agree that we may keep your Registration Data and also may disclose your Registration Data if (a) required to do so by Applicable Law, as defined in Section 7.9, in the good faith belief that such disclosure is permitted by Applicable Law, or as reasonably necessary to comply with legal process: or (b) if required to do so to provide services pursuant to, and/or enforce this agreement. 5.4 Registration Data and all personally identifying information about you is held and used by us subject to our Privacy Policy. CARDHOLDER PASSWORD AND SECURITY You are solely responsible for maintaining the confidentiality of your password, Registration Data and other verification information established by you with us for the Services, and for all activities that occur using your password whether or not authorised by you, Registration Data or other verification information supplied to or established by you with us for the Services. You agree not to transfer or sell your use of, or access to, the Services to any third party. You agree to immediately notify us of any unauthorized use of your password or other verification information, or any other breach of security. You acknowledge and agree that, except as otherwise provided by applicable law, we shall not be liable for any loss or damage arising from your failure to comply with these Terms. 7. YOUR CONDUCT You agree not to: 7.1. create a false identity or otherwise attempt to mislead others as to your identity, or impersonate any person or entity using the Services upload, post, or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment used by the Services spam or flood our and/or the MasterCard SecureCode and/or Verified by Visa websites or service modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of our and/or the MasterCard SecureCode/Verified by Visa website or service or the Software, as defined in Section remove any copyright, trademark, or other proprietary rights notices or elements contained in MasterCard SecureCode/ Verified by Visa "frame" or "mirror" any part of our and/or the MasterCard SecureCode and/or Verified by Visa websites or service without our prior written authorization use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, "data mine", or in any way reproduce or circumvent the navigational

4 structure or presentation of our and/or the MasterCard SecureCode and/or Verified by Visa websites or service or its contents otherwise interfere with, or disrupt, or access our and/or the MasterCard SecureCode and/or Verified by Visa websites, services and/or servers or networks connected to our and/or MasterCard SecureCode/Verified by Visa websites, or violate these Terms or any of our requirements, procedures, policies or regulations or those of the Services or of any networks connected to us and/or MasterCard SecureCode and/or Verified by Visa; or 7.9. intentionally or unintentionally violate any applicable local, national or international statutes, regulations, regulatory guidelines and judicial or administrative interpretations, or any rules or requirements established by us and/or any payment schemes such as Visa and MasterCard (all of which shall constitute Applicable Law) in connection with your use of the Services. 8. LIABILITY 8.1. You agree that we shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Services Under no circumstances will we be liable for direct, indirect, consequential, incidental, special or indirect losses or other damages, such as loss of profit and/or any damage to your computer or telephone service resulting from your use of the Services We assume no responsibility for, and will not be liable for, any damages to, or any viruses which may affect, your computer equipment or other property on account of your access to, use of, or downloading from, our website. 9. TERMINATION 9.1. In the unlikely event that you want to end your ability to use the Services, please contact our Customer Service Department, who will assist you. Any purchases you made using the Services prior to deactivation will not be affected We may temporarily or permanently deactivate your ability to use the Services and terminate your relationship with us at any time, with or without fault on your part. 10. DEALINGS WITH MERCHANTS Your correspondence or business dealings with, or participation in promotions of, online retail merchants on or through the Services, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such merchant. We shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. You understand that use of the Services does not, in any way, indicate that we recommend or endorse any merchant, regardless of whether the merchant participates in the MasterCard SecureCode and/or Verified by Visa service. For example, the Services do not verify the identity of the merchant or the quality of the merchant's goods or services. You also hereby agree and acknowledge that if, when using the Services to make online purchases, you fail to correctly identify yourself in accordance with the identification procedures for the use of the Services detailed on our website, that you shall not be able to utilise the Services to complete that online transaction. 11. MASTERCARD SECURECODE AND VERIFIED BY VISA PROPRIETARY RIGHTS

You acknowledge and agree that the Services and any necessary software used in connection with them (Software), and all content contained on our and the MasterCard SecureCode and/or Verified by Visa websites, in sponsor advertisements or in s distributed by us (Contents) contain proprietary and confidential information that is protected by applicable intellectual property and other Applicable Laws. You acknowledge and agree that you do not acquire any ownership rights in the Software or Contents and that we and/or Visa and/or MasterCard (as the case may be) retain all right, title, and interest in, and to, the Software and/or the Content and all intellectual property rights to the Software and/or the Content. You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on MasterCard SecureCode or Verified by Visa or the Software and/or the Content, in whole or in part We are providing you a personal, nonexclusive, non-transferable, restricted license to use the Services and any related software, and any future upgrades we elect to provide, in accordance with the terms and conditions of these Terms Danske Bank is a trademark of Danske Bank A/S. You agree not to display, alter or use in any manner, the trademark of Danske Bank, without our prior written permission. MasterCard SecureCode and Verified by Visa, and MasterCard SecureCode and Verified by Visa logos, products and names are trademarks of Visa and MasterCard (the Marks). You agree not to display, alter or use in any manner the Marks, without prior written permission from Visa and/or MasterCard. 12. DISCLAIMER OF WARRANTIES You expressly understand and agree that any software obtained through the use of the Services is downloaded and used at your own discretion and risk and that except as otherwise provided in these Terms, you will be solely responsible for any damage to your computer system or loss of data that results from the download or use of any such software or other materials through the Services For the software and services provided through our and/or the MasterCard SecureCode and/or Verified by Visa websites, to the fullest extent permitted by applicable law we expressly disclaim all warranties and conditions, express or implied, including, but not limited to, implied warranties and conditions of merchantability, merchantable quality, correspondence to description, fitness for a particular purpose, and non-infringement. We do not represent or warrant that the software or services will be uninterrupted or error-free, that defects will be corrected, or that the software or our and/or the MasterCard SecureCode and/or /Verified by Visa websites, or the service that makes the Services available are free of viruses or other harmful components. We do not warrant or represent that the services available through our and/or the MasterCard SecureCode and/or Verified by Visa websites or from third parties will be correct, accurate, timely, reliable or otherwise. Applicable Law may not allow the exclusion of implied warranties, so certain of the above exclusions may not apply to you. 13. NOTICE Notices to you may be made by regular mail to any address you have provided to us in connection with your accounts with us. You also may be notified of changes to these Terms or other matters by notices displayed on or links to notices displayed on GENERAL INFORMATION

These Terms constitute the entire agreement between you and us regarding your use of the Services and governs your use of them, superseding any prior agreements between you and us regarding your use of them, provided however that nothing herein shall be deemed to, or shall constitute a waiver or amendment of the terms and conditions of use entered into by you with us in relation to your use of your Danske Bank credit card These Terms and the relationship between you and Danske Bank shall be governed by the laws of Ireland. You agree to submit to the non-exclusive jurisdiction of the Irish courts Any failure of ours to exercise or enforce any right or provision of these terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms shall remain in full force and effect You agree to indemnify and hold harmless Danske Bank, and our subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, from any claim or demand, including reasonable attorneys' fees, made by any third party due to, or arising out of, Registration Data you submit, post to or transmit through MasterCard SecureCode and/or Verified by Visa, your use of the Services, your connection to the Services, or your violation of these Terms or Applicable Law. 15. AGE AND RESPONSIBILITY You represent that you are of sufficient legal age to use the Services and to create binding legal obligations for any liability you may incur as a result of the use of the Services. You understand that you are financially responsible for all uses of the Services by you and those authorized by you to use your Registration Data, your password or other verification information.
