1 NUNA ENERGY CORPORATION An Aboriginal Waste to Energy Company Project Team Corporate Profile General The Nuna Energy Project Team ( NEC ) is an environmental and renewable energy development company that privately finances, designs, constructs and operates facilities which process solid waste and generates electricity, using a clean and environmentally responsible patented gasification technology. We are a group focused on renewable energy, waste derived energy and conservation of energy. We perform substantial research and development, and assist both government and private interests achieve economically beneficial and environmentally positive renewable energy projects that work. We operate on the assumption that society and social groupings do not easily change behaviour. Our technologies and operations fall within this framework and must fit into existing paradigms. Our vision is to produce environmentally, socially and economically responsible energy generation sources; our efficient thermo-oxidization systems can produce power competitively from biomass and municipal solid waste (MSW), and allows municipalities and waste water treatment facilities to convert sludge into heat, electricity and dry ash with a positive economic return. By converting waste streams into energy, we substantially reduce green house gases and the pollution associated with landfill operations. (Environment and Carbon Finance) (CEA) The Group has extensive experience in full spectrum of planning, design, engineering, construction and management services to diversified industries, developers, utilities, and government agencies.

2 We offer the complete range of services necessary to perform major engineering, procurement, and construction contracts. These services include economic and feasibility studies, conceptual designs & technical development, project management, detail engineering, procurement of equipment and materials, construction, start-up, performance testing and operator training, permitting, regulatory compliance, and various technical assessments. The Group also has an in-house inventor who has been intimately involved with gasification systems and combustion technology for over 30 years, and is the inventor of the original Ecology Wet Cell Gasification unit, known as the EnvirOcycler. The original machine designed by our inventor set the stage for the current new generation EnvirOcycler. He is the inventor of record on the patent for the highly effective grate system, and has a unique understanding of the system and its performance. This provides the Group with the confidence that commissioning will be executed without any surprises. Our inventor will be personally involved in the commissioning and start-up of each of our EnvirOcycler projects. The availability of technical and management expertise allows the integration of different disciplines and functions into a smoothly operating team, which in turn enhances its problem solving capability. Project services offered by the Group include: Project Management Environmental Permitting and Air Quality Assessments Engineering and Design Estimating Cost and Schedule Control Procurement Construction Management Financing Carbon Finance Project Management The Group utilizes its project management system to execute design, engineering, procurement, and construction of projects within the framework set by our clients requirements. Our concept of project management reduces overall project costs, meeting or improving schedules, assuring reliable operations, and providing predictable performance of the completed project. We are a matrix organization in which the project manager assumes total responsibility for the project utilizing the expertise of various engineering, procurement, construction, and related service disciplines. The project manager is responsible for directing the coordinated efforts of these disciplines to fulfil the contractual commitment to

3 our client. At the same time, the project manager also serves as liaison to the respective project director in our client organization. The Group project manager has total responsibility for organizing and directing project personnel as a dynamic and cohesive team whose single purpose is to successfully complete the project. Day-to-day knowledge of all phases of the work and awareness of factors influencing the project team s progress enable the project manager to plan the most effective application of our resources to achieve the desired project objective. Environmental Permitting and Air Quality Evaluations The Group provides consulting services in environmental reporting and permitting. These services are performed for all levels of government and private industry. Our services include special studies in the areas of biological and cultural resources, engineering, socioeconomic and preparation of regulatory documents for permitting. Our Group works with its clients to procure discretionary permits for land use and air emissions. Project involvement ranges from simple regulatory consultation to total implementation including site selection assistance, permitting strategy, design consultation, documentation, and permit application and acquisition. Depending on the specific requirements of each project, our involvement typically includes coordination with national and local planning authorities, building and safety agencies, and agencies responsible for waste treatment and disposal. The Group services include cogeneration and renewable power plant permitting, and works closely with clients to obtain all necessary project permits. We firmly believe that it is good practice to initiate contact and dialogue with the appropriate governmental agencies early in the project. While using preliminary information and applicable agency standards during the inception of the project, we promptly initiate the necessary permitting process so that timely feedback can be obtained. This type of expeditious permitting activity has a very positive cost and schedule impact on the overall project effort. Initiation of permitting activities includes such items as environmental impact assessments, land use permits (such as conditional use permits and zoning variances), and permits for the Authority to Construct or Permits to Operate. Air quality evaluations can be conducted for the purpose of determining baseline conditions (to estimate the impact of a proposed action), quantifying the impact associated with a particular project (in terms of emissions of the criteria pollutants), and evaluating the net increase/decrease against applicable air quality standards. These evaluations consist of the characterization of the baseline environmental setting, quantification of the construction and operational air emissions, estimation of the specific environmental impacts of the project from the baseline, and identification of appropriate mitigation measures (including control technology and mitigation monitoring). Local air quality levels are compared to the appropriate state, provincial or national ambient air quality standards.

4 Engineering and Design The Group provides design services for renewable power plant engineering and design including: Engineering (mechanical, civil, plant design, electrical, instrumentation and controls); Computer programs to assist in the design and evaluation of critical plant systems; Technical reference documents, studies, and past designs; Information feedback and data to optimize operational and design performance on equipment and systems; Procedures for engineering design, construction, procurement, quality assurance, document control, project cost and schedule control. Estimating The Group provides accurate estimates of the project costs by experienced civil, structural, mechanical, and electrical estimators using their database of equipment and material pricing and labour productivity rates. The data base is continuously updated through feedback from existing projects, published materials and equipment pricing data, and vendor-supplied quotations. Cost and Schedule Control The successful execution of major projects requires careful coordination to provide the proper flow of design and materials to a site, and proper sequencing of construction and start-up activities. Fundamental to this coordination are the development of a project plan, operating policies, procedures, responsibility assignments, and the scope of work segments. Equally essential is the implementation of a project control system to provide consistent and accurate project progress reports for the client and the project management group. After project and client requirements are identified and program selections made, they are assembled into an integrated project control system. In general, our control system consists of a mutually agreed-upon Project plan that typically includes a project design or scope book, a corresponding baseline budget and milestone schedule, as stated below: A work breakdown structure to aid the control and reporting of project costs; A detailed budget that allocates project costs to the work breakdown structure; A detailed schedule that supports the milestone schedule; A monitoring plan that continually measures the cost and schedule variances against the detail budget and schedule;

5 Cost and schedule control programs that identify deviations, and to analyze resources such as labour, materials, and construction equipment; An action program to revise and forecast schedules and costs to reflect project actions, anticipate and correct project-related problems, and to take advantage of project-related opportunities. Procurement The Group offers a full line of procurement services including: Purchase of equipment, materials, and services directly for the client from a qualified bidders list; Equipment delivery lead time surveys; Preparation of bid packages and solicitation of bids; Bid evaluations, negotiation with selected bidders and award of purchase orders and subcontracts; Administration of purchase orders; Inspection services of supplier quality; Expediting services; Procurement tracking services from issuance of bid to delivery at the job site; and Material receiving and warehousing. Construction Management The Group is capable of completing projects on a turnkey basis in partnership with a construction subcontractor. Alternatively, we are willing to provide construction management in conjunction with our engineering and procurement services. Our capabilities include: Planning the overall construction process, manpower requirements, and reporting; Monitoring and reporting construction progress; Implementing a construction quality control program for conformance with specifications; Effectively managing subcontracts; Coordinating equipment and material deliveries to support construction requirements; Implementing an effective safety program; Organizing the construction effort to support start-up, pre-operations, and testing;

6 Monitoring and/or administering labour productivity improvement programs. Financing We propose to build, own and operate the solid waste processing and electricity generating facility to commensurate with the needs of our clients that includes municipal, state, provincial and national governments. A traditional non-recourse project financing structure and plan would be implemented. The Group has the experience necessary to structure the project to obtain all required financing. Therefore, the project team is financially capable of developing the project and its members are capable of guaranteeing their respective roles. We are currently in renewable energy project developments worth approximately $1.2 billion in three continents. Carbon Finance The Group has the capacity to develop the necessary documentation to register eligible projects for carbon credits under the Clean Development Mechanism (CDM) under the Kyoto Protocol. Even with the onset of 2012, the end of the Kyoto Protocol, there is the strong likelihood of the continuation of the carbon market after The Group is capable managing the process for registering CDM-eligible projects and has a network of entities willing to purchase certified emissions reductions (CERs) from the project.
