1 REPEAT ROSES : SERVICE TERMS & CONDITIONS * last updated 5/15/15 ACCEPTABLE FORMS OF PAYMENT: Visa, MasterCard, American Express via Stripe at Payment in full is required at time of event reservation for all services. If there is a BALANCE DUE for additional services, it will be charged upon completion of Service. APPLICABLE SERVICE CHARGES: 1. Premium - The Premium Concierge Service fee is $350. Includes all pre-event coordination with you (and/or your venue, event planner or florist), collection, recycling, refreshing and delivery to the destination as well as proof of delivery and tax receipt facilitation (when applicable). 2. Platinum - The Platinum Concierge Service fee is $495. Includes all pre-event coordination with you (and/or your venue, event planner or florist), collection, recycling, refreshing and delivery to destination as well as proof of delivery and tax receipt facilitation (when applicable). Platinum Service also includes Compost Recovery service where available. Repeat Roses will return to the delivery destination to collect all of the expired organic floral waste to deliver to a local composting facility, while leftover glass vases and plastic containers will be recycled appropriately to insure a zerowaste process and sustainable experience. 3. An additional charge of $145 will be applied should donor add Compost Recovery service to a previous Premium registration within 2 weeks of event. Adding Compost Recovery may not be feasible without 2 weeks notice. 4. Miscellaneous: There may be additional charges added to cover the additional expenses of transportation and fuel, proposal revisions, etc. as follows: VOLUME: For events with more than 20 main reception arrangements or large display arrangements that require significant dismantling, each additional arrangement will be charged $10. CONTAINERS: We will work with your florist in advance of your event to confirm that the containers are appropriate for donation or your flower arrangements are in removable, recyclable plastic trays in order to insure a seamless transition to the destination point. If we have to provide containers, there will be an additional surcharge based on circumstances. DISTANCE: Should your event be located beyond the 30 mile driving range from the assigned delivery point, Repeat Roses reserves the right to assess an additional mileage charge of $0.575/mile.

2 5. COLLECTION TIMING: Repeat Roses will work with you and the venue to coordinate the most efficient collection time in accordance with the most appropriate delivery destination time. All efforts will be made to accommodate all parties schedules. In an event that a mutually agreed upon collection time cannot be determined for the day of the event, Repeat Roses will suggest an alternative time, typically for the immediate following morning and no later than within 24 hours. OVERTIME: There will be an additional charge of $45.00 per hour per Repeat Roses representative for anyone required to stay at your function past the event conclusion stated on your service agreement in order to provide agreed upon recycling service. CANCEL/POSTPONE EVENT: In the case of a postponement, we ask that you contact us as soon as possible so that we can work with you to make new arrangements for your service. Additional fees may apply. If your event is canceled 4 weeks or more to the scheduled date, you will receive a 90% refund. If your event is canceled with less than 30 days notice, you will receive a 75% refund. If your event is canceled with less than 48 hours notice, you will receive a 50% refund. To consider a date change, Repeat Roses must first receive a written release via of the current contracted date, which will render this contract null and void. Should you need to change the event date, all monies paid will transfer to the new date per a newly written and signed contract if that date is available for Repeat Roses. The new date must be within nine months of the original date or the new contract will be subject to Repeat Roses current rates. If the new date is unavailable with Repeat Roses, the contract will be cancelled and all monies paid become liquidated damages. LIABILITY: Repeat Roses may not be held liable for or subject to damages for failure to provide services due to negligence, carelessness, accident, or other avoidable or unavoidable action mentioned or unmentioned by any other individual or any other service agency necessary in performing the functions set forth in this contract. Repeat Roses takes utmost care with respect to the quality of service provided and ability to communicate clear instructions and plans with the venue point of pickup. However, in the event a Repeat Roses representatives or contractors fails to comply with the terms of this contract, due to any event or act outside his/her control, liability is limited to the refund of all monies paid only. Repeat Roses will not accept liability for uncollected flower arrangements if you (and/or your assigned venue representative) do not meet the time schedule and agreed upon collection plan determined before the event.

3 COMMUNICATION: Repeat Roses will communicate with you to gather points of contact info with only necessary vendors in order to coordinate pertinent details. We do not share your information with any third parties. COLLECTION SERVICE: Repeat Roses will not be liable for breakage or damage to florist s rental equipment by the event attendees or host s subcontractors. Negligence, damage or loss of more than minimal breakage or damage to rental equipment will be your responsibility. Additionally, during the process of collecting the flower arrangements, Repeat Roses will take every precaution to avoid any mishaps that may occur if our representatives are involved in transporting the flower arrangements to the vehicle. However, our representatives assume no responsibility for damage that may result from such undertakings. Repeat Roses representatives will park where assigned by the venue; enter the venue site as directed at the conclusion of the event; and use directed entry and exit ways. In the case of an outdoor event, the parties hereto have been informed by Repeat Roses and understand that the vehicle, which is used for the arrangement collection, may be required to drive over grass to access the event site and that tire ruts may occur through the access area. Should the aforementioned occur, the parties agree that Repeat Roses shall be released from any claims, demands, or actions arising out of damages to the event site unless caused by the negligent act or omission of Repeat Roses representatives. CONDITION OF FLOWERS: Repeat Roses is not responsible for the condition of the flowers at the end of your event. Should there be damage due to heat, cold, sunlight, rain, weather conditions, guest interference, transport to vehicle, transport from vehicle to destination, etc., Repeat Roses will do their best to ensure that the flowers look presentable for delivery. TIME FRAME Preferred time range is six (6) months in advance of event; and one (1) month in advance of event minimum to reserve the date. ADDITIONAL FEES may be charged for reservations made less than 1 month in advance of $150.

4 SELECTION OF DESTINATION: Repeat Roses will make every effort to honor your request for a specific non-profit organization destination; however, we reserve the right to choose and assign a destination with residents/circumstances presenting the most need, the closest delivery distance, etc. Please note: tax receipts are not available from all destinations. FACILITATION OF TAX RECEIPT: While Repeat Roses will provide the donor with a tax receipt from the non-profit organization recipient (when applicable), we make no guarantee your donation will be tax deductible. Please consult with a qualified tax advisor for your specific tax implications of donating. RECYCLING OF ORGANIC AND NON-ORGANIC WASTE: Repeat Roses will make every effort to recycle all non-organic waste and compost all organic waste in an appropriate manner in respect to our carbon footprint. Should it be determined that a compost facility is out of our driving range, we will advise you of alternative composting and recycling options. HOUSE RULES: Repeat Roses representatives are limited by the guidelines of the event site management. You agree to accept the technical results of the imposition of those rules on our representatives responsible for collecting the flowers. Negotiation with the officials for moderation of guidelines is your responsibility; Repeat Roses will offer logistic recommendations only. RIGHT OF WITHDRAWAL: Repeat Roses discovery of new information, changes, or other factors tending to circumvent its policies could result in its withdrawal. Non-cooperation; changes of locations, facilities or times available; unreturned or phone call communication; returned electronic payments, or late payments are examples of contributing factors. Should Repeat Roses initiate the withdrawal, all fees and retainers will be returned to you, with the exception of fair market value for all services/products already provided. In case of withdrawal, $75 an hour is billed for all coordination services already provided, and $35 an hour is billed for all other services, consultations, and all driving time, rounded up to the nearest hour. If Repeat Roses withdraws, you will not be billed for any services in excess of your deposits.

5 USAGE OF PICKUP AND DELIVERY CONFIRMATION IMAGES: The photographs and/or digital images produced by Repeat Roses to confirm pickup and delivery of floral arrangements are protected by Federal Copyright Law and may not be reproduced in any manner without the explicit written permission of Repeat Roses. Repeat Roses and you shall have the right to use the contracted images as follows: Use by you: Parties agree that you may use the images created hereunder for (1) any personal, non-commercial purpose including display on personal websites. You will not permit or assist in any commercial use or sale of the images without specific consent of Repeat Roses. Upon the release of the digital files to you, you may reproduce the images at will and with no restrictions for personal use. Use by Repeat Roses: Parties agree that Repeat Roses is hereby granted the irrevocable and unrestricted right to reproduce, publish, exhibit, and otherwise use the images created hereunder for illustration, promotion, art, competitions, editorial, trade, advertising and any other purpose and in any manner and medium; to alter the same without restriction; and to copyright the same. Any such use shall be judicious and consistent with the highest standards of taste and judgment. You hereby release Repeat Roses and your legal representatives and assigns from all claims and liability relating to said photographs. You waive any right to inspect or approve the finished product or products and the advertising copy or other matter that may be used in connection therewith or the use to which it may be applied. PERFORMANCE: The performance of this contract on behalf of Repeat Roses shall be contingent upon acts of God, flood, fire, warfare, government laws or regulations, electrical failure, strikes by suppliers, and/or conditions beyond its control. SEVERABILITY: If any provision of this agreement is held to be invalid or unenforceable under the law, the validity of this agreement as a whole shall not be affected, and the other provisions of the agreement shall remain in full force and effect. AMENDMENTS: This contract has been freely negotiated and shall be recognized as the entirety of the agreement, and only those changes or modifications specifically placed in writing, attached, signed and dated by you and the photographer at the time of this contract s signing shall be recognized as amendments to this contract.

6 This quotation is subject to a proportionate increase in price to meet increased market costs of the composting service and transportation. CONFIRMATION OF EVENT DETAILS: It is agreed that the guaranteed arrangement count will be given ten (10) business days in advance of the scheduled event. If Repeat Roses is not contacted within ten (10) business days, the planned number of arrangements will become the guaranteed and invoiced count. Guaranteed arrangement counts are not subject to a reduction. If the actual count is greater than the guaranteed number of arrangements, charges will be incurred on the number arrangements collected. By placing your service order online, you are reserving your event date for the selected services and hereto agree that in the event you do not pay Repeat Roses in accordance with the terms of the contract as specified and Repeat Roses employs legal counsel to assist in the collection of any amounts outstanding, Repeat Roses shall be entitled to collect, in addition to the amounts owed under the contract, reasonable attorney s fees, costs of collection, and pre-judgment interest on the unpaid balance. ACCEPTANCE OF TERMS: By registering your event for the Service, you accept this Agreement and agree to the terms, conditions and notices contained or referenced herein and consent to have this Agreement and all notices provided to you in electronic form. To withdraw this consent, you must cease using the Service. Please print a copy of this Agreement for your records. The Company may modify this Agreement from time to time, such modifications to be effective upon posting by the Company in the Service. If you do not agree with these Terms you are advised not to use the Service.
