1 Ready Made RC, LLC Wholesale Checklist and Application We offer wholesale prices for many of our products for companies that qualify. The criteria for qualification are different for FPV specific equipment compared to standard R/C hobby equipment. The technical aspects of FPV equipment requires a higher level of technical knowledge, and the regulatory aspects do raise the bar regarding how the equipment can be sold and to whom it can be sold. For basic R/C equipment such as aircraft and standard R/C supplies, the following minimum requirements must be applied: Requirements for a Standard Hobby Shop with Storefront You must meet all of the following criteria: Your business is a storefront operation in a commercially-zoned business area. This business operates on a full-time basis (open a minimum of 5 days and 45 hours per week). You follow our Purchasing and Minimum Advertised Pricing Policy (MAP). You must be able to supply: o All the information in the application below o Three current pictures representative of your store's hobby inventory. o One picture of your storefront and surrounding location. o One picture of your business sign. o A copy of your state retail tax certificate. o Any location other than a conventional business district, strip center or mall will require additional documentation (i.e. photos of area, certification of zoning/conforming use permits, special explanations, etc.). Requirements for E-Retailers and Catalog Vendors You must meet all the following criteria: Your business is located in a commercially zoned business area (residential not allowed). Your business operates on a full-time basis. You follow Purchasing and Minimum Advertised Pricing Policy (MAP). You have a verifiable, established website. You place a minimum order (quantity and dollar to be determined based on products purchased). You must be able to supply: o All the information in the application below o One picture of your business location and surrounding area. o Two pictures of your existing inventory, hobby inventory in particular. o A copy of your state retail tax certificate or resale certificate. 2 For OEM (Original Equipment Manufacturers) You must meet the following criteria: Your business is located in a commercially zoned business area (residential not allowed). Your business operates on a full-time basis. You have an established, verifiable website. You follow Purchasing and Minimum Advertised Pricing Policy (MAP). You place a minimum order (quantity and dollar to be determined based on product used). You agree that any purchases are to be used as component parts for assembled products and are not for resale as individual items. You must be able to supply: o All the information in the application below o One picture of your business location and surrounding area. o An explanation of how item(s) purchased will be used in manufacturing your product. o A copy of your state tax exemption certificate. For FPV equipment (video equipment), the criteria are significantly higher. Because of the amateur radio restrictions relating to FPV equipment, WE DO NOT SELL FPV EQUIPMENT TO STANDARD HOBBYSHOPS WITH A STOREFRONT. ADDITIONAL REQUIREMENTS FOR FPV EQUIPMENT: You must meet the following criteria: You must meet all of the criteria for standard R/C equipment listed in the above section. You must be a WELL established online retailer, with a well-known track record to prove the technical knowledge and expertise with FPV equipment. You must show that you have a full understanding of the legal requirements for the sale of FPV equipment, both regarding regulations associated with the wireless technology, and restrictions and regulations regarding the use of model aircraft in the airspace. Ready Made RC, LLC cannot offer advice or direction regarding these regulations, you must show that you have a full understanding in advance. You must show that you have been selling FPV equipment for at least 2 years, with a proven track record of good customer support. Ready Made RC, LLC reserves the right to make exceptions to any of these restrictions, and we reserve the right to refuse wholesale accounts based on reports of poor customer service. Wholesale account holders can choose to sell the products at any price they wish, but failure to abide by MAP (Suggested Minimum Advertised Pricing) will result in revocation of wholesale purchasing privileges. 5 Home Address Customer hereby acknowledges that the information contained in this application is correct. Merchandise purchased from Ready Made RC, LLC. is for retail sale only and will not be redistributed to individuals or entities for resale. Customer agrees to maintain the integrity of company products and warranty by not altering or parting out product for sale or resale. Customer also must provide in writing names of any websites, auction or sale site id s or fictitious business names used in the sale of products and keep this list current. Should the information provided on this application change at any time, Customer will notify Ready Made RC, LLC. in writing of such change prior to or immediately upon such change, acknowledging that their account might be subject to re-approval and that such action may include submission of new application, new pictures, new lease verification, and verification of a current state sales and use tax certificate and federal tax identification number. Customer hereby agrees to the terms as noted in this document, and agrees to pay the total amount due prior to the shipment of products. Should a change in business status occur (e.g. changes from sole proprietorship or partnership to LLC, LLP or Corporation), Customer shall notify Ready Made RC, LLC immediately and submit a new application for wholesale purchasing prior to placing a new order. Ready Made RC, LLC chooses to distribute our products exclusively through dealers who support our MAP policy by advertising at or above minimum advertised price on all items with designated MAPs (policy outlined on the next page) Signature Title Date Signature Title Date Signature Title Date Page 5 of 6

6 Purchasing and Minimum Advertised Pricing Policy (MAP) Wholesale account holders are free to charge whatever price they wish, but to continue to purchase items at wholesale prices form Ready Made RC, LLC, they must adhere to the following policies: Items cannot be sold for less than what they are currently listed for on the Ready Made RC, LLC web page or the MAP price as listed on any supplied price lists (or the equivalent if in different currency). It is the purchasing vendor's responsibility to make sure that if prices change or exchange rates change that the prices are adjusted accordingly. If various options are available for a product, wholesale orders must be made using the default options since other options are not necessarily priced correctly for wholesale purchasing. Products cannot be divided and sold as separate components. Products cannot be combined and sold at a price less than the sum of the MAP prices for each item, or include additional free items that give the customer additional value. Items cannot be sold with a lower add to cart price, or with additional discounts offered with coupon codes, or any other discount method. Each individual order using a wholesale account must be $500 or greater. Some items might have minimum order requirements specific for those items. If there are labels with the Ready Made RC, LLC name and/or logo, or other manufacturer logos on products, they must remain on the product. Products cannot be re-labeled with any other brand name. All orders must be paid in advance. Page 6 of 6
