1 Logo Agreement Apple s Logo Trademark License Agreement This Logo Trademark License Agreement ( Agreement ) is entered into by and between Apple Computer, Inc. at 1 Infinite Loop, Cupertino, California 95014, USA ( Apple ) and the company listed below ( Licensee ) and is effective as of the date of confirmed approval by Apple of this Agreement ( Effective Date ). Subject to the terms of this Agreement, Apple grants Licensee a limited, non-exclusive, nontransferable, royalty-free licensee to use Apple s trademark and logo ( Logo ) only in connection with a product that is compatible with Apple s OS system software version 10.0 or later as verified by Apple by operating without error in Apple s OS application environment (version 10.0 or later) with no dependence on the Classic environment ( Product ). 2. Licensee s use of the Logo will be in strict compliances with the Logo Usage Guidelines, found at which may be amended from time to time. 3. Each version of each Product that uses the Logo must be compatible with Apple's OS system software version 10.0 or later and in full compliance with the terms of this Agreement. SWL

2 Logo Agreement 4. Apple can list the name of Licensee as a company (or your name, if an individual) in an index of products that work with Apple s intosh computers. 5. Apple has no obligation to provide any type of support for Licensee s Product. 6. So that users may identify the OS application environment(s) in which the Product operates, the following wording shall be included in the Product s System Requirements or other section detailing requirements for Product functionality: For Products that operate on OS 8.1 through 9.x and also operate natively on OS, the wording used should be: Requires OS [insert appropriate version(s)]; built for OS. For Products that only operate natively in OS, the wording used should be: Requires OS v10.x. Products which operate in OS only in the Classic environment are not eligible for use with the Logo. 7. Upon Apple s request, Licensee shall supply Apple, at no cost and with no obligation to return, suitable specimens of its use of the Logo to verify Licensee s compliance with this Agreement. 8. Apple shall remain the exclusive owner of the Logo. Licensee s use of the Logo shall exclusively inure to the benefit of Apple. Licensee will not do anything to compromise Apple s rights in and to the the Logo, such as filing any identical or confusingly similar trademark applications anywhere in the world, now or in the future. 9. THE MAC LOGO IS PROVIDED TO LICENSEE ON AN AS IS BASIS AND LICENSEE IS SOLELY RESPONSIBLE FOR ITS USE OF THE MAC LOGO. APPLE DISCLAIMS ALL WARRANTIES REGARDING THE MAC LOGO, INCLUDING WARRANTIES OF NON-INFRINGEMENT. APPLE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO LICENSEE S USE OF THE MAC LOGO, OR TERMINATION OF THIS AGREEMENT. 10. Licensee will defend, indemnify and hold harmless Apple against all losses, liability, and/or expense (including reasonable legal fees) arising out of any claims or suits, whatever their nature and however arising, which may be brought or made against Apple because of Licensee s use of the Logo in any manner except as expressly permitted by this License, or for any personal injury, product liability or other claim arising from the production, promotion, distribution, sale and/or offer for sale, and/or the performance of your Product. 11. This Agreement is valid for one (1) year from the effective date of execution, unless otherwise terminated as per the provisions noted below. In order to renew this Agreement for an additional year, Licensee must submit a written request within thirty(30) days prior to the Agreement s expiration. SWL

3 Logo Agreement 12. This Agreement shall terminate automatically upon Licensee s breach of any of the terms of this Agreement. This Agreement is revocable at will by Apple at Apple s sole discretion. However, in the event Apple revokes Licensee s right to use the Logo, Licensee may, except in the event that the Logo is subject of a claim of infringement, deplete existing inventory, provided it is in compliance with the terms of this Agreement. 13. This Agreement shall be governed by the laws of the State of California without regard to or application of choice of law rules or principles, and controlling U.S. federal law. Any proceedings arising out of this Agreement shall take place in the United States District Court for the Northern District of California or the California Superior Court for the County of Santa Clara. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law, all remaining provisions of this license will remain in full force and effect. 14. Licensee shall inform Apple in writing of any change in Licensee's physical or electronic address to the Austin, Texas address at the end of the Agreement. 15. The terms of this Agreement are the entire and final understanding between Licensee and Apple concerning the Logo. If Licensee agrees to the terms of this Agreement, please complete the product information requested above and return one originally signed copy of this agreement in its entirety by post to the address below (faxes or electronic submissions not accepted). Licensee will then be able to download the Logo from Apple s web site and use it in accordance with the terms of the Guidelines. 4 Logo Guidelines The logo has long been an essential icon for enabling customers to identify compatible hardware and software products. Overview Extraordinary technological innovation, cutting-edge product design, and legendary ease of use have made the intosh operating system ( OS) the platform of choice for people all over the world who seek the nest in technology. The continued effectiveness of the logo depends on its consistent use whenever it appears on communications. These guidelines will help you use the logo correctly on packaging, advertising, websites, and other marketing communications. You must follow these guidelines whenever the logo is used. OS versions The logo is designed to enable easy identi cation of software products and peripherals developed speci cally to run on OS and take advantage of its advanced features. To clearly designate your product s compatibility, identify the compatible OS version numbers in the technical speci cations listed on the product package or other product communication. Do not add version names or numbers to the logo. If you wish to clarify that your product works in both OS 9 and OS, you can identify all compatible version numbers in the product technical speci cations. You cannot use the logo to identify compatibility with OS 9 only. Requirements for third parties using the logo The logo can be used on qualifying software packages, on CDs and DVDs, in advertising and marketing communications, and as a badge on websites to promote software that has been optimized or written speci cally for the platform. The logo can be used only by authorized licensees who have signed the Logo License Agreement and Apple employees who are responsible for the development of Apple communications related to the intosh platform. The logo cannot be used in connection with software that does not meet the criteria outlined in the Logo License Agreement. Logo Guidelines

5 Logo Guidelines 2 Dimensional versions Four-color Line art version For black-and-white use only Grayscale Web-ready version For use on web pages The Logo The logo consists of the smiling-face symbol, the logotype, and the white background de ned by the linear border that surrounds them. To preserve the integrity of the logo, these elements and their relative size and positioning must not be altered. The ideal representation of the logo is the four-color dimensional version. Apple strongly recommends its use on printed communications and on web pages. The grayscale dimensional version is available for black-and-white printing. A line art version of the logo is available for use in media for which the dimensional logo is not suited (such as silk-screen printed materials or newsprint). Always use the version of the logo that best suits the design and medium of your communication. A web-ready version of the logo is available at maclogo.html for use on websites of qualifying companies that promote intosh and -compatible products. Using the Logo Color printing The colors of the logo were chosen to create a speci c visual image for the intosh platform. It is essential to apply the highest-quality reproduction standards and maintain strict color-matching principles when reproducing the logo. The fourcolor dimensional version of the logo must be printed using a four-color process. Output lm directly from the electronic artwork provided. Screen percentages for four-color process printing are built into the artwork. On color, black, or photographic background 15 mm Minimum size and minimum clear space Background colors The color versions of the logo can appear on black or other background colors, and on photographic backgrounds, as long as the legibility of the logo is not diminished. Do not alter or remove the black border that surrounds the logo. Do not alter the white background within the border. Black-and-white printing The grayscale dimensional version of the logo is for use when printing in black and white only, such as in newspaper articles or black-and-white ads and yers. Output lm directly from the electronic artwork provided. The screen percentages for black-and-white printing are built into the artwork. The grayscale version can be printed only on white backgrounds. A line art version of the logo is available for faxes or for printing the logo very small at a coarse line screen, such as a 65-line screen. Minimum size The minimum size for the logo is 15 mm high, as shown at left. The recommended size on the front, back, and spine of a package is 24 mm high. Minimum clear space The clear space surrounding the logo is an integral part of its design. Keep the area around the logo clean and uncluttered. The clear space should measure at least on all sides, where equals one-quarter the width of the logo box. Do not place any other trademark, logo, logotype, graphic, text, photograph, or illustration in the minimum clear space area.

It should always be clearly subordinate in both size and placement to the primary product or company identity with which it is used, and cannot in any way suggest that the logo represents the primary product or company identity. Always make sure that the relationship between the intosh platform and the compatible product is clear. Keep the number of logos used in a communication to a minimum usually no more than one logo per surface or page. Always use the complete electronic artwork provided by Apple. Do not alter the logo in any way. In advertising and collateral In advertising and other marketing materials, the logo should be positioned in a clearly subordinate size and position to the advertiser s primary company or product identity, as shown. Make sure that the logo is the same size as any other compatibility mark and is given equal prominence.
