2 Annuncement: Call fr Prpsals fr Finnish-Russian jint R&D-prjects Submissins by February 28, Scpe Tekes and Sklkv Fundatin are jintly annuncing a Pilt Call fr Prpsals fr jint R&D&I prjects fcusing n develping innvative prducts and applicatins in varius technlgy and applicatin areas. This call is annunced within the framewrk f the Cperatin Agreement signed between Sklkv Fundatin and Tekes. The main bjective f this Call is t launch prjects with jint participatin f cmpanies frm the tw cuntries and prvide R&D&I funding t qualifying participants thrugh the natinal funding prgrams. Applicants are expected t develp ready-t-market slutins fr prducts, technlgy based services r methds which have strng market ptential. Sklkv Fundatin and Tekes will prvide all necessary assistance t prject partners during prject prpsal, evaluatin and mnitring phase. This call is handled accrding t the cmmn rules set at Appendix: Infrmatin abut Sklkv Fundatin and Tekes cperatin Prgramme. 2. Submissin and Requirements f Prpsals The call invites partners t present jint prpsals fr industrial R&D prjects until prpsal submissins: February 28, 2014 accrding t the fllwing prcedures. Befre the first Call Deadline n February 28, 2014, all participants file shrt cmmn prpsal in English language, legally signed by all partners participating in the prject and a draft Cperatin Agreement (nt yet signed) that regulates the terms f cperatin between all partners in English language. The cmmn prpsal is prvided using a frm which is available at Via prviding the afre mentined prpsal, prject participants authrize Tekes and Sklkv t exchange infrmatin abut the prject and its participants Tekes and/r Sklkv may encurage r discurage the applicants t cntinue twards the actual funding applicatin. The prject partners that want t apply fr funding within this call file a natinal applicatin accrding t the respective rules. Finland Develpment prjects f cmpanies based in Finland are eligible fr Tekes innvatin funding. The funding can cver part f the prject's csts. The cmpany must always prve that it has the capacity t cver its wn funding share f the prject. Research rganizatins participate

3 in these market riented prjects as subcntractrs. Scpe f the Prgramme The prgramme aims at facilitating the effrts f Sklkv and Tekes, the Prgramme Parties, t supprt cmpanies t imprve their internatinal cmpetitiveness thrugh internatinal cperatin and technlgy transfer. The prgramme prmtes c-peratin in jint prjects between enterprises. Initially identified Tekes industrial interests are in Built Envirnment, Smart Cities, Bi and Medical Technlgies and Cleantech. Sklkv interests are in Infrmatin Technlgies, Energy Efficient Technlgies, Bimedical Technlgies, Space Technlgies and Telecmmunicatins and Nuclear Technlgies. In additin t funding, the prgramme includes jint effrts f Sklkv and Tekes n the fllwing: 2. Financing Market utreach fr startups thrugh prviding early-stage cmpanies with pprtunities in market utreach thrugh jint industry engagement prcesses utilizing netwrking pprtunities f bth Partners Wrking n mechanisms t prvide fr fund-raising by jint cllabratin prjects between Sklkv and Tekes SME cmpanies bth thrugh granting supprt mechanism (where applicable and cmplies with requirements f bth Partners) and prviding access t partner Venture Capital firms and ther financial institutins. In Finland the afrementined activities are mainly executed by varius partners in Tekes partner netwrk. The rle f Tekes is t infrm and prmte the cperatin prgramme t the partners. Eligible prject participants frm Finland and Russia will finance their csts frm the natinal funding schemes and cmplementarily frm their wn resurces. 3. Requirements Prject results will have t cntribute t the develpment f cmmercial prducts, prcesses and / r technical services. The prject prpsals have t cmply with the fllwing guidelines: The partners in the cllabrative prject are ne Russian cmpany having received status f Sklkv resident and ne Finnish cmpany. Other parties can be used as subcntractrs t prvide needed services, including but nt limiting t University research, design r thers. Cmpanies and/r research rganizatins frm ther cuntries may als participate. These partners participatin is nt funded in by Sklkv Fundatin r Tekes. The prject shuld have an bvius advantage and added value resulting frm the cperatin between the participants frm the tw cuntries (e.g. increased knwledge base, cmmercial leads, access t R&D infrastructure, new fields f applicatin, etc.). In Finland - the cnslidated staff number f eligible enterprises must be less than 250 persns and with annual turnver nt exceeding 50 millin eur, and/r an annual balance sheet ttal nt exceeding 43 millin eur. 5 The granting plicy Bth dcuments may be fund at In general terms, the Sklkv startup has t be develping a ptentially gamechanging technlgy fr the glbal markets in the respective areas f Energy Efficiency, IT, BiTech, Nuclear and Space. The startups will be assessed n the merit f technlgy, team, market ptential. The cmpany s annual turnver will nt be exceeding RUB 1 billin and its net prfit will nt be exceeding RUB 300 millin. Any partner whse cperative R&D prject is cnsistent with the afresaid criteria can apply t the present annuncement in accrdance with the natinal Laws, Rules, Regulatins and Prcedures in effect. The Prgramme and the first Call fr Prpsals fr Finnish-Russian jint SME RDI-prjects call is annunced within the framewrk f Cperatin Agreement signed between Sklkv Fundatin and Tekes. Innvative cperatin prjects will be funded by Tekes and Sklkv, in accrdance with the rules and prcedures respectively. 6 The fllwing principles will generally apply fr granting prcess at Sklkv 5. Organizatin f the cllabratin The Partners (Sklkv and Tekes) have established a Steering Cmmittee t which each Partner appints tw representatives. The Steering Cmmittee will meet twice a year (r mre ften if necessary), under terms and cnditins t be defined, t develp annual wrk plan and t mnitr bjectives and results f the agreement. Each Partner will appint a Prject Leader respnsible fr the peratinal implementatin f this arrangement and will be respnsible fr the expenses theref. Implementatin f the Prgramme - Applicants planning t execute a cperative prject file shrt cmmn prpsal in English language t bth Tekes and Sklkv. - The cmmn prpsal is prvided using a frm which is available at Via prviding the afre mentined prpsal, prject participants authrize Tekes and Sklkv t exchange infrmatin abut the prject and its participants - Tekes and/r Sklkv may encurage r discurage the applicants t cntinue twards the actual funding applicatin. - Applicants f selected cperative prjects prvide their respective funding applicatins t Tekes and Sklkv - Sklkv and Tekes evaluate their respective applicatin based n their wn criteria Infrmatin abut the prject and applicants is exchanged during this evaluatin perid Funding decisins are crdinated by Steering Cmmittee - Partners infrm the prject participants abut the funding decisins - Fllw-up f the cperative prject is crdinated by the Steering Cmmittee in rder t ensure its successful executin. 7. Intellectual Prperty Rights Sklkv Requirements: Each prject f Sklkv resident is free t define the use f intellectual backgrund and arising IP rights. Hwever, if the prject applies fr granting supprt, generally the Sklkv Fundatin will require the resident t be the wner f Intellectual Prperty Rights with certain limitatins t licensing rights based n the fllwing principles: The resident is bliged t register t its Sklkv resident entity exclusive IP rights (prducts and/r services) that will be created as a result f granted Innvative Prject; During the duratin f Granting Agreement will be able t handle the IP rights based n the fllwing principles: The resident has the right t carry ut nn-exclusive licensing agreements with third parties fr any duratin and n any territry withut having t prir get the written permissin frm Sklkv Fundatin. If the resident intends t enter int exclusive licensing agreement it has t apply fr permissin t the Fundatin prir t entering the licensing agreement. Withut the Fundatin s written permissin, the resident des nt have the right t enter int agreements with third parties which may lead t dispsitin f exclusive IP rights including the Agreement n Management f Exclusive IP Rights

8 Tekes general terms and cnditins n funding fr cmpanies R&D prject General rule is that Tekes will nt claim any intellectual prperties generated in the prjects. All the IP stays as private prperty f the cmpany. If the recipient wants t transfer the funding decisin t a third party, written cnsent is required frm Tekes. Prir t the transfer, the riginal recipient shall reprt and declare its share f the prject. The recipient shall infrm Tekes in advance in the event that, during the prject, within five (5) years f payment f the final funding installment r befre the principal and interest n a lan have been settled in full, it: sells, gives as security r therwise assigns business r any part theref generated in the prject; sells, gives as security r therwise assigns intellectual prperty rights r ther rights generated in the prject; mves its business activities abrad, r undertakes ther significant business changes r rerganisatin activities (including merger, divisin, significant changes in wnership, and significant persnnel cutbacks, which are directed at functins funded by Tekes). When the funding is granted in the frm f a grant, the abve arrangements require advance cnsent frm Tekes if the arrangement is implemented utside the Eurpean Cmmn Market area r if the arrangement may undermine realisatin f the desired prject impacts. When the funding is granted as a lan, advance cnsent frm Tekes is always required. If licensing f access rights has been a significant part f the business activity as riginally sught in the prject, cnsent frm Tekes as set ut abve is nt required. The prject applicants shall agree between each ther abut IPRs and pssible licensing issues. 8. Cmmunicatins and prgramme prmtin The Steering Cmmittee agrees upn cmmunicatin abut the prgramme, and required measures t ensure the cnfidentiality f the vital business infrmatin f the prject applicants. Sklkv and Tekes can cperatively prmte this prgramme at different events including Open Innvatin Frum, Slush, Startup Village and thers. 9. Cnfidentiality Sklkv and Tekes acknwledge that, given the nature f their respective peratins, they are and will be in pssessin n cnfidential infrmatin. They will ensure that such infrmatin remains cnfidential, and will nt disclsure such infrmatin withut the cnsent f the ther partner. 10. Term f the Prgramme Parties perfrm this Prgramme withut mutual mnetary cnsideratin.

9 This Prgramme becmes effective starting frm and will be valid fr a perid f three years. After this the Prgramme may be extended. This Prgramme is based n mutual understanding and des nt create legally binding cmmitments r bligatins between Sklkv Fundatin and Tekes. This Prgramme des nt prevent either partner frm entering int similar agreements with third parties.
