(A joint stock limited company incorporated in the People s Republic of China with limited liability) (Stock code: 02866) DISCLOSEABLE TRANSACTION SALE AND LEASEBACK ARRANGEMENT The Board is pleased to announce that on 7 September 2016, Florens BVI, an indirect whollyowned subsidiary of the Company, entered into the Container Sale and Purchase Agreement with Party A, pursuant to which Florens BVI agreed to purchase, and Party A agreed to sell, the Containers at an aggregate consideration of approximately US$275,379,000 (equivalent to approximately RMB1,832,784,935). Contemporaneously Florens USA, an indirect whollyowned subsidiary of the Company, entered into the Lease Addenda with Party B, pursuant to which Florens USA agreed to lease to Party B, and Party B agreed to lease from Florens USA, the Containers for a term of either three or five years. As the highest applicable percentage ratio set out in the Listing Rules for the Sale and Leaseback Arrangement exceeds 5% but is less than 25%, the Sale and Leaseback Arrangement constitutes discloseable transactions of the Company under Rule 14.06(2) of the Listing Rules and is therefore subject to notification and announcement requirements under Chapter 14 of the Listing Rules but exempt from shareholders approval requirement under the Listing Rules. A. THE SALE AND LEASEBACK ARRANGEMENT Date: 7 September 2016 Parties to the Container Sale and Purchase Agreement: Parties to the Lease Addenda: (a) (b) (a) (b) Florens BVI (as buyer); and Party A (as seller). Florens USA (as lessor); and Party B (as lessee). Lease assets: The Containers comprise 157,970 containers with an aggregate capacity of approximately 269,797 TEUs. The container types include 20ft dry containers, 40ft dry containers, 40ft high cube containers, 40ft high cube reefer containers and 45ft high cube containers. 1

2 Consideration and payment term: The aggregate consideration payable for the Containers under the Container Sale and Purchase Agreement is approximately US$275,379,000 (equivalent to approximately RMB1,832,784,935). The abovementioned consideration was determined after arm s length negotiations between Florens BVI and Party A with reference to the market value of each equipment type of the Containers in its respective manufacture year. The abovementioned consideration will be funded from internal resources of Florens BVI and bank financing and will be payable on the Closing Date by wire transfer in immediate available funds. Lease payment: Pursuant to the Sale and Leaseback Arrangement, Florens BVI will purchase the Containers from Party A at a consideration of approximately US$275,379,000 (equivalent to approximately RMB1,832,784,935) and the Containers will be leased to Party B under the Lease Addenda for a term of either three or five years, commencing from the Closing Date, at an aggregate lease consideration of approximately US$206,956,000 (equivalent to approximately RMB1,377,395,658), which shall be paid by Party B to Florens USA in 37 or 61 monthly installments. The terms of the Sale and Leaseback Arrangement, including the lease consideration and the buyback purchase price, have been agreed after arm s length negotiations between the parties thereto with reference to the purchase costs of the Containers and the prevailing market practice. Ownership of the Containers: Upon payment of the consideration for the Containers under the Container Sale and Purchase Agreement and subject to terms thereof, the legal ownership of the Containers will be transferred to Florens BVI on the Closing Date. Contemporaneously upon Florens BVI obtaining legal title to the Containers, Florens BVI will give Florens USA full authority and right to lease the Containers to Party B in accordance with the terms and conditions of the Lease Addenda. Subject to fulfillment of all of its obligations under the Sale and Leaseback Arrangement, Party B will have an option to purchase all (but not part of) the relevant Containers under each of the Lease Addenda upon the expiry thereof for an aggregate purchase price of approximately US$123,786,000 (equivalent to approximately RMB823,857,723). 2

REASONS FOR AND BENEFITS OF THE SALE AND LEASEBACK ARRANGEMENT The Sale and Leaseback Arrangement will help to expand the Group s container leasing business, on the other hand, it will also enhance the profitability of the Group. In light of the above, the Board (including the independent non-executive Directors) believes that the terms in respect of the Sale and Leaseback Arrangement are fair and reasonable, on normal commercial terms and in the interest of the Company and the Shareholders as a whole. C. INFORMATION ON THE PARTIES TO THE SALE AND LEASEBACK ARRANGEMENT 1. Florens BVI Florens BVI is a wholly-owned subsidiary of Dong Fang International Investment Limited (an indirect wholly-owned subsidiary of the Company) and is principally engaged in container investments and in holding containers. 2. Florens USA Florens USA is a wholly-owned subsidiary of Florens Container Inc. (an indirect wholly-owned subsidiary of the Company) and is principally engaged in provision of container management services. 3. Party A Party A is a controlling subsidiary of Party B and is principally engaged in container shipping. 4. Party B Party B is one of the top ten liner companies in the world and is principally engaged in container shipping, intermodal and logistics. Party B has a fleet of over 500 vessels and operates more than 200 shipping lines worldwide, with an annual transport volume of over 18 million TEUs and more than 29,000 employees worldwide. As at 31 December 2015, the total assets and net assets of Party B were approximately US$14,275 million and US$5,406 million, respectively. For the year ended 31 December 2015, Party B recorded revenue and profit of approximately US$15,674 million and US$587 million, respectively. To the best of the Directors knowledge, information and belief having made all reasonable enquiries, Party A, Party B and their respective ultimate beneficial owners are third parties independent of the Company and connected persons of the Company. 3

IMPLICATIONS UNDER THE LISTING RULES As the highest applicable percentage ratio set out in the Listing Rules for the Sale and Leaseback Arrangement exceeds 5% but is less than 25%, the Sale and Leaseback Arrangement constitutes discloseable transactions of the Company under Rule 14.06(2) of the Listing Rules and is therefore subject to notification and announcement requirements under Chapter 14 of the Listing Rules but exempt from shareholders approval requirement under the Listing Rules.
