The words we, us and our mean Asheville Savings Bank, S.S.B. (the Bank ). By applying for the Card(s), executing the Asheville Savings Bank Visa Business Check Card Application or accepting and using the Card(s), or allowing anyone to use the Card(s), you agree to the terms, provisions and conditions of this Agreement and that the Company shall be responsible for all purchases, payments, transfers, withdrawals, cash advances, transactions and other actions taken or made through the use of the Card(s)(collectively the Transactions, individually a Transaction ). This Agreement is in addition to the Deposit Agreement applicable to your Account(s) and any other agreements dealing with your Account(s) or your Card(s). 1. USE OF YOUR CARD(S). Your Card(s) relates only to the bank account designated as your Primary Account and the bank account(s), if any, designated as your Secondary Account(s) on your Asheville Savings Bank Visa Business Check Card Application (the Application ). Your Card(s) is a debit card. It can be used to make purchases, pay for goods and services and obtain cash advances as hereinafter provided. Your Card(s) can also be used to make withdrawals, transfer funds, perform balance inquires and take other actions at Automated Teller Machines ( ATMs ). Each authorized user will be able to perform Transactions and will have access to your Account(s). You agree that all Cards are to be used for business purposes only. All purchases and payments made and cash advances obtained using your Card(s) will be deducted from your Primary Account shown and designated on your Application (your Primary Account ). Your Card(s) will also provide ATM access to your Primary Account and those accounts designated by the Company as Secondary Accounts on your Application (your Secondary Accounts ). Your Primary Account and all your Secondary Accounts, if any, are referred to collectively in this Agreement as your Accounts and individually as an Account. Whenever you use your Card(s) to make a purchase, payment, withdrawal, transfer or perform any other Transaction, you are authorizing us to debit the amount of the Transaction from your appropriate Account. We will assign you a confidential personal identification number ( PIN ) for each Card. The completion of some Transactions through use of your Card(s) may require you to enter your PIN for authorization purposes or to provide the card number embossed or printed on the Card. You agree not to reveal your PIN to anyone. Except as otherwise provided in this Agreement, the Company shall be responsible for all purchases, payments, transfers, withdrawals and other Transactions made through the use of your Card(s), whether authorized by the Company or not. Use of your Card(s) is subject to the terms and provisions of this Agreement, the terms and provisions of your Account agreement and all applicable laws, rules and regulations including, without limitation, the rules and regulations of Visa, U.S.A., Inc., as the same are amended from time to time. 2. MAINTENANCE OF YOUR PRIMARY ACCOUNT. Since all purchases, payments and cash advances are deducted directly from your Primary Account, use of your Card(s) requires the maintenance of your Primary Account in the Company s name. In the event you do not designate a Primary Account, or in the event your Primary Account is closed, we may designate another of your Accounts as your Primary Account. 3. USE OF CARD(S) AT ATMS. Your Card(s) may be used at ATMs owned and/or operated by Bank for cash withdrawals, balance inquiries, deposits, payments and transfers in regard to your Accounts. Your Accounts may also be accessed for the foregoing purposes at ATMs not owned or operated by Bank if such other ATMs display one or more of the network logos shown on the back of your Card(s). Your Card(s) may also be used at certain merchant locations for purchases (which may include cash back), payments and in some cases for cash withdrawals. 4. USE OF CARD(S) FOR PURCHASES, PAYMENTS, CASH WITHDRAWALS AND OTHER PURPOSES. In addition to the use of your Card(s) at ATMs as set forth above, your Card(s) may be used to make purchases, to pay for goods and services and to obtain cash withdrawals at any authorized merchant or financial institution that accepts Visa. If you desire, and the merchant allows, you may also be able to obtain cash back from the merchant. You may be required to enter your PIN or to sign a sales slip or other document to validate the Transaction. In some situations you may only be asked to provide your Card number. If you provide your Card number without presenting your Card, such as for a mail, telephone, internet or online purchase or payment, we may honor the transaction and charge your Primary Account for the amount of the Transaction. The legal effect of presenting your Card and signing a sales slip, or providing your Card number to someone to complete a Transaction without presentation of the Card, is the same as if you presented your Card and transmitted your PIN to effect such Transaction and will not affect our ability to charge your Primary Account for the amount of the Transaction. All purchases, payments and cash advances made with your Card(s) will be deducted from your Primary Account. 5. GENERAL LIMITATIONS. You may not use your Card(s) for a Transaction that would cause the available balance in your Primary Account to be less than zero unless you have Overdraft Protection on your Primary Account. Overdraft Protection may be in the form of a line of credit extended by Bank to you that is tied to your Primary Account or you may have one or more of your other accounts tied to your Primary Account so that charges and debits to your Primary Account in excess of the available balance in your Primary Account will be paid out of such other account(s). In the event you use your Card(s) for Transactions that would cause the available balance in your Primary Account to be less than zero, and there is no Overdraft Protection to pay such Transaction, we may refuse to authorize or decline such Transaction, or we may, in our sole and absolute discretion, authorize, pay, accept or complete such Transaction. If we authorize, pay, accept or complete any Transaction that would cause the available balance in your Primary Account to be less than zero, you agree to pay us, immediately upon demand but in all events within 30 days following our payment of such Transaction, the amount of such Transaction together with our then current Overdraft fee. We may, at any time, set off the amount of any such Transaction and/or the amount of our Overdraft charge from any account you have at the Bank, or we may apply the amount of such Transaction and/or the amount of our Overdraft charge for honoring such Transaction to your Primary Account, which may cause a negative available balance in your Primary Account or further increase an already existing negative available balance in your Primary Account. If we apply the amount of any such Transaction and/or the amount of the our Overdraft fee to your Primary Account, this may thereafter cause other activity on your Primary Account to be processed while this account has a negative available balance. This may in turn thereafter cause us to return items drawn on or payable out of your Primary Account as unpaid, decline Transactions or, at our option, honor or pay items and Transactions CONTINUED 1

3 while your Primary Account has a negative available balance, thus causing you to incur additional Overdraft charges. 6. OTHER LIMITATIONS. In addition, the foregoing limitations may, at any time hereafter, be increased or decreased by us, in our sole and absolute discretion, without notice to you. Notwithstanding the maximum dollar limitations set forth above, or the amount of the available balance in your Primary Account, we may, from time to time, without notice to you, limit the number, type and /or dollar amount of any Transaction that may be made by use of your Card(s) and/or terminate or suspend the operation of any of your Cards. Bank is not obligated to accept any payment order issued by you, or in your name. Bank may undertake to act only on those payment orders it chooses to accept from time to time and shall have no liability to you of any kind for failing to accept and execute any payment order sent to Bank by you or in your name. Bank shall be deemed to have accepted a payment order only by executing it. Bank may reject a payment order initiated by you for any reason or for no reason and shall have no obligation to give you a notice of rejection of any payment order. The failure of Bank to give you a notice of rejection of a payment order shall not be deemed an acceptance of such payment order. Bank will issue all Cards in the name of the Company and in the name of the authorized user as designated by the Company. Both the name of the Company and the name of the authorized user of each Card will appear on the face of the Card. As a security measure, the authorized user of each Card must sign the Card on the reverse side of the Card immediately upon receipt. Use of the Card together with the PIN applicable to such Card, or the presentation of the Card together with the signature of the authorized user of such Card or the providing of the correct Card number to any merchant or financial institution constitutes the security procedure agreed upon by you and Bank to verify the validity of any Transaction. The Company hereby acknowledges and agrees that (i) the foregoing security procedures are in all respects adequate for the Company s purposes and are in all respects, commercially reasonable, (ii) the foregoing security procedures are solely for the purpose of verifying the authenticity of any payment order and are not to detect errors in such payment order, (iii) the Company has no right or ability to amend or cancel a payment order once it has been sent and (iv) the Bank offers no security procedure(s) for the detection of errors in payment orders. Any payment order issued in the name of the Company which passes the security procedures set forth above shall be effective as the act and authorized payment order of the Company, and the Company shall be bound thereby whether or not such payment order was actually authorized by the Company. 8. INTERNATIONAL TRANSACTIONS. When your Card(s) is used for an international Transaction, Visa will convert the Transaction amount from the foreign currency amount to a United States of America dollar amount in accordance with Visa s currency conversion procedures in effect at the time the Transaction is processed. The current currency conversion regulations provide that the currency exchange rate to be used is either (a) a rate selected by Visa from the range of rates available in wholesale currency markets for the applicable central processing dates, which rate may vary from the rate Visa itself receives, or (b) a government mandated rate in effect for the central processing date, plus an International Service Assessment (ISA) Fee as provided for by Visa. Because of fluctuation in foreign exchange rates, the currency exchange rate in effect on the date the Transaction is processed may be different than the currency exchange rate in effect on the date of the Transaction or the date of posting. An ISA fee may be applied to each international Transaction occurring outside the United States of America, Puerto Rico or the US Virgin Islands, whether or not foreign currency has to be converted to United States dollars. The ISA fee imposed on any Transaction may be included as a part of the transaction amount or displayed as a separate charge on your monthly statement. 9. SERVICE CHARGES AND FEES.
