3 Company Overview CityWest Homes Ltd Launched in 2002, CityWest Homes Ltd is a leading and award winning property management services company based and operating in the heart of London, with performance indicators placing it in the top 2% of the sector. The company has the benefit of a 10 year contract to manage Westminster City Council's portfolio of over 21,000 predominantly residential properties ranging from social housing to premium assets (with an approximately 50/50 split). Its remit covers about 25% of Westminster s residential population; a substantial and vital party of Central London. With a staff of over 380, CityWest Homes has a portfolio under management of 9.6bn. There is an investment and development programme of c. 400m planned over the next five years. The company has also been expanding its offering and developing partnerships with other clients in the private sector. Services now include a private estate agency and the management of a small power station providing heating to over 3,200 homes and businesses. CityWest Homes leads on some of the Capital s most exciting regeneration projects that will create new homes, develop existing stock, create employment opportunities and improve public realm. Complete estate management is a core activity for CityWest Homes; managing the revenues and operational activities of the existing portfolio. Property improvements, major works and new builds are also key, as is developing a new pipeline of replacement and additional property assets for private, intermediate and social housing markets. Looking forward, CityWest Homes focus will be to expand its property development capabilities and commercial income streams. This will run alongside continuing to improve service levels and to develop and improve IT solutions. By operating to its full commercial potential CityWest Homes is aiming to enable financial returns to be re-invested in the City of Westminster. CityWest Homes aim is to be the leading provider of housing services. The company has been awarded a three star excellent rating by the Audit Commission, completing decent homes two years ahead of the Government's schedule and is very proud to have reached number 18 in the Sunday Times Top 100 Best Not for Profit Companies in 2012 and achieved the gold Investors in People standard. 5 The Board CityWest Homes board currently consists of four residents (WCC tenant/leaseholder), four Westminster Councillors, four independent members (including the Chairman) and the CWH chief executive. CityWest Homes looks for and expects committed and insightful board members. Independent Members Adam Humphryes - Chairman Adam is a chartered accountant, who has held senior board positions in private sector companies. He is a Trustee of Work this Way, providing training, work experience, employment and mentoring for offenders, at Ford Open prison, is a Trustee of the Mary Rose Trust and is a director of two property companies. Adam was Finance Director and a major shareholder in private equity backed Wightlink Ferries Ltd and with two partners, started the first local Television company in the UK, which was subsequently listed on AIM. He was also previously a Governor of Portsmouth University and a Board member of Drum Housing Association. Richard Reynolds Richard was managing director for all Barratt activity from London to Kent and Essex coasts for 25 years before he retired in Richard is a non-executive director of the Aldwyck Housing Group, Guinness Development Ltd and the Breyer Group Plc. He is a Chartered Surveyor and a Fellow of the Chartered Institutes of Building, Housing and Marketing etc. Richard is also the chairman of our asset, management and development committee. Cha Patel Cha has over 30 years of senior finance experience in a number of sectors, primarily in financial services. This includes time at British Leyland, Abbey National, Toronto Dominion Bank, and Grant Thornton. Cha chairs our finance and audit committee and is also a member of our remuneration employment and diversity committee. Fiona McAnena Fiona has had a successful strategic marketing career and worked as a consultant in FMCG (fast moving consumer goods), health insurance and service businesses. She has had non-executive director experience with seven years on the board of Cafedirect and a non-executive directorship at British Rowing. Fiona has her own successful business and is very active on digital and social media.

6 Resident Board Members Neil Garrett Neil was appointed in July He works as a part-time consultant surveyor and has a keen interest in social housing. He has extensive experience in the housing and construction sectors and is a member of The Chartered Institute of Building. Neil is a founder member of the south residents' area management committee and the Abbots Manor residents' association. He sits on our development and building services committee. Carole Spedding Carole has lived in Westminster for over 35 years, is Chair of her local residents' association and is a member of the Church Street Futures Regeneration steering group. She was appointed to the board in March Carole served as a Parent Governor of North Westminster Community School, and was more recently publicly elected to the Church Street Neighbourhood Management Board in Carole enjoyed a lengthy career in publishing and later worked with the long-term street homeless community in London's West End for ten years. Mary Holt Mary was appointed in December She has worked in senior positions within several organisations including the Civil Service, the National Audit Office, the NHS, two arms length bodies and is currently chair of the Thurso and Dundee TMO. Mary values diversity and firmly believes that having equal opportunities brings benefits to the organisation as well as the individuals concerned. Mary Holt is the chair of a WCC Tenant Management Organisation and is also a school governor. Westminster Councillors Westminster City Council appoints 4 councillors to the CityWest Homes Board. 8 Candidate Profile The Board has just completed a review of skills required on the Board. As a result, the successful candidate must be able to demonstrate working knowledge and experience on either one or a combination of the skills the listed below. This must be demonstrated in your application form. A good working knowledge of commercial/public asset management and development A good understanding of IT project/change management in customer service environment Developing and growing a business to enhance shareholder value Housing sector management and experience Technical property skills including surveying, property development and operations management Experience of working with a local authority The list below also provides desirable attributes and experience for all Board members and we will also expect you to cover this in your application form: Passionate about CityWest Homes mission and about helping to take the company forward. Willing to represent the organisation externally in an ambassadorial role The ability to assist the executive team constructively. Flexible and reliable with the ability to balance direct engagement with the objective Non- Executive role Good leadership and strategic skills A team player with a collaborative style and no ego Approachability, but with the ability to project a sense of authority and accountability RESPONSBILITIES The Non-Executive Board Member will be expected to be readily available to the Chairman. There are currently 4 scheduled Board Meetings per year and 4 of each committee meetings. The overall expected time commitment is likely to be about 12 to 15 days a year. The successful candidate can expect a full induction and training to support them in their role. REMUNERATION The fee for the Non-Executive Board Member is 3,500 per annum. WEBSITE
