1 NON-EXECUTIVE DIRECTOR JOB DESCRIPTION ACCOUNTABLE TO: KEY WORKING RELATIONSHIPS: Groups/Committees Chairman, Council of Governors, Monitor Board of Directors Monitor Council of Governors Clinical Commissioning Group Other NHS providers and wider healthcare and key stakeholder groups Health and Safety Executive CQC Quality and Safety Committee Remuneration Committee Charitable Funds Local MPs and Local Authority Department of Health Voluntary Groups JOB SUMMARY 1. As members of the Board of Directors Non-Executive Directors are, along with their Board colleagues, accountable to the Council of Governors and Monitor for ensuring that the Trust meets its legal obligations and for the performance of the Trust. 2. There are seven Non-Executive Directors including the Chairman and the potential for six Executive Directors. Each Director is an equal member of the Board and has the same responsibility as the other Directors for the success of the organisation for delivering healthcare to the local community and ensuring that there is compliance with the Trust s licence. 3. Non-Executive Directors provide appropriate oversight, scrutiny, challenge and leadership to the NHS Foundation Trust in the pursuit of its aim to provide effective and high quality healthcare services. 4. Non-Executive Directors have a particular role in scrutinising the performance of the executive management team in meeting agreed goals and objectives and monitoring the reporting of performance. 5. Non-Executive Directors have a close working relationship with the Council of Governors to ensure that there are good and effective standards of governance STRATEGY 1. Establish clear objectives to deliver the agreed plans and strategy to continue to meet the terms of Monitor's licence conditions and regularly review performance against these objectives.

2 2. Support the Board to use the freedoms of Trust status to ensure the long term sustainability of the Trust. 3. Work within the Board members to develop and implement the Trust's vision, values, aims and strategic objectives, delivering a robust and sustainable business and financial plan. 4. Proactively operate as a member of the Board in the decision-making process to ensure that full and complete consideration has been given to all options during the process. 5. Review and evaluate present and future opportunities, threats and risks in the external environment and current and future strengths, weaknesses and risks to the Trust. HUMAN RESOURCES 1. Support, encourage and where appropriate 'buddy and mentor' senior team members in areas of particular expertise and knowledge. 2. Take responsibility, in conjunction with the Chairman, for own personal development and ensure that this remains a priority. 3. Use leadership ability and personal knowledge of the community to advise and support colleagues and key work programmes particularly in areas of personal strength and knowledge. 4. As part of the Board: Provide a safe point of access to the board for whistle blowers Appoint the Chief Executive and, if necessary, participate in the process to remove him/her Contribute to the annual review of the Chairman s performance Review and approve the remuneration and terms of service for the Executive Directors COMMUNICATION 1. As an ambassador for the Trust and a major local employer of staff be knowledgeable and aware of local issues. 2. Uphold the values of the Trust, as an appropriate role model and ensure as a Board member that you promote equality and diversity for all its patients, staff and other stakeholders. 3. Develop a constructive working relationship with the Chairman, Executive and Non-Executive Directors, providing support and guidance in areas of particular expertise and knowledge. 4. Participate fully in the work of the Board of Directors and where appropriate with the wider local health and social care community.

3 COMPLIANCE 1. As a member of the Board ensure that the Foundation Trust complies with its Licence Conditions, the Constitution and other applicable legislation and requirements. 2. As a member of the Board promote the highest standards of corporate and clinical governance in compliance with The NHS Foundation Trust Code of Governance and other regulatory requirements and best practice, where appropriate. 3. Assess the quality and the integrity of financial, clinical and other information presented to the Board. 4. Ensure that financial and clinical quality controls and systems of risk management and governance are robust and implemented. MISCELLANEOUS 1. Uphold the highest standards of integrity and probity, adhering to the Nolan Principles and fully compliant to the fit and proper persons test 2. Safeguard the good name and reputation of the Trust. 3. Act as a Trustee of charitable funds (where appropriate). 4. Where required provide leadership to specific Trust Committees and ensure their effectiveness in all aspects of governance, process and assurance. Sett agendas to promote effective decision making and constructive debate; concentrating on key matters and allowing adequate time for discussion and review of complex issues. 5. Comply at all times with the Trust's published health and safety policies, in particular, by following agreed safe working procedures and reporting incidents using the Trust's risk reporting systems. 4 NON-EXECUTIVE DIRECTOR: PERSON SPECIFICATION The successful candidate will have a proven track record of leadership, change management and personal achievement in a complex environment in either the private or public sector. S/he is likely to have had Non-Executive Director experience and possess most or all of the following: Essential Experience and Skills Highly credible with experience of operating at senior level within an organisation with significant budgets/complexity gained in the private or public sector; Board level experience in a large, complex and changing organisation; Clinical knowledge, background and experience is required for this specific post (only required for the clinical NED position) Significant track record of leadership with a highly trained workforce including managing a team of multidisciplinary managers or professionals; Experience of operating in a regulated environment; A portfolio of high level organisational and governance skills including such things as strategic planning, financial management, risk management, organisational performance management and service delivery and development; Politically astute able to grasp relevant issues underpinned by an understanding of developing partnerships and building relationships with other organisations; Experience of achieving change management and transformation in a complex organisation; Understands or has the ability to quickly and effectively grasp the environment in which the Trust operates. Desirable Experience Healthcare leadership experience; An understanding of the NHS and Foundation Trusts is desirable as is experience of working with multi stakeholders and/or involvement in community projects. Personal Qualities You must be a member of one of the Trust's public constituencies, or willing to have local residency and become a public member of the Trust; An enquiring mind, with the confidence to challenge constructively; Recognise the importance of supporting collective decisions and of balancing challenge with assurance and support; Strong communication and listening skills; Strong interpersonal skills - calm under pressure, able to challenge in a constructive manner, develop creative solutions, manage a wide variety of situations in a meeting and ensure that the outcomes are in the best interest of the organisation; Commitment to and interest in the local health economy as well as a desire to contribute to the local community and the values and principles of the NHS; Strong financial and business acumen and the intellectual rigour to understand complex issues and risk quickly; The ability to work with a wide range of individuals and organisations and build productive relationships; Fully supportive of equal opportunities and minority interests; Supportive of the principles of Foundation Trusts/Membership organisations; Strong commitment to public service values of accountability, openness, probity and equality of opportunity.

5 Commitment You must have sufficient time and commitment to fulfil the role which may require 3 days per month in order to prepare for and attend: Scheduled Board meetings Board and/or joint Board/Council of Governors away days the Annual Members' Meeting Hospital department/ward visits/walkabouts Meetings of Non-Executive Directors Council of Governor meetings Training and seminars Board committee meetings and Council of Governors meetings which require Non- Executive Director representation Some additional hours may be needed in the course of the annual cycle in order to fully support the Board agenda.
