1 Příloha II /Annex II PARTNERSHIP AGREEMENT within the project partnership in the framework of Programme CZ07 EEA Scholarship Programme; Bilateral Scholarship Programme (hereinafter referred to as the Programme CZ07 ) THIS PARTNERSHIP AGREEMENT is based upon Regulation on implementation of the Norwegian Financial Mechanism adopted by the Norwegian Ministry of Foreign Affairs pursuant to Article 8.8 of the Agreement between the Kingdom of Norway and the European Union on a Norwegian Financial Mechanism for the period on 11 February 2011, as amended on 15 December 2011 and on 14 March 2013, 1 July 2014 and Regulation on implementation of the European Economic Area (EEA) Financial Mechanism adopted by the EEA Financial Mechanism Committee pursuant to Article 8.8 of Protocol 38b to the EEA Agreement on 13 January 2011, as amended on 4st January 2012 and on 14 March 2013, 1 July BETWEEN: [OFFICIAL NAME OF THE PROJECT PROMOTER AS IDENTIFIED IN THE GRANT AGREEMENT], the Project Promoter [OFFICIAL NAME OF THE PARTY AS IDENTIFIED IN ANNEX V. OF THE GRANT AGREEMENT], [OFFICIAL NAME OF THE PARTY AS IDENTIFIED IN IN ANNEX V. OF THE GRANT AGREEMENT], [Insert identification of other Parties ] hereinafter, jointly or individually, referred to as Parties or Party relating to the Project entitled [NAME OF PROJECT] in short [Insert: project number] hereinafter referred to as Project WHEREAS: The Parties have submitted a proposal for the Project to the Dům zahraniční spolupráce /Centre for international cooperation in education (hereinafter referred to as the DZS ) in the Czech Republic within the Programme CZ07 EEA Scholarship Programme; Bilateral Scholarship Programme (hereinafter referred to as the Programme CZ07 ) under the action of Mobility projects. 1

2 The Parties wish to specify or supplement binding commitments among themselves in addition to the provisions of this agreement. NOW, THEREFORE, IT IS HEREBY AGREED AS FOLLOWS Section 1: Purpose The purpose of this Partnership Agreement is to specify with respect to the Project the relationship among the Parties, in particular concerning the institution of the work between the Parties, the management of the Project and the rights and obligations of the Parties and dispute resolution. Section 2: Entry into force, duration and termination 3.1 Entry into force An entity becomes a Party to this Partnership Agreement upon signature of this Partnership Agreement by a duly authorised representative. This Partnership Agreement shall have effect from the Effective Date identified at the beginning of this Partnership Agreement. Provided, any change in the project partnership approved by DZS (e.g. if a new Party enters the Partnership), the change is about to be documented via the Attachment 3 upon signature of the accession document Attachment 3 by the respective Party and the Project Promoter. Such change in the project partnerhip shall have effect from the date identified in the accession document. 3.2 Duration and termination This Partnership Agreement shall continue in full force and effect until complete fulfilment of all obligations undertaken by the Parties under the Grant Agreement and under this Partnership Agreement. However, this Partnership Agreement or the participation of one or more Parties to it may be terminated in accordance with the terms of this Partnership Agreement and Grant Agreement. If the DZS terminates the Grant Agreement this Partnership Agreement shall automatically terminate in respect of the affected Party/ies, subject to the provisions surviving the expiration or termination under Art. 3.3 of this Partnership Agreement. Termination shall not affect any rights or obligations of a Party leaving the Partnership incurred prior to the date of termination. This includes the obligation to provide all input, deliverables and documents for the period of its participation. 2

3 Section 4: Responsibilities of Parties 4.1 General principles Each Party undertakes to take part in the efficient implementation of the Project, and to cooperate, perform and fulfil, promptly and on time, all of its obligations under the Grant Agreement and this Partnership Agreement. Each Party undertakes to notify promptly, in accordance with the governance structure of the Project, any significant information, fact, problem or delay likely to affect the Project. Each Party shall promptly provide all information reasonably required by DZS, Project Promoter or any control body authorised to carry out its tasks. Each Party shall take reasonable measures to ensure the accuracy of any information or materials it supplies to the other Parties. 4.2 Breach In the event a responsible Partnership Body identifies a breach by a Party of its obligations under this Partnership Agreement or the Grant Agreement (e.g.: a partner producing poor quality work at the disadvantage or endangering the implementation of the project), the Project Promoter will give written notice to such Party requiring that such breach be remedied within 30 calendar days in copy to the contact person of DZS. If such breach is substantial and is not remedied within that period or is not capable of remedy, DZS may decide to declare the Party to be a Defaulting Party by agreement with the Project Promoter and to decide on the consequences thereof which may include termination of its participation. 4.3 Involvement of third parties General provisions on ivolvement of third parties As for the third party s compliance with the provisions of this Partnership Agreement and of the Grant Agreement, it is the responsibility of the eligible institution entering into subcontract with third parties. The Parties have to ensure that the involvement of third parties does not affect the rights and obligations of the other Parties under this Partnership Agreement and the Grant Agreement Involvement of third parties in the role of (silent) project partners Parties acknowledge that there is a subcontract with third parties to be signed. As for the third parties, the option to get involved to project activities is limited to non-eligible institutions already mentioned in the project proposal. The third parties in this case remain solely 3

4 responsible for carrying out its relevant part of the Project from the financial point of view. Eligible expenditures are limited to the eligible institutions, its students and employees General information on public procurement Each Party is obliged to follow public procurement in accordance with the European Parliament and Council Directive 2004/18/EC of 31 March 2004 on the coordination of procedures for the award of public contracts for works, supplies and services, the Implementing Regulation of the European Comission (EU) No 842/2011 of 19 August 2011 establishing standard forms for the publication of notices in public procurement and repealing Regulation (EC) No 1564/2005; Act No. 137/2006 Coll., on public procurement and Guidelines for small-scale procurement issued by the National Focal Point. The Parties take good note of the fact that the information on public procurement are about to be included in the project application and provide the Project Promoter with information and assistance, when needed (e.g. when there is a revision of the information on public procurement needed or final report to be submitted). Section 5: Liability towards each other 5.1 No warranties In respect of any information or materials supplied by one Party to another under the Project, no warranty or representation of any kind is made, given or implied as to the sufficiency or fitness for purpose nor as to the absence of any infringement of any proprietary rights of third parties. Therefore, - the recipient Party shall in all cases be entirely and solely liable for the use to which it puts such information and materials, and - no Party granting Access Rights shall be liable in case of infringement of proprietary rights of a third party resulting from any other Party exercising its Access Rights. 5.2 Limitations of contractual liability No Party shall be responsible to any other Party for any indirect or consequential loss or similar damage such as, but not limited to, loss of profit, loss of revenue or loss of contracts, provided such damage was not caused by a wilful act or by a breach of confidentiality in accordance with Damage caused to third parties Each Party shall be solely liable for any loss, damage or injury to third parties resulting from the performance of the said Party s obligations by it or on its behalf under this PartnershipAgreement or from its use of Foreground or Background. 5.4 Force Majeure Force majeure shall mean any unforeseeable exceptional situation or event beyond the parties' control which prevents either of them from fulfilling any of their obligations under this 4

5 agreement, was not attributable to error or negligence on their part, and proves insurmountable in spite of all due diligence. Defects in equipment or material or delays in making them available (unless due to force majeure), labour disputes, strikes or financial difficulties cannot be invoked as force majeure by the defaulting party. A party faced with force majeure shall inform the Project Promoter, DZS and other parties (when applicable) without delay per and by registered letter with advice of delivery or equivalent, stating the nature, probable duration and foreseeable effects. If the consequences of Force Majeure for the Project are not overcome within 30 working days after such notification, the transfer of tasks - if any - shall be proposed by the Project Promoter and agreed by DZS. Neither of the parties shall be held in breach of their obligations under the agreement if they are prevented from fulfilling them by force majeure. The parties shall make every effort to minimise any damage due to force majeure. The action may be suspended in accordance with Grant Agreement. Section 6: Roles and responsibilities of the Parties The creation and implementation of the relationship between the Project Promoter and project partner shall comply with the applicable national adn European Union law on public procurement as well as Article 7.16 of the Regulation. 6.1 Project Promoter The Project Promoter shall be the intermediary between the Parties and DZS and shall perform all tasks assigned to it as described in the Grant Agreement and in this Partnership Agreement. In particular, the Project Promoter shall be responsible for: - administering the financial contribution of the EEA and Norway Grants (including the recovery payment, when applicable) - monitoring compliance by the Parties with their obligations - keeping the address list of Members and other contact persons updated and available - collecting, reviewing to verify consistency and submitting reports and other deliverables (including financial statements and related certifications) to DZS - transmitting documents and information connected with the Project to any other Parties concerned - coordination of the implementation of the project with respect to achieving its targets and performing the tasks assigned to it as described in the Grant Agreement - submitting interim report (when applicable) and final report within the deadlines settled by DZS The Project Promoter shall not enlarge its role beyond the tasks specified in this Partnership Agreement and in the Grant Agreement 5

6 The Project Promoter shall not be entitled to act or to make legally binding declarations on behalf of any other Party with the exception of the Grant Agreement (see 6.2 bellow). 6.2 Project Partner - Mandates the Project Promotor to act on behalf of my institution in compliance with the grant agreement - confirms that the partner institution accepts all terms and conditions of the grant agreement and, in particular, all provisions affecting the Project Promoter and the other beneficiaries (when applicable). - acknowledges that, by virtue of this mandate, the Project Promoter alone is entitled to receive funds from DZS and distribute the amounts corresponding to my institution's participation in the project - certifies that the information related to the respective partner institution contained in the project application is correct and that the partner institution has not received/applied for any other EU funding to carry out the activity which is the subject of this project application - declares that the project partner institution will do everything in its power to help the Project Promoter fulfil its obligations under the grant agreement, and in particular, to provide to the Project Promoter, on its request, documents or information may be required in relation to the grant agreement - declares that the project partner institution is not in any of the situations of exclusion set out in the project application and that it has the operational and financial capacity to complete the proposed action or work programme as set out in the project application - declares to agree on behalf of the project partner institution that the provisions of the grant agreement shall take precedence over any other agreement between my institution and the coordinator that may have an effect on the implementation of the grant agreement, including this mandate - declares that the eligibility of expenditures incurred by the project partner institution is subject to the same limitations as would apply if the expenditure were incurred by the Project Promoter - acknowledges that no project partner institution is entitled to act or to make legally binding declarations on behalf of any other Party or the Project Promoter - performs the tasks assigned to it with regard to the incomings and outgoings mobilities in accordance with the overview in Attachment 3 Mobility Plan. 6.3 The means and frequency of communication Each Party undertakes to make sure that the communications with other Parties is performed on a regular basis during the entire life cycle of the project in order to ensure proper coordination of project activities and achievement of the objectives set by all the stakeholders and its monitoring. The Parties make sure that appropriate monitoring activities are chosen according to the needs of a project and schedule agreed in order to identify actual or potential successes and problems as early as possible to facilitate timely adjustments to project operation. The beneficiary s monitoring activities must respect criteria such as efficiency, effectiveness and relevance/appropriateness. 6

7 The system of communications between/among the Parties (indicating the responsibilities, means and frequency of communication) in view of publicity, monitoring and dissemination is to be described as follows: Section 7: Financial provisions 7.1 General Principles on eligibility Eligible expenditures Eligible expenditures of projects are those actually incurred in accordance with the project application (or Attachment 5) by any of the eligible Parties, which meet the following criteria: a) they are incurred between the first and final dates of eligibility of a project as specified in the grant agreement; b) they are connected with the subject of the grant agreement and they are indicated in the estimated overall budget of the project; c) they are proportionate and necessary for the implementation of the project; d) they must be used for the sole purpose of achieving the objective(s) of the project and its expected outcome(s), in a manner consistent with the principles of economy, efficiency and effectiveness; e) they are identifiable and verifiable, in particular through being recorded in the accounting records of the beneficiary and determined according to the applicable accounting standards of the country where the beneficiary is established and according to generally accepted accounting principles; f) they comply with the requirements of applicable tax and social legislation. Expenditures are considered to have been incurred when the cost has been invoiced, paid and the subject matter delivered (in the case of goods) or performed (in the case of services and works). Non-eligible expenditures These costs in particular are not eligible: a) interest on debt, debt service charges and late payment charges; b) charges for financial transactions and other purely financial costs; c) provisions for losses or potential future liabilities; d) exchange losses; e) recoverable VAT; f) costs that are covered by other sources; g) fines, penalties and costs of litigation; h) excessive or reckless expenditure. Costs that were not incurred within the period of eligibility of expenditures set on the Grant Agreement and that are not linked to the project and its budget or for other relevant reasons set in the grant agreement shall also be considered to be ineligible Distribution of Financial Contribution 7

8 The financial contribution of the Union to the Project shall be distributed by the Project Promoter according to: - the Attachment 5 (Detailed Budget Table) in accordance with the data in the approved project proposal - the approval of reports by DZS - the provisions of payment in Article 7.4 A Party shall be funded only for its tasks carried out in accordance with the Guidelines for Applicants and Beneficiaries, Grant Agreement and this Partnership Agreement. The Project Promoter is entitled to withhold any payments due to a Party to be in breach of its obligations under this Partnership Agreement or the Grant Agreement or to a Beneficiary which has not yet signed this Partnership Agreement (in case of project partner change). The Project Promoter is entitled to recover any payments already paid to a Defaulting Party. 7.3 Justifying Costs and archiving materials Accounting system The internal accounting and auditing procedures of the Parties involved must permit direct reconciliation of the expenditures and revenue declared in respect of the project with the corresponding accounting statements and supporting documents Types of grant support EEA and Norway Grants support may take the form of a lump sum, a flat-rate grant based on a scale of unit costs, or the reimbursement of real expenses. Depending on the grant type, a combination of all or some of these types of grant support are possible. The budget for a project has to be drawn up accordingly. 1. Lump sums shall cover in global terms certain costs necessary for carrying out an action (indirect costs and overheads in the case of Programme CZ07). In the case of grants awarded as a lump sum, the beneficiary has to be able to prove that the activity for which grant support is awarded has really taken place, rather than the actual amount of expenditure. 2. Flat-rate financing shall cover specific categories of expenditure which are clearly identified in advance either by applying a percentage fixed in advance or by the application of a standard scale-of-unit cost. In the case of flat-rate grants using scales of unit costs (for example maximum daily rates for subsistence), the beneficiary does not have to justify the costs incurred but has to be able to prove the reality of activities resulting into the entitlement to a specific grant amount (for example the number of days spent abroad determine the maximum amount to which one is entitled for the stay). 3. In the case of (the part of) a grant awarded on the basis of real costs, the beneficiary shall keep and be able to produce upon request all proofs of expenditure related to the expense items based on real costs. 8

9 The Project Promoter distributes the detailed instruction on the justifying the costs are described in Annex 6 of the Grant Agreement, when needed Archiving materials The Parties involved take good note of the fact that the evidence of activities conducted and expenditures incurred has to be archived indicatively to January 1st 2028, or ten years from the date of approval of the final report for the Programme CZ07 (Scholarship) submitted by DZS. The Project Promoter is to be informed by DZS on the binding date. The beneficiary shall enable DZS and other authorities under all circumstances carry out controls/audits and make all data and documents accessible to all authorised persons concerned until this date. 7.4 Funding Principles General principles As for the real costs, Party which spends less than its allocated share as indicated in the Attachment 5 will be funded in accordance with its actual duly justified eligible costs only. Concerning both the real costs and flat rates, a Party that spends more than its allocated share of the Partnership budget will be funded only in respect of duly justified eligible costs up to an amount not exceeding that share Currency exchange rules for expenditures and its reimbursement Costs of currency exchange which are not allowed as eligible cost according have to be covered by the Parties involved and budgeted separately. The provisions on costs for currency exchnage have been settled by the Parties involved as follows: Financial Consequences of the termination of the participation of a Party A Party leaving the Partnership shall refund all payments it has received except the amount of contribution accepted by DZS. Furthermore a Defaulting Party shall, within the limits specified in Article 5.2 and Article 5.4 of this Partnership Agreement, bear any reasonable and justifiable additional costs occurring to the other Parties in order to perform its and their tasks. Any additional costs which are not covered by the Defaulting Party shall in principle be apportioned to the remaining Parties pro rata to their share in the total costs of the Project as identified in the Attachment Provisions on the method of calculating indirect costs and their maximum amount (Institutional Cooperation Projects) 9

10 Te Parties involved are osts of overheads may not exceed 10% of the sum required for Mobility (1), Costs of staff (2) and Equipment (3). Calculation of overheads shall be carried out as follows: Overheads = 0. 1*(EDC SC), where EDC eligible direct costs, SC direct eligible costs for subcontracting Management costs (Mobility projects) The total amount of project management costs is dependent on the actual number of participants who carry out a mobility. The rate is CZK 15,000 /participant. The Parties acknowledge that project partner in the Donor state has to receive at least 50 percent of the amount dedicated to project management, provided the project partners do not agree on the allocation of a higher amount to the project partner, especially in a case where the prevailing mobility is outgoing to the Donor State. The division of funds and responsibilities between/among the project partners is to be as follows: 7.4 Payments Payments to Parties are the exclusive tasks of the Project Promoter. In particular, the Project Promoter shall: - notify the Party concerned promptly of the date and composition of the amount transferred to its bank account, giving the relevant references - perform diligently its tasks in the proper administration of any funds and in maintaining financial accounts - undertake to keep the EEA and Norway grants financial contribution to the Project separated from its normal business accounts, its own assets and property, except if the Project Promoter is a Public Body or is not entitled to do so due to statutory legislation Payment schedule The payment schedule could contain the transfer of pre-financing and interim payments to Parties, will be handled according to the following : Section 8: Dissemination 8.1 Publicity 10

11 - The project partners take good notice of the publicity obligations of the Project Promoter and declare that the project partner institution will support the Project Promoter to fulfil its obligations under the grant agreement. - - The publicity obligations include implementation of the publicity plan aimed at specific target groups including activities, communication tools and timeframe, considering the added value and impact of financial mechanism funding. There are at least two information activities to be conducted on progress, achievements and results in the project, such as a seminar or a conference with stakeholders, a press conference or press event, including a launch activity and/or a closing activity for the project The information on the project should be available on the internet, either through a dedicated website or through dedicated web pages on an existing website. All projects shall have dedicated project web pages with information both in the Czech language and in English including information about the project, its progress, achievements and results, cooperation with Donor State entities, pictures, contact information and a clear reference to the EEA and Norway Grants; 8.2 Use of names, logos or trademarks The Parties take good notice that the design and usage of logos in the case of the promotional materials and other publications shall be in accordance with the recommendation set in the Communication Manual ( Nothing in this Partnership Agreement shall be construed as conferring rights to use in advertising, publicity or otherwise the name of the Parties or any of their logos or trademarks without their prior written approval. Section 9: Checks and Audits (provision on audits on the project partners) The Parties take good notice of their obligation to provide any detailed information, including information in electronic format, requested by the DZS, the National Focal Point, Financial Mechanisms Office or by any other outside body authorised to check that the action and the provisions of the agreement are being properly implemented. The Parties shall keep at the DZS s or other auditing authority s disposal all original documents relating to the agreement, especially accounting and tax records including records on the actual receipts and expenditure of the action, or, in exceptional and duly justified cases, certified copies of original documents related to the agreement on any appropriate medium which ensures their integrity in line with applicable national legislation, indicatively to January 1st 2028, or ten years from the date of approval of the final report for the Programme CZ07 (Scholarship) submitted by DZS. Binding date for records retention will be indicated on the DZS website. The Parties agree that the DZS, the national authority supervising the DZS or any other outside body authorised have an audit of the use made of the grant carried out either directly 11

12 by its own staff or by any other outside body authorised to do so on its behalf. Such audits may be carried out throughout the period of implementation of the agreement until indicatively to January 1st 2028, or ten years from the date of approval of the final report for the Programme CZ07 (Scholarship) submitted by DZS. Binding date for records retention will be indicated on the DZS website. Where appropriate, the audit findings may lead to recovery decisions by the DZS. Where the checks on the event generating the lump sum or flat-rate financing reveal that the event has not occurred and an undue payment has been made to the beneficiary, the DZS shall be entitled to recover up to the amount of the lump sum or flat-rate financing. Where the beneficiary has made false declarations, the DZS may impose financial corrections, recovery payment etc. in accordance with the grant agreement. Section 10: Intellectual Property Rights Project Partners within Partnerships for projects with research component shall agree on provisions on intellectual property rights being mutatis mutandis in compliance with Regulation (EC) No 1906/2006 of the European Parliament and of the Council of 18 December The provisions on the intellectual property among the project partners are the following: Section 11: Dispute Resolutions Should a dispute arise between the Parties concerning the validity, the interpretation and/or the implementation of this Partnership Agreement, they will try to solve it through mediation. Should the mediation fail to bring about a full agreement between the Parties putting an end to the dispute, sole competent courts will be the courts of the Czech Republic. Section 12: Miscellaneous 12.1 Attachments, inconsistencies and severability This Partnership Agreement consists of this core text and Attachment 1 (Definition) Attachment 2 (List of Third Parties silent project partners) when applicable Attachment 3 Mobility plan Attachment 4 (Partnership Change) when applicable Attachment 5 (Detailed budget table) Attachment 6 (other:.) In case the terms of this Partnership Agreement are in conflict with the terms of the Grant Agreement, the terms of the latter shall prevail. In case of conflicts between the attachments and the core text of this Partnership Agreement, the latter shall prevail. 12

13 Should any provision of this Partnership Agreement become invalid, illegal or unenforceable, it shall not affect the validity of the remaining provisions of this Partnership Agreement. In such a case, the Parties concerned shall be entitled to request that a valid and practicable provision be negotiated which fulfils the purpose of the original provision Assignment and amendments No rights or obligations of the Parties arising from this Partnership Agreement may be assigned or transferred, in whole or in part, to any third party without the other Parties prior formal approval. Amendments and modifications to the text of this Partnership Agreement not explicitly listed in Section 12.1 require a separate agreement between all Parties Mandatory national law Nothing in this Partnership Agreement shall be deemed to require a Party to breach any mandatory statutory law under which the Party is operating Language This PartnershipAgreement is drawn up in English, which language shall govern all documents, notices, meetings, arbitral proceedings and processes relative thereto. 14 Attachment 1: Definitions Action A term used for the collection of activities related to mobilities, placements or institutional cooperation that are executed within a project. An action is followed by a phase of follow-up activities, i.e. publicity and dissemination (see charts in chapter 3. Administrative cycle and 6.3. General principles on the eligibility of expenditures). 14

Call for grant application submission A defined period during which applicants may submit a grant application to DZS. Employees of institutions at the primary, secondary or tertiary level of education. The institution and the respective employee must have signed a valid contract of employment. A phase that comes after project completion. It covers publicity and promotional activities. An agreement concluded between the beneficiary and DZS that treats the amount of the contribution from EEA and Norway Grants and the subsequent contractual obligations. An application completed in prescribed form and in accordance with rules specified in respective call. By submitting the application to DZS the applicant requests financing for the proposed project/placement from the EEA and Norway Grants. Mobility stands for a foreign trip, from the beneficiary`s country to the receiving institution, executed within a project for the purpose of study or other eligible activities. One return trip of one person constitutes one mobility. An institution involved in cooperation with the beneficiary. Such cooperation is contractually binding. The partner institution can be located in Donor states as well as in the Czech Republic. A partner institution may be a receiving institution. Placement stands for a foreign trip, from the beneficiary`s country to the receiving institution, executed by an individual beneficiary for the purpose of study or other eligible activities. Elaborated intent, schedule or plan of a certain future activity or its result that is bounded by time, aim and sources. A project proposal is elaborated and submitted to DZS in response to the respective 15

The date of a beginning of project and its activities that is defined by a concrete date. The date is set by the beneficiary and is set out in a grant agreement. A start of project must not precede the signature of the grant agreement by DZS. The end of a project is defined by the date when the request for payment is sent by the DZS. Stands for processes the project undergoes in all its phases. Among other things, it comprises administrative and financial cycles that follow the respective programme rules. An institution that receives participants of mobilities or placements and at which the mobility or placement is executed. If the beneficiary`s country is the Czech Republic, the receiving institution is in the Donor states and vice versa. An institution at which the participant educates himself/herself or works. An eligible applicant is a student enrolled to study in the institution at the tertiary level of education in the Czech Republic. The course of study is not discontinued.
