1 BYLAWS of the TULSA GEOLOGICAL SOCIETY, INC ARTICLE 1 - MEMBERSHIP 1. The Membership of the Tulsa Geological Society (TGS) shall be classified as Active Members, Emeritus Members, Honorary Members, Associate Members and Student Members. 2. Active Members shall consist of all persons who heretofore acquired membership in a regular manner and those persons who shall hereinafter be elected Active Members as provided. Only Active Members shall be entitled to vote and hold elective offices. Emeritus Members and Honorary Members are special classes of Active Members. 3. Persons wishing to become Active members shall submit to the Council an application signed by one (1) Active Members of TGS. An applicant shall be elected an Active Member by an affirmative vote of six (6) or more members of the Council. 4. A person may be eligible for election to Active Membership by satisfying any one of the following qualifications. a. Completion of thirty (30) hours of geology at a recognized college or university. b. Completion of one (1) year of employment in the field of geophysics, petroleum engineering, or other sciences allied to geology, following graduation from a recognized college or university. c. Completion of three (3) years' employment in the field of geology or allied sciences if the educational qualifications are insufficient. 5. Honorary Members shall be elected by a unanimous vote of the Council from those persons who are or were Active Members of TGS and who have contributed greatly to the improvement of the profession and the advancement of the science. Honorary Members shall not be required to pay dues and special assessments. 6. Any Member who is sixty-five (65) or older and has been an Active Member of TGS for ten (10) years may make a written request to become an Emeritus Member. 7. Persons wishing to become Associate members shall submit to the Council an application signed by one (1) Active Members of TGS. An applicant shall be elected an Associate Member by an affirmative vote of six (6) or more members of the Council. A person may be eligible for election to Associate Membership by satisfying any one of the following qualifications. a. Completion of one (1) year of employment in an industry associated with the geological sciences or other sciences allied to geology, following graduation from a recognized college or university. b. Completion of three (3) years' employment in an industry associated with the geological sciences or other sciences allied to geology if the educational qualifications are insufficient. Associate Members shall have all the rights and privileges of other Members of TGS, except the right to vote or to hold elective offices. 8. Any full or part-time student attending an accredited university and majoring or minoring in the subject of geology or earth science may apply for a Student Membership in TGS unless they have already met any one of the requirements for Active Membership. An applicant shall be Page 1 of 6

2 elected a Student Member by an affirmative vote of six (6) or more members of the Council. a. A Student Member, after achieving the qualifications necessary for Active Membership, must apply for Active Membership no later than June 1 of the following Fiscal Year. b. Student Members have all the rights and privileges of other Members of TGS, except the right to vote or to hold elective offices. 9. The Fiscal Year shall begin July 1 and end at the close of business June 30 of the following year. 10. The annual dues of Active and Associate Members shall be determined by the Council. The annual dues of an Emeritus Member shall be no more than ½ of Active Member dues. The annual dues of a Student Member shall be determined by the Council. All dues are payable prior to June 30. Members in arrears after July 30 shall lose their Membership. Those former Active Members who wish to be reinstated must reapply for Active Membership in accordance with Article 1, paragraph 3, of the Bylaws. Those former Student Members who wish to be reinstated must reapply in accordance with Article 1, paragraph 7, of the Bylaws. Dues notices shall be mailed on or before May 1. A final dues notice may be mailed on or before June Special assessments may be levied, upon the recommendation of the Council, by a majority vote of the Active Members present at any regular meeting, provided that the proposal has been moved and discussed at a previous meeting. 12. Members elected by the TGS prior to January 1 shall pay full dues for the current Fiscal Year. ARTICLE II- OFFICERS AND COUNCIL 1. The Officers of the TGS shall be: President, President-Elect, Vice President, Secretary, Treasurer, and Editor. 2. The Council shall consist of the Officers, the Past President, and three (3) Councilors-at- Large. 3. The Officers and Councilors-at-Large shall be elected by ballot or acclamation at the Annual Meeting to be held in May, and shall hold office for one (1) year from July 1 to June 30 of the following year. 4. The President shall preside at the meetings of the Council. The President shall call special meetings when deemed advisable shall appoint all committees except as otherwise provided: and jointly with the Secretary shall sign all written contracts and other obligations of TGS. The President shall prepare an Operating Budget for the Fiscal Year which shall be reviewed and approved by the Council at a Council meeting no later than September. In the temporary absence of other Officers, the Presdient shall assume their duties. If the President and President-Elect and Vice President are absent, then any previous President shall be called upon to preside. The President shall review the year s activities of TGS at the Annual Meeting. 5. The President-Elect shall be responsible for at least one TGS event each month, programs of TGS, shall perform the duties of the President in the absence or disability of that Officer, and in the case of the President's resignation shall become President for the remainder of the Fiscal Year. The President-Elect shall succeed to the office of President in the following year. The President-Elect may enlist the assistance of any Members in carrying out responsibilities for his/her planned events. Page 2 of 6

3 6. The Vice President shall be responsible for all arrangements relative to at least one TGS event each month and shall preside at these events. The Vice President may enlist the assistance of any Members in carrying out responsibilities for those events. 7. The Secretary shall keep a record of all meetings of TGS and the Council; shall provide copies of the minutes of each Council meeting to members of the Council for review before the next Council meeting; shall mail advance notices of meetings to all Members. 8. The Treasurer shall collect membership dues and other funds due TGS; shall make all routine disbursements and any special disbursements authorized by the Council; and shall transact any other business approved by the Council. The Treasurer shall report on the financial condition of TGS at each Council meeting and at the Annual Meeting. 9. The Editor shall coordinate the publications functions of TGS and shall be Chairman of the Publications Committee referred to in Article V. The Editor shall appoint a Newsletter Editor with the approval of the Council. 10. The Council shall transact all business of TGS not otherwise specifically provided for. The Council shall elect all Active, Honorary and Student Members to TGS, authorize expenditures, direct investments of TGS funds, establish and supervise publications, appoint the Nominating Committee, approve and recommend all proposals for special assessments, fill vacancies occurring in any office except in the office of President, to which the President- Elect automatically succeeds, and shall have the power to review all actions and appointments by the Officers. 11. It shall be the duty of the Council to insure the allowed representation in the American Association of Petroleum Geologists (AAPG) House of Delegates and in the Mid-Continent Section of the AAPG. 12. The Council shall review, amend or modify, and approve the President's operating budget at a Council meeting no later than September. 13. Indemnification of Officers, Councilors and Members. This Society shall indemnify and hold harmless each Officer, Councilor and other Member now or hereafter serving this Society from any and all claims and liabilities resulting from serving this Society. This Society shall reimburse each Officer, Councilor or Member all legal and other expenses reasonably incurred in connection with defending such claims and liabilities. However, if the Council of this Society, in a majority judgment, determines that the claim or liability resulted from negligence or willful misconduct, then no indemnification shall be provided to that Officer, Councilor or Member. The foregoing right of indemnification shall not be exclusive of any other rights to which the Officer, Councilor or Member may be entitled as a matter of law, nor limit in any way the right of the Council to make different or further indemnification. ARTICLE III - MEETINGS 1. The Annual Meeting shall be held in May. The order of business shall be: a. Call to Order b. Report of Officers and Standing Committees c. Election of New Officers d. Deferred Business e. New Business f. Announcements g. Necrology Page 3 of 6

4 h. Technical Program i. Adjournment 2. The TGS shall hold at least two events each month from September through May. The Council may approve changes to this schedule to accommodate conflicts with Holidays or other professional functions. 3. A meeting of the Council shall be called once each month from August through May, at a place designated by the President, to transact such business as may properly come before the Council. Additional meetings may be held at the call of the President or any three (3) members of the Council. The presence of six (6) members of the Council shall be necessary for a quorum, and a majority vote of those present shall be required for a decision on any motion except as otherwise provided in the Bylaws. 4. The dates of the meetings as provided in paragraphs 2 and 3 above may be altered by the President in order to serve the best interest of TGS provided that the members are notified in advance of the altered date. ARTICLE IV - COMMITTEES 1. Nominating Committee - The Council shall appoint a Nominating Committee at least four (4) weeks prior to the Annual Meeting which shall consist of five (5) Active members, two (2) of whom shall be former Presidents of TGS. The immediate Past-President shall be the Chairman of the Nominating Committee. This Committee shall select one (1) candidate for each office and three (3) candidates for Councilors-at-Large. 2. Auditing Committee - The President, each year at the beginning of his/her term of office, shall appoint an Auditing Committee, which shall consist of three (3) Active Members. It shall audit TGS's annual financial statements. This Committee shall report the results of the audit to the Council before September 15, in order to insure submittal of tax forms to the Internal Revenue Service before October Membership Committee - The President, at the beginning of his/her term, shall appoint a Membership Committee, which shall consist of three (3) or more Active Members with the Chairman being one of the Councilors. It shall review all applications for Membership and insure that the application cards are property completed and presented to the Council for consideration and approval. It shall maintain a current membership file and listing. It shall provide updated listings to the Secretary and Treasurer. 4. Publications Committee - The President, each year at the beginning of his/her term, shall appoint a Publications Committee after consultation with the Council. The Publications Committee shall consist of the Editor and as many additional members as shall be deemed necessary by the President in accordance with the volume of activity to be handled. The duties of this Committee shall be to administer the TGS publication program as described in Article V. 5. Honors and Awards Committee - The President, at the beginning of his/her term, shall appoint an Honors and Awards Committee. The Chairman shall be a past President of the society. The awards of the Tulsa Geological Society shall include: Honorary Membership. Honorary Membership is the highest award of the Tulsa Geological Society. This honor is bestowed upon those members who have distinguished themselves by their long-term service and devotion to the geological sciences and the profession. Distinguished Service Award. The Distinguished Service Award is the second highest Page 4 of 6

5 award of the Tulsa Geological Society. This award shall be bestowed upon those members who have distinguished themselves by their service to the Tulsa Geological Society and the profession. 6. The President, whenever directed by the Council, shall appoint Special Committees to take care of Educational, Social and other activities, the Committees may include, but shall not be limited to, the following: Continuing Education Committee Social Committee Field Trip Committee Outside Education Committee Publicity Committee Personnel Placement Committee Boy Scouts Committee Student Liaison Committee Remembrances Committee ARTICLE V - PUBLICATIONS 1. The Publications Committee shall be responsible for the administration of TGS's publications program and for the editing, printing and distribution of its publications. The Editor shall coordinate the preparation and distribution of all publications of the TGS. 2. Special technical publications may be published only when it is financially feasible and when approved by not less than seven (7) Members of the Council. 3. For each publication approved by the Council, an Associate Editor will be appointed by the Editor with the approval of the Publications Committee. 4. The Editor, as soon as practical after assuming office, shall submit to the Council an annual budget for all publications, which shall be reviewed and approved by the Council. ARTICLE VI - ELECTIONS 1. The President shall announce the candidates for office, selected by the Nominating Committee, at the last regular meeting preceding the Annual Meeting. Additional nominations for any office may be made in writing by five (5) or more Active Members at any time prior to the election, The election of Officers and Councilors-at-Large shall be held at the Annual Meeting and shall be conducted by written ballot whenever two or more candidates are nominated for any office. A majority vote of the Active Members present and voting in elections shall be required for election. Page 5 of 6

6 ARTICLE VII - AMENDMENTS 1. The Bylaws may be amended by a three-fourths vote of the Active Members present at any regularly scheduled meeting, provided that the proposed amendment has been approved for submittal by the Council and has been moved at a regular meeting previous to the meeting at which the ballot shall be taken. ARTICLE VIll - MISCELLANEOUS 1. The above and foregoing are the official Bylaws of the Tulsa Geological Society, Inc. Adopted by vote of the Council (Trustees) on the 27th day of June, 1963, having been approved by vote of the Membership on the 6th day of May, 1963, and amended by vote of the Membership on the 20th day of March, 1968, on the 22nd day of November, 1971 the 15th day of May, 1972, on the 3rd day of April, 1973, on the 18th day of February, 1975, on the 25th day of October, 1983, on the 24th day of May, 1994, on the 28th day of April, 1998, on the 25 th day of April and the 2 nd day of May, 2000, on the 25th day of May, 2004, on the 9th of November, 2004, on the 8 th of May, 2007 and on the 26 th of May, Page 6 of 6
