Participation in the Piper Jaffray Rewards program ( Program ) and the benefits of the Program are offered at the sole discretion of Piper Jaffray. Enrollment in the Program, with the establishment of a Prime Account, occurs automatically when your Prime Account debit card is activated. The Program is offered at no additional charge to Piper Jaffray Prime Account debit cardholders, at the sole discretion of Piper Jaffray. 2. Eligibility. Only Prime Account debit cardholders in the United States and in good standing may be eligible to become members ( Members ) in the Program. Additional exclusions may apply. All purchases on the Prime Account debit card, whether by the primary or joint cardholder or by an authorized user, will be treated as the purchases of the Member debit cardholder(s). You are eligible to participate in the Program only if your Prime Account debit card is not closed by either you or us, nor in default, or otherwise in violation of your Prime Account Agreement(s) with us (the Asset Management Account Banking Services Agreement) as amended from time to time. You may qualify to earn reward points under the Program based on dollars spent in purchases made through Prime Account debit card transactions, excluding cash withdrawals (ATM and cash advances) transactions, and net of returns. Piper Jaffray reserves the right to disqualify you from participation in the Program if, in sole judgment of Piper Jaffray, you appear to be using the Program in violation of these Terms and Conditions, or in a manner that is inconsistent with the intent of the Program. Piper Jaffray reserve the rights to terminate your membership in the Program at any time. Termination of the Program for any reason may result in the loss of all Rewards Points accumulated in your Rewards account and the cancellation of all benefits and privileges associated with the Program. 3. Termination of or Change in Program: If your Prime Account is closed by you or us, membership in the Program will terminate immediately and any remaining Rewards Points balance will be forfeited. In addition, Piper Jaffray may terminate the Program at any time, with or without notice. Piper Jaffray reserves the right to limit, modify, delete or otherwise change any of the rules, terms and conditions, and benefits of the Program for any reason at its sole discretion, with or without notice. All interpretations of these Terms and Conditions and all questions and disputes regarding eligibility of transactions shall be decided in the sole discretion of Piper Jaffray, whose decisions will be final. 4. Eligible and Ineligible Transactions: Rewards Points may be earned upon receipt and activation of your Prime Account debit card. From time to time, Piper Jaffray may offer special promotions to provide additional opportunities to earn bonus Rewards Points. The following transactions do not earn Rewards Points: Cash withdrawals, including ATM and cash advances; purchases returned for credit back to your Prime Account debit card; purchases of traveler s checks; purchases made in violation of law or the Prime Account Agreement.

Calculation of Rewards Points: The Program is based on a points system in which after you are enrolled as a Member, you will earn one Rewards Point for every eligible dollar spent using your Prime Account debit card (except for ineligible transactions such as ATM and cash advances), net of purchases that are returned. You can earn up to 250,000 Rewards Points each year. Rewards Points may be redeemed for a variety of exciting rewards ( Rewards ) such as: air travel, car rental vouchers, gift cards, and brand name merchandise including electronics, housewares, lawn and outdoor equipment, jewelry and sporting goods. Concierge service is also available to Members at no additional charge to purchase event tickets, schedule trips or vacations, or buy and send a gift to someone special. Piper Jaffray partners with Carlson Marketing Group ( Carlson ) for the redemption of Rewards Points for Rewards and concierge services. Rewards are available after you have accrued 1,975 or more Rewards Points. You may earn up to 250,000 Rewards Points each year. No combination of Rewards Points will be permitted (for example, family members with separate Prime Accounts may not combine their Rewards Points). Rewards Points are not transferable in the event of death, or as part of a domestic relations matter, or for any other reason. The sale or barter of any Rewards Points is prohibited. Earned Rewards Points will be credited to your Rewards account between the 25 th and 29 th of each month (depending on the monthly cycle date for your Prime Account). Earned Rewards Points will appear on the Rewards Account balance on your Prime Account statement and may be accessed through the Rewards online catalog site, located on our secure client website at Rewards Points have no cash value and will not be exchanged for cash, credit or gift cards/certificates and may not be used as payment on or deposit to any Piper Jaffray account. Rewards Points will expire five years from the date they are earned. Rewards Points are forfeited when your Prime Account is closed or your Prime Account debit card is deactivated. 6. Reduction or Elimination of Rewards Points: Credits applied to your Prime debit card, including those arising from returned merchandise and other adjustments, may reduce or eliminate Rewards Points accumulated in the Program. Piper Jaffray reserves the right to make this reduction before or after the Rewards Points for a purchase have been calculated or Rewards Points have been added to your Rewards Account balance, which may result in a negative Rewards Account balance. Piper Jaffray also reserves the right to charge your Prime Account an amount that represents the value of any Rewards redeemed in the event that you return the merchandise or otherwise reverses the transaction for which the Rewards Points were earned. 7. Other Terms: Any tax liability connected with receipt or redemption of Rewards Points is your responsibility. You should consult your tax-advisor if you have any tax-related questions. By participating in this program, you release and hold harmless Piper Jaffray, its affiliates, Carlson, and other service providers retained by Piper Jaffray or Carlson for the Program from all claims or damages arising out of the use of any Reward, including, but not limited to, physical injury or death resulting from travel taken as a result of this Program. Events beyond our control, such as computer equipment or electronic data transmission failure, strike, acts of God, civil disturbance or war, which may materially affect our ability to perform, will allow us to suspend or terminate the Program. 8. Release of Information: By enrolling in the Program, you agree and affirmatively consent to the release of information about you to third parties, including to our primary Rewards Program service provider, Carlson, to the extent that such release of information is necessary to carry out the Program. 9. Change of Address: You are responsible for advising Piper Jaffray in writing of any address or name change. 10. Redemption of Rewards Points for Rewards: To redeem Rewards Merchandise, you may access the Rewards online catalog site via our secure client Web Site at You may also call the Prime Line service phone number at , option 5, Monday-Friday, 8:00 a.m.-8:00 p.m. Central Time. To redeem Rewards Travel, call the Prime Line service phone number Monday-Friday, 8:00 a.m.-8:00 p.m. Central Time; or Saturday 12:00 p.m.-4:00 p.m. Central Time (closed Sundays and recognized holidays). You must be an active Prime Account debit cardholder and Program Member to redeem Rewards Points. 11. Rewards Merchandise: If you elect to use your Rewards Points for Rewards Merchandise featured on the Rewards online catalog site, the following terms and conditions will apply to the merchandise you select: In-stock items shipped from Carlson s distribution center(s) are normally shipped within three to five business days of Carlson s validation and verification of an order. Participants will be notified if an item is temporarily out of stock. Items shipped directly from a supplier normally require three to six weeks for delivery. If you are ordering specialty items such as furniture, which may require extended delivery time, you will receive an order acknowledgement indicating delivery schedule. If an item is not available, Carlson reserves the right to substitute an item of equal or greater value. If a suitable substitute is not available, Carlson will give you the opportunity to either make an alternate item selection or have your Rewards Points re-deposited into your Rewards account. Carlson requires complete shipping information as defined above including, but not limited to, street address and telephone number. Incomplete information may result in an extended order processing time or an inability to process the order. Please note that Carlson is unable to ship to a P.O. Box. By requesting shipment of a Reward to an address different than that indicated on the account, you assume full responsibility. Rewards Travel: If you elect to use your Rewards Points for Rewards Travel, all such Travel must be arranged through Carlson s travel division, Carlson Leisure Travel Services. You may contact Carlson by calling the Prime Line Customer Service phone number, option 5. The following terms and conditions will apply to Rewards Travel you select: Air Rewards: Major scheduled air carriers, depending on availability, will be ticketed by Carlson to fulfill Rewards, with the air carrier selected for each itinerary at the discretion of Carlson. Reservations must be made through Carlson 21 days in advance of travel. The maximum cost of a round-trip airline ticket may not exceed $500 for 25,000 to 35,000 redeemed Rewards Points, $1,000 for 50,000 redeemed Rewards Points, and $2,000 for 100,000 redeemed Rewards Points.

5 Saturday-night stay is required. All air travel for each Rewards redemption must be on the same airline carrier. This may include a carrier s commuter or regional airlines, with a common designator code typically carrying the colors and logo of the mainline carrier (e.g., American Airlines and American Eagle are both coded AA). However, flights which are marketing arrangements using a dual or multiple code-share facility will not be treated as being on the same airline carrier. Travel for U.S. domestic tickets must be on a U.S. based airline carrier only. There must be seat availability in the 21-day advance purchase fare categories for the itinerary requested. Carlson s trained reservation agents will attempt to provide the flights closest to your needs. However, there could be times when Carlson s reservation agent will recommend flights and routings other than what you have requested due to the availability of space in the inventory class as available. All flights must return to the original destination city. Open jaw, circle trips and one-way flights are not allowed. Select cities apply for travel outside the domestic 48 states. In addition to any published airline charges, Carlson will charge a $30 service fee to refund or cancel tickets prior to travel date. Once issued, name changes are not permitted. Any fuel surcharges or other surcharges imposed by government agencies, airlines or other authorities after September 11, 2002 are not included in the Rewards pricing unless specifically noted as included in the pricing. En route stopovers are not permitted unless they are to make direct connections. Minimum or maximum stays may apply to certain fare categories. All return travel must be initiated within thirty (30) days of original departure date. Tickets are for coach class service only, unless specifically noted otherwise. Rewards Travel redemptions will be permitted 2 connections for each direction of travel (outbound and return). For example: if traveling from New York City to Flagstaff, Arizona, the traveler could fly New York to Dallas, Dallas to Phoenix and Phoenix to Flagstaff (the 2 connection points being Dallas and Phoenix in this example). If you request a paper ticket, instead of an electronic ticket, you will incur a $30 Carlson processing fee in addition to supplier charges. Domestic Airline Exception Ticket If you would like to redeem points for tickets outside the standard program rules (i.e. waive the Saturday night stay or 21 day advance purchase) for a domestic airline ticket, then you may redeem 25,000 points for a $300 credit towards the ticket value. A $25 fee will be charged for this option. If the airline ticket is less than $300 dollars the cardholder will not receive the difference. CLG s call center representatives will have the ability to make airline reservations for Cardholders requesting travel itineraries that do not meet all the program terms and conditions. $100 Off Travel Credit To be used as a credit towards the purchase of airline tickets or land vacation packages of greater value. Reservations must be booked through the Award Travel Reservation Center, using the Piper Jaffray Debit Card. There is no limit to the number of $100 Travel Credits that a cardholder can apply towards their purchase. Credits must be used in $100 increments and points must be available at the time of booking. Any amount of credit taken over the cost of the reservation will have no cash value. For airline tickets the credit will be taken at the point of sale. For Vacation packages, the cardholder is responsible for full payment of the package on their Program Credit Card. The appropriate credit will be applied to the account, within 60 days after the final payment has been made on the package. Other terms and conditions may apply. Cruise Credit Options $250, $500, $800 and $1000 Credit towards the purchase of a cruise. To be used as a credit towards any cruise vacation package of greater value. The cardholder is responsible for full payment of the package on their Program credit card and reservations must be made through the Award Travel Reservation Center. When final payment has been applied to the cruise, the cardholder s points will be redeemed and they will receive a credit on their Program credit card for the amount of the cruise, within 60 days. Any amount of credit taken over the cost of the reservation will have no cash value. Other terms and conditions may apply. Cruise Program Rates are cruise only, per person, based on double occupancy, and subject to availability at time of booking. Some holiday blackout dates and other restrictions may apply. Rates/cabins/offers are capacity controlled, and may change or expire at any time without notice. Airfare and pier-to-ship transfers are additional. Rates include Port Taxes (Port Service Fees). Government taxes and fees (which consist of all taxes and fees imposed by U.S. and foreign governmental and quasi-governmental authorities, including without limitation U.S. Customs and Immigration fees, ship passengers international departure tax, and international arrival and departure taxes) are additional. Not included in these rates: Airfare; gratuities; shore excursions;

6 transfers; medical services; some beverages; certain specialty restaurants; gift shop purchases; casino gaming; beauty salon/ barber shop/spa services; laundry; photographs; or internet; and other items of a personal nature. Cruises are nonrefundable and subject to change fees once the reservation has been confirmed. Any changes or cancellations will be assessed a $75 change fee plus any fees or penalties imposed by the Cruise Line. It is the guest s responsibility to obtain visas, passports, and other documentation including vaccinations for infectious diseases. Travel dates are subject to individual cruise lines schedules and are subject to change without notice.
