1 Request for Proposals RFP Title: Search Firm for Selection of Executive Vice President & Chief Financial Officer Posting Date: January 13, 2015 Proposal submission deadline: February 3, 2015, 5:00 PM EST Purpose of the Request for Proposal (RFP): The intent of this RFP is to obtain proposals from qualified executive search firms to assist NeighborWorks America (NWA) in selecting an Executive Vice President & Chief Financial Officer. Background on NeighborWorks America: NeighborWorks America is a national non-profit organization created by Congress in 1978 to provide financial support, technical assistance and training for community-based revitalization efforts. It is composed of three major parts: NeighborWorks America, the founder of the NeighborWorks network, provides support to and strengthens NeighborWorks organizations by providing training, technical assistance, funding and organizational assessments. NeighborWorks America was created by Congress in 1978 in order to revitalize older urban neighborhoods by mobilizing public, private, and community resources at the neighborhood level. Today, NeighborWorks America supports more than 240 organizations revitalizing their communities in rural and urban America. The NeighborWorks Network is a national network of more than 240 independent, community-based nonprofit organizations working to revitalize urban, suburban, and rural communities through the work of thousands of residents, business people, government officials and other partners. Related Capital Corporations. NeighborWorks America works with several specialized capital corporations to build partnerships, develop loan products, and support financing vehicles that expand affordable housing opportunities in communities served by local NeighborWorks organizations. Background on Division/Program: The Executive Vice President & Chief Financial Officer (CFO) is an officer of the Corporation and, as such, is responsible for helping to determine the strategic direction of the Corporation as well as directing the fiscal functions ensuring compliance with all regulatory and advisory organizations. This position is located in Washington, DC. The CFO supervises the Finance, Financial Planning & Analysis, Information Management, Human Resources, Procurement, and Administrative Services divisions of the Corporation (approximately 55 staff with 6 direct reports). The CFO works with the board of directors and the executive management team to establish long-range goals, strategies, plans and policies. NWA s board is comprised of statutorily designated representatives from the Federal Reserve Board of Governors, the Office of the Comptroller of the Currency (OCC), the U.S. Department of Housing and Urban Development (HUD), and the National Credit Union Administration (NCUA).

2 NeighborWorks employs over 330 staff, has an annual operating budget of approximately $250 million, and generates an additional 10 to 15% of its core appropriated budget in grants and contracts to support the activities of NeighborWorks America and its Network. As a Congressionally funded non-profit organization, NeighborWorks America is subject to compensation limits. An attractive compensation and benefit package, within statutory limits, and progressive pension/savings/health plan will be offered. Scope of Services: The contractor will conduct interviews, assessments, sourcing, meetings, reference checks, facilitated discussions, contract negotiations and work necessary to secure Executive Vice President & Chief Financial Officer. Contractor services include, but are not limited to the following: 1. Develop Job Description Working in partnership with NeighborWorks America, the Contractor will review and edit as necessary the required set of skills and competencies, the required experience and other characteristics necessary to meet the needs of the corporation (see Attachment A). 2. Develop milestones and a proposed timeline and support /assist Human Resoucrces Division and the Search Committee throughout all phases of the search and selection process. 3. Develop and advertisement the position announcement, including distribution of position announcement to prospective candidates. 4. Work with NeighborWorks America on a thorough search process to ensure the best candidate applies for and is hired for this position. 5. Provide guidance and direction to the search committe during interviews and open forums, as required. 6. Finalize a process with Human Resources for interviews of the candidates during the interviews rounds. 7. Conduct in-depth reference checks of finalist candidates. 8. Assist and provide information on the final selection and negotiation with the selected candidate as directed by Human Resources. Proposal Format: We request the following items in proposal submissions: 1. Cover letter (2 page limit). The cover letter should provide point of contact information for your firm and clearly state any RFP requirements that you will not be able to perform. 2. The proposal must address the following areas in a clear and consise manner: a. Overview of your firm i. Capacity to conduct this search ii. Years in business iii. Average time to close b. Overview of recent, relevant, successful searches with titles of the positions you filled, size of organizations, industries they work in, etc. c. Description of your network/experience as it applies to a CFO position within this geographic or similar location

3 d. Overview of your process, including specifics on needs assessment, sourcing and candidate reference and background checks e. How your firm values and seeks diversity in all aspects of the search f. Your terms and conditions of any applicable replacement guarantee g. Post search support you offer 3. Schedule of work - A time line and methodology of the search process with critical milestones for consideration. 4. References from other clients/customers for services of similar scope and complexity. This should include point of contact information, a description of the services provided, and the outcome. 5. Resumes/Bios of the search professionals that will work with NeighborWorks America and their availability to conduct the search. 6. Other relevant details that you wish to include to demonstrate your firms ability to successfully complete the scope of services. 7. Fee Schedule that reflects the approach and methodology contained in your proposal, The fee schedule should include details such as proposed labor categories, hourly rates, and number of hours to accomplish the scope of services and any other direct costs (i.e. advertising expenses) associated with your proposal. Proposal Evaluation and Selection Process: Demonstrated relevant experience in facilitating senior financial management searches in the non-profit sector, particularly for national organizations receiving federal funding Past performance Demonstarted ability to meet and exceed the requirements set forth in the Scope of Services, the quality of the proposed product, and the proposed timeline Demonstrated experience in executive position searches within the Community Development and Affordable housing community Price NeighborWorks America reserves the right to determine which bidders have met the requirements of this RFP. In addition, NeighborWorks America may reject, in whole or in part, any and all proposals, waive minor irregularities in proposals, allow a bidder to correct minor irregularities and negotiate with all responsible efforts in any matter deemed necessary to serve the best interest of NeighborWorks America. NeighborWorks America reserves the right to reject any and all proposals when such rejection is in the interest of NeighborWorks America, to reject the proposal of a bidder who has not met the prerequisites of the bid proposal or who has previously failed to perform properly or complete on time contracts of a similar nature, and to reject the proposal of a bidder who is not, in the sole opinion of NeighborWorks America, able to perform the contract to the sole satisfaction of NeighborWorks America. NeighborWorks America also reserves the right to waive any informalities and technicalities in the bidding. NeighborWorks America reserves the right, however, to award the contract in accordance with its best interest, and will not be required to accept the lowest bid. NeighborWorks may upon its discretion establish a competitive range of qualified proposals for award consideration. NeighborWorks will not conduct discussions or negotiations with firms not within the competitive range and those firms will not be considered for award.

More than one-third of these organizations serve rural communities. Together with its national and local partners, NeighborWorks provides grants, programmatic support, training and technical assistance to its national network. The NeighborWorks Network: Provides pre- and post-purchase foreclosure intervention counseling to individuals and families of modest means; Helps lower-income families buy their own homes; Preserves homes through foreclosure prevention programs; Provides families with emergency and other home-repair services; and Serves communities through professionally trained staff offering one-on-one counseling, loans to network organizations and referrals to resources for affordable financing for housing rehabilitation or repair. 1

6 Related Capital Corporations NeighborWorks America collaboratively works with several specialized capital corporations that serve the NeighborWorks network (chartered independent organizations) by developing and enhancing resources for the acquisition, development, sale, financing or ownership of affordable single- and multi-family properties and commercial projects. NeighborWorks Capital Corporation provides affordable, flexible and innovative financing to customers and provides financing solutions to address the changing real estate and credit markets for the affiliated NeighborWorks organizations in the real estate line of business. Community Housing Capital (formerly NHSA-CDFI): Neighborhood Housing Services of America-Community Development Financial Institution (NHSA-CDFI) changed its name in 2009 to Community Housing Capital (CHC). CHC serves the NeighborWorks network by providing interim development and multifamily lending for all types of affordable housing. CHC leverages private-sector debt capital from socially responsible investors. To learn more, visit POSITION SUMMARY The Executive Vice President & Chief Financial Officer (CFO) is an officer of the Corporation and as such is responsible for helping determine the strategic direction of the Corporation as well as directing the fiscal functions ensuring compliance with all regulatory and advisory organizations. The CFO manages the financial organization of the Corporation including all accounting, audit, tax, budgeting, forecasting, purchasing and financial administration functions. ESSENTIAL DUTIES/RESPONSIBILITIES Serves as an Officer of the Corporation and works with the Senior Leadership Group in developing and recommending policies having corporate-wide impact. Serves as the expert advisor to the Senior Leadership Group in all financial matters. Participates with the officers and the board in establishing the strategic direction of the Corporation. Is the financial expert for the Corporation in the strategic process. Assumes overall responsibility for the development of the budgets for financial management operations and monitors the financial execution of the Corporation s budget in relation to actual expenditures. Develops strategies and makes recommendations regarding Corporate funding sources and diversifying income to include fee-based and other revenue sources. Develops financial plans and forecasts for the Corporation. Oversees the preparation and submission of the budget to the Board of Directors and OMB and participates in Congressional hearings and reporting to federal agencies as required. Directs, manages, and provides policy guidance and oversight to all Corporation financial management personnel, activities, and operations. Establishes and implements financial operating policies and procedures designed to improve operational effectiveness, improve efficiency and safeguard the Corporation s assets. Proposes, as necessary, revisions/additions to such policies based on the changing regulatory and business environment. 3

8 Ensures that an adequate system of internal control has been implemented and is effective to ensure that the Corporation s assets are properly safeguarded. Supervises Finance, Financial Planning & Analysis, Information Management, Human Resources, Procurement and Administrative Services divisions. Oversees the recruitment, selection, and training of personnel to carry out the Corporation s financial management functions. Directs the development, approvals and management of integrated accounting and financial management systems including design and enhancement projects. Implements and manages the Corporation s asset management systems, including systems for cash management and property control. Provides advisory capabilities to network partners on best practices and proposed financial initiatives. Certifies the financial reports, exhibits and other financial analysis and timely report the results of financial operations to senior management and the Board of Directors. Communicates with the Corporation s independent auditors on ongoing basis and facilitate/manage the Corporation s annual audit and all tax compliance requirements. Provides oversight for all banking and treasury relationships including: banking, cash management, investments, and debt obligations of the Corporation. Serves on the Organizational Health Tracking Committee that reviews the health and stability of NeighborWorks chartered organizations. Negotiates, approves, manages, and continually evaluates the Corporation s vendor relationships for purchasing and supplier contracts. MINIMUM QUALIFICATIONS Undergraduate degree in Accounting or Finance years of experience in a senior financial management capacity Certified Public Accountant Working knowledge of the CFO Act; non-profit, government or quasi-governmental organizations Experience managing several departments within an organization Ability to work in a multicultural environment PREFERRED QUALIFICATIONS 4

9 Graduate degree or MBA preferred Big-4 or public accounting experience preferred NATURE OF WORK CONTACTS: Officers of the Corporation to participate in strategy development, policy recommendations, decision and policy making. Board of Directors to staff board committees, provide financial reports and information and implement board decisions. NeighborWorks America staff to provide and receive financial information for reporting, analyzing and ensuring compliance with appropriate financial regulations, executive and board directives. OMB, Congress and outside agencies during hearings, reporting and delivering information regarding financial submissions.
