1 HUDSON S BAY CREDIT ACCOUNT AGREEMENT Initial Disclosure Statement Summary of Key Terms as of January 16, 2015 Annual Interest Rates (Continued) Hudson s Bay Credit Card Purchase Rate: 29.9% Cash Advance Rate: 29.9% Initial Credit Limit Annual Interest Rates Your initial credit limit and initial cash limit will be communicated to you with your Card. These interest rates take effect on approval: Hudson s Bay MasterCard Initial Purchase Rate: 29.9% Standard Purchase Rate: Canadian Prime Rate plus 17% Initial Cash Advance Rate: 29.9% Standard Cash Advance Rate: Canadian Prime Rate plus 17% You can qualify for the Standard Rate by making an Eligible Transaction (see Annual Interest Rates in your Hudson s Bay Credit Account Agreement for details). If we do not receive your Minimum Payment by the Payment Due Date 2 times in any 12-month period, your annual interest rates will increase to, or stay at, the Initial Rate at the beginning of the next billing period. Then, if we receive at least your Minimum Payment by the Payment Due Date for 12 consecutive Billing Periods, your rates will decrease to the Standard Rate from the beginning of the 13th Billing Period if you have ever made an Eligible Transaction on the Account. Interest-Free Grace Period Determination of Interest Minimum Payment You will benefit from an interest-free Grace Period of at least 21 days on new Purchases if you pay off your New Regular Balance in full by the Payment Due Date. There is a 0-day interest-free Grace Period on Cash Advances and Balance Transfers. Purchase Balance (non-quebec) We use a method called daily balance (excluding new Purchases) to calculate interest owed and charged monthly on the last day of your Billing Period. Purchase Balance (Quebec) We use a method called average daily balance (excluding new Purchases) to calculate interest owed and charged monthly on the last day of your Billing Period. See How We Calculate Interest Charges in your Hudson s Bay Credit Account Agreement for more details. We show the Minimum Payment required on each Monthly Statement and calculate your Minimum Payment as follows: a) The greater of $10 or 1% of the New Total Account Balance, excluding any remaining Special Payment Plan balances; plus b) Any interest charges you may have; plus c) Any amounts past due; plus d) Any monthly payment due under a Special Payment Plan, if applicable. 1 2

2 Minimum Payment (Continued) Foreign Currency Conversion Annual Fee $0 Other Fees If your New Regular Balance is less than the sum of (a),(b),(c) and (d), then your Minimum Payment will be equal to your New Regular Balance. The Minimum Payment will be rounded up to the next whole dollar but will never exceed your New Total Account Balance. Hudson s Bay MasterCard When you use your Account or Card to make a Purchase or Cash Advance transaction in a foreign currency, we convert the transaction amount to Canadian dollars on the day the transaction posts to your Account. We make the conversion at the MasterCard rate of exchange current at the time, and then add a 2.5% currency conversion charge to the converted amount. Hudson s Bay Credit Card The Hudson s Bay Credit Card cannot be used outside of Canada so there is no foreign currency conversion fee applicable. Cash Advance The greater of $1 or 2% of the Cash Advance, up to a maximum of $10, charged on the date the transaction posts to your account. Returned Payment/Cheque $30 each, charged on the date of the transaction. Statement Copy $3, charged within 5 business days of when we process your request. Other Fees (Continued) Transaction Receipt Copy $2, charged within 5 business days of when we process your request. Over Limit $29, charged on the date we prepare your Monthly Statement, if on the date we prepare your Monthly Statement your New Total Account Balance is over the Credit Limit as a result of new charges (fees, interest or new transactions) posting to your Account or due to unpaid balances from the previous Monthly Statement. Balance Transfer 5% of each balance transferred (unless stated otherwise), charged on the date the Balance Transfer posts to your Account. Inactive Account We may charge you an inactive Account fee if your Account has a credit balance of less than $1 for more than 100 consecutive days. After that 100-day period, we may charge you an inactive Account fee in the amount of that credit balance. The fee will appear on your statement after 100 days of inactivity. See How We Calculate Interest Charges for details on how we calculate interest on fees. The Canadian Prime Rate as published in The Globe and Mail on the last Friday of the month before the beginning of your Billing Period. 3 4

3 You will receive a statement on a monthly basis, except if there s been no Account activity that month and nothing is owing. In the event of default, you are responsible for paying all legal costs, on a solicitor and client basis, incurred to collect or attempt to collect on your Account. These provisions are part of the terms of your Hudson s Bay Credit Account Agreement. You must contact us immediately at (from inside Canada or the U.S.) or collect at (from outside Canada and the U.S.) if your Account number or Card is lost or stolen, if someone discovers your PIN or if a person or merchant uses your Account without your authorization ( unauthorized use ). If you re a Hudson s Bay Credit Card cardholder, you re responsible for up to $50 of any unauthorized use of your Account that took place before you let us know that your Card has been lost or stolen. If you re a Hudson s Bay MasterCard cardholder, you will benefit from the MasterCard Zero Liability Policy in the event of unauthorized use of your Account, as long as you: kept your Account in Good Standing; used reasonable care in protecting your Account number, Card and PIN; and haven t reported two or more unauthorized events in the past 12 months. Please note that if you don t meet the expectations above, you may be liable for up to $50 for unauthorized use of your Hudson s Bay MasterCard that took place before you let us know that your Card has been lost or stolen. You won t be liable for any unauthorized use that happens after you let us know about the loss, theft or possible unauthorized use of your Account. But, you re still fully responsible for any Account charges if you willingly shared your PIN or gave someone access to your Account. WELCOME TO HUDSON S BAY CREDIT Your Agreement with Us This document sets out the terms of your Agreement with us. Please read it carefully and keep it for your records. This Agreement starts when your Account application is approved. There is a lot of jargon used in this Agreement that you may not be familiar with. Fortunately, we ve created a handy glossary to help you sift through it all you can find the glossary at the end of this Agreement. When we first use a word that you can find in the glossary, we put it in bold text, and from then on we capitalize it. In this Agreement, you and your mean the person who signed the application for a Hudson s Bay credit Account. You and Your don t include Authorized Users. You re responsible for ensuring that all of your Authorized Users follow the terms of this Agreement that apply to them. We ll give them a separate Card, but it s still considered the same Account. You can add or remove Authorized Users by contacting us, but we may limit the number of Authorized Users on your Account. You are responsible for any charges owing on your Account. If you let someone else, including an Authorized User, use your Account, you re responsible for any charges that person incurs. In this Agreement, we, our, and us mean Capital One Bank (Canada Branch). You have requested that we set up an Account for you. Your application for your Account forms part of this Agreement. This Agreement sets out the terms under which you may use your Account and Card. It replaces all previous Hudson s Bay Credit Account Agreements you may have entered into or received for this Account. You agree to read this Agreement and be bound by all of its terms. The terms and conditions of the Initial Disclosure Statement at the beginning of this Agreement are also included as part of this Agreement. You also agree to the Hudson s Bay Company Privacy Statement and the Capital One Privacy Statement at the end of this Agreement. 4 YOUR RIGHTS AND RESPONSIBILITIES Using Your Account If your Account is in Good Standing and there s enough Available Credit, you can use your Account for any allowed purpose, including: making a Purchase at any merchant or business that accepts the Card for payment; taking advantage of a Balance Transfer offer that we may extend to you by transferring all or part of a balance you owe elsewhere to your Account; and making a cash withdrawal at any institution or ABM that accepts your Card or recognizes your Account, subject to Cash Limits. A Cash Advance includes the following cash-like transactions that you make using your Card or your Account: drafts; money orders; cashier s cheques; traveller s cheques; electronic or wire transfers; foreign currency withdrawal and other in-bank transactions; tax payments; lottery tickets and other legalized gambling transactions; court costs; bail bonds; person-to-person payments; fines; and any other cash-like transactions. We have the right to decline authorizing any transaction on your Account at any time. We can also end your right and any Authorized User s right to make future Account transactions, or close your Account without telling you in advance. The Hudson s Bay MasterCard comes with chip technology. We ll provide the Card and a personal identification number (PIN) to you. We ll also tell you how to change your PIN. See Protecting Your PIN for information about how to keep your PIN safe and secure. a surcharge for use of an ABM. We are not responsible for and cannot control fees imposed by ABM owners/operators. By using your Card with your PIN or signing a sales slip to make any Account transaction, you re authorizing the transaction. Using your Account to make a transaction without showing your Card, such as when you use your Account number to purchase something over the Internet, is the same as signing a sales slip or entering your PIN to complete the transaction. We re not responsible if anyone refuses to accept your Card or Account for any transaction. Whenever you (or someone you authorize) use your Account, Card or PIN to make a transaction, you incur a debt to us. You must repay the debt you owe to us under this Agreement. You can incur a debt even if: your Credit Limit is exceeded; your Card is used after its expiry date; or your Card is used after your Account is closed. We own all Cards issued on your Account. Only the person whose name is on a Card attached to your Account can use that Card. You agree that you will use your Card or your Account for personal, family or household purposes only and will not use your Card or your Account for any other purpose, including for business or commercial purposes. You must only use your Account for legal, proper and lawful purposes. We have the right to prevent you from using your Account for certain types of transactions. You cannot use your Hudson s Bay MasterCard or Account to make any Account transaction at any merchant or business located in The Democratic People s Republic of Korea, Iran, Syria, Sudan and Cuba. We may update this list in the future without giving you notice. Your Hudson s Bay MasterCard expires at the end of the month of the year shown on the Card. You must not use your Card if it has expired or your Account has been closed. If you charge anything to your Account or have a recurring payment after your Card has expired or your Account has been closed, you re responsible for paying the amount owing to us, including any applicable interest and fees. The PIN will let you use your Hudson s Bay MasterCard at any chip-enabled point of sale terminal or at any ABM that displays one of the logos shown on your Card or any other logo that we may designate. ABM owners/operators may impose 7 8

5 Making Payments You re responsible for repaying all charges owing on your Account. The total you owe us includes all Purchases, Cash Advances, Balance Transfers, interest and fees, and will be shown on each Monthly Statement. Your Monthly Statement will set out the amounts due and the Payment Due Date for each Billing Period. You agree to make all Account payments in Canadian dollars. You must not use your Account to pay charges that you owe us on this Account or any debts you owe on other Accounts you have with us. The New Total Account Balance is the total amount you owe on your Account as of the statement date and will be shown on each Monthly Statement. This balance includes any Purchases, Cash Advances, Balance Transfers, fees and interest charges that posted to your Account during the Billing Period covered by the Monthly Statement. It doesn t include pending transactions that have not yet posted to your Account during the relevant Billing Period. The New Regular Balance is the amount to be paid by the Payment Due Date (shown on your Monthly Statement) in order to avoid interest charges on new Purchases. This is equal to the New Total Account Balance minus any portion of any Special Payment Plan balance that is not due yet. You are responsible for ensuring we receive at least the Minimum Payment shown on the Monthly Statement by the Payment Due Date to keep your Account in Good Standing. You must make your Minimum Payment even if you don t receive your Monthly Statement. Any payments that we receive outside of normal business hours are credited to your Account on the next business day. When a Payment Due Date falls on a holiday or weekend, we ll consider your payment made on the next business day as made on time. You can make payments on your Account at any time as follows (or as indicated on each Monthly Statement): by debit card, cash or cheque at any Hudson s Bay or Home Outfitters store; by online or telephone banking through your financial institution; or by mail (each Monthly Statement provides information about how to make payments by mail. When normal postal service is disrupted, you must continue to make your payments through another payment method). Depending on the payment method you choose, your payment may take several days to reach us and may be credited to your Account after the Payment Due Date. Keep this in mind when considering how and when to make your payment. All Account credits are subject to final payment by the financial institution where you made the payment. So if the payment through your financial institution does not clear, we ll reverse your Account credit and you will still owe us the amount of the payment, which will continue to incur interest, if applicable. We can accept late payments or partial payments or cheques or money orders marked payment in full or other similar language without losing any of our rights under this Agreement. Pre-authorized or Recurring Payments You re responsible for any pre-authorized or recurring payments you ve allowed merchants to charge to your Account, even after your Account closes. You must contact the merchant directly if you want to stop any pre-authorized or recurring payments. Then, check your Monthly Statements to ensure that the pre-authorized payments have actually been stopped. We re not responsible if any pre-authorized transaction causes you to exceed your Credit Limit or is declined. How We Calculate Your Minimum Payment We show the Minimum Payment required on each Monthly Statement and calculate your Minimum Payment as follows: a) the greater of $10 or 1% of the New Total Account Balance, excluding any remaining Special Payment Plan balances; plus b) any interest charges you may have; plus c) any amounts past due; plus d) any monthly payment due under a Special Payment Plan, if applicable. If your New Regular Balance is less than the sum of (a),(b),(c) and (d), then your Minimum Payment will be equal to your New Regular Balance. The Minimum Payment will be rounded up to the next whole dollar but will never exceed your New Total Account Balance. Applying Your Payments We apply your payments based on the type of Account transactions you ve made and on the amount and timing of the payment. 9 10

6 When you make your Minimum Payment as shown on your Monthly Statement, we will apply the payment towards your balances in the following order, as applicable: 1. Interest 2. Fees 3. Any monthly payment due under a Special Payment Plan 4. Balance Transfers 5. Cash Advances 6. Purchases You may pay more than the Minimum Payment shown on a Monthly Statement. In this case, we apply the extra amount to the rest of the New Total Account Balance shown on your Monthly Statement. If different annual interest rates apply to different parts of your New Total Account Balance, we apply any extra amount that you pay over your Minimum Payment to those different parts of your balance in order of the highest to the lowest annual interest rate. For example, if your Monthly Statement shows a Special Payment Plan at 0% interest and a Cash Advance at 29.9% interest, we apply any amount above the Minimum Payment to the Cash Advance first. Credit Limit and Cash Limit Your Credit Limit is the maximum amount you (together with your Authorized Users) can charge to your Account. We may let you make Account transactions that put you over your Credit Limit, but we don t have to (even if we have before). This Agreement covers those transactions, including our right to charge you an over limit fee if your New Total Account Balance is over the Credit Limit on the date we prepare your Monthly Statement. This includes if you go over the Credit Limit due to interest or other fees being posted to your Account. Your initial Credit Limit appears in the Welcome Kit that you receive with your Card and your current Credit Limit and Available Credit will appear on your Monthly Statements. We may lower your Credit Limit at any time without telling you in advance, but we need your consent to raise your Credit Limit. Each Monthly Statement shows the current Cash Limit as well as the Available Cash Limit. We may lower your Cash Limit at any time. Please remember that the Cash Limit is part of your total Credit Limit. In other words, it s not additional credit over and above the Credit Limit for your Account. You cannot limit an Authorized User s ability to make a Cash Advance transaction. However, you can lower your Account s Cash Limit or turn off your Account s Cash Advance service altogether. This will restrict the ability of you and any other Authorized Users to obtain a Cash Advance. Protecting Your PIN Your Hudson s Bay MasterCard has a chip, and you are responsible for keeping your PIN safe. Here are some ways to keep your Account number and PIN secret and safe at all times. Do what you can to keep your PIN a secret (e.g. covering the keypad while using an ABM) Never share your PIN with anyone Don t choose an obvious PIN (e.g. your birthday, phone number, anniversary, etc.) Memorize your PIN instead of writing it down. If you have to write down your PIN, don t label it in an obvious way and always keep it in a safe place separate from your Hudson s Bay MasterCard If you think that someone has learned your PIN, call us toll-free at or call us collect at to change your PIN. Lost or Stolen Cards You must contact us immediately if your Account number or Card is lost or stolen, if someone discovers your PIN or if a person or merchant uses your Account without permission (unauthorized use). Note that unauthorized use doesn t include use of your Account by someone you ve identified as an Authorized User. To contact us, call if you are in Canada or the United States; otherwise call collect at Your call will be answered 24 hours a day, 7 days a week. Once you ve contacted us, we can prevent your Card and your Account from being used. We can also do this without telling you if we have reason to believe that your Account is being used for fraud or without authorization. If you re a Hudson s Bay Credit Card cardholder, you re responsible for up to $50 of any unauthorized use of your Account that took place before you let us know that your Card has been lost or stolen

7 If you re a Hudson s Bay MasterCard cardholder, you will benefit from the MasterCard Zero Liability Policy in the event of unauthorized use of your Account, as long as you: kept your Account in Good Standing; used reasonable care in protecting your Account number, Card and PIN; and haven t reported two or more unauthorized events in the past 12 months. Changes to Contact Information You must tell us if the or mailing address or phone numbers we have on file for you change. We may continue sending your Monthly Statements to the address we have for you on file until we have a reasonable chance to update our records with your new information. Hudson s Bay Rewards Program Terms and Conditions By accepting this Agreement, you agree to the terms and conditions of the Hudson s Bay Rewards program. Hudson s Bay Company owns and operates the Hudson s Bay Rewards program. The terms and conditions of this program can change at any time. We re not responsible for the Hudson s Bay Rewards program. OUR RIGHTS AND OBLIGATIONS Account Fees All of the fees that we currently charge in connection with your Card and your Account are set out in the Initial Disclosure Statement at the beginning of this Agreement. Changes to Fees. We may make changes to our current fees or add new fees. If any of the current fees increase or if we add any new fees after your Account is opened, we ll notify you of the new or increased fee in writing at least 30 days before the new or increased fee takes effect. If any fees that we charge ever decrease, we ll notify you of the change by the first Monthly Statement that you receive after the change takes effect. Annual Interest Rates The Hudson s Bay Credit Card. The annual interest rate for Purchases is 29.9% (Purchase Rate). The annual interest rate for Cash Advances is 29.9% (Cash Advance Rate). The Hudson s Bay MasterCard. The initial annual interest rate for Purchases is 29.9% (Initial Purchase Rate). The initial annual interest rate for Cash Advances is 29.9% (Initial Cash Advance Rate). Together, these rates are called the Initial Rate. You can qualify for a lower purchase rate (Standard Purchase Rate) and a lower cash advance rate (Standard Cash Advance Rate). Together, these rates are called the Standard Rate. The Standard Rate is equal to the Canadian Prime Rate plus 17% per year. The Canadian Prime Rate that s used in this Agreement is published in The Globe and Mail on the last Friday of the month before the beginning of your Billing Period. You can qualify for the Standard Rate in your next Billing Period the first time you make an Eligible Transaction. Eligible Transactions are: a Purchase on your Account at a merchant other than Hudson s Bay, thebay.com, Home Outfitters, Zellers or Hudson s Bay Company service providers; or a Cash Advance, as permitted, on your Account

8 We use the posting date to determine whether an Eligible Transaction was made in any Billing Period. After an Eligible Transaction has posted on your Monthly Statement, the Standard Rate will come into effect on the first day of your next Billing Period. However, new customers with an Eligible Transaction in their first Billing Period will have the Standard Rate come into effect on the first day of their third Billing Period. Once the Standard Rate is in effect for you, if twice in any 12-month period, we do not receive at least your Minimum Payment by the Payment Due Date, your rates will increase back to the Initial Rate starting on the first day of your next Billing Period. Then, if we receive your Minimum Payment by the Payment Due Date for 12 consecutive Billing Periods, your rates will decrease to the Standard Rate, starting from the first day of the 13th Billing Period. If you have failed to make your Minimum Payment by the Payment Due Date twice in the last 12 months and you make an Eligible Transaction, your rate will remain at the Initial Rate. The Standard Rate will come into effect only after we have received your Minimum Payment by the Payment Due Date for 12 consecutive Billing Periods (including Billing Periods before you made the Eligible Transaction), from the first day of the 13th Billing Period. Balance Transfers. We may offer you an opportunity to transfer an existing loan balance to your Account (known as a Balance Transfer). The annual interest rate for Balance Transfers will be disclosed at the time of the offer, as well as any circumstances where the annual interest rate for a Balance Transfer may increase. Changes to Annual Interest Rates. We may increase the annual interest rate or rates applicable to your Account from time to time by notifying you in writing at least 30 days in advance. You are still responsible for paying interest at the rate or rates current at the time under this Agreement even if: you fail to meet the terms of this Agreement; we obtain a court judgment against you for payment of the debt under this Agreement; we close your Account or cancel your Card; or we demand immediate payment of any amount owing to us, including your total debt. How We Calculate Interest Charges We calculate interest charges separately for Purchases, Cash Advances and Balance Transfers for all Accounts. These are known as your Account Segments. We provide you with a Grace Period of at least 21 days on your new Purchases. You can avoid being charged interest on new Purchases by paying off your New Regular Balance in full by the Payment Due Date. However, if you don t pay off your New Regular Balance in full by your Payment Due Date, we will charge interest on these new Purchases. Unless you live in Quebec, interest will be charged from the transaction date of each Purchase until the Purchase is paid off. For customers residing in Quebec, interest will be charged on new Purchases from the start of the next Billing Period until the Purchases are paid off. For all Accounts, we charge interest on unpaid interest in each Account Segment at the annual interest rate applicable to the Account Segment. For Quebec Accounts: There is no Grace Period on Cash Advances or Balance Transfers. We charge interest on each Cash Advance or Balance Transfer from the later of the transaction date or the first day of the Billing Period in which the transaction posted to the Account. We do not charge interest on unpaid fees. For Quebec Accounts, we calculate interest on your balances every Billing Period by using an Average Daily Balance method for each Account Segment. Here s the formula for each Account Segment: First, the Daily Balance for each Account Segment is determined for Day 1 of your current Billing Period, as follows: 1. We start by taking the balance for an Account Segment from the last day of your previous Billing Period. We subtract any fees from this balance, as interest is not assessed on fees. This becomes the Opening Daily Balance for Day 1 of the current Billing Period. For the Purchase Account Segment only, if you paid your New Regular Balance from your previous Monthly Statement in full by the Payment Due Date, we subtract the Purchases that posted in your previous Monthly Statement from the balance that we started with. (This is because by paying your previous New Regular Balance in full, 15 16

9 you benefit from the Grace Period for all of your Purchases made in your previous Billing Period and you will not be charged interest on these as explained above.) If you did not pay your New Regular Balance from your previous Monthly Statement in full by the previous Payment Due Date, the Opening Daily Balance for the Purchase Account Segment for Day 1 of your current Billing Period is used as is, as we charge you interest on your previous month s Purchases starting from the first day of your current Billing Period. 2. We then add transactions that were made for that Account Segment on Day 1 of your current Billing Period. For the Purchase Account Segment only, this step is skipped because Purchases will benefit from the Grace Period, as explained above. 3. For all Account Segments we then subtract any payments and credits received on Day 1 of your current Billing Period for that Account Segment (as determined by your payment allocation). This gives us the Daily Balance for Day 1 for each Account Segment, which in turn becomes the Opening Daily Balance for Day 2 for that Account Segment. Any Daily Balance of less than zero is rounded to zero for the interest calculation. We then repeat Steps 2-3 for all other days of the current Billing Period. Finally, we add the Daily Balances for each day in the current Billing Period, and divide the total by the number of days in the current Billing Period. This gives us the Average Daily Balance for a specific Account Segment for the current Billing Period. Next, the monthly interest charge is calculated for each Account Segment by: 1. multiplying the Average Daily Balance by the applicable daily rate (which is the applicable annual interest rate divided by 365 days) to arrive at the Daily Interest Charge ; and 2. multiplying the Daily Interest Charge by the number of days in the Billing Period to arrive at the Monthly Interest Charge. The interest for each Account Segment is added together to determine the total interest due for that Billing Period and is shown on your Monthly Statement. For All Other Accounts (Accounts with Billing Addresses Outside of Quebec): There is no Grace Period on Cash Advances or Balance Transfers. We charge interest on each Cash Advance or Balance Transfer (including any fees and current interest charges) from the later of the transaction date or the first day of the Billing Period in which the transaction posted to the Account. For the purpose of interest calculation, including the applicable annual interest rate and any applicable Grace Period, cash advance fees are treated as Cash Advances, balance transfer fees are treated as Balance Transfers and all other fees are treated as Purchases. We calculate interest on your balances every Billing Period by using a Daily Balance method for each Account Segment. Here s the formula for each Account Segment: First, the Daily Balance for each Account Segment is determined for Day 1 of your current Billing Period as follows: 1. We start by taking the balance for an Account Segment from the last day of your previous Billing Period. This becomes the Opening Daily Balance for Day 1 of the current Billing Period. For the Purchase Account Segment only, if you paid your New Regular Balance from your previous Monthly Statement in full by the Payment Due Date, we subtract the Purchases that posted in your previous Monthly Statement from the balance that we started with. (This is because by paying your previous New Regular Balance in full, you benefit from the Grace Period for all of your Purchases made in your previous Billing Period and you will not be charged interest on these as explained above.) 2. We then add transactions that were made for that Account Segment on Day 1 of your current Billing Period. For the Purchase Account Segment only, this step is skipped because Purchases will benefit from the Grace Period, as explained above. 3. For all Account Segments, we then subtract any payments and credits received on Day 1 of your current Billing Period for that Account Segment (as determined by payment allocation) and round any Daily Balance of less than zero to zero. This gives us the Daily Balance for Day 1 for each Account Segment

10 4. Next, interest is calculated for Day 1 by multiplying the Daily Balance for Day 1 by the applicable daily rate (which is the applicable annual interest rate divided by 365 days). This is your interest charge accrued for Day Finally, the Closing Daily Balance is determined by adding the Day 1 Daily Balance and Day 1 interest accrued. This is your Closing Daily Balance for Day 1 and will become your Opening Daily Balance for Day 2. The above calculations are performed for each day of the Billing Period. At the end of the Billing Period, we add the interest charges that accrued each day to get the total interest charges for the Billing Period for that Account Segment. If you did not pay your New Regular Balance from your previous Monthly Statement in full by the previous Payment Due Date, we ll also charge you interest on your previous month s Purchases starting from the transaction date for each purchase until the end of the current Billing Period. We ll use the applicable monthly rates to calculate the interest. This calculated interest will then be added to the Purchase Account Segment interest for your current Billing Period. Finally, the interest for all Account Segments is added together to determine total interest due for that Billing Period, and is shown on your Monthly Statement. Special Payment Plans From time to time, we may offer a Special Payment Plan (SPP) a promotional, no-interest payment option on certain Purchases made with your Account. If you make an SPP Purchase, there may be some terms and conditions that apply that are different from the ones set out in this Agreement. Accepting those terms and conditions changes the terms and conditions of this Agreement for a limited time and with respect to the SPP Purchase only. All terms and conditions specified in an SPP Purchase disclosure document apply to the SPP Purchase until one of the following occurs (whichever happens first): you fail to meet the payment requirements as set out in the SPP Purchase disclosure document; the Special Payment Plan balance reaches $0 before your Special Payment Plan expires; or the Special Payment Plan expires. The terms and conditions of this Agreement apply to any remaining Special Payment Plan balance on your Account after any of the above happen. Monthly Statements Every month, we provide you with a Monthly Statement. However, we do not provide a Monthly Statement to you if there has been no Account activity that month and nothing is owing. We will only send Monthly Statements to you, not to any Authorized Users. You must tell us in writing of any errors on your Monthly Statement within 60 days of the receipt of your Monthly Statement. If you don t, you accept the Monthly Statement and our records as accurate and complete, except for any amount mistakenly credited to your Account. Foreign Currency Transactions When you use your Card to make a Purchase or Cash Advance transaction in a foreign currency, we convert the transaction amount to Canadian dollars on the day we receive a record of the transaction. We make the conversion at the MasterCard rate of exchange current at the time, and then we add a 2.5% currency conversion charge on the converted amount. If you use your Account for a foreign currency transaction and the merchant gives you a credit voucher or refund, the two transactions (the charge and credit) may not be the same amount. This is because of varying currency exchange rates. Assignment of Our Rights At any time, we may sell, transfer or assign any or all of our rights and obligations under this Agreement or your Account without telling you in advance. This includes our rights to payments. If we do, we can share information concerning your Account with potential buyers, transferees or assignees. We ll ensure that they agree to respect your privacy rights in the same way that we do. You may not sell, assign or transfer any of your rights or obligations under this Agreement or your Account

11 Being in Default We may consider you to be in default under this Agreement if you: don t make at least the Minimum Payment by the Payment Due Date; don t agree that you will use your Card and your Account for personal, family or household purposes only and will not use your Card or your Account for any other purpose, including for business or commercial purposes; don t fulfill any of your other obligations to us under this or any other agreement you have with us; become the subject of a bankruptcy or insolvency proceeding; or die. If you default in any way on this Agreement, we may (if permitted by law): restrict or close your Account at any time without telling you in advance and require that you immediately repay any balance including any fees and interest outstanding; lower your Credit Limit and/or your Cash Limit; file a legal claim against you to collect the entire Account balance from you; or take any other action permitted by law. If we must refer your Account for collection to a lawyer who is not our salaried employee, you must pay our legal costs, as permitted by law. This will include any court costs and legal fees. These expenses are considered a debt that you owe to us under this Agreement. Closing Your Account You may close your Account at any time by telling us. However, you re still responsible for paying any outstanding Account balances, including any debt incurred after your Account closed, and for meeting all other terms under this Agreement until your entire Account balance is paid in full. The terms and conditions in this Agreement remain in effect until you pay the entire balance owing on your Account to us. Whether you are in default under this Agreement or not, we may decide to cancel this Agreement at any time and close your Account without telling you in advance. If we do, you re still responsible for paying any outstanding Account balance until your Account is paid in full. You must also stop using your Account and Cards and return them to us if we ask you to. We can change this Agreement at any time. When we make changes that require notification, we ll notify you in writing, either by sending you a letter or by including a notification on your Monthly Statement. We will not send notifications to Authorized Users. You agree that by notifying you of any changes, we are also telling any Authorized User, if applicable. Any changes to this Agreement apply to your current and future debt. If we send you any information under this Agreement by regular mail or in any other acceptable way, we consider it as giving you notice in writing. If we send any written notice to you by regular mail, we consider that you ve received it within five (5) business days of when we mail it. The benefits and services we provide to you and your Authorized Users under this Agreement may be subject to separate terms and conditions, which will be provided to you separately if applicable. We can change these terms or conditions at any time without telling you in advance. Interpreting and Enforcing this Agreement This Agreement is to be interpreted according to the applicable laws of the Canadian province or territory where you live and the applicable laws of Canada. If you live outside of Canada, the applicable laws of Ontario apply. If there s a claim, dispute or controversy relating to this Agreement or your Account, you agree that your provincial or territorial court will be able to resolve the matter. You also agree to be bound by any judgment of that court. We may choose not to act on any right under this Agreement without giving up that right. This includes the right to apply the full amount of any charge. Any time we give up one of our rights, we must do so in writing and sign a waiver. You re required to pay all charges owing to us and you must meet the terms and conditions of this Agreement, which are unconditional and absolute. If any part of this Agreement is considered invalid or unenforceable under applicable law, the rest of this Agreement is still valid and enforceable

12 This Agreement and any application you sign or submit in connection with your Account make up the entire agreement between you and us relating to your Account. This Agreement overrules any previous agreement between you and us relating to your Account. This Agreement can only be changed according to the terms and conditions outlined in this Agreement. Each Account Segment includes unpaid transactions, fees and interest Agreement This Hudson s Bay Credit Account Agreement, as amended or replaced from time to time Authorized User A person you ve asked us to add to your Account, and who you ve authorized to make charges to your Account It s usually your total Cash Limit minus Cash Advances that have not yet posted to your Account Available Credit The amount of credit that you are able to use for Purchases, Cash Advances and Balance Transfers. It s usually your total Credit Limit minus the present balance of your Account, minus Transactions that have not yet posted to your Account Balance Transfer Transferring all or part of a balance you owe elsewhere to your Account. When we calculate interest, Balance Transfer fees are treated as Balance Transfers (except in Quebec) Billing Period The Billing Period covers the period of time between your Monthly Statements, and is usually about 30 days Card A Hudson s Bay MasterCard credit card or a Hudson s Bay Credit Card that is issued on your Account to you or an Authorized User Cash Advance When you withdraw cash from your Account or make a cash-like transaction (see the Using Your Account section of this Agreement for a description of cash-like transactions). Note that the amount of the Cash Advance may include a surcharge that the ABM owner/operator imposes. We are not responsible for and cannot control fees imposed by ABM owners/operators. When we calculate interest, Cash Advance fees are treated as Cash Advances (except in Quebec) Cash Advance Rate The annual interest rate for Cash Advances for the Hudson s Bay Credit Card Cash Limit The maximum amount you (together with your Authorized Users) can use your Account for Cash Advances and cash-like transactions Credit Limit The maximum amount you (together with your Authorized Users) can charge to your Account Available Cash Limit The amount of credit that you are able to use for Cash Advances

13 Eligible Transaction Eligible Transactions are: a Purchase on your Account at a merchant other than Hudson s Bay, thebay.com, Home Outfitters, Zellers or Hudson s Bay Company service providers; or a Cash Advance, as permitted, on your Account Good Standing Your Account is not past due, over the Credit Limit, fraudulent or restricted, or part of a consumer credit counselling program or bankruptcy Grace Period This is the period for which you will not be charged interest on new Purchases if you paid off your New Regular Balance, as indicated on your Monthly Statement, in full by the Payment Due Date Initial Cash Advance Rate The annual interest rate for Cash Advances for the Hudson s Bay MasterCard Initial Disclosure Statement The document at the beginning of this Agreement that sets out a summary of key terms relevant to your use of your Account, including the annual interest rate, fees and other charges that may apply, and that forms part of this Agreement Initial Purchase Rate The annual interest rate for Purchases for the Hudson s Bay MasterCard Initial Rate The combined term used to refer to the Initial Purchase Rate and the Initial Cash Advance Rate for the Hudson s Bay MasterCard Minimum Payment The lowest amount of money that you are required to pay on your Account each month. It is shown on your Monthly Statement Monthly Statement The statement you receive each month for your Account, except if there s been no Account activity that month and nothing is owing New Regular Balance The amount to be paid by the Payment Due Date (shown on your statement) to avoid interest charges on new Purchases; this is equal to the New Total Account Balance minus any portion of any Special Payment Plan balance that is not due yet New Total Account Balance The total amount you owe on your Account as of the statement date. This balance includes any Purchases, Cash Advances, Balance Transfers, fees and interest charges that posted to your Account during the current Billing Period and any unpaid balances from previous Billing Periods. It does not include pending transactions that have not yet posted to your Account Payment Due Date The date on each Monthly Statement when at least the Minimum Payment is due to be paid on your Account; it may not fall on the same date each month PIN The personal identification number that we ll provide for your Hudson s Bay MasterCard Purchase Paying for goods and services at any merchant or business that accepts a Card or Account for payment; Purchases include Internet, mail or phone purchases but do not include those that count as cash-like transactions (see Using Your Account ).
