2 THE CORPORATE DIRECTORS TRAINING PROGRAMME (CDTP) The CDTP is structured as CDTP Fundamental (CDTP F) CDTP Intermediate (CDTP I) CDTP Advanced (CDTP A) CDTP F + Human Resources Management

3 With less than five (5) years to go before entering 2020, Malaysia is currently experiencing a robust national transformation programme at a scale never seen before since the nation attained independence in August The New Economic Model (NEM) and Tenth Malaysia Plan (RMK10) have identified the need to unleash the true potential of corporate Malaysia and create a private sector-led economy. The latter connotes a high degree of trust, responsibility and opportunity vested onto companies and businesses in Malaysia, especially the small and medium enterprises (SMEs). The corporate scenario of the 21st century is both challenging and exciting, promising numerous opportunities for wealth creation. This is provided the key economic role players in the country are able to navigate the economic landscape. The Companies Commission of Malaysia Training Academy (COMTRAC) believes that the directors and key role-players of companies need to be equipped with the fundamental knowledge on corporate governance, corporate responsibility and innovation to enable them to manage their companies on a sustainable manner and at the same time remain competitive.

4 The CDTP Fundamental is designed to convey basic yet vital information pertaining to the philosophy, characteristics, anatomy, life-span of a company and its key role players. The modules will also introduce the participants to the fundamental of corporate governance, corporate responsibility and financial statements. With effect from 2015, this programme will include overview of proposed Companies Bill. Learning Outcome By attending this programme, the participants will be able to: Develop a good understanding on the concept, features and significance of a company. Outline the roles and responsibilities of key human capital components in a company. Be equipped with the foundational knowledge of corporate governance and corporate responsibility. Be prepared for the impending revamp of Companies Act. Course Contents Module 1: Dynamics of a Company Characteristics and key components of a company, incorporation, management and closure of a company. Module 2: Key Role Players in a Company - Functions and Responsibilities The institution of a company - key duties and responsibilities of directors, company secretaries, auditors, the management / employees and shareholders. Module 3: The Fundamentals of Corporate Governance Philosophy, principles and definitions of corporate governance, significance of corporate governance. Module 4: The Fundamentals of Corporate Responsibility Philosophy, principles and definitions of corporate responsibility, significance of corporate responsibility. Module 5: The Fundamentals of Financial Statements The significance of financial statements, basic financial / accounting terms and concepts. Module 6: Overview of Proposed Companies Bill NEW Highlights of key amendments in the proposed Companies Bill. 5 The CDTP Intermediate explores the key components for the effective administration of a company such as the duties and responsibilities of directors, implementation of corporate governance, company meetings, understanding financial statements and corporate taxation. Principally, the CDTP Intermediate is a scaled up version of CDTP Fundamental where more detailed information and knowledge will be conveyed for practical application and adoption by the corporate role-players. Learning Outcome By attending this programme, the participants will be able to: Explain the roles and responsibilities of company directors, company secretaries and auditors. Implement corporate governance and corporate responsibility in a company. Highlight the common offences committed by the directors and officers of a company under the Companies Act Describe directors responsibility in corporate taxation. Read and interpret financial statements. Course Contents Module 1: Roles and Responsibilities of Directors, Company Secretaries and Auditors Detailed descriptions of the roles and responsibilities of directors, company secretaries and auditors. Module 2: Law and Practice of Meetings Explanation on the types and dynamics of meetings such as board of directors meetings, annual general meetings, extraordinary general meetings, voting, notice requirements etc. Module 3: Implementation of Corporate Governance Explanation on integrating corporate governance into company operations. Module 4: Implementation of Corporate Responsibility Explanation on integrating corporate responsibility into company operations. Module 5: Top Ten Common Offences Committed by Directors under the Companies Act 1965 Identification, understanding and avoidance of the commission of the top 10 offences. Module 6: Introduction to Taxation Responsibility of tax payments, submission of tax returns, maintenance of documents and records. Module 7: Understanding Financial Statements Structure and composition of financial statements. 6 The CDTP Advanced is designed to enable deliberations of key topics for efficient administration of a company. Case studies will be shared with the participants where they will assess, discuss and give views pertaining to the case study presented. This programme will invite the participants to think critically and represents a departure from conventional rote-learning. Learning outcome By attending this programme, the participants will be able to: Deliberate and analyze the key roles and responsibility of company directors, company secretaries and auditors. Identify the common offences committed by directors and learn the possible action to avoid the commission of such offences. Analyze their own company and identify areas that they need to innovate. Analyze the correlation between corporate governance and risk management and internal control. Implement an effective risk management and internal control system. Assessment of case studies on common offences committed by directors under the Companies Act Module 3 and Case Study: Catalyzing Innovation in Company Overview of innovation: definition, types, approaches. The 4Cs of innovation process. Formulation of innovation strategy for participants company. Deliberation and assessment on case studies on innovation. Module 4 and Case Study: Business Sustainability Impact of good corporate governance and corporate responsibility practice on the wealth generation and business sustainability of a company. Deliberation and assessment on case studies on business sustainability. Module 5 and Case Study: Risk Management and Internal Control Concept of risk management and internal control and their correlations with corporate governance. Formalizing risk management in a company. Risk and control focus: what it takes and its benefits. Deliberation and assessment on case studies on risk management. 7 The CDTP F + Human Resources Management is a result of fusing the modules for CDTP Fundamental with selected modules on human resources management. This programme is conceived pursuant to a strategic collaboration between SSM and Human Resources Development Fund (Perbadanan Sumber Manusia Bhd - HRDF). It recognizes the importance of effective human resources management in addition to the corporate governance and corporate responsibility. Learning Outcome In addition to attaining the learning outcomes from the CDTP Fundamental modules, the participants will be able to: Develop a good understanding on the concept, features and significance of a company. Outline the roles and responsibilities of key human capital components in a company. Be equipped with the foundational knowledge of corporate governance and corporate responsibility. Be prepared for the impending revamp of Companies Act. Explain the key regulatory requirements for organizational human resources management. Strategically manage the employer-employee relationship within the organization. Establish a framework for effective human resources management in their companies. Module 7.1: Principal Malaysian Labour Legislations Overview on directors duties under the Income Tax Act 1967, Employment Act 1955, Industrial Relations Act 1967, SOCSO Act 1969 etc. Module 7.2: Introduction to Human Resources Management Manpower planning, recruitment, termination, training and development, benefits for employees. Module 7.3: Managing Relationships between Employer and Employee Rights and obligations of employer and employees, rule of natural justice, managing misconduct and indisciplines. FEE COMTRAC s training and administration fees will be subjected to 6% GST when the GST Act 2014 comes into effect on 1 April Fee is inclusive of certificate of attendance issued by the Companies Commission of Malaysia (SSM), a pre-loaded CD containing training materials, refreshments and lunch (where applicable). If a participant fails to attend a programme, the registration fee will not be refunded nor allocated to another programme. Postponement / replacement is allowed if SSM is notified within three (3) working days prior to the programme. All postponements / replacements must be made in writing and acknowledged by SSM. SSM will charge an administrative fee of RM30.00 (inclusive of 6% GST) per copy for any replacement of certificate due to errors in name or identification card number wrongly filled by participant / representative during registration or loss of certificate, etc. SSM reserves the right to postpone the date or cancel programme and / or change venue due to any unforeseen circumstances that may arise. In cases of cancellation by COMTRAC, the participant will be duly informed and the registration fee will be refunded upon request.
