1 Participation by Invitation only Dear Professional colleagues, We are pleased to inform you that as a step forward to align with the vision and mission of the Institute of Company Secretaries of India, the Institute has declared the year 2016 as the Corporate Governance Year. As a part of the Corporate Governance year, the Institute is organising International Round Table Conference on Corporate Governance on Friday, 15 th April 2016 at Vigyan Bhawan, New Delhi. With an objective to discuss the developments in the field of corporate governance and further the cause of good governance, this conference will see the prominent members from the corporate world, regulators, professionals, academicians, researchers from throughout the world to discuss the corporate governance challenges in the light of current economic and social scenario. 3 DRAFT AGENDA INTERNATIONAL ROUNDTABLE ON CORPORATE GOVERNANCE Friday, 15 th April, 2016 Venue: Committee Room-A, Vigyan Bhawan Annexe, New Delhi 8:30 10:00 Breakfast with the Delegates for Round Table 10:00 11:00 Inauguration Presidential Address by CS Mamta Binani (Introduction of theme and concept of International Corporate Governance Day) Governance is such an important aspect, without which none can achieve harmony in the working patterns and further to this it has to evolve day in and day out in accordance with the changing requirements both internally and globally in each and every aspect. Governance encompasses the state, but it transcends the state by including the private sector and civil society organisations. As observed all the countries are trying to implement good governance norms in all facets. Now the need of the hour to leap forward to have a day as an International Day for Corporate Governance, for creating awareness and celebrating determination towards international promotion and recognition of the corporate governance. 11:00 to 11:30 Tea Break 11:30 1:30 Round 1: Corporate Governance way forward Corporate Governance vis a vis Corporate Performance The challenge before us is to create a system of governance that
4 promotes, supports and sustains economic development with special consideration to environment and long term sustainability. The emphasis on governance reforms is growing around the world. The new developments and improvements in corporate governance practices in the last decade relating to Role of Independent Directors, Diversity, Board Practices, and Sustainability indicate the enhanced focus of stakeholders. This Round will take a stock of the role of these pillars of contemporary governance with the corporate performance and will make an attempt to devise a way forward. 1:30 p.m. 2:30 p.m. Lunch 2:30 p.m. - 03:30 p.m. Round 2: International Corporate Governance Day - Benefits to the World and Corporate In the new era of globalization and modernization, the corporate house spearheads across the globe and the entire world is becomes a stakeholder. Varied policies and frame works are being followed by these corporate in different jurisdictions. In order to have an effective system of rules, practices and processes by which a corporate is directed and controlled, it is proposed to organise and host International Corporate Governance day as a platform to discuss and enumerate the possible methods and procedures for the adoption by corporate beyond the horizons of the respective countries. A platform will be provided for creation of normative procedures in corporate dealings with various stakeholders,
5 thereby achieving the good corporate citizenship in and across the globe, to safeguard the interests of stakeholders and foster the economies and uplift governance norms of the respective countries. 3:30 p.m.-04:00 p.m. Tea Break 4:00 p.m.-05:30 p.m. Round 3: Collaboration Round It is important to understand the vulnerability to the frauds and corporate failures. As a platform to discuss and enumerate the possible methods and procedures for the adoption of Best corporate governance practices by the entire world, it becomes all the more important to stand together to have an effective system of rules, practices and processes by which a corporate is directed and controlled. There is a necessity of motivating and mobilising the governments of respective jurisdictions, to achieve this noble cause of self regulated Corporate Governance through the platform of International Corporate Governance Day.
