1 BYLAWS OF MT. PISGAH MISSIONARY BAPTIST CHURCH DALLAS, TEXAS Note: Revised per 07/30/2007 Disciple Meeting, Voted and Approved on 07/30/2007 PREAMBLE In order to preserve the fundamental beliefs of Missionary Baptist Churches, the principles of our faith, govern our affairs in a Christian and orderly manner, secure the blessing of religious liberty of ourselves and our children within the fellowship of the Church, and share the challenge of accomplishing the Great Commission, we hereby establish these Bylaws to further the work of our Lord Jesus Christ. ARTICLE I NAME This organization shall be called Mt. Pisgah Missionary Baptist Church (the Church ). ARTICLE II PURPOSE AND GOALS OF THE CHURCH 1. The purpose for which the Church is formed is to publicly worship, praise, glorify and give thanks to the Trinity: God, the Father, the Son and the Holy Spirit; to minister the Word of God to Believers; to promote fellowship among the body of Christ; and to promote evangelism at home and abroad. 2. Since we believe that the Bible is God s holy and inspired Word, it is our purpose to draw from the scriptures the principles that determine our beliefs and practices. As the name implies, it is the Word of God, rather than the word of men that shall ultimately direct our Church. 3. The Baptist Church believes that each member of the body has received from the Holy Spirit a spiritual gift, which he/she is to discover and develop. It is our goal to see that these spiritual gifts are exercised, thereby contributing to the life of the body of Christ. ARTICLE III DOCTRINES OF THE CHURCH SECTION 3.1 The Holy Scriptures We believe the Holy Scriptures to be the written and inspired Word of God, authoritative and without error in the original manuscripts. We further believe that the scriptures of both the Old and New Testaments are designed for our practical instruction in faith and conduct. (2 Timothy 3:16-17; 2 Peter 1:21).

2 SECTION 3.2 The Godhead We believe that the Godhead is spirit and eternally exists in three persons; the Father, the Son and the Holy Spirit; and that these three are one God. (Deuteronomy 6:4; Genesis 1:26; Matthew 28:19). SECTION 3.3 The Person and Work of God the Father We believe that God the Father is spirit, masculine in His essence, is seated enthroned in Heaven and that no one has seen the Father, however, God the Father and Jesus are one and whoever has seen Jesus has seen the Father. (Matt6:9; Rev 3:21; John10:30; John14:9; John6:46). We believe that God the Father plays a role in salvation to the extent that He gave Jesus, His only begotten son, for the purpose of salvation, however, no man can come to Jesus unless God the Father draws Him. We further believe that God the Father qualified Believers to share in the inheritance of the Saints in the Kingdom of Light because He rescued Believers from the dominion of darkness and brought them into the Kingdom of the Son He loves. (John 3:16; Col. 1:12-13, John6:44). We believe that God the Father raised His Son, Jesus Christ, from the dead. (Gal. 1:1). We believe that Believers have access to God the Father, and are taught via the Lord s model prayer to pray to God the Father in the name of Jesus, however no one comes to the Father except through Jesus, and Believers have access to God the Father through Jesus, by one Spirit. (Eph. 2:18; Col. 1:12; Luke 11:2; John 14:6). SECTION 3.4 The Person and Work of the Lord Jesus Christ We believe that the Lord Jesus Christ, the eternal Son of God, came into the world that He might manifest God to men, fulfill prophecy, and become the redeemer of a lost world. To this end, He was conceived and born of the Virgin Mary, received a human body and had a sinless human nature without ceasing to be God (Luke 1:30-35; John 1:1, 14, 18: Hebrews4:15; Philippians 2:5-11). We believe that in infinite love for the lost, He voluntarily accepted His Father s will and became the divinely provided sacrificial Lamb who takes away the sin of the world, and offered one sacrifice for sins. (Romans 3:25-26; 2 Corinthians 5:14; Hebrews 10:5-14; John 1:29). We believe that He arose from the dead in the same body, though glorified, in which HE had lived and died, and that His resurrected body is the pattern of the body, which ultimately will be given to all Believers. (John 20:20; Philippians 3:20-21). We believe that, on departing from the earth, He was accepted by His Father and that the Father s acceptance is a final assurance to us that Christ s redeeming work was perfectly accomplished. (Hebrews 1:3). 2

3 We believe that He became head over all things to the Church, which is His body, and in this ministry He does not cease to intercede and to be an advocate for the saved. (Luke 1:35; 1 Corinthians 11:1-3; Ephesians 1:23; Philippians 2:6-9; 1Timothy 2:5; 1 John 2:1-2). SECTION 3.5 The Holy Spirit We believe that the Holy Spirit, the Third Person of the Trinity, dwells in every believer upon placing his faith in the Lord Jesus Christ, and that God provides, through the Holy Spirit, the power to live the Christian life. (Romans 5:5, 8:9-10; Galatians 5:16-25). We believe that every Believer receives grace from God in the form of a spiritual gift, which enables him to function as a member of the body of Christ. (Romans 12:6; 1 Corinthians 12:7; Ephesians 4:7). SECTION 3.6 The Personality of Satan We believe that Satan, the devil, is the prince of demons and is the declared adversary of God and Believers. However, when the Lord Jesus Christ died on the cross, He limited the power of the devil and guaranteed the ultimate triumph of God. (Ephesians 2:2; 1 Peter 5:8; Revelation 20:10; Colossians 2:13-15). SECTION 3.7 Salvation We believe that no one can enter the kingdom of God unless born again spiritually and that the new birth of the Believer comes only through faith in the Lord Jesus Christ, the Son of God. We also believe that our redemption has been accomplished by the blood of our Lord Jesus Christ and that this redemption is by the grace of God, an unmerited gift, given in love by God and not the result of any human works. (John 3:7-18; 2 Corinthians 5:21; Galatians 3:13; Romans 4:4-5; Ephesians 2:8-9). We believe that, upon receiving the Lord Jesus Christ by faith, the Believer passes immediately out of spiritual death into spiritual life and fellowship with God. (John 1:12, 5:24). We believe that once this salvation is accomplished, we, and all true Believers everywhere, shall be kept saved forever. (John 10:28-29; Romans 3:24, 8:35-39; 2 Timothy 2:11-13; Galatians 2:16; Ephesians 2:5, 8-9). SECTION 3.8 The Church We believe that all who are united with the risen and ascended Son of God are members of the Church, which is the body of Christ. (1 Corinthians 12:12-27; Acts 2:42-47). We believe that the explicit message of our Lord Jesus Christ to those whom He has saved is to make Christ known to the whole world and that this is the purpose of the Church through the individuals within it. (Matthew 28:18-19; CTS 1:8; 2 Corinthians 5:11-21). 3

4 We believe that local churches, such as Mt. Pisgah Missionary Baptist Church, gather together for practical instruction in the Scriptures, for fellowship with God and with other Believers, and for corporate witness to the unsaved world. Our common spiritual goal is to grow toward Christ s likeness. (Matthew 28:18-20; Acts 2:42-47; Romans 12:5; Ephesians 4:13-16). SECTION 3.9 The Rapture and the Second Coming of Christ We believe that a future period of great tribulation of the earth will be climaxed by the return of the Lord Jesus Christ to the earth as He went in person in the clouds with power and great glory to establish His millennial kingdom. But prior to this tribulation, we believe there will be the coming of the Lord Jesus Christ in the air to receive to Himself into heaven both His own, those who are alive and remain until His coming and also, all who have died in Christ Jesus. (1 Thessalonians 4:13-17; Zechariah 14:4-11; Revelation 3:10). SECTION 3.10 Eternal State We believe that at death the spirits and souls for those who have trusted in the Lord Jesus Christ for salvation pass immediately into His presence and there remain in conscious bliss until the resurrection of the glorified body when Christ comes for His own, whereupon soul and body reunited shall be associated with Him forever in glory. All those who rejected Jesus Christ will eternally be separated from God to endure His eternal wrath forever. (2 Corinthians 5:8; Revelation 20:11-15, 21:1-27). SECTION 3.11 The Responsibility of Believers We believe that all Believers should seek to walk by the Spirit, separating themselves from worldly practices and witnessing by life and by word to the truths of the Holy Scripture. (Romans 12; Galatians 5:16, 25; 2 Corinthians 5:9-17). We believe that all Believers will be judged at the judgment seat of Christ and rewarded based on their faithful obedience to Him in this life. (1 Corinthians 3:10-17; 2 Corinthians 5:10). SECTION 3.12 Church Ordinances We believe that the Lord Jesus Christ instituted the Ordinances of Baptism and the Lord s Supper to be observed by all Believers until His return. (Matthew 28:19; Luke 22:19-20; Acts 10:47-48). We believe that the Ordinance of Baptism is immersion of the Believer in water, which sets forth, the essential facts of redemption the death and resurrection of Christ and the essential resurrection into the newness of life. (Romans 6:4; Acts 8:26-39). We believe that the Lord s Supper is a symbol of the Lord s death and is a privilege afforded to all Believers in commemoration of our Lord s death until He comes. (1 Corinthians 11:23-28). 4

5 ARTICLE IV CHURCH POLITY SECTION 4.1 A Texas Non-Profit Corporation The Church s structure is consistent with and is or will be organized under the Texas Non-Profit Corporation Act (the Act ). SECTION 4.2 Registered Office and Registered Agent The Church shall maintain a registered office and registered agent in Texas. The registered office may, but need not, be identical to the Church s principal office in Texas. The Board of Deacons may change the registered office and the registered agent as permitted in the Act. ARTICLE V CHURCH MEMBERSHIP SECTION 5.1 Membership The congregation shall be composed of those who have made a public profession of faith, been baptized by immersion, accepted the principles of faith and practices of the Church, and made a public request to join the fellowship of the Church. SECTION 5.2 Candidacy A. Presentation of Candidacy. Any person may offer himself as a candidate for membership in this Church. All such candidates shall be presented to the Church at any regular worship service for membership in any of the following ways: 1. By profession of faith and for baptism according to the policies of this Church. 2. By promise of a letter of recommendation from another Church; or 3. By restoration upon a statement of prior conversion experience and baptism in a Baptist Church when no letter is obtainable. B. Church Dissent: Should there be any dissent as to any candidate, such dissent shall be referred to the Pastor and the Board of Deacons for investigation. Upon such investigation, the Board of Deacons shall make a recommendation to the Church within thirty (30) days. C. New Member Orientation. All new members of the Church shall participate in the Church s new member orientation plan. 5

6 SECTION 5.3 Inactive Member An Inactive Member shall be defined as a Church member who has not participated in any of the programs of the Church or contributed financially for one (1) calendar year; provided, however an Inactive Member s membership status may be reactivated upon receipt of a letter and counseling with the Pastor. This section does not apply, however, to persons who cannot participle due to physical limitations and/or economic hardships. Persons who are classified as inactive members will be purged from the Church s role after written notice to such a person of the intent to place the member in inactive status is afforded. SECTION 5.4 Separation of Membership It shall be the basic purpose of the Church to emphasize to its members that every reasonable measure will be taken to assist any troubled member. The Pastor, the Deacons and any other Church staff members shall be available for counsel and guidance. Redemption rather than punishment shall be the guideline, which governs the attitude of one member toward another. Should some serious condition exist which would cause a member to become a liability to the general welfare of the Church, every reasonable measure will be taken by the Pastor and the Deacons to resolve the problem. A spirit of Christian kindness and forbearance shall pervade all such proceedings. SECTION 5.5 Termination of Membership Membership may be terminated in either of the following ways: (1) the death of a member, (2) the decision of a member to join another Church (except by watch care), or (3) the exclusion of a member by this Church in accordance with Scriptural provisions of Church discipline and removal of saints from the fellowship. SECTION 5.6 Conditions of Membership As a condition of membership, each member covenants to waive partition of any or all Church property. Further, each member covenants to abide by any policies and procedures of the Church, including these Bylaws. Each member also covenants to resolve all conflicts within the Church between members in accordance with Holy Scripture. Instead of submission to the jurisdiction of secular courts of law, binding arbitration and/or mediation shall be employed to settle disputes as provided herein below. SECTION 5.7 Authority of Members The congregation hereby delegates to the Board of Deacons and Board of Directors, as those terms are herein after defined, the full authority to conduct all business and affairs of the Church, provided, however, the congregation hereby retains the sole authority for approval of the following: A. The calling of a senior minister, including the Pastor; 6

7 B. The removal of the Pastor; C. Adoption of the annual budget; D. The appointment of Deacons and Directors of the Church; E. The acquisition, encumbrance or conveyance of any real property, the title to which is now, or is to be, in the name of the Church; F. The creation of any obligation or expense for a non-budgeted item and/or expense over 20% of the gross revenue of the previous 12 month period, unless such expense is of an emergency nature in which case the Board of Directors, Board of Deacons and the Pastor must unanimously approve such expense of obligation. Reason for clarification: (If the Board of Directors and the Board of Deacons approve an emergency expense, but the Pastor does not approve the emergency expense, the emergency expense will need to be approved by the membership because the Board of Directors, Board of Deacons and the Pastor have not unanimously approved the emergency expense.) (Note1. Failure to reach an agreement will result in the matter coming to the Church membership for approval.) (Note2. Approval by the Pastor, Board of Deacons, and the Board of Directors will be validated by signed process document.) G. The amendment of revision of these Bylaws; or H. Any other matter when a majority vote of the Board of Deacons duly assembled favors such action and has referred such matter to the Church for approval. ARTICLE VI CHURCH ASSEMBLIES SECTION 6.1 Worship Services A. Services. Worship services or any other activity or assembly of the Church for prayer, praise, fellowship or bible study may be held at any reasonable time. Special services to promote revival and evangelistic outreach will be regularly planned as part of the life and ministry of the Church. B. Baptism and the Lord s Supper. The ordinances of Baptism and the Lord s Supper will be regularly and faithfully observed in accordance with Holy Scripture. C. Open to the Public. All worship services assemblies and activities of the Church are open to anyone so long as such person s behavior or actions are not disruptive or fraudulent. SECTION 6.2 Disciple Meetings 7

8 A. Annual Disciple Meetings. Annual Disciple Meetings will be held on the 1 st Tuesday of March each year or at any other time that the Board of Deacons designates. If the day fixed for the Annual Disciple Meeting is a Saturday, Sunday, or a federal legal holiday, the meeting will be held on the next business day. At the Annual Disciple Meeting, the members shall appoint the Deacons of the Church and transact any other business that may come before the meeting. If, in any year, the election of Deacons is not held on the day designated for the Annual Disciple Meeting, the Board of Deacons or Pastor will call a Special Conference of the congregation, as soon as possible, to elect Deacons. B. Special Disciple Meetings. Special Conferences will be called by the Pastor, or his authorized designee, the Chairman of the Board of Deacons, the Chairman of the Board of Directors or not less than one-sixth (1/6) of the congregation by petition to consider significant time sensitive matters which cannot reasonably be delayed until an Annual Disciple Meeting. C. Place of Conferences. The Conferences of the congregation, both Annual and Special, shall be conducted on the Church premises. D. Notice of Conference. The Church secretary, or a duly authorized Church staff designee, shall post notice of every Disciple Meeting at least fourteen (14) days in advance of such Conference, or such other period of time as may be prescribed elsewhere in these Bylaws. The Notice must be posted in a manner that will fairly, reasonably and conspicuously inform the congregation of the date, time, place and nature of the business to be conducted at such Conference. Only those matters, which have been reasonably described in sufficient detail to fairly inform the congregation of business to be conducted at any Annual or Special Disciple Meeting may be voted on at any Conference. Any action taken on a matter that was not properly noticed shall be advisory only. E. Disciple Meeting Procedures. Prior to a matter being presented to the Church at a Disciple Meeting, the matter must affect the entire Church body. The procedure to handle matters that affect the entire Church body (Exodus 18:13-26) is as follows: 1. Attempts to resolve the matter privately without congregational intervention. Mail your concern in writing to the Church office, Attn: your congregational care team. The congregational care team will acknowledge receipt of your matter and respond to your concern within 2 weeks. (Written resolution or referral to Board of Deacons). 2. If referred to Deacon Board, the Deacon Board will respond to the matter within 30 days. (Written resolution or referral to the Pastor). 3. If referred to Pastor, the Pastor will respond within 30 days with Registered Letter decision (resolution or timeframe to present issue at Disciple Meeting). Only matters that are in the best interest of the Church will be presented at the Disciple Meeting. All matters concerning the removal of a member of the Board of Deacons or Board of Directors are addressed in Section Ministry only related matters should be addressed with the ministry leader (president). Matthew 18:15-18 The Pastor or his authorized designee shall be the moderator of all Disciple Meetings, except as otherwise provided in these Bylaws. If the Church is without a Pastor or Interim Pastor, the Chairman of the Board of Deacons, or his authorized designee, shall serve as moderator of any Disciple Meeting, except as otherwise provided herein. 8

9 The moderator shall ensure that notice of each Disciple Meeting was given in the manner provided in these Bylaws and will also ensure that any matter presented for consideration was properly referred to the appropriate ministry or the Board of Deacons and the Pastor for review and recommendation as provided in these bylaws. The moderator will also appoint a qualified and trained Deacon to serve as Parliamentarian of a Disciple Meeting, if necessary. Complaint forms will be provided and will explain the process if not satisfied with resolution. Forms should state time frame of dispute. F. King James Version Bible. The King James Version of the Bible, will be the parliamentary authority for all Disciple Meetings, Board of Deacons and Directors meeting, committee meeting, ministry meeting and any other meeting of the Church requiring parliamentary procedure. G. Quorum. A quorum shall consist of members present at any Disciple Meeting, provided notice of the Disciple Meeting shall have been given as provided in these Bylaws. H. Voting. Voting privileges shall be extended to all members who are present at any meeting who are eighteen (18) years of age or older.(age will be given chance to voice concerns with Pastor or Board of Deacons) I. Absentee Voting. Any member entitled to vote but who is enable to vote at a Disciple Meeting because of some disability, including but not limited to, confinement in a hospital or nursing home, may vote absentee. To vote absentee, the person must place written instructions describing the action the member wishes taken in a sealed envelope ( Absentee Ballot ). The Absentee Ballot must be delivered to the Pastor or the chairman of the Board of Deacons at least twenty-four (24) hours, but no more than fourteen (14) days, prior to the matter being presented to the Church for a vote. J. Actions of Membership. The concurrence of at least three-fourths (3/4) of the congregation present and entitled to vote at a Disciple Meeting at which a quorum is present shall be enough to approve the calling of a Pastor of Interim Pastor. The concurrence of at least three-fourths (3/4) of the congregation present and entitled to vote at an Annual Disciple Meeting, and the concurrence of at least ninety percent (90%) of the congregation present and entitled to vote at a Special Disciple Meeting, may suspend the requirements of notice and review by the appropriate ministry, the Board of Deacons or the Pastor. A matter presented to the Church under the suspension provisions of this section requires the concurrence of two-thirds of the congregation present and entitled to vote at a Business Conference to be the official act of the Church K. Ministry Issue Procedure. Any member of the Church may present a matter to the appropriate ministry leader for resolution within 30 days. If no resolution is able to be reached, member should forward the matter to the Board of Deacons for resolution within 21 business days. Note 1. Both the matter and resolution must be documented. L. Conference Meeting Minutes. The Church secretary, or other authorized designee, shall ensure that minutes of all Disciple Meetings are prepared and secured in a safe place. A copy 9

10 of the minutes of each Disciple Meeting will be filed in the Church library within thirty (30) days after each Conference. ARTICLE VII PASTOR SECTION 7.1 Qualifications and Duties A. Role of Pastor. The Church affirms that Jesus Christ is the Head of the Church. With the assistance of the Holy Spirit, the Church will call a gifted man to serve as its Pastor. The Pastor will be God s under-shepard and overseer of the Church and will apply, teach, and proclaim God s Word in order to nourish, strengthen, and guide the Church. B. Qualifications. The Pastor must possess the qualifications of a Pastor found in Holy Scriptures, be ordained by this Church or a Baptist Church of like faith and order and conform to the principles of faith and practices of this Church. C. Duties. 1. Pastor, or his authorized ministerial designee(s), shall administer the Ordinances of Baptism and the Lord s Supper in accordance with Holy Scripture on a regular basis and in a manner that fulfills the spiritual needs of the Church; 2. The Pastor shall be the overseer of all ministries and programs of the Church and will supervise directly or by delegation all Church staff members. 3. The Pastor shall be an ex-officio member of all Ministries and will work with the ministries to help meet the physical and spiritual needs of the Church and the community; and 4. As the spiritual and temporal head of the Church, the Pastor shall be accountable to God and the Church with respect to his personal life and his duties and responsibilities as pastor. D. Employment-at-Will. The Pastor of the Church shall be an employee at-will. SECTION 7.2 Pastoral Counseling Because the Church believes that the person holding the office of Pastor cannot be the overseer of the Church if he has breached the scriptural qualifications of the office of the Pastor; if he is physically or mentally unable to uphold the office of Pastor; or if his leadership materially compromises the welfare or principles of faith and practices of the Church, the Chairman and Vice Chairman of the Board of Deacons, with principles of Holy Scripture, shall counsel the Pastor if the Church believes the office of Pastor has been impaired. 10

11 SECTION 7.3 Declaration of the Office of Pastor Vacant A. Meeting of the Board of Deacons. The Chairman of the Board of Deacons or a majority of the Deacons may call a meeting of the Board of Deacons to determine whether the office of Pastor has been impaired. At least three (3) days advance notice, either oral or written, must be given to the Deacons and the Pastor before such meeting may be called to order. Constructive notice will be sufficient if it reasonably advises the Pastor of the date, time, place and purpose of the Board of Deacons meeting. A quorum composed of at least two-thirds of the Deacons is required to vote on whether a recommendation should be made to the Church to declare the office of Pastor vacant. B. Rebuttal of Allegations. The Chairman of the Board of Deacons or his authorized designee shall present the allegations evidencing impairment of the office of Pastor. The Pastor or his representative shall have an opportunity to rebut such allegations. Failure to the Pastor to attend the Board of Deacons meeting without reasonable cause is sufficient grounds for recommending to the Church that the office of Pastor should be declared vacant. Reasonable cause shall be determined by a majority of Deacons casting a vote. C. Board of Deacons Recommendation and Pastor s Response. The Chairman of the Board of Deacons, or his authorized designee, shall advise the Church of the Board of Deacons recommendation with respect to the termination of the Pastor. The Pastor or his representative will have an opportunity to rebut any allegations named against the Pastor; however, the Pastor shall not be required to speak in the proceedings if the Pastor chooses otherwise. Failure of the Pastor to attend the meeting without reasonable cause is grounds to terminate the Pastor. If necessary, a majority of the members eligible to cast a vote shall determine whether the Pastor s failure to attend is reasonable. D. Action by the Congregation. A vote of a majority of the members present and entitled to vote shall be required to declare the office of Pastor vacant. The concurrence of at least a majority of the members present and entitled to vote must approve any severance benefits that deviate from the standard severance policies and procedures previously established. SECTION 7.4 Resignation of the Pastor The Pastor may relinquish the office of Pastor by giving written notice to the Church or the Board of Deacons. ARTICLE VIII PASTORAL TRANSITION TEAM SECTION 8.1 Selection 11

12 Upon the resignation, termination or vacancy of the office of Pastor, a Pastoral Transition Team will be formed, which will be composed of the Board of Deacons. SECTION 8.2 Recommendations for the Pastor Search Team The Board of Deacons will solicit recommendations for the Pastor Search Committee from all Church members eighteen (18) years of age or older. The Board of Deacons will interview and recommend for Church approval a Pastor Search Committee composed of at least twelve (12) regular and four (4) alternate Pastor Search Committee members who are reasonably representative of a cross-section of all voting members of the Church. SECTION 8.3 Duties The Pastoral Transition Team shall: A. Ensure that the pulpit is filled for each worship service; B. Recommend an Interim Pastor as soon as reasonably possible after prayerful and careful deliberation based on recommendations from Church members, denominational pastors, leaders and officials; C. For as long as the Church is without a permanent Pastor, ensure that the Chairperson of the Pastoral Transition Team or Interim Pastor presents a State-of-the-Church report to the Church at least semi-annually; D. Seek to adopt those measures that best ensure harmony within the Church during the transition period. ARTICLE IX PASTORAL SEARCH COMMITTEE SECTION 9.1 Selection of Pastoral Candidates A. Consideration of New Pastor. The Pastor Search Committee will solicit from Church members the attributes and qualities desired of a new Pastor. In addition, the Pastor Search Committee, if necessary, may solicit recommendations for a Pastor from Church Members, Southern Baptist pastors, leaders and officials and other Christian leaders. The Pastor Search Committee shall have the authority to consider as many pastoral candidates as deemed reasonably necessary to make a well advised recommendation for Pastor. Members of the Pastor Search Committee may attend worship services led by pastoral candidates as often as reasonable. 12

13 B. Pastor Search Expenses. Sufficient funds shall be appropriated to pay the reasonable expenses incurred by the Pastor Search Committee in search for a new pastor. C. Confidentiality of Search. The internal workings, discussions and visits of the Pastor Search Committee will be always be and remain confidential. SECTION 9.2 Presentation of Pastoral Candidate(s) to the Church A. Presentation of New Pastor. When at least eight (8) regular members of the Pastor Search Committee agree upon at least a minimum of three (3) candidates, the Pastor Search Team shall invite the pastoral candidate(s) to preach at least one (1) Sunday worship service. The pastoral candidate must preach at a scheduled or designated worship service. B. Notice of Disciple Meeting to Select New Pastor. Notice of a Disciple Meeting to consider the calling of a new Pastor must be given at least seven (7) days in advance of the meeting. C. Disciple Meeting to Select New Pastor. The Interim Pastor of Chairman of the Board of Deacons will serve as moderator of the Disciple Meeting to consider the calling of a new Pastor. The Pastor Search Committee shall provide the Church members with biographical information on the pastoral candidate and his family prior to the meeting. D. Election of New Pastor. The vote to call a Pastor will be by secret ballot. The Chairperson of the Usher Ministry will be responsible for the secret ballot process. Secret ballots will be counted by a team of Deacons appointed by the Chairman of the Board of Deacons. The Chairperson of the Usher Ministry and the Chairman of the Board of Deacons will certify the results of the secret ballot to the moderator of the Disciple Meeting. The concurrence of at least three-fourths (3/4) of the members present and eligible to cast a vote shall be required to call a Pastor. Prior to the Church issuing a call to a pastoral candidate, the Personnel Ministry must have reached an acceptable understanding with the pastoral candidate on the secular terms of employment as Pastor. Such terms may not materially deviate from the Church s approved range of salary, benefits and severance for a Pastor. ARTICLE X Management of Church SECTION 10.1 Management of the Church The Pastor shall manage the affairs of the Church with the assistance of the Board of Deacons and the Board of Directors in accordance with scripture. Article XI Deacons 13

14 SECTION 11.1 Number of Deacons The number of Deacons shall be at odd number of at least nine (9). (1 Tim. 3: 8-13) SECTION 11.2 Nominations At least sixty (60) days prior to a Disciple Meeting in which Deacons will be selected, the Pastor and the Chairman of the Board of Deacons shall make notification to the congregation, in the form of a nomination ballot, of the pending election and shall apprize the congregation that they may, during the next thirty (30) days, place in confidence before the Board of Deacons names to be considered for the position of Deacon. The nomination ballot shall include the scriptural and Church qualifications for this office and the number of vacancies. In addition, to those men nominated by the members, the Deacon Board may also nominate men they feel are worthy of holding the office The Board of Deacons shall inquire into the record and qualifications of nominated person, including, but not limited to the following whether such person: A. Has been a member of the congregation for a minimum of twelve (12) months; B. Has faithfully attended worship services over the last twelve (12) months; C. Has been active in Church teaching ministries such as Sunday School, Mid-Week Bible Study, and Prayer Meeting; D. Has been faithful in the giving of time, talent and treasures; and E. Has exhibited the scriptural qualifications of the office. If the Board of Deacons determines that any such nominated person meets the qualifications a Deacon, the Board shall consult with, or an individual basis, such person to make him aware of the duties of the office and commitment of time necessary to fulfill such duties and also determine the willingness of such man to serve as Deacon. If the person is willing to serve as Deacon after he has been appraised of the duties and responsibilities of office, such person will undergo Deacon training as prescribed in the scriptures. If the prospective Deacon successfully completes the training and is still believed to meet the qualifications for serving as a Deacon, such person s name will be submitted to the Church for appointment. SECTION 11.3 Appointment of Deacons The appointment of new Deacons shall be appointed according to Scripture, during the Annual Disciple Meeting. Voting will be by secret ballot and will be open to anyone who is eligible to vote. To be successfully appointed as Deacon, any prospective candidate must receive the vote of the majority of members present and eligible to vote. Once appointed, each Deacon must be ordained in accordance with Scriptures and Church procedure. (Acts 6:1-7,Exodus 18, 1Tim 3:8-13) Each Deacon will hold office until his termination, resignation or removal. SECTION 11.4 Chair, Vice-Chair and Secretary One member of the Board of Deacons shall be designated as the Board chair, another member as Board vice-chair and another as Board secretary. The chair, vice-chair and secretary shall be elected by the Board of Deacons. The chair shall call and preside at all meetings of the Board. 14

15 When the chair is absent, cannot act, or refuses to act, the vice-chair will perform the chair s duties. When the vice-chair acts for the chair, the vice-chair shall have all the powers of, and shall be subject to all the restrictions on, the chair. The secretary shall take minutes of all the meetings of the Board of Deacons and ensure that notice of each Board of Deacons meeting is given in accordance with these Bylaws. SECTION 11.5 Annual Meetings The annual meeting of the Board of Deacons may be held without notice other than as provided in these Bylaws. The annual board of Deacons meeting shall be held on the 1 st Monday in February of each year on the Church premises. The annual Board of Deacons meeting shall always be held before the date of the Annual Disciple Meeting. SECTION 11.6 Regular Meeting The Board of Deacons may provide for regular meetings by resolution stating the time and place of such meetings. The meetings shall be held on the Church premises. No notice of regular meetings of the Board of Deacons is required other than a Board resolution stating the date, time and place of such meetings. SECTION 11.7 Special Meetings Special meetings of the Board of Directors may be called by, or at the request of, at least one-hale (1/2) of the Deacons in office. Any special meeting of the Board of Deacons shall be held on the Church premises or at such other place as agreed to by the Deacons. The persons calling a special meeting of the Board of Deacons will give notice to the other Deacons of the meeting, as these Bylaws require. SECTION 11.8 Notice Written or printed notice of any special meeting of the Board of Deacons shall be delivered to each Deacon not less than seven (7) days before the date of the meeting. The notice will state the time, date and place of the meeting, who called the meeting and the purpose or purposes for which the meeting was called. SECTION 11.9 Quorum Two-thirds (2/3) of Deacons in office shall constitute a quorum for the transaction of business at any meeting of the Deacons. The Deacons present at a duty called or held meeting at which a quorum is present may continue to transact business even if enough Deacons have left the meeting so that less than a quorum of Deacons remain. However, no action may be approved without the vote of at least a majority of the Deacons required for a quorum, except as otherwise provided herein. If a quorum is never present at any time during a meeting, a majority of Deacons present may adjourn and reconvene the meeting once without further notice. SECTION Duties of Deacons and Board of Directors A. Attendance at Disciple Meetings. All Deacons are required to attend the meetings of the Board of Deacons, the Annual Disciple Meetings and any Special Disciple Meeting. 15

16 B. Spiritual Oversight. Deacons shall give spiritual oversight to the members of the Church and encourage, by word and example, missionary, evangelistic, educational and stewardship programs within the Church. They shall approve all programs of the Church and perform other duties as required. SECTION Actions of Board of Deacons The Board of Deacons will try to act by consensus. However, if a consensus is not available, the vote of a majority of Deacons present and voting at a meeting at which a quorum is present is enough to constitute the act of the Board, unless the act of a greater number is required by law or by some other provision of these Bylaws. A Deacon who is present at a meeting and abstains from a vote is considered to be present and voting for the purpose of determining the Board s decision. For the purpose of determining the decision of the Board, a Deacon who is represented by proxy in a vote is considered present. SECTION Proxies A Deacon may vote by proxy. All proxies must be in writing, must bear the signature of the Deacon giving the proxy, and must be bear the date on which the proxy was executed by the Deacon. No proxy is valid after three (3) months from the date of its execution. SECTION Compensation Deacons shall not receive salaries for their services. A Deacon may serve the Church in any other capacity and receive compensation for those services. Any compensation paid by the Church shall be reasonable and commensurate with the services performed. SECTION Resignation of Deacon Any Deacon may resign at any time by giving written notice for his resignation to the Pastor or Chairman of the Board of Deacons. SECTION Removing Deacons A. Removal for Cause. The Pastor, Board of Directors, Board of Deacons, or member of the Church may recommend the removal of a Deacon at any time, for good cause. Good cause for removal of a Deacon includes the failure to function for the business and spiritual welfare of the Church; the unexcused failure to attend three (3) consecutive Board meetings; or the failure to continue to meet the qualifications for a Deacon. A meeting to consider removing a Deacon may be called and noticed following the procedures provided in these Bylaws for a Special Conference of the congregation. The notice of the meeting will state that the issue of possibly removing the Deacon will be the agenda. B. Rebuttal by Deacon. At the meeting, the Deacon may present evidence of why he should not be removed. Also, at the meeting, the Church may consider possible arrangements for resolving the problems that are in the mutual interest of the Church and the Deacon. C. Vote of the Congregation. A Deacon may be removed by the majority vote of the members present and entitled to vote. 16

17 ARTICLE XII BOARD OF DIRECTORS SECTION 12.1 Role of Board of Directors The initial Board of Directors shall be listed on the Articles of Incorporation of the Church, perform functions expected of them as a result of applicable laws in the state of Texas, handle the acquisition, encumbrance or conveyance of any real property, the title to which is now, or is to be, in the name of the Church, hold and control all Church deeds and titles, negotiate and execute legal documents on behalf on the Church, have the right to review all financials of the Church, and oversee other specific business affairs of the Church as delegated by the Board of Deacons and as outlined in these Bylaws. The successor Directors shall perform functions expected of them as a result of applicable laws in the state of Texas, handle the acquisition, encumbrance or conveyance of any real property, the title to which is now, or is to be, in the name of the Church, negotiate and execute legal documents of behalf of the Church, and oversee other specific business affairs of the Church as delegated by the Board of Deacons and as outlined in these Bylaws. Following the Incorporation of the Church, the Directors shall meet annually at a minimum, and as often as necessary to carry out the business affairs of the Church as delegated by the Board of Deacons, and as specified in these Bylaws. SECTION 12.2 Appointment and Qualification of Directors The initial Board of Directors shall be appointed by the Deacons as soon as practicable, preceding the filing the Articles of Incorporation for the Church. The successor Directors shall be appointed by the Deacons at the annual meeting of the Deacons. If the Directors (other than the initial Directors) are not appointed at an annual meeting, they will be appointed as soon thereafter as possible. The Board of Directors shall consist of an odd number not to exceed eleven (11) individuals but Not less than seven (7). The appointment of Directors shall also be governed as provided herein below. The Directors shall be comprised of members of the Board of Deacons and other members in the Church. (At no time shall the percentage of Deacons be more than 30% of the Board) A. Have been a member of the congregation for a minimum of two (2) years; B. Have faithfully attended worship services over the last twelve (12) months; C. Have been faithful in the giving of time, talent and treasures; D. Have been financially supporting the Church through tithing that can be verified by the Church revenue system; E. Are at least twenty-five (25) years of age or above; 17

18 F. Possess some practical business experience; G. Must be willing to authorize a credit and criminal background check; H. Must attend a non-profit training course selected by the Church; and I. Have, whether male or female, exhibited the Scriptural qualifications which at a minimum reflect the office of Deacons, but preferably also Elders. If the Board of Deacons determines that any such nominated person meets the qualifications to be a Director, the Board of Deacons shall consult with, on an individual basis, such person to make him or her aware of the duties of the office and the commitment of time necessary to fulfill such duties and also determine the willingness of such a person to serve as a Director. If the person is willing to serve as a Director after he or she has been appraised of the duties and responsibilities of office, such person shall be submitted to the full Board of Deacons for appointment. All members appointed who are not otherwise also on the Board of Deacons shall not also be considered a Deacon nor have any of the rights and responsibilities delegated to Deacons. No Deacon serving in an executive position can serve in an executive position of the Board of Directors. SECTION 12.3 Term of Office Each Director will continue to serve on the Board of Directors for a term not to exceed three consecutive years or until a successor is appointed. However, a Director s term may terminate earlier if the Director dies, ceases to qualify, resigns, or is removed as a Director. A vacancy of the Board of Directors may be filled by an appointment made in the same manner as an original appointment. A person appointed to fill a vacancy on Board of Directors will serve for the unexpired portion of the terminated Director s term. Directors may serve for multiple terms. SECTION 12.4 Resignation of Director Any Director may resign at any time by giving written notice of his resignation to the Pastor or Chairman of the Board of Directors. Resignation from the Board of Directors does not also equate to resignation from the Board of Deacons. SECTION 12.5 Removing Directors A. Removal for Cause. The Pastor, Board of Directors, Board of Deacons, or member of the Church may recommend the removal of a Director at any time, for good cause. ARTICLE XIII CHURCH OFFICERS SECTION 13.1 Establishing Officers Upon the request of the Personnel Committee, the Board of Deacons may adopt a resolution establishing one or more officers for the Church, delegating specific authority to such officers and appointing or removing the persons to hold such offices. SECTION 13.2 Duties of Officers The role, duties and qualifications of each office of the Church shall be as set forth in the Church s Official Personnel Policy and Procedures Handbook. ARTICLE XIV COMMITTEES SECTION 14.1 Establishing Committees The Pastor and the Board of Deacons may adopt a resolution establishing one or more committees, delegating specific authority to a committee and appointing or removing members of a committee. Further, the Board of Deacons may establish qualifications for serving on a committee. 19

20 SECTION 14.2 Authorization of Specific Committees Initially the Church shall have six (6) committees, which shall be as follows: A. Finance Committee; B. Legal Committee; C. Personnel Committee; D. Information Management Systems Committee; E. Lead/Manager Committee; and F. Facilities Committee. The Board of Deacons shall adopt a resolution setting forth the specific duties of each committee. SECTION 14.3 Term of Office Each committee member shall serve on the committee for a period of two (2) years or until a successor is appointed. However, a committee member s term may terminate earlier if the committee is terminated or if the member dies, ceases to qualify, resigns or is removed as a member. A vacancy on a committee may be filled by an appointment made in the same manner as an original appointment. A person appointed to fill a vacancy on a committee will serve for the unexpired portion of the terminated committee member s term. SECTION 14.4 Chair and Vice-Chair One member of each committee shall be designated as the committee chair, and another member of each committee shall be designated as the vice-chair. The chair and vice-chair shall be elected by committee members. The chair shall call and preside at all meetings of the committee. When the chair is absent, cannot act, or refuses to act, the vice-chair shall perform the chair s duties. When a vice-chair acts for the chair, the vice-chair shall have all the powers of, and shall be subject to all the restrictions on, the chair.
