1 MODEL CONTRACT This Model (CONTRACT) is made and entered into this day of, 2008 at THE COOKING MODEL AGENCY in Boca Raton, Florida by and between: I. PARTIES: A. THE COOKING MODEL AGENCY, having a principal place of business at 1200 N Federal HWY Suite 200, Boca Raton, Florida (hereinafter referred to as. THE AGENCY.); AND B. a MODEL, having his/her principal residence at State of (hereinafter referred to as.model) II. PURPOSES: WHEREAS, THE COOKING MODEL AGENCY wishes to represent MODEL, as his/her exclusive agent in the areas and under the terms described herein; and WHEREAS, MODEL wishes to retain THE COOKING MODEL AGENCY as his/her agent in the areas and under the terms described herein: NOW THEREFORE, in consideration of the mutual promises contained herein and for other good and valuable consideration receipt of which is hereby acknowledged, the PARTIES do agree as follows: III. PROVISIONS: 1. MODEL hereby employs THE COOKING MODEL AGENCY as his/her model/talent agency for the period of five (5) years from the date hereof, to negotiate contracts for the rendition of MODEL.S professional services as model, actor or otherwise, in the fields of MODELING/MOVIES/PRINT/COMMERCIAL. MODEL hereby employs THE COOKING MODEL AGENCY as his/her model agency with respect to work to be performed in the United States and other countries. MODEL hereby employs THE COOKING MODEL AGENCY as his/her model agency with respect to work to be performed worldwide subject to the terms of Paragraph 3 below. 2. As compensation for THE COOKING MODEL AGENCY s rendering said services, MODEL agrees to pay THE COOKING MODEL AGENCY a sum equal to Twenty Percent (20%), of all monies or things of value as and when received by MODEL, directly or indirectly, as compensation for professional services rendered or agreed to be rendered during the term of this CONTRACT, or any extensions, renewals, modifications or substitution thereof, entered into or negotiated by THE COOKING MODEL AGENCY during the term hereof and to pay the same to THE COOKING MODEL AGENCY thereafter for so long a time as MODEL receives compensation on any such contracts, extensions, options or renewals of said contracts. It is expressly understood that to be entitled to continue to receive the payments of compensation on the aforementioned contracts after the termination of this CONTRACT, THE COOKING MODEL AGENCY shall remain obligated to serve MODEL and to perform extensions of said contracts or to any employment contracts or the extensions of the said contracts or to any employments requiring services on which such compensation is based. 2 3. MOTHER AGENCY CLAUSE. MODEL hereby appoints THE COOKING MODEL AGENCY as his/her.mother. TALENT AGENCY to negotiate contracts on MODEL.S behalf with other model or talent agencies, including but not limited to, International affiliated Agencies. When MODEL performs services through any other talent agency, with direct COOKING MODEL AGENCY involvement, MODEL agrees that as MOTHER AGENCY, THE COOKING MODEL AGENCY will receive fees amounting to ten percent (10%) of the total dollar amount money or value MODEL receives, exclusive of, and in addition to, any other fees which MODEL may be obligated to pay to any other talent agencies for services rendered on his/her behalf. 4. Applicant permits THE COOKING MODEL AGENCY to use name, likeness, and biographical information in exchange for publicity. Applicant gives THE COOKING MODEL AGENCY and its assignees and licenses the right and permission to use his/her photographs, which may be altered in form, and to copyright, publish and distribute all film, video and photographs together with name and biographical information for editorial, advertising promotion and publicity or any lawful purpose. 5. In the event that THE COOKING MODEL AGENCY shall collect a fee for obtaining employment from MODEL and MODEL shall fail to procure such employment or shall fail to be paid for such employment, THE COOKING MODEL AGENCY shall upon demand, therefore, repay to MODEL the fee and expenses so collected. Unless repayment thereof is made within forty-eight (48) hours after demand therefore, THE COOKING MODEL AGENCY shall pay to MODEL an additional sum equal to the amount of the fee as provided BY Florida Statutes. 6. In the event that MODEL does not obtain a bona fide offer of employment from a responsible employer, regardless of the source, during a period of time in excess of six (6) consecutive months, during all of which said time MODEL shall be ready, able, and willing and available to accept, either party hereto shall have the right to terminate this contract by notice in writing to that effect sent to the other by registered or certified mail. 7. MODEL will be considered an Independent Contractor at all times during the term of the agreement. THE COOKING MODEL AGENCY will not be responsible for any personal injury for any COOKING MODEL AGENCY job performed outside of 1200 N Federal HWY Suite 200, Boca Raton, Florida MODEL hereby releases THE COOKING MODEL AGENCY from any and all liability during the term of this contract. MODEL will determine the method, details and means of performing the above described services. Neither federal, nor state, nor local income tax nor payroll tax of any kind shall be withheld or paid by THE COOKING MODEL AGENCY on behalf of MODEL. MODEL will be entitled no fringe benefits or worker s compensation coverage under the terms of this CONTRACT. 8. MODEL agrees that THE COOKING MODEL AGENCY may render its services to others during the term of this CONTRACT. 9. Controversies arising between the PARTIES under the provisions of the Florida Statute relating to talent agencies and under the rules and regulations for the enforcement thereof shall be litigated under the laws of the State of Florida. LIMITED LIABILITY: It is further agreed that THE COOKING MODEL AGENCY shall not be responsible for any damages, whether actual or potential, direct or indirect, special, consequential, or incidental, nor any loss of profits or claims which may arise in any way out of its performance or breach of this Agreement, whether related to MODEL or to another party in a sum in excess of the fee paid to MODEL for the work he/she has performed. MODEL further agree that THE COOKING MODEL AGENCY shall not be responsible (beyond reasonable collection efforts) for payments due to him/her for work he/she has performed for third parties for which he/she has provided talent services 11. This instrument constitutes the entire agreement between THE COOKING MODEL AGENCY and MODEL. No statement, promise or inducement made by any party hereto which is not contained herein shall be binding or valid and this CONTRACT may not be enlarged, modified, or altered except in writing by both parties hereto. Any substantial changes in the CONTRACT must first be approved by the management. 12. THE COOKING MODEL AGENCY will make reasonable efforts to procure casting (go-see) or booking (employment) for MODEL, BUT IS NOT PROMISING OR OBLIGATED TO DO SO. 13. MODEL has read and agreed to abide by the stipulations set forth in APPENDIX.A. and has signed name. 14. This agreement supersedes any and all prior contemporaneous agreements or understandings, either oral or in writing. 15. THE COOKING MODEL AGENCY hereby agrees to deliver to MODEL an executed and exact copy of the CONTRACT MODEL AGENCY REPRESENTATIVE MODEL (If under 18 years, parent) I have read and understand the foregoing and agree and understand the whole. 4 THE COOKING MODEL AGENCY - APPENDIX A MANDATORY: DO NOT be late DO NOT ever give PERSONAL INFORMATION to a client (i.e. address, telephone number, etc.) DO NOT ever forget your PORTFOLIO BOOK. DO NOT ever bring anyone other than yourself (friends, family, etc.) to an audition (a.k.a. casting, go-see, or interview). Minor MODEL should be accompanied by one (1) parent or guardian only. A NO SHOW to an AUDITION (a.k.a. casting, go-see or interview) requires at least 24 hours notice to THE COOKING MODEL AGENCY CASTING DEPARTMENT. GUIDELINES: MODEL MUST DRESS PROFESSIONALLY when representing THE COOKING MODEL AGENCY. DO NOT use inappropriate language. DO NOT go out late the night before an audition or job. DO NOT eat or drink anything while on an audition. DO NOT CHEW GUM. DO NOT SMOKE. DO NOT SHOW NERVOUSNESS! DO NOT forget to take job vouchers with you; you may obtain them from THE COOKING MODEL AGENCY. REMEMBER: BE NICE AND FRIENDLY.If you have a good personal attitude, it will increase your chances of being selected, so please leave all personal problems at home. DO NOT COP AN ATTITUDE! ALL MODELS MUST have a MESSAGE MACHINE and/or CELL PHONE, so THE COOKING MODEL AGENCY CASTING DEPARTMENT can reach Model in a timely manner for auditions and calls. DO NOT DISCUSS RATES OR OTHER BOOKINGS WITH CLIENTS OR OTHER MODELS; THIS IS STRICTLY PROHIBITED. AS YOUR AGENCY, IT IS OUR JOB.WE WILL HANDLE ALL EGOTIATIONS FOR YOU. Page 4 of 5

5 PUBLISHING AGREEMENT Please read the following and sign your name at the bottom of this agreement. This agreement must be returned to us within ten days. I agree to let COOKING MODEL AGENCY, INC. ("AGENCY") have the right to disseminate, reproduce, print and publish my name, likeness and biography in order to secure the advantages of publicity for me and to promote my artistic career. This includes, but is not limited to, portfolios, agency brochures, business cards, Internet, web page or other electronic media advertising or other agency promotional materials. I hereby grant the Agency the unlimited right to use these images, if already printed or utilized as graphics for agency promotional materials after such time as I choose to terminate my relationship with Agency. Agency may grant such rights to others, provided however, that AGENCY shall in no event grant permission to any person to use any direct endorsement by myself of any product or service without my written consent.
