5 Nikon April 3, 2016 thru April 30, 2016 MVP Sales Promotion (Imaging) Program Period April 3, 2016 thru April 30, 2016 Terms and Conditions Program Participation Requirements Forecast, Inventory and Sell-through Reports To participate in Nikon Inc. s ( Nikon ) April 3, 2016 thru April 30, 2016 MVP Sales Promotion, you must be active in Nikon s Inventory Sell-through and Reporting Program by providing Nikon with product forecasts, on-hand inventory and weekly sell-through reports. If you are not already participating in the reporting program, and you want to participate in Nikon s April 3, 2016 thru April 30, 2016 MVP Instant Savings Sales Promotion, you must sign up and provide Nikon with all required reporting information prior to the start of your participation in this Promotion. To do so, contact your Nikon Account Manager immediately. Advertising and Selling Requirements A. For each eligible MVP Product or product combination as listed on Nikon s April 3, 2016 thru April 30, 2016 MVP Sales Promotions Calendar (see pages 1, 2, 3 and 4) for which credit reimbursement will be claimed, you, as a participating Nikon Authorized Dealer or Reseller (collectively Dealer ), must: (i) Comply in full with Nikon s most current Unilateral Maximum Value Policy (MVP) including without limitation, all releases of Frequently Asked Questions for Dealers/Resellers; (ii) Offer for sale and/or sell the eligible MVP Product or product combination at or above the MVP Promotional Price (After ) during the period of the Effective Instant Savings Dates as listed on pages 1, 2, 3 and 4 for that eligible MVP Product or product combination. B. Except as otherwise set forth in this Promotion, Dealer s advertisements during the Promotion Program Period must be eligible for reimbursement under Nikon s most current Cooperative Advertising Program. 6 Disqualifying Activities Nikon April 2016 MVP Sales Promotion (Imaging) 1. The following will automatically disqualify a Dealer from receiving April 3, 2016 thru April 30, 2016 MVP Sales Promotion credit reimbursement for a Nikon April 3, 2016 thru April 30, 2016 MVP Sales Promotion eligible MVP Product or product combination and will result in the consequences of a violation of Nikon s MVP Policy: A) During the Promotion Program Period of April 3, 2016 thru April 30, 2016, any advertisement or sale (including internet advertising and sales) of an eligible MVP Product or product combination during the period outside the Effective Dates that displays or results in a sale at a price lower than that MVP Product s or product combination s MVP Price (Before ) will automatically disqualify you from receiving MVP credit reimbursement for that MVP Product or product combination and will result in the consequences of a violation of Nikon s MVP Policy; or B) During the Promotion Program Period of April 3, 2016 thru April 30, 2016, any advertisement or sale (including internet advertising and sales) of an eligible MVP Product or product combination during the period within the Effective Dates that displays or results in a sale at a price lower than that MVP Product s or product combination s MVP Promotional Price (After ) will automatically disqualify you from receiving MVP credit reimbursement for that MVP Product or product combination and will result in the consequences of a violation of Nikon s MVP Policy; or C) During the Promotion Program Period of April 3, 2016 thru April 30, 2016, except for category wide promotions in compliance with this Promotion, any advertisement or sale (including internet advertising and sale) of an eligible MVP Product or product combination that includes an added value promotion item or items exceeding 10% (value may be rounded up to the nearest whole dollar) of that MVP Product s or product combination s MVP Price, a gift card or a dollar off promotion will automatically disqualify you from receiving MVP credit reimbursement for that MVP Product or product combination and will result in the consequences of a violation of Nikon s MVP Policy (See Promotional Activities with MVP Products below). 2. Nikon s April 3, 2016 thru April 30, 2016 MVP Sales Promotion is valid only for retail sales of new eligible MVP products or product combinations listed on the Nikon April 3, 2016 thru April 30, 2016 MVP Sales Promotions Calendar set forth on pages 1, 2, 3 and 4 and purchased from Nikon by Nikon Authorized Dealers or Distributors and sold to bona fide retail customers by Nikon Authorized Dealers from April 3, 2016 thru April 30, All product combinations must be purchased by the retail customer at the same time and appear on the same receipt. Each unit of eligible product or product combination will receive one credit reimbursement only. 3. To qualify for Nikon s April 3, 2016 thru April 30, 2016 MVP credit reimbursement, all eligible MVP Product and product combination purchases must be made by and delivered to bona fide retail customers in the 50 United States, the District of Columbia, Puerto Rico or the U.S. Virgin Islands. 4. Nikon reserves the right in its sole discretion to disqualify any Dealer from receiving any Nikon s April 3, 2016 thru April 30, 2016 MVP Sales Promotion credit reimbursements if any of the terms and conditions of this Promotion are not met. Any fraudulent, false or deceitful submissions or acts by a Dealer in connection with this Nikon April 3, 2016 thru April 30, 2016 MVP Sales Promotion including without limitation, taking credits for this or any other Nikon promotions not authorized, issued and posted by Nikon on the account of Dealer or the Nikon Authorized Distributor from which you purchased the products, will automatically disqualify such Dealer from receiving any Nikon April 3, 2016 thru April 30, 2016 MVP credit reimbursements, and further will disqualify such Dealer for the following twelve (12) months from participating in any Nikon promotional programs including Cooperative Advertising and promotions and will be a violation of Nikon s MVP Policy. Credit Reimbursement under this Nikon April 3, 2016 thru April 30, 2016 MVP Sales Promotion applies to the MVP Products and product combinations listed on pages 1, 2, 3 and 4 only during the Effective Dates and the period these MVP Products and product combinations are designated MVP Products by Nikon. 7 Bundled promotions with MVP Product I s s u e D a t e : Promotional Activities with MVP Products A Dealer s added value promotions which bundles additional merchandise, such as memory cards, gadget bags or cases, or additional items such as free shipping or free financing, are allowed for MVP Products provided the promotional item(s) do not include a gift card and the promotional value of the additional item(s) cannot exceed 10% (value may be rounded up to the nearest whole dollar) of the MVP Price for the advertised/promoted MVP Product. Further, the MVP Price of the advertised/promoted MVP Product must appear in the advertisement/promotion and may not be lowered to reflect the value of the additional promotional item(s). The value of such additional promotional item(s) shall be defined as the higher of (a) the price of the item when sold by the Dealer as a separate product or (b) the value of the item(s) stated by the Dealer in the advertisement/promotion. Dollar off promotions (e.g., $25.00 off a Nikon DSLR with the purchase of three accessory items) are a violation. Gift card promotions (e.g., Free $10.00 gift card with the purchase of a Nikon DSLR) are a violation. Category-wide promotions are acceptable provided they apply to all brands within a product category, the promotional item(s) do not include a gift card, and the value of the promotional item(s) are not deducted from the MVP Price of the MVP Product. Category-wide promotions with MVP Product Free shipping and/or handling or free prints or financing promotions as well as Post-Sale Education and Support (i.e., Classroom or Web-based Customer Training) do not violate this policy (e.g. Free Shipping on all DSLR cameras or Free Financing on the purchase of any DSLR camera is permissible). Dollar off promotions (e.g., $25.00 off any DSLR) are a violation. Gift card promotions (e.g., Free $10.00 gift card with the purchase of any DSLR) are a violation. F MVP Page 7 of 8

8 Submission for Nikon April 2016 MVP Sales Promotion (Imaging) Dealer Credit Reimbursement The Application for credit reimbursement under this Nikon April 3, 2016 thru April 30, 2016 MVP Sales Promotion must be submitted as a single package. Subsequent submissions will not be permitted. You must meet all of the terms and conditions of this Nikon April 3, 2016 thru April 30, 2016 MVP Sales Promotion to be eligible for credit reimbursement hereunder. Dealer submission of a Nikon April 3, 2016 thru April 30, 2016 MVP Sales Promotion Dealer Reimbursement Credit Application indicates Dealer s certification that Dealer has met all terms and conditions of this Promotion. You must submit a completed Nikon April 3, 2016 thru April 30, 2016 MVP Sales Promotion Dealer Reimbursement Credit Application to apply for credit reimbursement under this Nikon April 3, 2016 thru April 30, 2016 MVP Sales Promotion, together with the required documents by May 30, No credit reimbursement will be issued for claims not included in the first Reimbursement Credit Application submitted or for claims submitted after May 30, Dealer is eligible for credit reimbursement only for units of product or product combinations for which Dealer or the Nikon Authorized Distributor that sold the product to Dealer, as the case may be, has actually paid Nikon the amount invoiced by Nikon for such units. No credit reimbursements will be owed or issued by Nikon to the Dealer or the Nikon Authorized Distributor that sold the Product to Dealer (for passing-through to Dealer), as the case may be, for units of product or product combinations for which Dealer or the Nikon Authorized Distributor that sold the product to Dealer, as the case may be, has not actually paid Nikon the amount invoiced by Nikon for such units. Credit Reimbursements are not cash equivalents, may not be redeemed for cash, are available only for the future purchase of products or product combinations and are subject to all of Nikon's rights under applicable state or federal law, including without limitation, its rights of setoff and recoupment. If Dealer is the subject of a voluntary or involuntary bankruptcy proceeding, the automatic stay will not be applicable to any attempt by Nikon to effect a reconciliation of accounts with Dealer by applying any such credit reimbursements due to Dealer against amounts due Nikon. If a Dealer loses its authorized dealer or reseller status for any reason whatsoever, all unused credit reimbursements are cancelled and may not be used for any purpose whatsoever.
