2 Backup Power IMPORTANT: The Reseller and end user are to adhere to and ensure ongoing compliance with the ACMA requirements including those related to backup power and Informed Decision thereof. ACCC Compliance IMPORTANT: The 25/5Mbps Residential service must be offered and available to all and any Residential or Small Businesses end user (14 or less staff including contractors at time of order) of a FirstPath service as it is a Declared service by the ACCC in terms of the Competition and Consumer Act Option to Purchase Business Services Residential and Small Business end users may order and use a Business service provided they know that they may and have the ability to order a 25/5Mbps Declared Residential Service. Product Summary VDSL (Very-High-Bit-Rate Digital Subscriber Line) uses a suitable modem or router to sync to a FirstPath DSLAM located in or near the Subscriber/End User s building or precinct. Once synced the traffic is a Layer2 service and delivered back to one Aggregation Port of the Reseller at the nominated Residential POI, Residential and Small Business access services delivered to other POI s may attract a Backhaul charge. There is a CVC and backhaul charge to consider with FirstPath Residential & Small Business access services. Features of Residential and Small Business VDSL Throughput / speed up to 100Mbps/40Mbps (download/upload) requires Profile17a or Profile30a CPE or better. Speed are as described on the FirstPath Residential and Small Business Price Book. Reseller can specify VLAN ID. Single VLAN per interface. Traffic from one end user may be delivered to only one Residential Aggregation Port at a FirstPath Residential POI. 30 day contract duration (longer durations available on request). Standard provisioning SLA. Prices based on BYOD and self-installation. No Telstra telephone exchanges used meaning no ULL s, LSS, TEBA charges and immune to telephone exchange affected outages and hence guaranteed diversity from other competing technologies. 3 VDSL services are delivered as a Naked service, which means that FirstPath VDSL services do not have PSTN phone capabilities and are not attached to the Telstra copper telephone line network. In most installations you may continue to use you Telstra or other carrier supplied services from the Exchange as well as the FirstPath VDSL service concurrently. VDSL may be installed in multi-unit buildings and suitable property estates. VDSL is generally not intended to be deployed into single dwelling/tenanted buildings. Availability Product availability and any special conditions of order are listed on the FirstPath coverage portal building list and documentation (including any speed or service limitations). If a service or address is not listed as available, the Reseller is encouraged to enquire about availability. Availability of a particular service, speed or characteristics is at the absolute discretion of FirstPath. FirstPath may also accept registration of interested site for inclusion in future builds. Demarcation Points at End User FirstPath Network Boundary Point or Demarcation Point for VDSL Residential and Small Business services is on, or near, the B side vertical of the MDF, or similar, of the building or precinct or at some other location as agreed on the Order Acceptance such as complete in tenancy installation available with CPE. This will be detailed in the Service Completion Advice. Although FirstPath may use the existing structured cabling of a building, FirstPath explicitly does not consider that building: cabling, related active or passive equipment and facilities not owned by Firstpath forms part of the FirstPath network or product and any faults, effects, limitations or concerns with or caused by the buildings cabling etc. are the property and responsibility of the building s owner, End User or similar. FirstPath may assist with resolving a fault in relation to or caused by the building cabling etc., however charges may apply (these charges will be quoted in advance on a case by case basis). If FirstPath does assist in resolving an issue with non-firstpath cabling etc. in one instance it does not mean FirstPath will in the future nor are issues remediated by FirstPath our ongoing concern or responsibility. The Reseller or Subscriber is to install the service and required cabling from the Demarcation Point to the Subscriber, unless the Reseller orders the cabling to be done by FirstPath. If FirstPath installs cabling as per a Service Order, FirstPath will have no enduring interest or responsibility for such cabling or the sooner of 5 days from Service Completion Advice or Service activation & or use. Aggregation at Residential POI (Agg Port) Residential and Small Business VDSL access services may be delivered back to the same Agg Port but may not receive Business access services. I.e. Data from Business and Residential access services may not be presented to the same Agg Port. A Residential and Small Business Agg Port is available in 1Gbps & 10Gbps interface speeds (40gbps and 100Gbps Agg Ports are due to be released in 2015), there are CVC charges based on chosen CVC bandwidth selected at each Residential Agg Port POI. The Business Agg Port charge is based on the interface speed. All VDSL services are to be delivered back to the nominated Resi POI or to another Residential POI in the same state or territory that the service is located (in which case a backhaul charge will apply). Residential Agg Port POI s are available in designated FirstPath locations. Page 3 of 8

4 Charges Charges and rates are listed on the current FirstPath Price List from time to time and once the Service Order is accepted by FirstPath will remain in effect until the respective Service Order is terminated. Install Charge is the once-off charge for the installation and setup of a new service and the price is dependent on the: throughput/speed, BYOD, SLA chosen or any other agreed charges. Installation charges apply to new services and/or relocations. Monthly Recurring Charge (MRC) is the ongoing cost of access to the Services ordered. Change Requests any: addition, removal or alternation to services ordered that may impact a service/circuit after the original order is signed by the Reseller and FP Acceptance Confirmation is sent will incur the Change Request Charge(s) relevant to the SLA chosen on the order. Modification and Charges (Uplift vs. Reduction) a) Change Requests received for a Service that has a remaining Contract Duration greater than 30 days that results in a higher MRC plus once off charges on that Service for FirstPath are considered Uplift. b) Change Requests received for a Service that has a remaining Contract Duration greater than 30 days that result in a lower MRC plus once off charges on that Service for FirstPath is considered Reduction. c) Change Requests accepted for a Service that has no remaining Contract Duration will have no Uplift or Reduction adjustment applied. Upgrade Options Resellers may order an Uplift of a service at any stage of the contract, Change Request fees may apply (a Contract Variation Charge does not apply). Resellers may order a Reduction of a service at any stage of the contract, Change Request fees may apply plus Contract Variation Charges. Contract Variation Charges Change Requests that result in a Reduction will attract a once off Contract Variation Charge, this charge will be invoiced in total at the time of the Change Request. Contract Variation Charge calculation method is: (VBCR VACR) x 0.85 Value Before Change Request (VBCR) = Remaining Total Contract Duration (rounded up to whole moths) x MRC for the service Value After Change Request (VACR) = Remaining Total Contract Duration (rounded up to whole moths) x MRC for the new service If a Service Order is renewed at a lower MRC but on a longer contract duration (extending the remaining contract value beyond that on the prevailing order for that Service) then the same Contract Variation Charge formula will be applied if the effect of the new order is a Reduction. FirstPath may accept or reject a Change Request at FirstPath s sole discretion on a case by case basis. Page 4 of 8

5 Traffic and Usage Charges There are no traffic, quota, or usage charges at the Subscriber side but there is a CVC Charge at the Aggregation Port POI side. Priority Install Priority install is only available with Business services. VLAN Support Each VDSL service includes 1 x 802.1Q VLAN. At the Subscriber side of the service will be untagged. At the Aggregation side of the service (Residential POI Agg Port) the VLAN remains tagged. MTU Default Maximum Transmission Unit is 1492 (recommended). Protocol & Traffic Type As this is a Layer2 service, FirstPath do not generally intend to restrict protocol use or traffic types, however FirstPath may at FirstPath s absolute discretion require a protocol or traffic type use to be discontinued, or not be used. If FirstPath notifies the Reseller and or Subscriber to cease and discontinue the use of a protocol, then its use must stop immediately. FirstPath may block prohibited traffic types or protocols on the network at any time and at FirstPath s absolute discretion. Compliance It is the Resellers and Subscribers responsibility to ensure that all CPE, equipment, traffic and protocols used are at least compliant with all Australian and other relevant rules, standards, laws, requirements and procedures as well as those of similar international standards. The Reseller is to ensure that any device connected to the FirstPath network is installed and maintained to a good standard. Any service, use or device that does not comply with any requirement of FirstPath or various authorities may result in at least the immediate disconnection of a service or interface without cost, effect, penalty or recourse to FirstPath. 6 MAC Addresses The Reseller is to ensure that all devices connected, or used in conjunction with or transmitting or receiving data and or traffic, to or from the FirstPath network have unique MAC addresses. FirstPath reserves the absolute right to request the reseller discontinue the use of a device if FirstPath suspect that the device or interface conflicts with any other MAC address connected to the FirstPath network. SLA s Available FirstPath Residential and Small Business VDSL is delivered as per the Residential and Small Business SLA. If high SLA specifications are required then a FirstPath Business service should be ordered. Traffic Classes FirstPath Residential and Small Business VDSL all receive lower Traffic Class/Priority than any FirstPath Business service and this may impact service performance from time to time. VLAN Profiles FirstPath DSLAMs support VDSL2 profiles 17a or better, and may be able to step back to ADSL2. Resellers are to choose the throughput / speed of the link at time of the order. Throughput speed changes may be requested and Change Request Charges may apply. Over-Subscription Resellers are encouraged not to over-subscribe or contend service and aggregation ports, however, FirstPath does not monitor or restrict over-subscription however over-subscribed services are Unsupported. Customer Premises Equipment (CPE) CPE is a choice of: FirstPath supplied or Bring Your Own Device (BYOD). FirstPath preference is that Resellers BYOD. BYOD allows the Resellers to retain management and support of the BYOD as well as have complete control of the configuration and behaviour of the BYOD. When the reseller nominates BYOD then the FirstPath Demarcation Point for services delivery will be the B side vertical of the building MDF and not any point thereafter such as in-building cabling, in-premises cabling, CPE, power etc. Page 6 of 8

7 Device Management BYOD: If a service is a BYOD service, then the Reseller, or end-user, is responsible for the supply, configuration, maintenance, management, support, warranty, etc. for the device, data and communications of that device to any and all destinations on egress and ingress. BYOD also allows the Reseller to supply a hardware solution that is consistent with the Reseller & or Subscriber requirements of resilience, vendor, configuration, support etc. BYOD means that FirstPath do not manage the CPE on the link. FirstPath CPE and or NTU: if FirstPath supplies the CPE and or NTU then the Reseller, or end-user, is responsible for management maintenance, support, warranty, etc. of the device and configuration. Traffic will be delivered and received untagged to the Subscriber site and any transmission egress or ingress will be the responsibility of the Reseller and Subscriber. FirstPath will not continue to upgrade or firmware the device and it is supplied on an as is basis at the time of installation. After 15 days from the date of the Service Completion Advice, the Reseller owns the device and the ongoing support and maintenance of the CPE. Subscriber Site Requirements The Subscriber is to provide a protected power and high availability environment to match or exceed the SLA ordered at each location for a Service. Faults Urgent Faults are to be logged via phone to the FirstPath support desk, while Change Requests are to be logged via a Service Order or Change Request form. General and non-urgent support requests should be via . Faults are to be logged in terms of each Service Orders SLA and if logged outside of the relevant SLA charges may apply as described on the prevailing FirstPath price list. End Users may not request support directly from FirstPath and support is regarded as NOC to NOC, Reseller is to conduct all first and second level support. Additional Terms If there is any omission or inconstancy of terms the following order of priority prevails: a) Firstly the Service Order(most prevalent); b) Secondly the Product Definition; c) Thirdly this Master Services Agreement; d) Then other correspondence Page 7 of 8

8 IMPORTANT Not to be used for USO, Emergency or Medical services By ordering a VDSL service you acknowledge and accept that it is an absolute condition of order, supply, use and FirstPath s policy, that VDSL services may not be used or regarded as being highly available and must not be ordered or used at any site where the Service may be relied on for vital service availability including but not limited to accessing: emergency, law enforcement, protective services, justice, correctional, medical, monitoring, availability, security services or any other reason that may be considered important whatsoever. FirstPath VDSL is only to be used for access to non-essential services. The appropriate FirstPath Fibre Optic Services must be ordered if any essential or important service is needed. If VDSL services are used to supply voice or related services, there must be full disclosure to the end user that the FirstPath VDSL is not compliant with the Universal Services Obligation (USO) and include the above qualification of service suitability. Although VDSL may be ordered at throughput speeds greater than 30Mbps, if ordering throughput above 30Mbps in either direction, FirstPath recommend that Business Fibre Optic Service be ordered rather than VDSL if availability or consistent packet and protocol behaviour is required, as there are environmental factors that may impact VDSL service performance. It is an absolute condition of supply that you as a Reseller have text to this effect on your respective Sales Order and your web site. Page 8 of 8
