Horses selling in the Farnam Yearling Pleasure Stakes Session must be Regular Registry OR NEW for 2016: Solid Paint-Bred with 2 Regular Registry Paint parents and must go through the on-line sale to remain eligible. Both horses SOLD and REPURCHASES (no sales) are eligible to compete in the corresponding Farnam Sale Stakes Classes: Farnam 2-Year-Old Western Pleasure - offered with a Limited Division as a class within a class. (Purse: 65% Open / 35% Limited) Farnam 2-Year-Old Hunter Under Saddle - offered with a Limited Division as a class within a class. Consignment fee - $500 which will be deducted from sale proceeds. Commission - 8% of sale price. Applies to both horses sold and repurchases (no sales) with minimum payment of $150. Original Registration Papers with signed transfer must be received by Sale Office to complete entry. $800 stakes fee for Farnam yearling stakes session due at time of submission. Entire $800 will be paid out in Year-Old purses. Lot order Lot numbers will be determined by using the first letter of the first dam s name of each horse selling. A random draw will be conducted to determine the beginning letter. For example, if the letter F was drawn; all first dams will be alphabetized with the letter F and ending with the letter E (i.e. a horse with a first dam beginning with the letter F would be at the beginning of the sale, while a horse with a first dam beginning with the letter E would be at the end of the sale). 6 CONSIGNOR S CONTRACT Farnam Breeders Trust Select Yearling Internet Auction Please keep a copy of this contract for your records. You will be bound by these Conditions whether, or not, you have read them. I hereby consign the foregoing livestock (the Animal(s) ) to the American Paint Horse Association (APHA) Farnam Breeders Trust Select Sale for sale and inclusion in the Internet Sale catalog subject to the following terms and conditions. Sale manager, Professional Horse Services, LLC shall be referred to as PHS, LLC. 1. I agree to pay the designated Consignment Fee and stakes fee if applicable for each Animal and agree that the Consignment Fee will be deemed earned by you on the Withdrawal Date (September 30, 2016). I understand that I have the right to withdraw any Animal at any time prior to the Withdrawal Date and receive a refund of the Consignment Fee by delivery of written notice to you. Effective on the Withdrawal Date, I agree that the authority for APHA to sell each Animal will be irrevocable and that each Animal will be offered at the Sale unless the Animal is excused by APHA. After a horse has been consigned, Consignor agrees not to dispose of the horse by private sale. Withdrawals will be permitted in hardship cases but must be presented in writing to Professional Horse Services, LLC (PHS) and be accompanied by a signed Veterinarian Certificate stating that the horse has either died, received injury which affects the horse s marketability, or has acquired an illness which prevents the horse from meeting proper health requirements. Withdrawals presented in this manner must be further accompanied by a withdrawal fee of $250 which shall be in addition to the consignment fee, and which shall be used to pay for cataloging and advertising expenses and other costs incurred in removing the horse from the sale. In the event that my horse is not withdrawn from the sale prior to the withdrawal date, and not excused thereafter by a veterinarian s certificate, and shall fail to be offered for sale for any reason, then I agree to pay APHA a withdrawal penalty of $1,500. A reserve bid can be placed on any consignment, pursuant to consignment terms and conditions as published in the Sale catalog. Horses will sell to the highest bidder unless such bid fails to meet or exceed consignor s reserve bid, which the consignor will have placed prior to the sale time. All fees must be paid prior to the release of registration paperwork. 2. Selling Options: - Sell with NO RESERVE or Minimum Price: Will sell to the highest bidder. - Sell at or above a Minimum Starting Bid: Will sell to the highest bidder that meets or bids higher than any minimum opening bid. - Sell with an undisclosed Minimum Price: Minimum Price not posted. The Seller determines the lowest bid that will be accepted. The bid will be placed in the EDJE system, which will automatically place bids for the seller until the auction is below the reserve bid, the horse is not sold and is retained by the seller. - Sell Subject to Seller Confirmation: Seller will have 24 hours to confirm and accept the final price following the close of the auction to decide to accept the final bid in the auction. If the seller does not respond the horse will NOT be sold. 3. I authorize PHS, LLC and APHA to advertise and sell each Animal at public auction, to make the representations and warranties set forth in the Sale Conditions on my behalf, to deliver ownership of each Animal to the highest recognized bidder, to transfer title thereto and to receive and disburse the proceeds of sale for my account. 4. In addition to the Consignment Fee, I agree to pay APHA the designated Sale Commission on each Animal, computed on the final recognized bid at the Sale, by whomsoever made, regardless of whether such Animal is or is not sold at such bid. Commission is eight percent (8%) of selling price with a minimum commission of $150. The same commission will apply to repurchases or horses offered with unmet reserve bids. APHA is authorized to deduct all sums owing from my account and in the event of any deficiency; I agree to immediately pay the balance due. All returned checks will be charged a $35 processing fee and must be replaced with cash or certified funds. In addition, pastdue accounts will be charged interest at the rate of eighteen percent (18%) per annum. 5. I understand that APHA reserves the right to: (a) reject the entry of any Animal in the Sale at any time; (b) approve any assignment of my rights and obligations under this agreement; (c) determine the order of sale of all Animals; (d) cancel the Sale if less than 25 quality consignments are received. 6. I agree, at the time of entry, to deliver to PHS, LLC the following documents in a form satisfactory to APHA with respect to each Animal: (a) all original certificates of registration (APHA, Pinto, AQHA, etc.) or my assurance that all matters required by the applicable registry have been furnished and issuance of the certificate of registration is pending; (b) all transfer reports and other items required to transfer registration of the Animal to the Buyer. PHS, LLC reserves the right to make decisions regarding selection of the photos used for publication purposes. All consignors must be current members of the APHA at the time of consignment of sale horses. Separate and Original Coggins Report will be required on each horse. I will provide a photocopy to PHS, LLC and keep the original in my possession to travel with the horse to it s new home. Health paperwork is the financial responsibility of the buyer. I UNDERSTAND THAT PHS, LLC WILL WITHHOLD ANY MONIES DUE ME UNTIL ALL SUCH DOCUMENTS ARE DELIVERED. 7. PAYMENT TO CONSIGNORS: A. Payment to consignors not earlier than the 10th banking day, nor later than the 21st banking day after the sale, or sooner as checks are cleared. B. Registration Certificates will not be transferred until the buyer s check has cleared the bank. Papers will be processed within 45 working days following sale. C. Payment to consignors will be held until all necessary papers are in the PHS, LLC office. D. AN ASSESSMENT OF $100 WILL BE CHARGED ON ANY PROBLEMS IN PROCESSING PAPERWORK. I agree to provide such information as might be requested with respect to the ownership, description, pedigree, produce, performance, health and conformation of each Animal. I understand that if I review the Internet Sale Catalog and recognize any corrections that need to be made to my representations and warranties with respect to each Animal, I agree will promptly notify you of any corrections thereto. 8. I represent and warrant to the buyer and APHA the following: (a) title to the animal is free from all adverse claims to ownership, use or possession, (b) the animal is sound of eyes and hearing, (c) the animal is not a cribber, (d) the animal has not been nerved, foundered, or had navicular disease, (e) the sex and condition as a gelding or ridgling of the animal is as described in the Sale Catalog, and that colts or stallions at least 13 months of age at the time of sale possess two palpable testicles descended to the scrotum, (f) the animal is sound of wind and is not a bleeder, (g) the animal does not possess an obvious gap between the upper and lower teeth, (h) the animal has not had abdominal or joint surgery. I understand that my consignment is subject to veterinarian inspection prior to the sale at a potential buyer s discretion and expense. In the event that a horse possesses any of these defects, it shall be the Consignor s sole responsibility to inform APHA or PHS, LLC of such defects in a timely manner so that proper

7 announcements can be made on the Internet auction catalog page. Any horse sold in this sale which has a condition that must be made public as provided in the Conditions of Sale and is not so provided shall be subject to a claim by the buyer to return the animal to the consignor with a full refund of the purchase price, plus cost, expenses and attorney fees as allowed by law, so long as procedures of Right of Return as described in Conditions of Sale are met. 9. To accommodate prospective buyers I agree to make my animal available for viewing by appointment, should a potential buyer want to view the horse or have a veterinarian examine the horse. 10. APHA AND PHS, LLC DO NOT GUARANTEE PAYMENT BY THE ONLINE BIDDER. Due to the nature of the electronic transaction PHS, LLC cannot guarantee the validity or performance of an Internet bidder. Seller understands that PHS, LLC does not guarantee the validity, enforceability, payment or collection of any instrument received in payment of the purchase price of any entry. In the event a purchaser fails to pay for and receive a horse, APHA and PHS, LLC shall not be held liable for said sale, but shall have the right to accept the same amount from another person, accept the next highest bid or retain it for the seller as unsold. 11. I agree to indemnify and hold APHA and PHS, LLC harmless from all claims, expenses and costs (including, without limitation, attorneys fees) arising out of: (a) any question of title to or my authority to sell any Animal; (b) any lien attached or claim asserted against any Animal or the proceeds of sale; (c) any claimed default in my representations or warranties with respect to any Animal; (d) loss or damage to property and injury or death of persons caused directly or indirectly by me, my agents or employees or any Animal; (e) my entry or sale of any Animal; or (f) my default in performance hereunder. I agree to pay APHA or PHS, LLC on demand, the full amount of any loss, which may be incurred in settlement of any claim or demand on account thereof. APHA and PHS, LLC shall not be liable for lost profits or any incidental, special or consequential damages whatsoever arising out of or in connection with any sale or transaction. In NO event will the total liability of APHA or PHS, LLC to me from all damages, losses, and causes of action resulting from Seller s use of the PHS, LLC website or service exceed the largest amount of funds held for my benefit. 12. Buyer has the right to have a veterinarian perform a limited postpurchase examination, at Buyer s expense, to determine if any of the issues in Condition 8 were not disclosed. The examination must be done within five (5) business days from the end of the auction and before the horse leaves the Seller s facility. An Animal sold with one or more of these conditions, which was not disclosed at the time of sale can be rejected by the buyer, upon receipt of a statement from a qualified veterinarian, establishing the existence of the condition, within six (6) business days of the date of sale. If an Animal is found to be lame at the time of the examination, the sale of the horse can be rejected without further diagnosis. If a sale is rejected, the horse will remain the property of Seller. 13. RELEASE OF HORSE TO BUYER: Seller shall not be required to release a horse to a Buyer until Buyer has made full payment for the horse and funds have been verified. 14. RISK AND RESPONSIBILITY FOR HORSE: Buyer assumes all risk, responsibility and expense for the horse at the end of bidding or, if sold pending confirmation by Seller, upon confirmation of selling price by Seller. Seller agrees to provide basic board and care for up to 5 days at no additional charge. Beyond 5 days, Buyer will be responsible to pay reasonable board, at a cost determined by Seller, plus any other expenses that may be required to maintain the horse until Buyer takes possession or has the horse picked up from the seller. 15. APHA reserves the right to positively identify each horse consigned and determine age by tooth examination to be made in accordance with the current Official Guide for Determining the Age of the Horse as adopted by the American Association of Equine Practitioners. Any discrepancies noted between the animal and information reported on its certificate of registration may result in the animal being removed from the sale. 16. APHA may conduct random drug testing or DNA testing on any or all consignments. Buyers will be given the option to request a drug test within five (5) business days of the auction and before the horse leaves the Seller s possession, at their expense, in accordance with APHA Rule SC-085, on any animal that they have successfully bid on and purchased. If a positive test is received, the Buyer will be entitled to a full refund of the purchase price and return of horse (at seller s expense). Further action may be taken against the responsible parties by the APHA Executive Committee if a violation of Rule SC-085 is suspected. 17. I understand that the terms of the Sale Conditions, information as to seller, buyer, purchase price, repurchases and unmet reserve bids may be disclosed as part of information reported on the Sale. I agree that PHS, LLC may publish sale results, including information concerning this sale transaction. 18. I understand that the terms of the Sale Conditions and Settlement Procedures published in the Sale Catalog will govern the sale of each Animal, and I hereby approve the same and agree to be bound thereby. Any disputes and/ or conditions not specifically covered by the Consignors Contract, Conditions of Sale, or Settlement Procedures shall be governed by actions of the APHA Executive Committee, and all decisions shall be final. 19. HYPP Statement: APHA and PHS, LLC do not warrant or guarantee the authenticity or validity of any HYPP certificate or statement by the consignor. 20. NO GUARANTEE OF SERVICE: PHS, LLC and EDJEAuctions.com (EDJE Technologies, Inc.) do not guarantee or covenant that the Auction technology, the EDJEAuctions.com site or any related services will meet Seller s requirements or be uninterrupted or error-free. EDJEAuctions.com (EDJE Technologies, Inc.) does not guarantee real-time performance of any service or that it will execute all online or absentee bids. 21. ADDITIONAL TERMS AND CONDITIONS: The Terms and Conditions for the use of EDJEAuctions.com and PHS, LLC Conditions Of Sale for buyers as stated on the auction web site, are hereby incorporated by reference and made part hereof as though fully set forth herein. 22. INTERFERENCE: Seller agrees not to use any device, software or routine to interfere with or attempt to interfere with the functioning of this online auction. 23. SEVERABILITY: If any provision or portion of a provision of this agreement is held to be invalid or unenforceable for any reason, such provision or portion of a provision shall be struck and the remaining provisions shall be enforced. 24. This agreement will be binding on me, my heirs, personal representatives, successors, permitted assigns, any successor in ownership of each Animal and will inure to the benefit of your successors and assigns.
