BY OPTING IN TO PARTICIPATE VIA TEXT MESSAGING, YOU UNDERSTAND THAT YOU WILL SEND AND RECEIVE UP TO ONE HUNDRED AND FORTY (140) TEXT MESSAGES TO YOUR MOBILE NUMBER DURING THE PROMOTION PERIOD FROM AN AUTOMATED SYSTEM WITH NOTIFICATIONS AND ALERTS FROM EXXONMOBIL. Participation constitutes Registrant s full and unconditional agreement to, and acceptance of, these Official Rules. The ExxonMobil Winning Made Easy Promotion 2016 (the Promotion ), offered to Eligible Employees of Branded Wholesalers and Store Operators (as defined below), begins on July 5, 2016, and ends on January 3, 2017 ( Promotion Period ). Promotion is sponsored by The Exxon Mobil Corporation, Springwoods Village Pkwy., Spring, TX (the Sponsor ). ELIGIBILITY: Promotion is open to legal residents of the forty-eight (48) continental United States and the District of Columbia who: (1) have reached the age of majority in his or her state of residence and are at least 18 years of age or older as of July 5, 2016; and (2) are an employee at a licensed Exxon- or Mobil-branded retail store ( Store ) ( Eligible Employee ). To qualify, the Store must be technologically enabled and registered to participate in the Plenti loyalty program and Plenti Live during the Promotion Period. This Promotion is not open to the general public. Participation in this Promotion is completely voluntary and intended to be completed on Eligible Employees own time; no form of compensation will be provided, and nonparticipation or incorrect answers in the Promotion will not result in penalty or consequences of any kind. Employees, officers and directors (including immediate family members [spouse, parent, child, sibling and their respective spouses, regardless of where they reside] and members of the same household, whether or not related) of the Sponsor, the other Promotion Entities and (as defined below) each of their respective parents, affiliated companies, subsidiaries, printers, advertising agencies, employees or officials of any government, or government-owned or government-controlled entity, that has regulatory authority over the Exxon Mobil Corporation or any of its affiliates and any and all other companies associated with the Plenti loyalty program are not eligible to participate or win a Prize (as defined below).

2 Promotion Entities shall mean organizations directly involved with this Promotion, including Administrator, American Express Travel Related Services Company, Inc., and each of their respective subsidiaries or affiliated entities, and their officers, employees and agents. Promotion is subject to all applicable federal, state and local laws, rules and regulations. Void where prohibited or restricted by law, rule or regulation. HOW IT WORKS: During the Promotion Period, there are two (2) ways to participate. 1) Via text message: Using a two-way-text-messaging-capable device ( Device ), text PLENTI to You will be sent a text message prompting you to provide your Store number (PBLNR). You must provide the PBLNR in order to register for the Promotion ( Registrant ). Registrant will then be sent the current weekly training question ( Weekly Question ) and subsequently will receive a Weekly Question every Tuesday for each of the remaining weeks in the Promotion Period for approximately twenty-six (26) Weekly Questions. If you answer the Weekly Question correctly and submit it prior to the Tuesday of the following week and prior to receiving the subsequent Weekly Question, you will be entered into that week s weekly drawing ( Weekly Drawing ) for a chance to win a fifty-dollar ($50) digital or physical gift card from an assortment of major retailers, restaurants and service providers, OR a fifty-dollar ($50) American Express Gift Card OR six thousand (6,000) Plenti points (the Prize ) for that week. Your first reply to the Weekly Question received from your Device will be recorded as your answer; if your answer is correct, you will be sent a text message confirming that your answer is correct and one (1) entry will be entered into the Weekly Drawing. If your answer is incorrect, then you will be sent a text message stating the correct answer, but you will not receive an entry into the Weekly Drawing. 2) To participate online via instead of via text message, visit and follow the directions to register for the Promotion. Each Tuesday you will be sent an during the Promotion Period containing the Weekly Question; follow the instructions in the to submit your answer. PARTICIPANT MUST BE A WIRELESS SERVICE SUBSCRIBER WITH TEXT-MESSAGING FUNCTIONALITY TO ENTER PROMOTION VIA TEXT MESSAGE. MESSAGE AND DATA RATES MAY APPLY. YOU UNDERSTAND THAT YOU MAY NOT BE ABLE TO PARTICIPATE FROM ALL WIRELESS SERVICE PROVIDERS OR FROM ALL HANDSETS. Participants should check with their service provider for details. This Promotion works with most U.S. cellular carriers, and requires a two-way-text-messaging-enabled cellular phone. You may be charged message and/or data rates for each text message sent from and received by your handset according to the terms of your wireless service agreement. DRAWING AND ODDS OF WINNING: One thousand three hundred (1,300) winners will be selected in Weekly Drawings (fifty [50] winners per drawing) from among all eligible entries received for the applicable drawing. Weekly Drawings will be conducted on or about the Friday following the end of the applicable week by Administrator, an independent judging organization whose decisions are final and

3 binding in all matters relating to this Promotion. Odds of winning will depend on the total number of eligible entries received for the applicable drawing. Nonwinning entries from one drawing will not carry forward into subsequent drawings. PRIZES: One thousand three hundred (1,300) TOTAL PRIZES: Each week, fifty (50) winners will receive a fifty-dollar ($50) digital or physical gift card from an assortment of major retailers, restaurants and service providers, OR a fifty-dollar ($50) American Express Gift Card OR six thousand (6,000) Plenti points, as solely determined by Sponsor. Terms and conditions of gift cards apply. Plenti points may not be redeemed for cash. Registrant is eligible to win only one (1) Prize per Weekly Drawing. Total value of all Prizes: up to $78,000. PLENTI BONUS POINTS: Registrants who complete registration for the Promotion by 11:59:59 p.m. CDT on July 31, 2016, and who provide their 16-digit Plenti account number will receive two hundred (200) Plenti points. Registrants must be fully enrolled in the Plenti rewards program in order to redeem points; participation in Plenti is NOT an eligibility requirement for the Promotion, however it is advised. Please allow up to fourteen (14) days for Plenti account to be updated. PRIZE CONDITIONS: Only the Prize specified above will be awarded. No cash equivalent, and all Prizes are nontransferable and no substitution will be made except as provided herein at the Sponsor s sole discretion. Sponsor reserves the right to substitute any listed Prize for one of equal or greater value if the designated Prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with Prize receipt and/or use. A list of winners will be made available on request. DETERMINATION AND VERIFICATION OF WINNERS: Administrator is an independent judging organization whose decisions as to the administration and operation of the Promotion and the selection of potential winners are final and binding in all matters related to the Promotion. Administrator s computer is the official timekeeping device for this Promotion. Receiving a Prize is contingent upon compliance with these Official Rules. If you are a potential winner of a Prize, you will be sent a text message that will contain detailed Prize claim instructions; alternatively, participants will be sent an that will contain detailed Prize claim instructions. If a potential winner does not respond within fourteen (14) calendar days, fails to provide any requested information within the required time period (if applicable) or Prize is returned as undeliverable either through physical delivery or notification, potential winner forfeits the Prize and an alternate winner may be selected at Sponsor s discretion. Digital gift cards will be awarded as an electronic gift card sent to the address associated with the Prize claim from sending address gc@vcdelivery.com and will include instructions on how to claim Prize. American Express Gift Cards and other physical gift cards will be sent via USPS Certified or First Class Mail and may require direct signature. Terms and conditions associated with all gift cards will apply. By receiving Plenti points, you agree and are subject to the Terms and Conditions available at when you open a Plenti account or use or participate in the Plenti rewards program in any way. Administrator is responsible for the functionality of the Promotion. Multiple Registrants are not permitted to share the same Device. Any attempt by any Registrant to obtain more than the stated number of entries by using multiple/different Devices, identities,

4 registrations and logins or any other methods will void that Registrant s entries, and that Registrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification, and all associated entries will be void. Released Parties (as defined below) are not responsible for lost, late, incomplete, invalid, inaccurate, delayed, unintelligible or misdirected registrations, text messages or entries, which will be disqualified. In the event of a dispute as to any entry via text message, the authorized account holder of the Device used to register will be deemed to be the Registrant, and he/she must comply with these Official Rules. The authorized account holder of a Device is the natural person in whose name the Device has been issued and the services are billed. In the event of a dispute as to any online entry, the authorized account holder of the address used to register will be deemed to be the Registrant and he/she must comply with these Official Rules. The authorized account holder is the natural person assigned the address associated with the account used to enter. Potential winners may be required to show proof of being the authorized account holder. ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR OR ADMINISTRATOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION. A REGISTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE PROMOTION SHOULD SO INDICATE, UNLESS AND UNTIL REGISTRANT S ELIGIBILITY AND ENTRY HAVE BEEN VERIFIED AND REGISTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR WILL NOT ACCEPT SCREENSHOTS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. ANY ENTRY THAT OCCURS AFTER THE SYSTEM HAS FAILED FOR ANY REASON IS VOID AND WILL NOT BE HONORED. RELEASE: By participating, Registrant agrees to release and hold harmless Sponsor, Promotion Entities and their respective parents, subsidiaries, affiliates, suppliers, distributors, advertising and promotion agencies and each of their respective officers, directors, employees and agents (collectively, the Released Parties ) from and against any claim or cause of action, including, but not limited to, personal injury, death or damage to or loss of property arising out of participation in the Promotion or receipt or use or misuse of any Prize. PUBLICITY: Except where prohibited, participation in the Promotion constitutes winner s consent to Sponsor s and its agents use of winner s name, likeness, photograph, voice, opinions and/or hometown and state for advertising and promotion purposes, in any manner, in any and all media, worldwide, in perpetuity, without further payment or consideration, notification or permission. GENERAL CONDITIONS: Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the Prize(s) for the Weekly Drawing(s) at issue at random from

5 among the eligible entries received for such Weekly Drawing(s) up to the time of the impairment or as otherwise deemed fair and appropriate by Sponsor. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of the Official Rules of this or any other Promotion or in an unsportsmanlike or disruptive manner and void all associated entries. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages (including attorneys fees) and other remedies from any such person to the fullest extent permitted by law. Sponsor s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. LIMITATIONS OF LIABILITY: The Released Parties are not responsible for: 1) any incorrect or inaccurate information, whether caused by Registrants, printing, typographical or other errors or by any of the equipment or programming associated with or utilized in the Promotion; 2) lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website or other connections, availability or accessibility or miscommunications technical failures of any kind, including technical failures of any kind, including, but not limited to, malfunctions, interruptions or disconnections in cellular networks, phone lines or network hardware or software; 3) unauthorized human intervention in any part of the entry process or the Promotion; 4) printing, typographical, technical, computer, network or human error that may occur in the administration of the Promotion, the uploading or the processing of entries or answers, the announcement of the Prizes or in any Promotion-related materials; or 5) any injury or damage to persons or property that may be caused, directly or indirectly, in whole or in part, from Registrant s participation in the Promotion or receipt or use or misuse of any Prize. If for any reason a Registrant s entry is confirmed to have been erroneously deleted, lost or otherwise destroyed or corrupted, Registrant s sole remedy is another question in the Promotion, if it is possible. No more than the stated number of Prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of Prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of Prizes by a random drawing among all legitimate, unawarded, eligible Prize claims. USE OF DATA: Sponsor will be collecting Registrants personal data in accordance with the Sponsor s Privacy Policy, which can be reviewed at the following link: exxonmobil.com/global- All/Legal/privacy.aspx. Please see the full Privacy Policy for details. Registrants personally identifiable information is not shared with third parties unless we give prior notice and choice. We do not rent, disclose or share personal information or aggregated demographic information with our partners and advertisers. Though we may use an intermediary to conduct Promotions, they may not use Registrants personally identifiable information for any secondary purposes. By participating in the Promotion, you hereby agree to Sponsor s collection and usage of your personal information and acknowledge that you have read and accepted Sponsor s privacy policy. 6 DISPUTES: By entering the Promotion, Registrants agree that: 1) Any and all disputes, claims and causes of action arising out of or connected with the Promotion, or any Rewards awarded, shall be resolved individually, without resort to any form of class action; 2) Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Promotion but in no event attorneys fees; and 3) Under no circumstances will any Registrant be permitted to obtain any award for, and Registrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Registrants and Sponsor or the Promotion Entities in connection with the Promotion, shall be governed by and construed in accordance with United States law. Any legal proceedings arising out of this Promotion or relating to these Official Rules shall be instituted only in the federal or state courts of Texas, and the parties consent to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to these Official Rules. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
