1 Dolphin Geophysical Corporate Social Responsibility (CSR) Report Introduction Dolphin Group ASA is registered in Norway and is a public limited company. Its governance and corporate management is based upon Norwegian legislation and the objective is to comply with the relevant principles in the Norwegian Code of Practice for Corporate Governance of 30 October It is the Group s view that effective corporate governance is fundamental to success, and a framework for successful services to customers and value creation for owners. Good corporate governance is characterised by open, responsible communication and cooperation among the owners, its board, and management, in the context of both short-term and longterm value creation perspectives. Our shareholders, employees, customers, suppliers, financial associates, and governmental bodies, as well as society in general, must be confident and trust that the Group is governed in a satisfactory fashion, and its board is sufficiently independent in the execution of its duties. The Group s principles and implementation of corporate governance are reviewed periodically and most recently approved by the board on 27 April The applicable principles, guidelines, as well as articles, board instructions and ethical guidelines including corporate social responsibility are available on the Group s websites Dolphin requires its directors and employees to observe high standards of business and personal ethics in the conduct of their duties and responsibilities. Directors and employees must practice fair dealing, honesty and integrity in every aspect in dealing with other employees, business relations and customers, the public, the business community, shareholders, suppliers, competitors and government authorities. CSR Policies In Dolphin, we have established policies that address different CSR areas such as human rights, employment rights, environmental issues and corruption Dolphin has established Values, Ethics and Corporate Social Responsibility Guidelines for Dolphin Group which sets out our values and principles. The guidelines have been resolved and adopted by the Board of Directors of Dolphin Group ASA. The purpose of the Guidelines is to create a sound corporate culture and to preserve the integrity of Dolphin Group by helping employees to promote standards of good business practice. Further, the Guidelines are intended to be a tool for self-evaluation and a vehicle for development of the Dolphin Group identity. The Guidelines applies to members of the Board of Directors, the CEO, the COO, members of management and other employees in all companies within the Dolphin Group, as well as others acting

2 on behalf of Dolphin companies. Compliance with these guidelines is the responsibility of every employee within the Dolphin Group Through the Guidelines, Dolphin addresses ethics in general, as well as different specific areas such as Human Rights, Employment Rights, Corruption and Environmental issues. It is Dolphin policy to comply with all applicable laws and governmental rules and regulations in the country in which it is operating. It is the personal responsibility of each of the persons mentioned above to adhere to the standards and restrictions imposed by those laws, rules and regulations, including those relating to accounting and auditing matters, and to internal Dolphin rules (if these are not in conflict with applicable legislation). Dolphin will, at best effort basis, keep updated on new laws and local regulations. In addition to having a strong focus on working conditions and external issues like environment and climate, Dolphin shall strive to ensure that the suppliers and other partners honour fundamental principles for corporate social responsibility that coincide with Dolphin s principles Key content from our CSR policies Human Rights Dolphin supports the principles of UN s Universal Declaration of Human Rights. Dolphin policy requires its directors and employees to observe high standards of business and personal ethics and to ensure that operations are performed in accordance with the Human Rights Standards Dolphin policy requires its directors and employees to observe high standards of business and personal ethics in the conduct of their duties and responsibilities. Directors and employees must practice fair dealing, honesty and integrity in every aspect in dealing with other employees, business relations and customers, the public, the business community, shareholders, suppliers, competitors and government authorities Dolphin policy prohibits unlawful discrimination against employees, shareholders, directors, customers and suppliers on account of ethnic or national origin, age, sex or religion. Respect for the individual is the cornerstone of Dolphin policy. All persons shall be treated with dignity and respect and they shall not be unreasonably interfered with in the conduct of their duties and responsibilities Dolphin strives to maintain a proactive attitude towards local communities. Prior to and during any project Dolphin involves local communities to ensure that potential disruption is minimised. For example proactive measures are implemented towards fishing communities to avoid any conflict or loss of catch. No claims regarding Human Rights have been registered in Employment Rights Dolphin shall be a professional and positive workplace with an inclusive working environment.

3 Dolphin shall focus on excellence in operations and strive to apply a working methodology, which ensures a good and sound working environment. Amongst other things, this means that Dolphin shall systematically promote employee satisfaction, seek to attain an incident free work place. Dolphin shall strive towards meeting, and preferably exceed, the requirements of all relevant legislation. Dolphin has adopted a set of guidelines based on the quality, health, safety and environment international standards of ISO 9001, ISO and OHSAS The same set of rules shall apply to all Dolphin contractors and suppliers. All employees shall help to create a work environment free from any discrimination, due to religion, skin colour, gender, sexual orientation, age, nationality, race and disability. Dolphin does not tolerate behaviour that can be perceived as degrading or threatening. Neither Dolphin nor its business partners shall use children as a labour force. Dolphin employs close to 500 people of more than 30 nationalities. This means that the company enjoys great cultural diversity which has a positive effect in the day to day work environment. During 2014 several company-wide training initiatives were implemented including a course booking management system that is accessible from all work sites. At each worksite, a Working Environment Committee participates in the planning and following of safety and environmental issues brought up by employees. A programme of Management Safety Visits to all vessels is implemented. The purpose of the visit is to promote dialogue between onshore management and offshore employees. During 2014 a total of 66 management safety visit were made to vessels in the Dolphin fleet. Annual meetings with senior offshore crew were held in Bergen with two events covering both rotations, each lasting three days. The objective of the event is to exchange information at all levels from company top management to vessel crew. The social aspect of the event is also an important factor. No reports related to employment rights have been received during Environmental issues Dolphin shall focus on excellence in operations and strive to apply a working methodology, which ensures a good and sound working environment. Amongst other things, this means that Dolphin shall optimise raw material and energy consumption and minimise waste. Dolphin shall act responsibly with a view to minimising the environmental footprint after any Dolphin activity, and will strive to reduce harmful direct and indirect influences on the environment.

4 Dolphin shall comply with the highest standards regarding environmental protection. All employees receive awareness training on the environmental aspects associated with seismic acquisition and regularly apply environmentally friendly solutions as far as reasonably possible. The majority of Dolphin's high-end fleet consists of vessels less than 5 years old with modern emission controls. By using powerful vessels and wider seismic spreads can be deployed so that more data is acquired in less time. This reduces the overall environmental footprint on any given prospect. No incidents to the environment have been reported during Corruption Dolphin is a firm opponent of corruption in any form (bribery, facilitating etc.). No employee of Dolphin shall directly or indirectly offer, promise, give or receive bribe, illegal or inappropriate gifts or other undue advantages or remuneration in order to achieve business or other personal advantage. When acting on behalf of Dolphin, Directors and employees shall not take unfair advantage through manipulation, concealment, abuse of privileged information, misrepresentation of material facts, or other unfair dealing practices. No Director or employee should be misguided by loyalty to Dolphin or desire for Dolphin profitability enough, to disobey any applicable law or Dolphin policy. Dolphin will require all employees to be loyal to Dolphin, and to refrain from actions or to have interests that make it difficult to perform their work objectively and effectively. During 2014 anti-corruption awareness briefings were undertaken by all in the management team. Dolphin encourages and expects employees to report any actual or attempted incidents relating to corruption. No such reports were received during Governance principles Our CSR Policies are implemented and monitored through our corporate governance principles. These principles are set out in our Corporate Governance Policy. Good corporate governance is characterised by open, responsible communication and cooperation among the Company s owners, its board, and management, in the context of both short-term and long-term value creation perspectives. Our shareholders, employees, customers, suppliers, financial associates, and governmental bodies, as well as society in general, must be confident and trust that Dolphin is governed in a satisfactory fashion, and its board is sufficiently independent in the execution of its duties. Corporate governance deals with questions and principles related to the distribution of roles between governing bodies, as well as their respective areas of responsibility and authority. Sufficient attention must be given to the formulation of these roles and functions, in order to secure ample control, but at the same time to encourage innovation and entrepreneurship. In other words, everything must be accomplished with the goal of creating shareholder value. The purpose of Dolphin s Corporate Governance Policy is to regulate the division of roles between shareholders, the Board and executive management and through the efficient use of the Company s

5 resources help to ensure the greatest possible value creation over time in the best interests of shareholders, employees and other stakeholders. The Policy has a specific reference to our values, ethics and corporate social responsibility guidelines, and the policy applies to these guidelines. Further, Dolphin has also established a document that further details the roles and responsibilities of the Board of Directors, the Executive Chairman and the General Manager of Dolphin. We call this the Rules of Procedure Status and way forward The company has achieved the targets set for the year. In the continual process to improve, further initiatives related to human rights, employment rights, environmental issues and corruption will be made for Amongst these initiatives are the following: Strengthening of policies and standards that reflect Dolphin's Corporate Social Responsibility Further anti-corruption compliance training for employees Separate and clarify Environmental policy, from the current combined Health, Safety and Environment (HSE) policy Broaden access to an increased number of HSE awareness training modules Further increase the percentage of modern high-capacity vessels in our fleet to minimise environmental impact per streamer
