UCLC offers a comprehensive service for UCL academics wishing to undertake consultancy work and clients wishing to commission UCL experts on a consultancy basis. We make it easy for our external clients to access and engage UCL s worldleading academic expertise and facilities, and for our internal clients to find, engage, deliver and get paid for external consultancy work, and help protect them from the associated risks. We work with our clients to scope out the requirements, develop a proposal, determine the right fees, negotiate and conclude the contractual agreement, project manage contract delivery where requested, invoice and collect fees. 3 JOB SCRIPTION Job Title: Senior Contracts Manager Job Purpose: The Senior Contracts Manager will report to the irector of UCLC and will have responsibility for an efficient and effective pre- and post-contractual service for members of UCL staff engaged in private consultancy work. The principle duties will be to provide legal and financial advice for the negotiation, contracting and management of consultancy projects. Key Accountabilities: 1. Act as the first point of contact for contractual enquiries (from internal UCL staff and external clients) taking the appropriate contractual and financial action as required, with a particular focus on complex/high value projects. 2. iscuss with academic staff and external clientele potential projects including budget and contractual terms. 3. Negotiate contractual conditions, including terms and rates, draft contract and sub-contract agreements, prepare and submit official quotations on behalf of UCLC. 4. Assist in the preparation and submission of tender bids. 5. Contribute towards the growth and development of UCL s consultancy offerings and of UCLC policy and procedure. 6. Facilitate increased turnover for UCLC by means of a commercially pro-active costing and pricing approach. uties and Responsibilities Legal 1. Provide high level, expert advice on contractual issues to consultants including intellectual property, warranties and indemnities. 2. Take the lead in discussions with clients and negotiate the best terms for consultants. 3. raft and negotiate contracts for consultancy services, including subcontracted services and NAs. 4. eploy the necessary legal and financial expertise to protect UCLC and UCL from exposure and risk and to assess risk in context and provide contractual risk management solutions where required. 5. Review contracts and recommend their acceptability to the irector. 6. Assist in the preparation of tender bids and quotations. 3

Work with colleagues to source UCL experts for new enquiries for consultancy work and the negotiation of consultancy contract terms, where relevant. 8. ngage with clients and Consultancy Managers where appropriate, to foster and develop commercial opportunities for UCLC. 9. Take responsibility where appropriate for the management of specific internal and/or external client relationships. 10. evelop and implement bespoke terms and conditions for new or nonstandard service offerings. Finance 1. Provide advice on costing and pricing of consultancy projects to secure the ideal terms for the consultant. 2. Assist in the costing and pricing of proposals for consultancy contracts to ensure they are in line with policy to maximise income streams and develop tailored pricing structures for higher value/duration projects where appropriate. 3. Work with the financial administrators for the issue of invoices and the management of consultancy accounts to ensure that the project accounts and payments are administered effectively and efficiently to project completion. 4. Liaise with and build effective working relationships with UCL department administrators and with consultants in order to provide an efficient, seamless service e.g. staff costings, departmental costs, payments and disbursements to consultants and departments. Policy 1. Provide consultants with clear advice on UCL policies and UCLC procedures e.g. consultancy vs. research, costing and pricing, intellectual property rights, conflicts of interest, high risk projects and research related issues i.e. the Research xcellence Framework and Impact policy. 2. nsure that consultancy quotations and tenders comply with the policy and terms of UCL, UCLC and client organisations, where relevant..g. Financial Regulations, intellectual property rights, warranties and indemnities, conflicts of Interest, costing and pricing, etc., referring to the irector of UCLC as and when necessary. 3. nsure compliance with risk management procedures in place at UCLC and to contribute towards development of these going forward. 4. Work with the irector and M to refine and develop internal policies in response to company growth and development of client base. 4

5 General 1. nsure that proper and accurate records of proposals and contracts are collected and maintained. 2. nsure the collection of data for the maintenance of the databases and financial records for reporting to the UCLC Board, UCL and government bodies is accurate. 3. Contribute to the maintenance of the web-site. 4. Assist with induction and training of new staff members and supervision of junior staff when requested. To undertake any other duties that are within the scope, spirit and/or purpose of the job, the title of the post and its grading as requested by the line manager/irector. Note: The duties described above reflect the present requirements of the post. As duties and responsibilities change and develop, the job description will be reviewed and may be subject to amendment in consultation with the post holder. 5

6 TRMS AN CONITIONS Job title: Senior Contracts Manager Salary The full time salary range is 42,000 to 48,000 depending on qualifications and experience, but this may be negotiable for exceptional candidates. UCLC also operates a Performance Related Pay Scheme under which employees can achieve up to a further 10% of gross annual salary based on agreed targets, both personal and company based. Hours of Work The normal hours of work are 35 hours per week, excluding lunch hours. Office hours are 9.00am to 5.00pm, Monday to Friday. Pension The post holder will be eligible to join the Company s defined benefits pension scheme. The company operates the SAUL pension scheme. Holidays The leave year runs from 1 October to 30 September. The holiday entitlement is twenty five working days per annum, which may be taken with the approval of the irector of UCLC. There are also eight Public Holidays, and a further six days leave given to mirror the UCL closure days over Christmas and aster. Probation The appointment is subject to receipt of satisfactory references and to a probationary period of nine months. Season Ticket Loans & Child Care Voucher Scheme Season ticket loans are available to staff who have successfully completed their probationary period, UCLC operates a Child Care Voucher scheme. The season ticket loan and Child Care Voucher scheme are processed via a monthly deduction from salary. Professional Subscriptions Should you be required to be a member of a professional body in connection within your role, UCLC is willing to pay the cost of the professional subscription/membership with the agreement of your line manager. Other UCLC operates a no smoking policy. Staff are expected to conduct themselves in a professional manner whilst in the work environment and should be well presented. 6
