2 As every year, Shell is proud to offer an exciting Shell Ferrari calendar range that can be used either in both B2B and B2C activities or as a corporate gift. For 2013, as in 2012 already, the central theme is to illustrate all the aspects and the latest developments of this technical partnership that has been existing for more than 60 years already.

3 General information BACKGROUND Carbon is the official Ferrari licensee for cobranded Shell / Ferrari paper products since This license includes a complete range of approved calendars & diaries as well as several other paper based products such as notepads, notebooks, compliment slips, press folders, etc. All of these products can be ordered through the Shell dedicated part of our website, provided: - You are a team member of a Shell fully owned, under license or in joint venture company / business. - You have created your own personal account. Rem: In case of doubt, you could be asked to justify your connection with Shell. DISTRIBUTION CHANNELS Our products may be purchased and used for: B2C promotions and retail (see details hereafter) B2B Trade communications Hospitality and internal Shell events (including staff give aways) Internal use Gifts for preferred suppliers / customers RETAIL For easy selling through the retail stations (forecourts), we have developed the following material (not included in the price per product): Point of Purchase (POP) and display material for: Standard Calendar Desk Calendar Executive Agenda Pocket Agenda Customization Shell V-Power & Shell Helix) available upon request Tailor made quote based on large quantities CUSTOMIZATION A range of options, including product logo and/or Shell dealer/distributor address, is available if a Shell Market or Shell Business wishes to customize a calendar or another of our products to communicate a specific message. This remains however subject to prior approval from Shell s Visual Identity control authority (VI Checkpoint) and from Ferrari in case that we would be asked to change images. 4 Order information PRICES Our prices are exclusively mentioned in Euro, excl. VAT if any, and Ex-Works. Goods can be shipped either by our forwarder on a DAT basis (Delivery At Terminal) or by your own forwarder if you prefer. This means concretely that shipment costs, customs clearance and import duties if any are additional and remain on buyers side. Please inform yourself about your local import regulations before confirming your order. However, if you want Carbon to care for all clearance costs and import duties and reinvoice them to you afterwards (DDP basis), we would be happy to help you. To activate such request, may we please ask you please to tick in the appropriate choice on the order form. LEAD TIMES Unless otherwise specified, each of our products has a specific production lead-time. Although we do make a little buffer stock for some of them, we usually print our products on demand in order to make sure that they are always compliant with the latest pictures and Visual Identity guidelines. The deadline for orders for calendars & diaries 2013 is 15 September Shipment will start as from beginning of November. Only duly confirmed orders in writing from Shell Markets or Shell Businesses will be included in the production Dates and images may slightly change due to approval procedures by Shell and Ferrari Production and shipment dates could be different for customized products. Please contact us about this before confirming such order.

5 Order information PAYMENT For the invoices and payment request, we will proceed in 2 steps, each of them based on a specific invoice: Full payment of the merchandise prior to shipment. This amount will correspond to the amount resulting from your order form or from our quote. Unless your forwarder would care for the shipment, we will ask for the payment of the shipment costs after delivery. It is indeed, for long distances especially, impossible for us to know the exact shipment costs beforehand due to many variable parameters (fuel surcharge, etc.). Further more, for those amongst you that will have chosen for a door to door (DDP) option, we will only get the costs detail after delivery, reason why it is impossible for us to invoice them together with the merchandise. ADDITIONAL INFORMATION All images contained in our products will have been approved, both by Shell and Ferrari, and compliant with their Visual Identity guidelines as well as with non-tobacco branding guidelines. No design or image changes can be made to the approved products unless prior written approval from Carbon Local printing for large quantities can be considered if import duties reveal to be such that final prices are clearly unaffordable. Payment information as well as credit card details are encrypted and sent directly to Carbon Your credit card details will not be stored within any online database. Upon finishing your order with us, there are 3 payment options to choose from: Option 1: Payment with a credit card (Amex, Visa or Mastercard) Option 2: Bank transfer prior to the delivery Option 3: In case none of these 2 options would suit you (if you use, for instance, a P.O. system or a specific purchasing contract), may we ask you to contact us in advance to explain us how you would like to proceed.
