5 The Registration of Business Names At 1918 Setion 1 i e THE REGISTRATION OF BUSINESS NAMES ACT 1918 Reeived Royal Assent: 2 August 1918 Passed: 26 November 1918 Commened: 26 November 1918 AN ACT to provide for the Registration of Firms and Persons arrying on business under Business Names and for purposes onneted therewith. GENERAL NOTES 1. See generally the provisions of the Registration of Business Names At 1954 whih shall be onstrued as one with this At. 2. At 1993 s Referenes to penal servitude and hard labour are to be onstrued in aordane with the Custody At 1995 Sh 3 para 1. 1 Short title This At may be ited as The Registration of Business Names At, Interpretation of terms In the onstrution of this At the following words and expressions shall have the meanings in this setion assigned to them, unless there be something in the subjet or ontext repugnant to suh onstrution: Firm shall mean an uninorporate body of two or more individuals, or one or more individuals and one or more orporations, or two or more orporations, who have entered into partnership with one another with a view to arrying on business for profit, but shall not inlude any uninorporated ompany whih was in existene on the fifth day of September eighteen hundred and sixty-five: Business shall inlude profession: Individual shall mean a natural person and shall not inlude a orporation: Christian name [Repealed] 1 AT 1 of 1918 Page 5

6 Setion 3 The Registration of Business Names At 1918 Initials shall inlude any reognised abbreviation of a first name: 2 Court shall mean the Civil Division of the High Court of Justie: 3 Department means the Department of Eonomi Development: 4 Summary onvition shall mean onvition before a High Bailiff or two Justies of the Peae: In the ase of a peer or person usually known by a British title different from his surname, the title by whih he is known shall be substituted in this At for his surname: Referenes in this At to a former first name or surname shall not, in the ase of natural-born British subjets, inlude a former first name or surname where that name or surname has been hanged or disused before the person bearing the name had attained the age of eighteen years, but, in the ase of a woman who has been married, shall inlude the name or surname by whih she was known previous to the marriage: 5 Referenes in this At to a hange of name shall not inlude, in the ase of natural-born British subjets, a hange of name whih has taken plae before the person whose name has been hanged has attained the age of eighteen years; or, in the ase of a peer or a person usually known by a British title different from his surname, the adoption of or suession to the title: Business name shall mean the name or style under whih any business is arried on, whether in partnership or otherwise: Foreign firm shall mean any firm, individual, or orporation whose prinipal plae of business is situate outside His Majesty s dominions: Showards shall mean ards ontaining or exhibiting artiles dealt with, or samples or representations thereof: Presribed shall mean presribed by rules made in pursuane of this At. 3 Firms and persons to be registered Subjet to the provisions of this At (a) (b) () Every firm or person having a plae of business in the Isle of Man and arrying on business under a business name whih does not onsist of the true surnames of all partners who are individuals and the orporate names of all partners who are orporations without any addition other than the true first names of individual partners or initials of suh first names; 6 Every individual having a plae of business in the Isle of Man and arrying on business under a business name whih does not onsist of his true surname without any addition other than his true first names or the initials thereof; 7 Every individual or firm having a plae of business in the Isle of Man, who, or a member of whih, has either before or after the Page 6 AT 1 of 1918

Every ompany as defined in the Companies At, 1931 or to whih Part XI of that At applies, arrying on business under a business name whih does not onsist of its orporate name without any addition; 8 Every limited liability ompany as defined in the Limited Liability Companies At 1996, arrying on business under a business name whih does not onsist of its orporate name without any addition, 9 shall be registered in the manner direted by this At: Provided that (i) (ii) (iii) (iv) where the addition merely indiates that the business is arried on in suession to a former owner of the business, that addition shall not of itself render registration neessary; and where two or more individual partners have the same surname, the addition of an s at the end of that surname shall not of itself render registration neessary; and where the business is arried on by a trustee in bankrupty, offiial reeiver or liquidator, reeiver or manager appointed by any ourt, registration shall not be neessary; and 10 a purhase or aquisition of property by two or more persons as joint tenants or tenants in ommon is not of itself to be deemed arrying on a business whether or not the owners share any profits arising from the sale thereof. 4 Registration by nominee, et. Where a person having a plae of business in the Isle of Man arries on the business wholly or mainly as nominee or trustee of or for another person or ats as general agent for any foreign person, the first-mentioned person shall be registered in the manner provided by this At, and in addition to the other partiulars to be furnished and registered, there shall be furnished and registered the partiulars mentioned in the Shedule to this At: Provided that where the business is arried on by a trustee in bankrupty,offiial reeiver or liquidator, reeiver or manager appointed by any ourt, registration under this setion shall not be neessary Manner and partiulars of registration (1) Every firm or person required under this At to be registered shall furnish by sending by post or delivering to the Department at the AT 1 of 1918 Page 7

8 Setion 6 The Registration of Business Names At 1918 register offie a statement in writing in the presribed form ontaining the following partiulars: (a) (b) () (d) (e) (f) (g) The business name; The general nature of the business; The prinipal plae of business; Where the registration to be effeted is that of a firm, the present first name and surname, any former first name or surname, the usual residene, of eah of the individuals who are partners, and the orporate name and registered or prinipal offie of every orporation whih is partner; 12 Where the registration to be effeted is that of an individual, the present first name and surname, any former first name or surname, and the usual residene and the other business oupation (if any) of suh individual; 13 Where the registration to be effeted is that of a orporation, its orporate name and registered or prinipal offie; If the business is ommened after the oming into operation of this At, the date of the ommenement of the business. 14 (2) Where a business is arried on under two or more business names, eah of those business names must be stated. 6 Statement to be signed by persons registering The statement required for the purpose of registration must in the ase of an individual be signed by him, and in the ase of a orporation by a diretor or seretary thereof and in the ase of a limited liability ompany, by a manager or member, and in the ase of a firm either by all the individuals who are partners, and by a diretor or the seretary of all orporations and in the ase of a limited liability ompany, by a manager or member, whih are partners or by some individual who is a partner, or a diretor or the seretary of some orporation, or in the ase of a limited liability ompany, by a manager or member, whih is a partner, and in either of the last three ases must be verified by a statutory delaration made by the signatory: Provided that no suh statutory delaration stating that any person other than the delarant is a partner, or omitting to state that any person other than as aforesaid is a partner, shall be evidene for or against any suh other person in respet of his liability or non-liability as a partner, and that the ourt or a judge thereof may on appliation of any person alleged or laiming to be a partner diret the retifiation of the register and deide any question arising under this setion Time for registration The partiulars required to be furnished under this At shall be furnished within one month after the firm or person ommenes business, or the business Page 8 AT 1 of 1918

9 The Registration of Business Names At 1918 Setion 8 in respet of whih registration is required, as the ase may be: Provided that if suh firm or person has arried on suh business before the oming into operation of this At or ommenes suh business within two months thereafter, the statement of partiulars shall be furnished after the expiration of two months and before the expiration of three months from the oming into operation of this At, and that if at the expiration of the said two months the onditions affeting the firm or persons have eased to be suh as to require registration under this At, the firm or person need not be registered so long as suh onditions ontinue. This setion shall apply, in the ase where registration is required in onsequene of a hange of name, as if for referenes to the date of the ommenement of the business there were substituted referenes to the date of suh hange Annual delaration and registration of hanges (1) The firm or person shall make an annual delaration on the anniversary of the registration of its business name that the firm or person ontinues to arry on business and that there has been no hange to the partiulars required to be delivered to the Department under this At. 17 (2) If the annual delaration speified in subsetion (1) is not filed within six months after the anniversary of the registration of the business name the Department shall ause a notie to be filed that the firm or person does not omply with the provisions of the At together with suh further information as may by regulations be presribed. 18 (3) Whenever a hange is made or ours in any of the partiulars registered in respet of any firm or person suh firm or person shall, within one month after suh hange, or suh longer period as the Department may, on appliation being made in any partiular ase, whether before or after the expiration of suh period of one month, allow, furnish by sending by post or delivery to the Department a statement in writing in the presribed form speifying the nature and date of the hange, signed and where neessary verified, in like manner as the statement required on registration Penalty for default in registration If any firm or person by this At required to furnish a statement of partiulars or of any hange in partiulars shall without reasonable exuse make default in so doing in the manner and within the time speified by this At, every partner in the firm or the person so in default shall be liable on summary onvition to a fine not exeeding 5,000 and the ourt shall order a statement of the required partiulars or hange in the partiulars to be furnished to the Department within suh time as may be speified in the order. 20 AT 1 of 1918 Page 9

10 Setion 10 The Registration of Business Names At A Power of Department to refuse to register or reeive douments (1) Subjet to subsetion (4) a doument shall be deemed not to have been submitted to the Department under this At (whether by delivery, filing, prodution, forwarding, lodging, eletroni filing in the presribed format, or otherwise) until the time when it is aepted for registration or otherwise reeived by the Department. 21 (2) If in the opinion of the Department any doument submitted to it under this At (a) (b) () (d) (e) (f) (g) ontains any matter ontrary to law; or does not omply with this At; or has not been duly ompleted; or ontains any misdesription or error or any matter that is not learly legible; or is not furnished in suh manner and onforming to suh requirements as the Department may reasonably require for the purpose of enabling the proessing and opying of the doument; or 22 is not aompanied by the orret fee or duty; or is not in the presribed format; it may refuse to aept for registration or otherwise reeive the doument, and it may request either that the doument be appropriately amended or ompleted and submitted to it again or that a fresh doument be submitted in its plae or that the doument be submitted again with the orret fee or duty. 23 (3) The Department may require any person who submits a doument to it under this At to produe to it suh other doument or to give it suh information as it onsiders neessary in order to form an opinion whether it may refuse under subsetion (2) to aept for registration or to otherwise reeive the doument. 24 (4) Any person who is aggrieved by the refusal of the Department to register or reeive any doument submitted to it under this At, may appeal to a Court of Summary Jurisdition Disability of persons in default (1) Where any firm or person by this At required to furnish a statement of partiulars or of any hange in partiulars shall have made default in so doing, then the rights of that defaulter under or arising out of any ontrat made or entered into by or on behalf of suh defaulter in relation to the business in respet to the arrying on of whih partiulars were required to be furnished at any time while he is in default shall not be Page 10 AT 1 of 1918

11 The Registration of Business Names At 1918 Setion 11 enforeable by ation or other legal proeeding either in the business name or otherwise. Provided always as follows: (a) (b) () The defaulter may apply to the ourt for relief against the disability imposed by this setion, and the ourt, on being satisfied that the default was aidental, or due to inadvertene, or some other suffiient ause, or that on other grounds it is just and equitable to grant relief, may grant suh relief either generally, or as respets any partiular ontrats, on ondition of the osts of the appliation being paid by the defaulter, unless the ourt otherwise orders, and on suh other onditions (if any) as the ourt may impose, but suh relief shall not be granted exept on suh servie and suh publiation of notie of the appliation as the ourt may order, nor shall relief be given in respet of any ontrat if any party to the ontrat proves to the satisfation of the ourt that, if this At had not been omplied with, he would not have entered into the ontrat; Nothing herein ontained shall prejudie the rights of any other parties as against the defaulter in respet of suh ontrat as aforesaid; If any ation or proeeding shall be ommened by any other party against the defaulter to enfore the rights of suh party in respet of suh ontrat, nothing herein ontained shall prelude the defaulter from enforing in that ation or proeeding, by way of ounterlaim set off or otherwise, suh rights as he may have against that party in respet of suh ontrat. (2) In this setion the expression ourt means the ourt or a judge thereof: Provided that, without prejudie to the power of the High Court or a judge thereof to grant suh relief as aforesaid, if any proeeding to enfore any ontrat is ommened by a defaulter in any ourt, the ourt may as respets that ontrat, grant suh relief as aforesaid. 11 Penalty for false statements If any statement required to be furnished under this At ontains any matter whih is false in any material partiular to the knowledge of any person signing it, that person shall, on summary onvition, be liable to imprisonment, for a term not exeeding three months, or to a fine not exeeding 5,000, or to both suh imprisonment and fine Duty to furnish partiulars to the Department (1) The Department may require any person to furnish to it suh partiulars as appear neessary to it for the purpose of asertaining whether or not suh person or the firm of whih he is a partner should be registered AT 1 of 1918 Page 11

12 Setion 13 The Registration of Business Names At 1918 under this At, or an alteration made in the registered partiulars, and may also in the ase of a orporation require the seretary or any other offier of a orporation performing the duties of seretary to furnish suh partiulars and in the ase of a limited liability ompany, a manager or member of a limited liability ompany, and if any person when so required fails to supply suh partiulars as it is in his power to give, or furnishes partiulars whih are false in any material partiular, he shall on summary onvition be liable to imprisonment, with or without hard labour, for a term not exeeding three months, or to a fine not exeeding 5,000, or to both suh imprisonment and fine. 27 (2) If from any information so furnished it appears to the Department that any firm or person ought to be registered under this At, or an alteration ought to be made in the registered partiulars, the Department may require the firm or person to furnish to it the required partiulars within suh time as may be allowed by the Department, but, where any default under this At has been disovered from the information aquired under this setion, no proeedings under this At shall be taken against any person in respet of suh default prior to the expiration of the time within whih the firm or person is required by the Department under this setion to furnish partiulars to it Department to file statement and issue ertifiate of registration On reeiving any statement or statutory delaration made in pursuane of this At the Department shall ause the same to be filed, and it shall send by post or deliver a ertifiate of the registration thereof to the firm or person registering and the ertifiate or a ertified opy thereof shall be kept exhibited in a onspiuous position at the prinipal plae of business of the firm or individual, and if not kept so exhibited, every partner in the firm or the person, as the ase may be, shall be liable on summary onvition to a fine not exeeding Index to be kept At the register offie hereinafter referred to the Department shall keep an index of all the firms and persons registered at that offie under this At Removal of names from register (1) If any firm or person registered under this At eases to arry on business, it shall be the duty of the persons who were partners in the partnership or the diretors or the liquidator of the ompany or the manager or the members or the liquidator of the limited liability ompany at the time when it eased to arry on business or of the individual or if he is dead, his personal representative, within three months after the business has eased to be arried on, to send by post or deliver to the Department notie in the presribed form that the firm or Page 12 AT 1 of 1918

13 The Registration of Business Names At 1918 Setion 16 person has eased to arry on business, and if any person whose duty it is to give suh notie fails to do so within suh time, he shall be liable on summary onvition to a fine not exeeding 1, (2) On reeipt of suh notie the Department may remove the firm or person from the register. 32 (3) Where the Department has reasonable ause to believe that any firm or person registered under this At is not arrying on business it may send to the firm or person by registered post a notie that unless an answer is reeived to suh notie within one month from the date thereof the firm or person may be removed from the register. 33 (4) If the Department either reeives an answer from a firm or person to the effet that it is not arrying on business or does not within one month after sending the notie reeive an answer, it may remove the firm or person from the register Undesirable business names (1) The Department, with the onsent of the Finanial Supervision Commission in the ase of a person in respet of whom a liene has been issued under setion 7 of the Finanial Servies At 2008, may (a) (b) () refuse to register a business name whih in its opinion is undesirable; or by diretion attah onditions to the use of a name to be registered under this At to ensure that it is not undesirable; or diret that a name by whih a business is registered be hanged if in its opinion suh name is undesirable. 35 (2) For the purposes of this setion (a) (b) undesirable means misleading, offensive or in any way likely to be harmful to the publi; the Department may publish guidane notes setting out the riteria whih it will apply in determining whether a name is undesirable; 36 () the Department may presribe forms for use with this setion. 37 (3) A diretion given under subsetion (1)(b) or () must, if not made the subjet of an appliation under subsetion (5) be omplied with within six weeks of that diretion, at the expiry of whih the Department may, if the diretion has not been omplied with, hange the name of the business upon the register to a name whih is not undesirable, and shall provide notie to the firm or person of suh hange within seven days of the hange upon the register. 38 AT 1 of 1918 Page 13

14 Setion 17 The Registration of Business Names At 1918 (4) The Department shall ause to be plaed on the register of business names a opy of a notie of a diretion given under subsetion (1)() and any hange of name effeted by the Department under subsetion (3). 39 (5) Any person interested, may within three weeks of a refusal to register a business name under subsetion (1)(a) or of being given a diretion under subsetion (1) (b) or (), apply to the ourt for the refusal or diretion to be set aside, and if the appliation to set aside a diretion fails, the ourt may speify a period within whih the diretion shall be omplied with, or may order that the Department hange the name of the business upon the register to a name whih is not undesirable, on suh terms and onditions as seem to the ourt just and expedient A [Repealed] 41 16B Appeals: supplementary provisions (1) An appeal to a ourt of summary jurisdition under setion 9A(4) and setion 16(5) shall be made within 21 days after the date of the deision or diretion, or within suh further time as the ourt may allow. 42 (2) On determining the appeal, the ourt may onfirm, vary or reverse the deision or diretion of the Department Registration offie The offie for the registrations of firms and persons whose prinipal plae of business is situate in this Island is the offie for the registration of ompanies Inspetion of statements registered Any person may inspet the douments filed by the Department on payment of suh fees as may be presribed; and any person may require a ertifiate of the registration of any firm or person, or a opy of or extrat from any registered statement to be ertified by the Department, and there shall be paid for suh ertifiate of registration, ertified opy, or extrat suh fees as may be presribed. A ertifiate of registration, or a opy of or extrat from any statement registered under this At, if duly ertified to be a true opy or extrat by, or on behalf of, the Department (whih it shall not be neessary to prove to be the Department), shall, in all legal proeedings, ivil or riminal, be reeived in evidene Power for Department to make rules (1) The Department may make rules onerning any of the following matters (a) the fees to be paid to the Department under this At; 46 Page 14 AT 1 of 1918

15 The Registration of Business Names At 1918 Setion 20 (b) () the forms to be used for the purposes of this At; the ondut and regulation of registration under this At and any matters inidental thereto. 47 (2) Rules under subsetion (1) (a) shall not be made under paragraph (a) exept with the onurrene of the Treasury; and (b) shall not take effet unless they are approved by Tynwald Publiation of true names, et (1) After the expiration of three months from the oming into operation of this At every individual and firm required by this At to be registered shall, in all trade atalogues, trade irulars, showards, and business letters, on or in whih the business name appears and whih are issued or sent by the individual or firm to any person in any part of His Majesty s dominions, have mentioned in legible haraters: (a) (b) in the ase of an individual, his present first name or the initials thereof and present surname, any former first name or surname; and 49 in the ase of a firm, the present first names or the initials thereof and present surnames, any former first names and surnames, of all the partners in the firm or, in the ase of a orporation being a partner, the orporate name. 50 (2) If default is made in ompliane with this setion the individual or, as the ase may be, every member of the firm shall be liable on summary onvition for eah offene to a fine not exeeding 500: Provided that no proeedings shall be instituted under this setion exept by or with the onsent of the Attorney-General. 21 Offenes by orporations Where a orporation is guilty of an offene under this At every diretor, seretary, and offier of the orporation who is knowingly a party to the default shall be guilty of a like offene and liable to a like penalty. 22 Remuneration for duties under this At There shall be paid out of moneys to be provided by Tynwald suh remuneration in respet of the duties performed under this At as Tynwald may determine. 23 Reovery of penalties All penalties under this At may be reovered at the suit of the Chief Constable or any Inspetor of Polie. 16 Setion 24 The Registration of Business Names At Commenement of this At This At shall ome into operation when the Royal Assent thereto has been by the Lieutenant-Governor announed to Tynwald and a ertifiate to this effet has been signed by the Lieutenant-Governor and the Speaker of the House of Keys. 17 The Registration of Business Names At 1918 Shedule Shedule Setion 4 51 Desription of Firm, et. Where the firm, individual, or orporation required to be registered arries on business as nominee or trustee. Where the firm, individual, or orporation required to be registered arries on business as general agent for any foreign firm. The additional Partiulars. The present first name and surname, any former name, and usual residene, or as the ase may be, the orporate name, of every person or orporation on whose behalf the business is arried on: Provided that if the business is arried on under any trust and any of the benefiiaries are a lass of hildren or other persons, a desription of the lass shall be suffiient. The business name and address of the firm or person as agent for whom the business is arried on: Provided that if the business is arried on as agent for three or more foreign firms it shall be suffiient to state the fat that the business is so arried on, speifying the ountries in whih suh foreign firms arry on business.
