3 A stock market linked investment with the opportunity to receive attractive returns If you like the idea of investing in the stockmarket with the opportunity to earn an accumulated return on your investment and gain the benefit of capital protection in certain circumstances (as detailed below), the Investment Fund 1 Annual Accumulator (the Investment Fund, or Fund) may be the ideal investment for you. All you ll need to take advantage of this great investment opportunity is at least 20,000 which you are prepared to invest for a term of just over 5 years (5 years and 9 days). Key benefits of the Investment Fund The potential for attractive returns The Investment Fund has a term of just over 5 years and at maturity you will receive one of 3 possible returns, determined by the performance of the FTSE100 (subject to averaging). If at maturity the FTSE100 is the same or higher than its level on the investment date then you will receive your capital back and a return of 45%. If at maturity the FTSE100 has fallen below its level on the investment date, but during the term its daily closing level has not fallen by 50% or more from its level on the investment date, then your capital is protected and will be returned to you, but no additional return will be paid. If at maturity the FTSE100 has fallen below its level on the investment date, and at any point during the term its daily closing level has fallen by 50% or more from its level on the investment date, your capital will be reduced by an amount equal to the fall in the FTSE100 (as measured by the difference between the FTSE100 on the investment date and the maturity date, subject to averaging), please note there is no limit on this loss. Please see page 12 for more details. The Investment Fund also has 4 opportunities to mature early with attractive returns. If on any anniversary of the Fund the FTSE100 is the same or higher than its level on the investment date (subject to averaging), you will receive your capital back and an equivalent of a 9% return for every year your funds remain invested. If on the 1st anniversary the FTSE100 is the same or higher than its level on the investment date then the Investment Fund will mature early and you will receive your capital back and a return of 9%. If the FTSE100 has fallen then no return is paid and the Investment Fund continues. If on the 2nd anniversary the FTSE100 is the same or higher than its level on the investment date then the Investment Fund will mature early and you will receive your capital back and a return of 18%. If the FTSE100 has fallen then no return is paid and the Investment Fund continues. The same applies in years 3 and 4 with the opportunity to earn a return of 27% or 36% respectively if on either anniversary the FTSE100 is the same or higher than its level on the investment date. If the FTSE100 has fallen then no return is paid and the Investment Fund continues. If during the term of the Fund the FTSE100 s daily closing level falls by 50% or more but recovers, so that on any anniversary the FTSE100 is the same or higher than its level on the investment date, the Fund will mature early and you will receive the relevant return as detailed above. Your capital is only protected in certain circumstances meaning that you will not always get back what you initially invested. The potential for tax efficient returns Any growth in your investment is treated as a capital gain and as such this may be subject to Capital Gains Tax. Depending on your individual circumstances, you may be able to reduce or eliminate this tax by using your Capital Gains Tax annual exemption. You can also transfer in existing Stocks and Shares ISAs, or use this year s ISA allowance to invest, and any growth on your investment held through an ISA will be tax efficient. The Offer Period for the Investment Fund is open for a limited period of time. 3

4 A range of ways to invest You can take advantage of the Investment Fund through a Stocks and Shares ISA or through direct investment. You can also transfer any existing Stocks and Shares ISAs you may hold. However you choose to invest, your total investment in the Investment Fund must be at least 20,000. How this is comprised is up to you (subject to the minimum and maximum amounts below): Minimum overall investment: 20,000 Maximum investments: Direct Investment: No Maximum Stocks and Shares ISA: 7,200 ISA Transfers: No Maximum Direct Investment You can invest as much as you would like directly in the Investment Fund through National Westminster Bank Plc s Investment Funds Nominee Service, during the Offer Period. Any growth in your investment is treated as a capital gain when you withdraw your investment. As such this may be subject to Capital Gains Tax. However, depending on your individual circumstances, you may be able to reduce or eliminate this tax by using your Capital Gains Tax annual exemption (currently 9,600 for 2008/2009 tax year). ISA Investment The Investment Fund is available as a Stocks and Shares ISA. All growth is treated as a capital gain, which will be tax free if held in an ISA. If you invest in the Investment Fund through a Stocks and Shares ISA, you can invest 7,200 in this tax year. If you chose this option you cannot then invest in another ISA during this tax year. ISA Transfers There is no limit to the amount of Stocks and Shares ISAs you can transfer to the Investment Fund ISA, we will make no charge for receiving such transfers, however, you should check whether your existing manager will make a charge when you transfer. When you transfer your existing account, your plan manager will cash in your investment according to their terms and conditions and send the transfer value directly to us for investment. While funds are being transferred from another ISA manager to us, your investment will not benefit from any rise in the market. Any capital gains you receive within your ISA investment will be free of tax. Cash ISA transfers are not accepted. 4

5 Tax information The amount and taxation of any benefits described assume that there is no change in tax or other laws affecting RBS Global Structured Investments or its investments. This information is based on our understanding of current Her Majesty s Revenue and Custom (HMRC) practice as at the date of this publication and on the assumption that tax legislation is not changed. The favourable tax treatment for ISAs could be subject to statutory change. The value of the tax advantage will depend on your individual circumstances. Any interest earned on cash held in an ISA prior to being invested in the Investment Fund may be subject to a flat rate charge of 20% (payable to HMRC), please see the Simplified Prospectus for further details. If you are unsure about your tax position you should seek professional advice or information from local organisations (where available). 5

6 How the Investment works When you invest you are buying Class 1 shares in the Investment Fund 1 Annual Accumulator, a sub-fund of RBS Global Structured Investments a UK authorised Open Ended Investment Company. On a set date referred to as the Investment Date, your money together with that of other investors will be used by this sub-fund to invest in assets that are designed to deliver specific returns at maturity (provided you hold your shares for the full term or until early maturity if applicable). The Investment Fund is a Limited Issue Fund which means that shares can only be bought during the Offer Period. After the Offer Period no further investment can be made. The Investment Fund may mature early on any anniversary of the Investment Date, if the pre-determined growth rates (overleaf) are achieved. There are a number of key periods and dates relating to the Investment Fund as outlined overleaf. Direct Investments/ ISAs Begins 9 February 2009 ISA Transfers Begins 9 February 2009 Offer Period: This is the period during which you can subscribe for Class 1 shares in this investment. Prior to the Investment Date your money will be held in an account earning interest* (equivalent to the Bank of England Base Rate minus 0.30%). Any interest will be added to your original capital on the Investment Date and used to purchase shares. Note: the Offer Period finishes on 9 March 2009 for ISA transfers to enable the transfer to be effected. Begins 4 April 2009 Begins 10 March 2009 Closed Period: Following the Offer Period there is a period prior to the Investment Date, where no new applications are allowed for Class 1 shares. Your money will continue to earn interest*. 29 April 2009 Limited Issue Period/Investment Date: This is when the subscription monies, together with any interest earned, is invested in Class 1 shares and used by the Investment Fund to purchase assets called derivatives. The Investment Date is also the date upon which the initial level of the FTSE100 Index is taken. 6

7 29 April 2010 Early Maturity Date 1: If on the first anniversary of the Investment Fund, the FTSE100 is the same or higher than its level on the investment date (known as the Initial Index Level), you receive your capital back and a return of 9% and the Investment Fund will close. The level of the FTSE100 is calculated by taking the average of closing levels of the FTSE100 on the 5 Business Days prior to and including, the Early Maturity Date. If the FTSE100 is below the Initial Index Level, no return is paid and the Investment Fund will continue. 29 April 2011 Early Maturity Date 2: If on the second anniversary of the Investment Fund, the FTSE100 is the same or higher than the Initial Index Level, you receive your capital back and a return of 18% and the Investment Fund will close. The level of the FTSE100 is calculated by taking the average of the closing levels of the FTSE100 on the 5 Business Days prior to and including, the Early Maturity Date. If the FTSE100 is below the Initial Index Level, no return is paid and the Investment Fund will continue. 30 April 2012 Early Maturity Date 3: If on the third anniversary of the Investment Fund, the FTSE100 is the same or higher than the Initial Index Level, you receive your capital back and a return of 27% and the Investment Fund will close. The level of the FTSE100 is calculated by taking the average of the closing levels of the FTSE100 on the 5 Business Days prior to and including, the Early Maturity Date. If the FTSE100 is below the Initial Index Level, no return is paid and the Investment Fund will continue. 29 April 2013 Early Maturity Date 4: If on the fourth anniversary of the Investment Fund, the FTSE100 is the same or higher than the Initial Index Level, you receive your capital back and a return of 36% and the Investment Fund will close. The level of the FTSE100 is calculated by taking the average of the closing levels of the FTSE100 on the 5 Business Days prior to and including, the Early Maturity Date. If the FTSE100 is below the Initial Index Level, no return is paid and the Investment Fund will continue. 8 May 2014 Maturity Date: If the Investment Fund has not matured on any anniversary it will run for the full 5 year and 9 day term. You will receive one of three possible returns linked to the performance of the Index. If at maturity the FTSE100 is equal to or higher than the Initial Index Level, you will receive your capital back and a return of 45%. If at maturity the FTSE100 is lower than the Initial Index Level but its daily closing level has not fallen by 50% or more at any time during the term (from the Initial Index Level), your capital will be protected and returned to you but no additional return will be paid. If at maturity the FTSE100 is lower than the Initial Index Level and its daily closing level has fallen by 50% or more at any time during the term (from the Initial Index Level), then your capital will be reduced equal to the percentage fall in the Index (measured by the difference between the Initial Index Level and the Final Index Level). On the maturity date the Final Index Level of the FTSE100 is calculated by taking the average of the closing level of the FTSE100 on the 5 Business Days prior to, and including, the maturity date. The daily closing level of the FTSE100 is the published level of the Index at its close of business on each day on which the Index is published. *Interest will accrue from the UK Business Day after the subscription payment is received by us until 3 UK Business Days before the Investment Date. 7

8 Examples of the Investment Fund in action The following table shows the potential maturity values of the Investment Fund if 20,000 were invested at the Investment Date, assuming different performance levels of the FTSE100 Index that are subject to averaging. Please note that the table below assumes that the conditions for early maturity have not been met. 9 How the FTSE100 Index has performed in the past The FTSE100 Index was established in early 1984 at an initial level of just over 1,000 and following a turbulent year was at just over 4,400 at the end of December You should remember that past performance is not a guide to future performance and that any previous gains in the FTSE100 Index, which included a period of favourable investment returns, may not be repeated during the term of the Investment Fund. 10 Your questions answered How is my capital at risk? Your capital is only at risk if at any time during the term of the Investment Fund the daily closing level of the FTSE100 falls by 50% or more, from the Initial Index Level and the level of the Index at maturity is below the Initial Index level. The Initial Index Level is the level of the FTSE100 on the investment date. If the daily closing level of the FTSE100 (being the published level of the Index at its close of business on each Index Business Day) falls by 50% or more during the term, and does not recover by the maturity date, you will lose capital equal to the difference in the Initial Index Level and the Final Index Level. The Final Index Level of the FTSE100 is calculated by taking the average closing level of the FTSE100 on the 5 Business Days prior to, and including, the maturity date. For example if the daily closing level of the FTSE100 falls by 50% or more at any time during the term and the Final Index Level is 15% lower at maturity than the Initial Index Level, you will lose 15% of your capital. If the daily closing level of the FTSE100 falls, but never by 50% or more, then your capital is protected. Please read the Simplified Prospectus for details of the risks of investing in the Investment Fund. What is the Early Maturity feature? The Investment Fund may mature early on any anniversary of the investment date of the Fund if the FTSE100 is equal to, or greater than the Initial Index Level, see page 7 for details of the anniversary dates. If the Fund matures early you will be paid your capital plus a pre-determined fixed return. For example if the Fund were to mature early because the FTSE100 has grown after year 1, on the first anniversary you would receive a return of 9%, even if a higher percentage growth has been achieved in the FTSE100. The performance of the FTSE100 is measured using the difference between the Initial Index Level and its level on the relevant Early Maturity Date (calculated using Averaging ). For a full explanation of averaging please see page 12. Will I receive any income? No. Any income earned on investments will not be paid out, but will be reflected in the value of your investment. At the maturity date your investment will be redeemed and any increase in its value will be subject to capital gains tax (and may be set off against your personal allowance), unless you have held your investment through an ISA. What am I investing in? Your investment is in shares of an authorised fund. Your money is pooled with that of other investors and used to buy assets for the Investment Fund. Authorised funds may make a number of share classes available. Subscriptions made before the end of the Offer Period of the Investment Fund are used to buy Class 1 shares in the Investment Fund. 10

11 Can I invest additional money into the investment at a future date? During the Offer Period there is no limit to the amount you can invest (subject to the investment limits of an ISA). The Investment Fund is a Limited Issue Fund and will only issue shares during the Limited Issue Period, which is a period of one day and is the same date as the Investment Date. No further investment can be made into the Investment Fund after this time, so it is important to subscribe during the Offer Period. What happens if I need to withdraw my money? You can redeem your shares on any dealing day for the Investment Fund, which are normally every fortnight. However if you withdraw any of your investment before the Maturity Date or Early Maturity Date, a redemption charge and/or dilution levy may be made. So, you should be confident that you are in a position to invest your money for the full term. Please see the Simplified Prospectus for details relating to any redemption charge or dilution levy (as applicable). What are the fees for setting up and managing this investment? All fees are taken from the preliminary charge of the Investment Fund and you will not have to pay any additional fees. The preliminary charge has been taken into account when calculating the potential returns described within this brochure. Please see the Simplified Prospectus for further details on the fee structure. Your Private Banking Manager will provide you with information relating to the costs incurred in setting up your investment. Can the investment be held in joint names? Yes direct investments can be held in joint names. However ISA investments need to be held in sole names. What happens to my investment if I die? If the investment is in joint names, it will continue in the name of the surviving holder. If the investment is held in your sole name your investment will continue pending instructions from the legal representatives of your estate. If you invest through an ISA your ISA will cease to qualify for tax exemption. If the legal representative of your estate instructs us to redeem your investment, your investment will be sold in accordance with the provisions relating to redemption of shares set out in the Simplified Prospectus. If the legal representative of your estate instructs us to transfer your investment into a beneficiary s name such a beneficiary will hold the investment in their own name and not through the Investment Funds Nominee Service. We will need to see certain legal documents before acting on any instructions from the legal representative of your estate. Where can I get advice to help me decide whether this is the right investment for me? The Investment Fund is available through your Private Banking Manager. Your Private Banking Manager will review your individual circumstances and make recommendations as to the suitability of this investment based upon this understanding. 11

12 Will I receive regular statements? You will receive a six-monthly update on how your investment is performing. You can also track the progress of the FTSE100 Index via the internet and newspapers. You should remember that past performance is not a guide to future performance. What happens at maturity? We will write to you before the Maturity Date or in the event that the Fund matures early to inform you of your options. What are Derivatives? Derivatives are instruments whose value depends on the price movements or changes in the level of underlying investments, for example shares, which can be referenced within an index such as the FTSE100 Index. Hence the values of such instruments are derived from these underlying investments. What is the FTSE100 Index? This Index measures the performance of the top 100 companies by market capitalisation listed on the London Stock Exchange. The Index currently includes companies such as BP, Vodafone and Tesco plc. What is RBS Global Structured Investments? The company is an authorised umbrella company operating under the Open Ended Investment Companies Regulations 2001, as amended. It comprises various sub-funds each of which is operated as a distinct fund with its own portfolio of investments and investment objectives. RBS Global Structured Investments is operated by RBS Asset Management (ACD) Limited, part of the RBS Group one of the largest financial groups in the world comprising some of the UK s best known financial brands including RBS and NatWest. What is Averaging? To avoid the effects of any sudden changes in stock market value as your investment nears an anniversary or maturity, we use an averaging technique to calculate the value of the FTSE100. The Final Index Level or any Early Maturity Index Level will be calculated by using the average of the closing levels of the FTSE100 on the 5 Business Days up to and including the applicable anniversary or the Maturity Date. 12

13 Keeping you informed Naturally you will want to know how your investment is performing and we will keep you up to date in a number of ways: Once we have received your application, confirmation of this will be forwarded onto you. After your money had been invested you will receive a contract note providing you with a breakdown of your investment including any interest earned during the sales period. Every six months, we will send you a full statement providing you with an update on the performance of the fund. The statement shows: The value of your investment fund and how it has performed Details of all transactions made in the reporting period The level of the Index that your fund is linked to The FTSE100 Index can be found on Bloomberg under the following reference: UKX: IND. Here you can monitor the performance of the Index. You should remember that past performance is not a guide to future performance.
