Criteri mens the riteri speified in luses 3.1 (Prtiiption Criteri) nd 4.2 (Seletion Criteri) elow. Event mens the event orgnised or oordinted y Tourism New Zelnd in respet of whih you re pplying to prtiipte. Exhiit mens the exhiit promoting your Produt/Servie t the Event nd inludes, without limittion, ny eletroni or other doumenttion used or provided in respet of your Produt/Servie, ny udio-visul tools used nd the informtion provided or shown using those tools, nd ny presenttions or performnes given in respet of your Produt/Servie. Prtiipnt mens n individul or ody orporte (n ssoition of persons regrded s single legl person t lw) whose pplition to prtiipte t the Event hs een epted y Tourism New Zelnd, nd where pplile, inludes ll employees, ontrtors, nd representtives of tht individul or ody orporte. Prtiiption Fee mens the fee speified on the Wesite tht is pyle y you to Tourism New Zelnd in reltion to your prtiiption t the Event. Produt/Servie mens the produts nd/or servies tht you supply nd tht you wish to promote t the Event. Qulmrk refers to n redittion system used to ssess the qulity of providers of produts nd servies to tourists in New Zelnd. Wesite mens the Tourism New Zelnd wesite t URL or individul opertor wesites, depending on the ontext. Referenes to you nd your re referenes to the individul or ody orporte sumitting this pplition to prtiipte t the Event, nd inludes ll employees, ontrtors, nd representtives of tht individul or ody orporte. 2 2 The Event 2.1 The lotion, timing, formt, purpose, nd ll other spets of the Event re determined t the sole disretion of Tourism New Zelnd. Tourism New Zelnd my hnge ny spet of the Event, inluding without limittion the lotion, timing, formt nd purpose, where it resonly onsiders neessry to do so. 3 Prtiiption riteri 3.1 You my only pply to prtiipte t this Event if: your Produt/Servie flls into one of the following Qulmrk tegories nd evidene n e shown tht suh Produt/Servie hs hieved Qulmrk redittion: Str Grded Aommodtion; Str Grded Venue; Endorsed Visitor Ativity; Endorsed Visitor Trnsport; Endorsed Visitor Servie; Endorsed Inound Tour Opertor; Endorsed Visitor Informtion Centre; or your Produt/Servie hs hieved, nd you n show evidene of, n independent redittion under third prty qulity rting system for your Produt/Servie whih: i ii iii hs n ppropritely doumented ssessment frmework; nd is reognised ntionlly nd/or interntionlly; nd hs roust nd frequent ssessment proess tht is provided y third prty redittion provider; or d you re n Interntionl Mrketing Alline (IMA), touring route, Regionl Tourism Orgnistion (RTO), other mrketing group or ntionl ssoition; or you re n irline with estlished routes to New Zelnd. 4 Aeptne of pplition 4.1 Aeptne: Considertion nd eptne of your pplition to prtiipte t the Event is t the sole disretion of Tourism New Zelnd. Tourism New Zelnd is under no oligtion to provide you with ny resons for their eptne or rejetion of your pplition. 4.2 Seletion riteri: Without limiting luse 4.1 (Aeptne), your pplition to prtiipte t the Event will e ssessed using one or more of the following riteri: the onsisteny of your pplition nd your Produt/Servie with the ojetives of the Event nd Tourism New Zelnd; the onsisteny of your pplition nd Produt/Servie with Tourism New Zelnd s Event ojetives nd sttutory oligtions; the need to hve n ppropritely diverse seletion of produts nd servies promoted t the Event; the order in whih your pplition is reeived within the pplition timefrme, for exmple: first ome first served ; evidene of n independent redittion under third prty qulity rting system, whih is widely reognised ntionlly nd/or interntionlly for its roust ssessment proess, for exmple: Qulmrk; the vilility of informtion out your Produt/Servie over the internet nd y emil nd the qulity of suh informtion; TNZ Trde Event Terms nd Conditions vlid for events ttended from 1 Jnury

3 where relevnt, the ility of your Produt/Servie to e ooked nd ommission pid in respet of your Produt/Servie t the pproprite industry levels nd relevnt to the distriution system used; your involvement with Tourism New Zelnd s mrketing progrmmes, inluding ut not limited to the interntionl medi progrmme; evidene of interntionl mrketing of your Produt/Servie in relevnt mrkets y you or vi off-shore trvel sellers; the vilility of the relevnt retil nd wholesle rtes for your Produt/Servie t the strt of the Event; your finnil nd industry performne; nd ny other riteri tht Tourism New Zelnd onsiders relevnt to the seletion of produts nd servies for promotion t the Event. 5 Wrrnties 5.1 You undertke nd wrrnt tht your Produt/Servie, prtiiption t the Event, the ontent of your Exhiit, nd ny informtion provided y you in respet of your Produt/Servie t the Event will not: e misleding or deeptive or likely to misled or deeive or otherwise e in reh of the Fir Trding At 1986; e defmtory or offensive to generlly epted ommunity stndrds or otherwise unlwful; or reh or otherwise infringe ny intelletul property rights, inluding opyright nd trde mrks, of ny third prty. 6 Cnelltion 6.1 Cnelltion y Tourism New Zelnd: If, t ny time following eptne of your pplition ut prior to the Event: Tourism New Zelnd onsiders tht you ese to stisfy ny of the Criteri or hve otherwise rehed these terms nd onditions; Tourism New Zelnd resonly onsiders tht it is no longer pproprite for you to prtiipte in the Event; or you fil to py the Prtiiption Fee to Tourism New Zelnd y the due dte for pyment speified y Tourism New Zelnd, Tourism New Zelnd my, in its sole disretion, y notie in writing, withdrw its eptne of your pplition nd nel your right to prtiipte in the Event without inurring ny liility to you or ny third prty. Cnelltion of your prtiiption in the Event y Tourism New Zelnd will hve immedite effet on reeipt of suh notie. 6.2 Cnelltion y you: Following eptne of your pplition you my nel your prtiiption in the Event 15 usiness dys or more efore the Event y providing written notie of suh nelltion to Tourism New Zelnd nd pying the Cnelltion Fee s provided for in the Event prospetus, or s otherwise notified y Tourism New Zelnd. Cnelltion of your prtiiption in the Event less thn 15 usiness dys prior to the Event, y written notie or otherwise, will require pyment of the Cnelltion Fee nd result in forfeiture of your Prtiiption Fee to Tourism New Zelnd. 7 Fees nd pyment 7.1 Prtiiption Fee: The Prtiiption Fee is due nd pyle in full within 30 dys of issue of n invoie y Tourism New Zelnd, nd in ny se no lter thn 15 usiness dys prior to the Event. 4 7.2 Lte pyment: Tourism New Zelnd my hrge defult interest on ny mounts due nd owing to it, inluding the Prtiiption Fee nd the Cnelltion Fee, tht re not reeived y the due dte. Defult interest shll e lulted t rte equl to the then urrent 90 dy nk rte of Tourism New Zelnd s prinipl nk plus two per ent per nnum lulted on dily sis from the due dte for pyment down to the dte on whih pyment is reeived y Tourism New Zelnd. 7.3 Txes: Prtiipnts gree to py ll pplile txes in onnetion with the Event s provided for in the Event prospetus, or s otherwise notified y Tourism New Zelnd. 7.4 Other osts: You re responsile for ll your osts ssoited with the Event inluding, without limittion, trvel nd ommodtion osts, dvertising osts, exhiition nd promotionl mterils, inluding freight nd ustoms osts. Tourism New Zelnd will not e responsile for ny osts or disursements tht you inur s result of your pplition or your prtiiption in the Event. 8 Privy nd onfidentility 8.1 Privy: Tourism New Zelnd my ollet personl informtion from you (suh s your nme, home/usiness ddress nd emil) for the purpose of filitting your prtiiption in the Event, nd for event mngement. It my e provided to other event relted orgnistions or entities (suh s stte tourist uthorities, other event prtiipnts nd event ontrtors) for the purpose of event mngement or Tourism New Zelnd my use it to ontt you in the future for purposes relting to the Event. Tourism New Zelnd will keep personl informtion onfidentil exept where dislosure is neessry for the purpose of orgnising or running the Event or where dislosure is required: y lw enforement or other Government genies in onnetion with the ondut of ny investigtion of riminl tivities; or y ourt order. Suh personl informtion does not extend to informtion tht: d ws known to Tourism New Zelnd prior to the sumission of this pplition; is, or eomes, puli knowledge without the fult of Tourism New Zelnd; is, or eomes, ville to Tourism New Zelnd from soure other thn you; or is required to e dislosed y lw. You my t ny time hve ess to ny personl informtion out you held y Tourism New Zelnd y sumitting request to Tourism New Zelnd in writing. Tourism New Zelnd will updte nd orret suh informtion upon reeipt of written request from you. 8.2 Confidentil Informtion: Tourism New Zelnd my provide you with onfidentil informtion during the Event, inluding informtion relting to other Event prtiipnts. Suh informtion must only e used y you for the purposes of the Event, nd must otherwise e kept onfidentil y you. Suh onfidentil informtion must not e provided to third prty without the prior onsent of Tourism New Zelnd (nd ny individuls whose informtion is inluded). 8.3 Aess to informtion: As government orgnistion, Tourism New Zelnd is sujet to the Offiil Informtion At 1982 (OIA), nd s suh Tourism New Zelnd my t ny time e required to mke ville nd dislose personl or onfidentil informtion out you in response to request for ess to offiil informtion mde under the OIA. 9 Liility nd indemnity 9.1 Liility: Tourism New Zelnd will not e lile for ny loss or dmge (inluding onsequentil loss or dmge, loss of profits, loss of revenue or loss of svings) whih my e suffered or inurred or whih my rise diretly or indiretly in respet of your pplition nd/or the Event or ny filure or omission on the prt of Tourism New Zelnd to omply with its oligtions under these terms nd onditions. 5 9.2 Exlusions: All onditions nd wrrnties whih my e implied y lw into these terms nd onditions re exluded exept to the extent tht it would e unlwful to do so. You gree tht to the extent tht you re quiring goods or servies under these terms nd onditions for the purposes of usiness, the gurntees provided under the Consumer Gurntees At 1993 shll not pply to the supply of suh goods nd servies. 9.3 Limittion: If, for ny reson, Tourism New Zelnd nnot rely upon the limittions nd exlusions in luses 9.1 (Liility) nd 9.2 (Exlusions), the mximum ggregte liility tht Tourism New Zelnd will hve to you in respet of the sujet mtter of these terms nd onditions is the totl Prtiiption Fee pid y you under these terms nd onditions. 9.4 Indemnity: You will indemnify Tourism New Zelnd ginst ny osts, losses nd dmges nd will, t your ost, defend or settle ny lim suit, tion or proeeding rought ginst Tourism New Zelnd rising from: d ny reh of these terms nd onditions y you; your prtiiption t the Event; use of your Produt/Servie y ny third prty; or ny third prty lim of intelletul property rights infringement in respet of your Exhiit or your Produt/Servie. 10 Insurne 10.1 Prtiipnts must effet nd mintin t their own expense insurne poliies overing ll spets of their prtiiption in the Event inluding, ut not limited to, puli nd produt liility, workers ompenstion nd property insurne. Prtiipnts knowledge tht Tourism New Zelnd does not: hve ny responsiility or liility for ny loss suffered y or dmge used to prtiipnts, visitors, or ny other third prty; provide or rrnge for ny insurne for, or on ehlf, of prtiipnts, visitors or ny other third prty; nd provide ny indemnity for loss or injury suffered y prtiipnts, visitors, or ny other third prty. 11 Noties 11.1 Any notie to e given to Tourism New Zelnd under these terms nd onditions must e in writing sent to: Tourism New Zelnd PO Box 95 Level 22, Vodfone on the Quy 157 Lmton Quy Wellington Any notie to e given to you my e sent to the ddress provided y you with your pplition. A notie given in ordne with this luse 11.1 (Noties) is deemed to e reeived 3 usiness dys fter posting, if sent y prepid post or on the dy of delivery or left t the reipient s provided ddress during usiness hours. 12 Third prty terms nd onditions 12.1 Should the Event e run y third prty (nd your prtiiption o-ordinted y Tourism New Zelnd), you my e required to omply with ertin terms nd onditions of this third prty (Third Prty Terms) s they pply to your prtiiption in the Event.
