2 Dear Aldermen, Thank you for working with me to establish the largest municipal aggregation program ever created in the United States, a groundbreaking initiative that will deliver $150 million in total savings for Chicagoans over the next year, with additional savings over the following year. We will accomplish this while achieving cleaner energy. By purchasing energy in bulk, we will put money back into the pockets of Chicago residents and small businesses, saving Chicagoans 11% on their electricity bills over the first 15 months of the contract, resulting in an average savings of $ for the typical single-family home owner. The City s agreement will also eliminate coal from the City s energy sources, resulting in cleaner air and reduced carbon emissions. On December 27th, opt out letters will be mailed to eligible residents and small businesses, giving them the opportunity to exit the program before it begins. To ensure that we have a successful program, I will need your help getting key information to Chicago s residents about the benefits of aggregation. The material contained in this binder is designed to provide your constituents with everything they need to know about the program. With your continued support, Chicago will prove that by buying electricity in bulk, cities can not only deliver savings to residents and small businesses, but they can also significantly reduce their carbon footprint. How You Benefit The City has negotiated a price that will be XX% lower than the current ComEd rate. Three things you should know If you do nothing, you will be automatically enrolled in the City s Program and save about 22%3. ComEd will continue sending monthly bills, responding to outages, and delivering your electricity. No one from the City s program will ever come to your door or call you to ask you to switch to a new supplier. Anyone who comes to your door or calls you asking you to switch is not with the City s program. 5 Non-Coal Purchases Integrys will source electricity from completely coal free resources, and Integrys will also comply with the Illinois Renewable Portfolio Standard. Fixed Rate for Term of Contract The contract term for the City s Electric Aggregation Program is February 2013 through May While ComEd s rates will continue to change each June and October, Integrys rates are fixed through May Customers can expect to see savings on their electricity bills beginning as soon as March 2013, depending on enrollment date. Although the City and Integrys have not finalized a rate for May 2014 through May 2015 meter reads, Integrys has agreed to meet or beat the ComEd price (plus Program costs) or switch all Program participants back to ComEd. Please see the enclosed Terms and Conditions for full details. No Change to Electricity Delivery or Billing Under the City s program, ComEd will still be responsible for delivering your electricity, issuing monthly bills, maintaining electricity lines and meters, responding to outages, and offering bill payment options such budget billing and automatic payment. In addition, low income assistance programs such as LIHEAP and PIPP will continue undisturbed. Enrollment Information After your enrollment is finalized, ComEd will send you a letter confirming your selection of Integrys Energy Services, Inc. as your electric supplier. As required by law, this letter will inform you of your ability to rescind your enrollment without penalty. Please see the enclosed Terms and Conditions for more information. No Change if You Have Already Switched to an Alternative Supplier If you have recently switched to an alternative retail supplier, you will stay with your supplier unless you opt in to the City s program. 6 City of Chicago Electric Aggregation Program Frequently Asked Questions Municipal aggregation uses the group purchasing power of residents to help cities negotiate lower prices on electricity bills, and potentially cleaner energy sources. Over 200 Illinois communities have already used aggregation to capture savings for residents and small businesses. On Nov. 6th, Chicago voters approved a referendum authorizing the City to seek lower electricity rates for residential and small business ratepayers. After receiving prices and service qualifications from retail electric suppliers, the City has negotiated an agreement with Integrys Energy Services, Inc., that will lower monthly electricity bills for residents and small businesses. How do I enroll? As an eligible residential or small business customer you will be automatically enrolled in the program unless you choose to opt-out. How do I opt-out? To opt-out, return the postcard or contact Integrys at or What if I decide to opt-out? You will continue to receive your electricity supply from ComEd. Can I leave the Program at a later date? You can leave the Program for any reason at any time without an early termination fee. Does it cost to enroll? There are no enrollment or switching fees at any time. When will I begin to see savings? Customers can expect to receive savings beginning as soon as their March 2013 bill, depending on the enrollment date. Who will bill me for electricity? You will continue to receive your monthly bill from ComEd. You can keep the same budget billing and automatic payment options that you have now. What if I have already selected another supplier? You will be able to join (opt-in) the City s aggregation program at any time. However, proceed with caution. Review carefully the Terms and Conditions of your current agreement with your retail electrical supplier. There may be a minimum term requirement, early termination fees, switching fees or a penalty. Who will be the supplier? The City solicited bids and selected Integrys Energy Services, Inc. because they offered the greatest savings and quality customer service. The City or the supplier will never come to your door, contact you by phone, or ask for your ComEd account number. 8 City of Chicago Electric Aggregation Program AUTOMATIC AGGREGATION Electricity Purchase and Sale Terms and Conditions The City of Chicago ( City ), pursuant to the aggregation authority conferred upon it by referendum and ordinance, selected Integrys Energy Services, Inc. ( Seller ) to supply the aggregation, and entered into a Power Supply Agreement with Seller ( Program Agreement ). You, the account holder ( Buyer ) for each eligible account at the service address referenced on the letter accompanying (the Account(s) ) this document, and Seller agree to this Electricity Purchase and Sale Terms and Conditions ( Agreement ) as of January 10, 2013 ( Effective Date ). Seller and Buyer are individually referred to as Party and collectively as Parties. 1. Enrollment: a. Opt-Out: Enrollment is automatic for those who are eligible, but participation is voluntary. IF YOU DO NOT WISH TO PARTICIPATE, YOU MUST OPT-OUT NO LATER THAN JANUARY 9, 2013 BY (i) RETURNING THE POSTCARD POSTMARKED NO LATER THAN JANUARY 9, 2013, (ii) BY CALLING or (iii) BY OPTING OUT ON SELLER S WEBSITE AT b. Eligibility: To be eligible for automatic aggregation, Buyer and the Accounts to be served (i) must be located within the City s jurisdictional boundaries, (ii) must be served by Commonwealth Edison (the Utility ) on a residential or small commercial rate class (0-100kW or Watt Hour) provided such small commercial Account consumes less than 15,000 kwh annually, and (iii) may not be under contract with another competitive supplier, on the Utility s real-time pricing, on bundled hold with the Utility, or franchised service with a municipal account. c. Term: This Agreement shall become binding on the Effective Date, provided however, the obligation of Seller to sell and schedule electricity for delivery to Buyer and the obligation of Buyer to purchase, take and pay for electricity is contingent upon: (i) successful enrollment by the Utility and (ii) the passage of the Rescission Period (defined in Section 2) without effective cancellation by Buyer. Successful enrollment by the Utility is dependent upon (1) the eligibility of Buyer s Accounts, as determined by the Utility, to take from a retail electric supplier and to participate in the Utility s purchase of receivables program (including service class and past payment history), and (2) the accuracy and completeness of any information submitted by Buyer. Subject to the foregoing, service will commence on meter read dates in February 2013 and shall remain in effect through the May 2015 meter read ( Initial Term ), unless terminated pursuant to the terms of this Agreement. 2. Rescission Period: Buyer may rescind this Agreement by contacting Seller before Seller submits the enrollment request to the Utility. Buyer may rescind the Agreement and the pending enrollment within 10 calendar days after the Utility processes the enrollment request by contacting (i) Seller or the Utility, if Buyer is a residential customer or (ii) Seller, if Buyer is a nonresidential customer. 3. Price: a. Fixed Rate: For the Initial Term, Buyer shall pay the applicable Fixed Rate multiplied by the billing cycle usage for the Account(s). From the start of the Initial Term through the May 2014 meter read, the Fixed Rate is per kwh. No later than 30 days prior to the May 2014 meter reads, Seller shall send Buyer notice of any changes to this Agreement and the new Fixed Rate applicable for the May 2014 meter reads through the end of the May 2015 meter reads that will have been negotiated with the City pursuant to the Program Agreement, provided however, if no such price is agreed upon by the City and Seller then Seller reserves the right to terminate this Agreement effective with the May 2014 meter reads with notice to Buyer. Both Parties recognize that components of the Fixed Rates include electric tariff charges that are authorized by the Illinois Commerce Commission, PJM, the Federal Energy Regulatory Commission, and/or any other state or governmental agency having jurisdiction. Any increase in these charges after the Effective Date may be directly passed through to Buyer by a corresponding increase in the applicable Fixed Rate. In addition, Seller reserves the right to increase the Fixed Rate as a result of (i) costs associated with the City s requiring of Seller s receipt of assignment of certain bilateral agreements pursuant to the Program Agreement and (ii) costs associated with the City s required reimbursement of administrative fees, enhanced environmental costs or other program costs pursuant to the Program Agreement. b. Switching Fees: While Seller does not charge Buyer a separate fee to switch to Seller s service, if Buyer is currently receiving electricity pursuant to an agreement with an alternative retail electric supplier, that supplier may charge Buyer for switching electricity providers. If the Utility charges a fee for enrolling the Account to Seller s service, Seller will reimburse Buyer for any such fees. c. Price Match: If the Program Price to Compare is set below the Fixed Rate during the Initial Term of this Agreement only, Seller shall either (i) reduce the Fixed Rate to match the Program Price to Compare or (ii) terminate this Agreement. Program Price to Compare shall mean (1) the Utility s Price to Compare for the single family, non-space heating class, as posted on the ICC website ( (which includes the Utility s electric supply charge, plus the Utility s transmission services charge but not distribution charges or the purchased electricity adjustment) plus (2) costs associated with the City s requiring of Seller s receipt of assignment of certain bilateral agreements and costs associated with the City s required reimbursement of administrative fees, enhanced environmental costs or other program costs, all pursuant to the Program Agreement. Seller shall not be required to match if the Utility s Price to Compare ceases to exist or becomes a market-based rate as a result of a regulatory action. If Seller terminates this Agreement pursuant to this section 3(c), Seller shall not be liable for any damages or penalties resulting from Buyer s return to the Utility s service or to another retail supplier, including claims relating to the price received from the Utility or the alternate supplier being higher than the Fixed Rate herein. 4. Renewal: a. New Term: If the City and Seller agree to renewal terms, between 30 and 60 days prior to the end of the Initial Term or a Renewal Term (whichever is in effect, hereinafter the Current Term ), Seller may send Buyer an offer for a Renewal Term. This offer will include, without limitation, the new pricing, any applicable early termination fees, and the Renewal Term ( Offer ). In the event Seller does not receive Buyer s rejection of the Offer within 14 days, the Offer will be deemed accepted by Buyer without the need for further signature or other affirmative action by Buyer. If Buyer rejects the Offer in the manner directed in the Offer, Buyer s Accounts will be returned to Utility service at the end of the Current Term. b. Billing Cycle-to-Billing Cycle: If the City and Seller do not agree to renewal terms but agree that Seller may continue to serve on a billing cycle-to-billing cycle basis, service to the Accounts will continue on a billing cycle-to-billing cycle basis at a rate at or below the Price to Compare until (a) the City provides 30 day notice of termination on behalf of Buyer or (b) Buyer provides notice of termination. c. No Renewal: If the City and Seller do not agree to renewal terms and do not agree that Seller will continue to serve on a billing cycle-to-billing cycle basis, Buyer s Accounts shall be returned to the Utility at the end of the Current Term. 5. Billing and Payment: Buyer will be invoiced for Seller s charges and the Utility s delivery charges by the Utility on the invoice(s) Buyer receives from the Utility, and such billing and payment shall be subject to the applicable Utility rules regarding billing and payment procedures. Seller s charges or credits not invoiced through continued on back

9 the Utility shall be invoiced or credited, respectively, directly by Seller. Seller may cause the Utility to correct previous invoices in the event of invoicing errors. 6. Taxes: Any tax levied against Seller by any governmental entity, exclusive of Seller s income tax or taxes levied on Seller s real or personal property that must be paid by Seller shall be passed through to and borne and reimbursed by Buyer. Buyer must provide Seller with any applicable exemption certificates. Buyer shall pay any such taxes unless Seller is required by law to collect and remit such taxes, in which case Buyer shall reimburse Seller for all amounts so paid. 7. Termination; Remedies: Notwithstanding anything to the contrary herein, in the event the City terminates the Program Agreement prior to the end of a Current Term of this Agreement, the City may terminate this Agreement on behalf of Buyer. Upon any such termination, SELLER SHALL NOT BE LIABLE FOR ANY DAMAGES OR PENALTIES RESULTING FROM THE RETURN OF BUYER S ACCOUNT(S) TO THE UTILITY S SERVICE, INCLUDING CLAIMS RELATING TO THE UTILITY S PRICE BEING HIGHER THAN THE FIXED RATE HEREIN. If Buyer defaults on its obligations under this Agreement (which may include Buyer s switching to another electric supplier or the Utility or Buyer s failure to pay the Utility), Seller may terminate this Agreement, as applicable. Buyer may also terminate at any time, regardless of whether Seller has defaulted. There shall be no fees due from either Party to the other for early termination. 8. Limitations: ALL ELECTRICITY SOLD HEREUNDER IS PROVIDED AS IS, AND SELLER EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE. IN NO EVENT WILL EITHER PARTY BE LIABLE UNDER THIS AGREEMENT, WHETHER IN AGREEMENT, IN TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), OR OTHERWISE, FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. 9. Force Majeure: Except for Buyer s obligation to pay Seller timely, neither Party shall be liable to the other for failure to perform an obligation if the nonperforming Party was prevented from performing due to an event beyond the reasonable control, that could not be remedied by the exercise of due diligence and that was not reasonably foreseeable, including without limitation, acts of God, a condition resulting in the curtailment of electricity supply or interruption or curtailment of transmission on the electric transmission and/or distribution system, interruption of Utility service, terrorist acts or wars, and force majeure events of the Utility or independent system operator. 10. Questions, Complaints and Concerns: Buyer may contact Seller at the locations indicated below. For issues concerning this Agreement, Seller will attempt to resolve the matter within five (5) business days after receiving the call or letter. If Buyer is not satisfied with the response, or to obtain consumer education materials, Buyer can contact the Illinois Commerce Commission s Consumer Services Division as described below. Buyer may also contact the Illinois Attorney General s Office at (Northern Illinois), (Central Illinois), or (Southern Illinois). 11. Miscellaneous: This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard for the conflicts of law provisions thereof. Title, possession, control of the electricity, and risk of loss will pass from Seller to Buyer at the delivery point, which shall be the Utility. Buyer appoints Seller as its agent for the purposes of effectuating delivery, including for receipt of billing and usage data from the Utility. Subject to regulatory approvals and notice from Seller, Seller may assign this Agreement without Buyer s consent. Buyer may assign this Agreement only with Seller s prior written consent. This Agreement (including without limitation the Account identification) shall be considered a Letter of Agency and constitutes the entire agreement between the Parties, superseding all verbal and written understandings. There are no third party beneficiaries to this Agreement and none are intended. This Agreement shall only be amended in writing signed by both Parties or with Notice from Seller to Buyer as described under Sections 3 and 4 above. Buyer should contact the Utility in the event of an electric emergency at Edison-1 (residential) or ComEd-1 (commercial). Future correspondence may be sent by Seller to Buyer via first class mail and/or electronic mail. UNIFORM DISCLOSURE STATEMENT Seller Contact Information: 20 N. Seller s Charges for Electricity Supply: per kwh through May 2014 meter reads, which does not include taxes or Utility delivery charges. No later than 30 days prior to the May 2014 meter reads, Seller shall send Buyer notice of any changes to this Agreement and the new Fixed Rate applicable for the May 2014 meter reads through the end of the May 2015 meter reads that will have been negotiated with the City pursuant to the Program Agreement provided however, if no such price is agreed upon by the City and Seller then Seller reserves the right to terminate this Agreement effective with the May 2014 meter reads with notice to Buyer. Term of Agreement: February 2013 meter reads (subject to successful enrollment) through May 2015 meter reads. Renewal as follows: a. If the City and Seller agree to renewal terms, between 30 and 60 days prior to the end of the Initial Term, Seller may send Buyer an offer for a Renewal Term. This offer will include, without limitation, the new pricing and the Renewal Term ( Offer ). In the event Seller does not receive Buyer s rejection of the Offer within 14 days, the Offer will be deemed accepted by Buyer without the need for further signature or other affirmative action by Buyer. If Buyer rejects the Offer in the manner directed in the Offer, Buyer s Accounts will be returned to Utility service at the end of the Current Term. b. If the City and Seller agree that Seller may continue to serve on a billing cycle-to-billing cycle basis, service to the Accounts will continue on a billing cycle-to-billing cycle basis at a rate at or below the Price to Compare until (a) the City provides 30 day notice of termination on behalf of Buyer or (b) Buyer provides notice of termination. c. If the City and Seller do not agree to renewal terms and do not agree that to (a) or (b) above, Buyer s Accounts shall be returned to the Utility at the end of the Current Term. Early Termination Fee/Deposit Required/Switching Fees Charged by Seller to Switch to Seller s Service: None Right to Rescind: Buyer may rescind the Agreement by contacting Seller before Seller submits the enrollment request to the Utility. Buyer may rescind the Agreement and the pending enrollment within 10 calendar days after the Utility processes the enrollment request by contacting (a) Seller or the Utility, if Buyer is a residential customer or (b) Seller, if Buyer is a nonresidential customer. General Disclosures: Seller is an independent seller of power and energy service, certified by the Illinois Commerce Commission. Seller does NOT represent or act on behalf of the Utility, governmental bodies or consumer groups. The Utility remains responsible for the delivery of power and energy to Buyer s premises and will continue to respond to any service calls and emergencies. Switching to Seller will not impact Buyer s electric service reliability. Buyer will receive written notification from the Utility confirming a switch of Buyer s power and energy supplier. Over 200 Illinois communities have already used aggregation to capture savings for residents and small businesses. On Nov. 6th, Chicago voters approved a referendum authorizing the City to seek lower electricity rates for residential and small business ratepayers. After receiving prices and service qualifications from retail electric suppliers, the City has negotiated an agreement with Integrys Energy Services, Inc., that will lower monthly electricity bills for residents and small businesses. How do I enroll? As an eligible residential or small business customer you will be automatically enrolled in the program unless you choose to opt-out. How do I opt-out? 19 City of Chicago 芝 加 哥 市 Electric Aggregation Program 电 力 聚 合 计 划 AUTOMATIC AGGREGATION Electricity Purchase and Sale Terms and Conditions The City of Chicago ( City ), pursuant to the aggregation authority conferred upon it by referendum and ordinance, selected Integrys Energy Services, Inc. ( Seller ) to supply the aggregation, and entered into a Power Supply Agreement with Seller ( Program Agreement ). You, the account holder ( Buyer ) for each eligible account at the service address referenced on the letter accompanying (the Account(s) ) this document, and Seller agree to this Electricity Purchase and Sale Terms and Conditions ( Agreement ) as of January 10, 2013 ( Effective Date ). Seller and Buyer are individually referred to as Party and collectively as Parties. 1. Enrollment: a. Opt-Out: Enrollment is automatic for those who are eligible, but participation is voluntary. Eligibility: To be eligible for automatic aggregation, Buyer and the Accounts to be served (i) must be located within the City s jurisdictional boundaries, (ii) must be served by Commonwealth Edison (the Utility ) on a residential or small commercial rate class (0-100kW or Watt Hour) provided such small commercial Account consumes less than 15,000 kwh annually, and (iii) may not be under contract with another competitive supplier, on the Utility s real-time pricing, on bundled hold with the Utility, or franchised service with a municipal account. c. Term: This Agreement shall become binding on the Effective Date, provided however, the obligation of Seller to sell and schedule electricity for delivery to Buyer and the obligation of Buyer to purchase, take and pay for electricity is contingent upon: (i) successful enrollment by the Utility and (ii) the passage of the Rescission Period (defined in Section 2) without effective cancellation by Buyer. Successful enrollment by the Utility is dependent upon (1) the eligibility of Buyer s Accounts, as determined by the Utility, to take from a retail electric supplier and to participate in the Utility s purchase of receivables program (including service class and past payment history), and (2) the accuracy and completeness of any information submitted by Buyer. Subject to the foregoing, service will commence on meter read dates in February 2013 and shall remain in effect through the May 2015 meter read ( Initial Term ), unless terminated pursuant to the terms of this Agreement. 2. Rescission Period: Buyer may rescind this Agreement by contacting Seller before Seller submits the enrollment request to the Utility. 20 3. Price: a. Fixed Rate: For the Initial Term, Buyer shall pay the applicable Fixed Rate multiplied by the billing cycle usage for the Account(s). From the start of the Initial Term through the May 2014 meter read, the Fixed Rate is per kwh. No later than 30 days prior to the May 2014 meter reads, Seller shall send Buyer notice of any changes to this Agreement and the new Fixed Rate applicable for the May 2014 meter reads through the end of the May 2015 meter reads that will have been negotiated with the City pursuant to the Program Agreement, provided however, if no such price is agreed upon by the City and Seller then Seller reserves the right to terminate this Agreement effective with the May 2014 meter reads with notice to Buyer. Both Parties recognize that components of the Fixed Rates include electric tariff charges that are authorized by the Illinois Commerce Commission, PJM, the Federal Energy Regulatory Commission, and/or any other state or governmental agency having jurisdiction. Any increase in these charges after the Effective Date may be directly passed through to Buyer by a corresponding increase in the applicable Fixed Rate. In addition, Seller reserves the right to increase the Fixed Rate as a result of (i) costs associated with the City s requiring of Seller s receipt of assignment of certain bilateral agreements pursuant to the Program Agreement and (ii) costs associated with the City s required reimbursement of administrative fees, enhanced environmental costs or other program costs pursuant to the Program Agreement. b. Switching Fees: While Seller does not charge Buyer a separate fee to switch to Seller s service, if Buyer is currently receiving electricity pursuant to an agreement with an alternative retail electric supplier, that supplier may charge Buyer for switching electricity providers. If the Utility charges a fee for enrolling the Account to Seller s service, Seller will reimburse Buyer for any such fees. c. Price Match: If the Program Price to Compare is set below the Fixed Rate during the Initial Term of this Agreement only, Seller shall either (i) reduce the Fixed Rate to match the Program Price to Compare or (ii) terminate this Agreement. Program Price to Compare shall mean (1) the Utility s Price to Compare for the single family, non-space heating class, as posted on the ICC website ( (which includes the Utility s electric supply charge, plus the Utility s transmission services charge but not distribution charges or the purchased electricity adjustment) plus (2) costs associated with the City s requiring of Seller s receipt of assignment of certain bilateral agreements and costs associated with the City s required reimbursement of administrative fees, enhanced environmental costs or other program costs, all pursuant to the Program Agreement. Seller shall not be required to match if the Utility s Price to Compare ceases to exist or becomes a market-based rate as a result of a regulatory action. If Seller terminates this Agreement pursuant to this section 3(c), Seller shall not be liable for any damages or penalties resulting from Buyer s return to the Utility s service or to another retail supplier, including claims relating to the price received from the Utility or the alternate supplier being higher than the Fixed Rate herein. 4. Renewal: a. New Term: If the City and Seller agree to renewal terms, between 30 and 60 days prior to the end of the Initial Term or a Renewal Term (whichever is in effect, hereinafter the Current Term ), Seller may send Buyer an offer for a Renewal Term. This offer will include, without limitation, the new pricing, any applicable early termination fees, and the Renewal Term ( Offer ). In the event Seller does not receive Buyer s rejection of the Offer within 14 days, the Offer will be deemed accepted by Buyer without the need for further signature or other affirmative action by Buyer. If Buyer rejects the Offer in the manner directed in the Offer, Buyer s Accounts will be returned to Utility service at the end of the Current Term. b. 21 billing cycle-to-billing cycle basis, service to the Accounts will continue on a billing cycle-to-billing cycle basis at a rate at or below the Price to Compare until (a) the City provides 30 day notice of termination on behalf of Buyer or (b) Buyer provides notice of termination. c. No Renewal: If the City and Seller do not agree to renewal terms and do not agree that Seller will continue to serve on a billing cycleto-billing cycle basis, Buyer s Accounts shall be returned to the Utility at the end of the Current Term. 5. Billing and Payment: Buyer will be invoiced for Seller s charges and the Utility s delivery charges by the Utility on the invoice(s) Buyer receives from the Utility, and such billing and payment shall be subject to the applicable Utility rules regarding billing and payment procedures. Seller s charges or credits not invoiced through the Utility shall be invoiced or credited, respectively, directly by Seller. Seller may cause the Utility to correct previous invoices in the event of invoicing errors. 6. Taxes: Any tax levied against Seller by any governmental entity, exclusive of Seller s income tax or taxes levied on Seller s real or personal property that must be paid by Seller shall be passed through to and borne and reimbursed by Buyer. Buyer must provide Seller with any applicable exemption certificates. Buyer shall pay any such taxes unless Seller is required by law to collect and remit such taxes, in which case Buyer shall reimburse Seller for all amounts so paid. 7. Termination; Remedies: Notwithstanding anything to the contrary herein, in the event the City terminates the Program Agreement prior to the end of a Current Term of this Agreement, the City may terminate this Agreement on behalf of Buyer. Upon any such termination, SELLER SHALL NOT BE LIABLE FOR ANY DAMAGES OR PENALTIES RESULTING FROM THE RETURN OF BUYER S ACCOUNT(S) TO THE UTILITY S SERVICE, INCLUDING CLAIMS RELATING TO THE UTILITY S PRICE BEING HIGHER THAN THE FIXED RATE HEREIN. If Buyer defaults on its obligations under this Agreement (which may include Buyer s switching to another electric supplier or the Utility or Buyer s failure to pay the Utility), Seller may terminate this Agreement, as applicable. Buyer may also terminate at any time, regardless of whether Seller has defaulted. There shall be no fees due from either Party to the other for early termination. 8. Limitations: ALL ELECTRICITY SOLD HEREUNDER IS PROVIDED AS IS, AND SELLER EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE. IN NO EVENT WILL EITHER PARTY BE LIABLE UNDER THIS AGREEMENT, WHETHER IN AGREEMENT, IN TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), OR OTHERWISE, FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. 9. Force Majeure: Except for Buyer s obligation to pay Seller timely, neither Party shall be liable to the other for failure to perform an obligation if the nonperforming Party was prevented from performing due to an event beyond the reasonable control, that could not be remedied by the exercise of due diligence and that was not reasonably foreseeable, including without limitation, acts of God, a condition resulting in the curtailment of electricity supply or interruption or curtailment of transmission on the electric transmission and/or distribution system, interruption of Utility service, terrorist acts or wars, and force majeure events of the Utility or independent system operator. 10. Questions, Complaints and Concerns: Buyer may contact Seller at the locations indicated below. If Buyer is not satisfied with the response, or to obtain consumer education materials, Buyer can contact the Illinois Commerce Commission s Consumer Services Division as described below. Buyer may also contact the Illinois Attorney General s Office at (Northern Illinois), (Central Illinois), or (Southern Illinois). 11. Miscellaneous: This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard for the conflicts of law provisions thereof. Title, possession, control of the electricity, and risk of loss will pass from Seller to Buyer at the delivery point, which shall be the Utility. Buyer appoints Seller as its agent for the purposes of effectuating delivery, including for receipt of billing and usage data from the Utility. Subject to regulatory approvals and notice from Seller, Seller may assign this Agreement without Buyer s consent. Buyer may assign this Agreement only with Seller s prior written consent. This Agreement (including without limitation the Account identification) shall be considered a Letter of Agency and constitutes the entire agreement between the Parties, superseding all verbal and written understandings. There are no third party beneficiaries to this Agreement and none are intended. This Agreement shall only be amended in writing signed by both Parties or with Notice from Seller to Buyer as described under Sections 3 and 4 above. Buyer should contact the Utility in the event of an electric emergency at Edison-1 (residential) or ComEd-1 (commercial). 32 AUTOMATIC AGGREGATION City of Chicago Electric Aggregation Program Electricity Purchase and Sale Terms and Conditions The City of Chicago ( City ), pursuant to the aggregation authority conferred upon it by referendum and ordinance, selected Integrys Energy Services, Inc. ( Seller ) to supply the aggregation, and entered into a Power Supply Agreement with Seller ( Program Agreement ). You, the account holder ( Buyer ) for each eligible account at the service address referenced on the letter accompanying (the Account(s) ) this document, and Seller agree to this Electricity Purchase and Sale Terms and Conditions ( Agreement ) as of January 10, 2013 ( Effective Date ). Seller and Buyer are individually referred to as Party and collectively as Parties. 1. Enrollment: a. Opt-Out: Enrollment is automatic for those who are eligible, but participation is voluntary. Rescission Period: Buyer may rescind this Agreement by contacting Seller before Seller submits the enrollment request to the Utility. Fixed Rate: For the Initial Term, Buyer shall pay the applicable Fixed Rate multiplied by the billing cycle usage for the Account(s). From the start of the Initial Term through the May 2014 meter read, the Fixed Rate is per kwh. No later than 30 days prior to the May 2014 meter reads, Seller shall send Buyer notice of any changes to this Agreement and the new Fixed Rate applicable for the May 2014 meter reads through the end of the May 2015 meter reads that will have been negotiated with the City pursuant to the Program Agreement, provided however, if no such price is agreed upon by the City and Seller then Seller reserves the right to terminate this Agreement effective with the May 2014 meter reads with notice to Buyer. Both Parties recognize that components of the Fixed Rates include electric tariff charges that are authorized by the Illinois Commerce Commission, PJM, the Federal Energy Regulatory Commission, and/or any other state or governmental agency having jurisdiction. Any increase in these charges after the Effective Date may be directly passed through to Buyer by a corresponding increase in the applicable Fixed Rate. In addition, Seller reserves the right to increase the Fixed Rate as a result of (i) costs associated with the City s requiring of Seller s receipt of assignment of certain bilateral agreements pursuant to the Program Agreement and (ii) costs associated with the City s required reimbursement of administrative fees, enhanced environmental costs or other program costs pursuant to the Program Agreement. b. Switching Fees: While Seller does not charge Buyer a separate fee to switch to Seller s service, if Buyer is currently receiving electricity pursuant to an agreement with an alternative retail electric supplier, that supplier may charge Buyer for switching electricity providers. If the Utility charges a fee for enrolling the Account to Seller s service, Seller will reimburse Buyer for any such fees. c. Price Match: If the Program Price to Compare is set below the Fixed Rate during the Initial Term of this Agreement only, Seller shall either (i) reduce the Fixed Rate to match the Program Price to Compare or (ii) terminate this Agreement. Program Price to Compare shall mean (1) the Utility s Price to Compare for the single family, non-space heating class, as posted on the ICC website ( (which includes the Utility s electric supply charge, plus the Utility s transmission services charge but not distribution charges or the purchased electricity adjustment) plus (2) costs associated with the City s requiring of Seller s receipt of assignment of certain bilateral agreements and costs associated with the City s required reimbursement of administrative fees, enhanced environmental costs or other program costs, all pursuant to the Program Agreement. Seller shall not be required to match if the Utility s Price to Compare ceases to exist or becomes a market-based rate as a result of a regulatory action. If Seller terminates this Agreement pursuant to this section 3(c), Seller shall not be liable for any damages or penalties resulting from Buyer s return to the Utility s service or to another retail supplier, including claims relating to the price received from the Utility or the alternate supplier being higher than the Fixed Rate herein. 4. Renewal: a. New Term: If the City and Seller agree to renewal terms, between 30 and 60 days prior to the end of the Initial Term or a Renewal Term (whichever is in effect, hereinafter the Current Term ), Seller may send Buyer an offer for a Renewal Term. Obie strony zdają sobie sprawę, że elementy ustalonej stawki obejmują opłaty taryfowe za energię elektryczną, które są autoryzowane przez Komisję Handlu Illinois, PJM, Federalną Komisję Regulacyjną Energii i/lub wszelkie inne organy stanowe lub federalne o odpowiedniej jurysdykcji. Jeżeli Dystrybutor Energii Elektrycznej pobierze opłatę za włączenie konta do usług Sprzedawcy, Sprzedawca zwróci Nabywcy taką opłatę. c. Wyrównanie ceny: Jeżeli programowa Cena do Porównania zostanie ustalona poniżej stawki ustalonej dla początkowego okresu Umowy, i tylko wówczas, Sprzedawca albo (i) obniży stawkę ustaloną do programowej Ceny do Porównania, albo (ii) wypowie niniejszą Umowę. In the event Seller does not receive Buyer s rejection of the Offer within 14 days, the Offer will be deemed accepted by Buyer without the need for further signature or other affirmative action by Buyer. If Buyer rejects the Offer in the manner directed in the Offer, Buyer s Accounts will be returned to Utility service at the end of the Current Term. b. Billing Cycle-to-Billing Cycle: If the City and Seller do not agree to renewal terms but agree that Seller may continue to serve on a billing cycle-to-billing cycle basis, service to the Accounts will continue on a billing cycle-to-billing cycle basis at a rate at or below the Price to Compare until (a) the City provides 30 day notice of termination on behalf of Buyer or (b) Buyer provides notice of termination. c. No Renewal: If the City and Seller do not agree to renewal terms and do not agree that Seller will continue to serve on a billing cycle-to-billing cycle basis, Buyer s Accounts shall be returned to the Utility at the end of the Current Term. 5. Billing and Payment: Buyer will be invoiced for Seller s charges and the Utility s delivery charges by the Utility on the invoice(s) Buyer receives from the Utility, and such billing and payment shall be subject to the applicable Utility rules regarding billing and payment procedures. Seller s charges or credits not invoiced through the Utility shall be invoiced or credited, respectively, directly by Seller. Seller may cause the Utility to correct previous invoices in the event of invoicing errors. 6. Taxes: Any tax levied against Seller by any governmental entity, exclusive of Seller s income tax or taxes levied on Seller s real or personal property that must be paid by Seller shall be passed through to and borne and reimbursed by Buyer. Buyer must provide Seller with any applicable exemption certificates. Buyer shall pay any such taxes unless Seller is required by law to collect and remit such taxes, in which case Buyer shall reimburse Seller for all amounts so paid. 7. Termination; Remedies: Notwithstanding anything to the contrary herein, in the event the City terminates the Program Agreement prior to the end of a Current Term of this Agreement, the City may terminate this Agreement on behalf of Buyer. Upon any such termination, SELLER SHALL NOT BE LIABLE FOR ANY DAMAGES OR PENALTIES RESULTING FROM THE RETURN OF BUYER S ACCOUNT(S) TO THE UTILITY S SERVICE, INCLUDING CLAIMS RELATING TO THE UTILITY S PRICE BEING HIGHER THAN THE FIXED RATE HEREIN. If Buyer defaults on its obligations under this Agreement (which may include Buyer s switching to another electric supplier or the Utility or Buyer s failure to pay the Utility), Seller may terminate this Agreement, as applicable. Buyer may also terminate at any time, regardless of whether Seller has defaulted. There shall be no fees due from either Party to the other for early termination. 8. Limitations: ALL ELECTRICITY SOLD HEREUNDER IS PROVIDED AS IS, AND SELLER EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE. Force Majeure: Except for Buyer s obligation to pay Seller timely, neither Party shall be liable to the other for failure to perform an obligation if the nonperforming Party was prevented from performing due to an event beyond the reasonable control, that could not be remedied by the exercise of due diligence and that was not reasonably foreseeable, including without limitation, acts of God, a condition resulting in the curtailment of electricity supply or interruption or curtailment of transmission on the electric transmission and/or distribution system, interruption of Utility service, terrorist acts or wars, and force majeure events of the Utility or independent system operator. 10. Questions, Complaints and Concerns: Buyer may contact Seller at the locations indicated below. For issues concerning this Agreement, Seller will attempt to resolve the matter within five (5) business days after receiving the call or letter. If Buyer is not satisfied with the response, or to obtain consumer education materials, Buyer can contact the Illinois Commerce Commission s Consumer Services Division as described below. Buyer may also contact the Illinois Attorney General s Office at (Northern Illinois), (Central Illinois), or (Southern Illinois). 11. Miscellaneous: This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard for the conflicts of law provisions thereof. Title, possession, control of the electricity, and risk of loss will pass from Seller to Buyer at the delivery point, which shall be the Utility. Buyer appoints Seller as its agent for the purposes of effectuating delivery, including for receipt of billing and usage data from the Utility. Subject to regulatory approvals and notice from Seller, Seller may assign this Agreement without Buyer s consent. Buyer may assign this Agreement only with Seller s prior written consent. This Agreement (including without limitation the Account identification) shall be considered a Letter of Agency and constitutes the entire agreement between the Parties, superseding all verbal and written understandings. There are no third party beneficiaries to this Agreement and none are intended. This Agreement shall only be amended in writing signed by both Parties or with Notice from Seller to Buyer as described under Sections 3 and 4 above. 36 the May 2015 meter reads that will have been negotiated with the City pursuant to the Program Agreement provided however, if no such price is agreed upon by the City and Seller then Seller reserves the right to terminate this Agreement effective with the May 2014 meter reads with notice to Buyer. Term of Agreement: February 2013 meter reads (subject to successful enrollment) through May 2015 meter reads. Renewal as follows: a. If the City and Seller agree to renewal terms, between 30 and 60 days prior to the end of the Initial Term, Seller may send Buyer an offer for a Renewal Term. This offer will include, without limitation, the new pricing and the Renewal Term ( Offer ). In the event Seller does not receive Buyer s rejection of the Offer within 14 days, the Offer will be deemed accepted by Buyer without the need for further signature or other affirmative action by Buyer. If Buyer rejects the Offer in the manner directed in the Offer, Buyer s Accounts will be returned to Utility service at the end of the Current Term. b. If the City and Seller agree that Seller may continue to serve on a billing cycle-to-billing cycle basis, service to the Accounts will continue on a billing cycle-to-billing cycle basis at a rate at or below the Price to Compare until (a) the City provides 30 day notice of termination on behalf of Buyer or (b) Buyer provides notice of termination. c. If the City and Seller do not agree to renewal terms and do not agree that to (a) or (b) above, Buyer s Accounts shall be returned to the Utility at the end of the Current Term. Early Termination Fee/Deposit Required/Switching Fees Charged by Seller to Switch to Seller s Service: None Right to Rescind: Buyer may rescind the Agreement by contacting Seller before Seller submits the enrollment request to the Utility. Buyer may rescind the Agreement and the pending enrollment within 10 calendar days after the Utility processes the enrollment request by contacting (a) Seller or the Utility, if Buyer is a residential customer or (b) Seller, if Buyer is a nonresidential customer. Over 200 Illinois communities have already used aggregation to capture savings for residents and small businesses. On Nov. 6th, Chicago voters approved a referendum authorizing the City to seek lower electricity rates for residential and small business ratepayers. After receiving prices and service qualifications from retail electric suppliers, the City has negotiated an agreement with Integrys Energy Services, Inc., that will lower monthly electricity bills for residents and small businesses. How do I enroll? As an eligible residential or small business customer you will be automatically enrolled in the program unless you choose to opt-out. How do I opt-out? 45 AUTOMATIC AGGREGATION City of Chicago Electric Aggregation Program Electricity Purchase and Sale Terms and Conditions The City of Chicago ( City ), pursuant to the aggregation authority conferred upon it by referendum and ordinance, selected Integrys Energy Services, Inc. ( Seller ) to supply the aggregation, and entered into a Power Supply Agreement with Seller ( Program Agreement ). You, the account holder ( Buyer ) for each eligible account at the service address referenced on the letter accompanying (the Account(s) ) this document, and Seller agree to this Electricity Purchase and Sale Terms and Conditions ( Agreement ) as of January 10, 2013 ( Effective Date ). Seller and Buyer are individually referred to as Party and collectively as Parties. 1. Enrollment: a. Opt-Out: Enrollment is automatic for those who are eligible, but participation is voluntary. IF YOU DO NOT WISH TO PARTICIPATE, YOU MUST OPT-OUT NO LATER THAN JANUARY 9, 2013 BY (i) RETURNING THE POSTCARD POSTMARKED NO LATER THAN JANUARY 9, 2013, (ii) BY CALLING or (iii) BY OPTING OUT ON SELLER S WEBSITE AT b. Eligibility: To be eligible for automatic aggregation, Buyer and the Accounts to be served (i) must be located within the City s jurisdictional boundaries, (ii) must be served by Commonwealth Edison (the Utility ) on a residential or small commercial rate class (0-100kW or Watt Hour) provided such small commercial Account consumes less than 15,000 kwh annually, and (iii) may not be under contract with another competitive supplier, on the Utility s real-time pricing, on bundled hold with the Utility, or franchised service with a municipal account. c. Term: This Agreement shall become binding on the Effective Date, provided however, the obligation of Seller to sell and schedule electricity for delivery to Buyer and the obligation of Buyer to purchase, take and pay for electricity is contingent upon: (i) successful enrollment by the Utility and (ii) the passage of the Rescission Period (defined in Section 2) without effective cancellation by Buyer. Successful enrollment by the Utility is dependent upon (1) the eligibility of Buyer s Accounts, as determined by the Utility, to take from a retail electric supplier and to participate in the Utility s purchase of receivables program (including service class and past payment history), and (2) the accuracy and completeness of any information submitted by Buyer. Subject to the foregoing, service will commence on meter read dates in February 2013 and shall remain in effect through the May 2015 meter read ( Initial Term ), unless terminated pursuant to the terms of this Agreement. 2. Rescission Period: Buyer may rescind this Agreement by contacting Seller before Seller submits the enrollment request to the Utility. Price: a. Fixed Rate: For the Initial Term, Buyer shall pay the applicable Fixed Rate multiplied by the billing cycle usage for the Account(s). From the start of the Initial Term through the May 2014 meter read, the Fixed Rate is per kwh. No later than 30 days prior to the May 2014 meter reads, Seller shall send Buyer notice of any changes to this Agreement and the new Fixed Rate applicable for the May 2014 meter reads through the end of the May 2015 meter reads that will have been negotiated with the City pursuant to the Program Agreement, provided however, if no such price is agreed upon by the City and Seller then Seller reserves the right to terminate this Agreement effective with the May 2014 meter reads with notice to Buyer. Both Parties recognize that components of the Fixed Rates include electric tariff charges that are authorized by the Illinois Commerce Commission, PJM, the Federal Energy Regulatory Commission, and/or any other state or governmental agency having jurisdiction. Any increase in these charges after the Effective Date may be directly passed through to Buyer by a corresponding increase in the applicable Fixed Rate. In addition, Seller reserves the right to increase the Fixed Rate as a result of (i) costs associated with the City s requiring of Seller s receipt of assignment of certain bilateral agreements pursuant to the Program Agreement and (ii) costs associated with the City s required reimbursement of administrative fees, enhanced environmental costs or other program costs pursuant to the Program Agreement. b. Switching Fees: While Seller does not charge Buyer a separate fee to switch to Seller s service, if Buyer is currently receiving electricity pursuant to an agreement with an alternative retail electric supplier, that supplier may charge Buyer for switching electricity providers. If the Utility charges a fee for enrolling the Account to Seller s service, Seller will reimburse Buyer for any such fees. c. Price Match: If the Program Price to Compare is set below the Fixed Rate during the Initial Term of this Agreement only, Seller shall either (i) reduce the Fixed Rate to match the Program Price to Compare or (ii) terminate this Agreement. Program Price to Compare shall mean (1) the Utility s Price to Compare for the single family, non-space heating class, as posted on the ICC website ( (which includes the Utility s electric supply charge, plus the Utility s transmission services charge but not distribution charges or the purchased electricity adjustment) plus (2) costs associated with the City s requiring of Seller s receipt of assignment of certain bilateral agreements and costs associated with the City s required reimbursement of administrative fees, enhanced environmental costs or other program costs, all pursuant to the Program Agreement. Seller shall not be required to match if the Utility s Price to Compare ceases to exist or becomes a market-based rate as a result of a regulatory action. El "Precio de Comparación del Programa" significa (1) el "Precio de Comparación" del Proveedor para el hogar de una familia sin calefacción individual en las habitaciones, según lo publicado en el sitio web de ICC ( (lo cual incluye el cargo de suministro eléctrico del Proveedor, más el cargo por servicio de transmisión eléctrica del Proveedor, sin incluir los cargos de distribución ni el ajuste por electricidad comprada) más (2) los costos asociados por el requisito de la Ciudad de que el Vendedor emita un recibo de asignación de ciertos convenios bilaterales y costos asociados con el reembolso requerido por la Ciudad de cargos administrativos y otros costos del programa, de conformidad con el Convenio del Programa. 47 alternativo que sea mayor que la Tarifa Fija aquí establecida. 4. Renewal: a. New Term: If the City and Seller agree to renewal terms, between 30 and 60 days prior to the end of the Initial Term or a Renewal Term (whichever is in effect, hereinafter the Current Term ), Seller may send Buyer an offer for a Renewal Term. This offer will include, without limitation, the new pricing, any applicable early termination fees, and the Renewal Term ( Offer ). In the event Seller does not receive Buyer s rejection of the Offer within 14 days, the Offer will be deemed accepted by Buyer without the need for further signature or other affirmative action by Buyer. If Buyer rejects the Offer in the manner directed in the Offer, Buyer s Accounts will be returned to Utility service at the end of the Current Term. b. Billing Cycle-to-Billing Cycle: If the City and Seller do not agree to renewal terms but agree that Seller may continue to serve on a billing cycle-to-billing cycle basis, service to the Accounts will continue on a billing cycle-to-billing cycle basis at a rate at or below the Price to Compare until (a) the City provides 30 day notice of termination on behalf of Buyer or (b) Buyer provides notice of termination. c. No Renewal: If the City and Seller do not agree to renewal terms and do not agree that Seller will continue to serve on a billing cycle-tobilling cycle basis, Buyer s Accounts shall be returned to the Utility at the end of the Current Term. 5. Billing and Payment: Buyer will be invoiced for Seller s charges and the Utility s delivery charges by the Utility on the invoice(s) Buyer receives from the Utility, and such billing and payment shall be subject to the applicable Utility rules regarding billing and payment procedures. Seller s charges or credits not invoiced through the Utility shall be invoiced or credited, respectively, directly by Seller. Seller may cause the Utility to correct previous invoices in the event of invoicing errors. 6. Taxes: Any tax levied against Seller by any governmental entity, exclusive of Seller s income tax or taxes levied on Seller s real or personal property that must be paid by Seller shall be passed through to and borne and reimbursed by Buyer. Buyer must provide Seller with any applicable exemption certificates. Buyer shall pay any such taxes unless Seller is required by law to collect and remit such taxes, in which case Buyer shall reimburse Seller for all amounts so paid. 7. Termination; Remedies: Notwithstanding anything to the contrary herein, in the event the City terminates the Program Agreement prior to the end of a Current Term of this Agreement, the City may terminate this Agreement on behalf of Buyer. Upon any such termination, SELLER SHALL NOT BE LIABLE FOR ANY DAMAGES OR PENALTIES RESULTING FROM THE RETURN OF BUYER S ACCOUNT(S) TO THE UTILITY S SERVICE, INCLUDING CLAIMS RELATING TO THE UTILITY S PRICE BEING HIGHER THAN THE FIXED RATE HEREIN. If Buyer defaults on its obligations under this Agreement (which may include Buyer s switching to another electric supplier or the Utility or Buyer s failure to pay the Utility), Seller may terminate this Agreement, as applicable. Buyer may also terminate at any time, regardless of whether Seller has defaulted. There shall be no fees due from either Party to the other for early termination. 4. Renovación: a. Facturación y pago: El Comprador recibirá una factura con los cargos del Vendedor y los cargos de suministro del Proveedor de servicio público que el Comprador recibe en la factura del Proveedor, y dicha facturación y pago deberán estar sujetos a las normas para el Proveedor aplicables referentes a los procedimientos de facturación y pago. Los cargos o créditos del Vendedor que no sean facturados a través del Proveedor de servicio público deberán ser facturados o acreditados directamente por el Vendedor. El Vendedor puede hacer que el Proveedor de servicio público corrija facturas anteriores en caso que haya errores. 6. Impuestos: Los impuestos cobrados al Vendedor por parte de entidades gubernamentales, con excepción del impuesto a la renta del Vendedor o los impuestos prediales que debe pagar el Vendedor, deberán trasladarse, cargarse y reembolsarse al Comprador. El Comprador deberá proporcionar al Vendedor los certificados de exención aplicables. El Comprador deberá pagar estos impuestos a menos que el Vendedor por ley deba recabar y enviar dichos impuestos, en cuyo caso el Comprador deberá reembolsar al Vendedor los montos pagados. 7. Rescisión; recursos: No obstante cualquier disposición contraria en el presente, en caso de que la Ciudad termine el Convenio del Programa antes del fin del Plazo Actual de este Convenio, la ciudad puede terminar este Convenio en nombre del Comprador. Al producirse la terminación, EL VENDEDOR NO SERÁ RESPONSABLE POR NINGÚN DAÑO NI PENALIDAD QUE RESULTE DEL RETORNO DE LA CUENTA O CUENTAS DEL COMPRADOR AL PROVEEDOR DE SERVICIO, TALES COMO RECLAMOS RELACIONADOS AL PRECIO DEL SERVICIO TARIFADO QUE SEA MAYOR QUE LA TARIFA FIJA ESTABLECIDA EN EL PRESENTE. Si Comprador incumple sus obligaciones establecidas en este Convenio (lo cual puede incluir el cambio del Comprador a otro proveedor de electricidad o el incumplimiento del pago al Proveedor de servicio público por parte del Vendedor o Comprador), el Vendedor podrá rescindir este Convenio, según corresponda. Limitations: ALL ELECTRICITY SOLD HEREUNDER IS PROVIDED AS IS, AND SELLER EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE. IN NO EVENT WILL EITHER PARTY BE LIABLE UNDER THIS AGREEMENT, WHETHER IN AGREEMENT, IN TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), OR OTHERWISE, FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. 9. Force Majeure: Except for Buyer s obligation to pay Seller timely, neither Party shall be liable to the other for failure to perform an obligation if the nonperforming Party was prevented from performing due to an event beyond the reasonable control, that could not be remedied by the exercise of due diligence and that was not reasonably foreseeable, including without limitation, acts of God, a condition resulting in the curtailment of electricity supply or interruption or curtailment of transmission on the electric transmission and/or distribution system, interruption of Utility service, terrorist acts or wars, and force majeure events of the Utility or independent system operator. 10. Questions, Complaints and Concerns: Buyer may contact Seller at the locations indicated below. For issues concerning this Agreement, Seller will attempt to resolve the matter within five (5) business days after receiving the call or letter. If Buyer is not satisfied with the response, or to obtain consumer education materials, Buyer can contact the Illinois Commerce Commission s Consumer Services Division as described below. Buyer may also contact the Illinois Attorney General s Office at (Northern Illinois), (Central Illinois), or (Southern Illinois). 11. Miscellaneous: This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard for the conflicts of law provisions thereof. Title, possession, control of the electricity, and risk of loss will pass from Seller to Buyer at the delivery point, which shall be the Utility. Buyer appoints Seller as its agent for the purposes of effectuating delivery, including for receipt of billing and usage data from the Utility. Subject to regulatory approvals and notice from Seller, Seller may assign this Agreement without Buyer s consent. Buyer may assign this Agreement only with Seller s prior written consent. This Agreement (including without limitation the Account identification) shall be considered a Letter of Agency and constitutes the entire agreement between the Parties, superseding all verbal and written understandings. There are no third party beneficiaries to this Agreement and none are intended. This Agreement shall only be amended in writing signed by both Parties or with Notice from Seller to Buyer as described under Sections 3 and 4 above. Buyer should contact the Utility in the event of an electric emergency at Edison-1 (residential) or ComEd-1 (commercial). Future correspondence may be sent by Seller to Buyer via first class mail and/or electronic mail. 8. Limitaciones: LA ELECTRICIDAD VENDIDA POR MEDIO DEL PRESENTE SE ENTREGA "TAL CUAL", Y EL VENDEDOR EXPLÍCITAMENTE NIEGA TODA OTRA GARANTÍA, YA SEA EXPLÍCITA O IMPLÍCITA, INCLUSO, ENTRE OTRAS, LAS GARANTÍAS DE COMERCIABILIDAD O IDONEIDAD PARA PROPÓSITOS PARTICULARES. EN NINGÚN CASO NINGUNA DE LAS PARTES SERÁ RESPONSABLE SEGÚN ESTE CONVENIO, YA SEA POR ACUERDO O PROMESA EXTRACONTRACTUAL (INCLUSO NEGLIGENCIA Y RESPONSABILIDAD ESTRICTA), O DE CUALQUIER OTRA MANERA, POR DAÑOS INDIRECTOS, INCIDENTALES, CONSECUENTES, ESPECIALES O PUNITIVOS. 9. Fuerza mayor: Excepto por la obligación del Comprador de pagar al Vendedor puntualmente, ninguna de las Partes será responsable ante la otra por incumplimiento de una obligación, si la Parte que incumple lo hizo debido a un evento fuera de su control razonable, que no podría haber sido solucionado mediante el ejercicio de la debida diligencia y que razonablemente no podía preverse, lo cual incluye, entre otros, factores de la naturaleza, una condición que resulte en la suspensión del suministro eléctrico o interrupción o suspensión de la transmisión a través del sistema de transmisión y/o distribución eléctrica, interrupción del servicio del Proveedor de servicio público, actos terroristas o guerra, y eventos de fuerza mayor del Proveedor de servicio público o del operador de sistema independiente. 10. Preguntas, reclamos y preocupaciones: El Comprador puede comunicarse con el Vendedor en los lugares indicados a continuación. Para asuntos concernientes a este Convenio, el Vendedor intentará resolverlos en un plazo de cinco (5) días laborables a partir del día que se recibe la llamada o carta. Si el Comprador no está satisfecho con la respuesta, o para obtener materiales de educación para el consumidor, el Comprador puede comunicarse con la División de Servicios al Consumidor de la Comisión de Comercio de Illinois, como se describe a continuación. El Comprador también puede comunicarse con la Oficina del Fiscal de Illinois al (Illinois Norte), (Illinois Central), o bien (Illinois Sur). 11. Aspectos varios: Este Convenio se regirá e interpretará de acuerdo a las leyes del Estado de Illinois, sin consideración de los conflictos entre las cláusulas legales allí establecidas. La titularidad, posesión, control de la electricidad, y el riesgo de pérdida se trasladarán del Vendedor al Comprador en el punto de entrega, el cual será el Proveedor de servicio público. Sujeto a la aprobación regulatoria y notificación del Vendedor, el Vendedor puede asignar este Convenio sin el consentimiento del Comprador. El Comprador puede asignar este Convenio sólo con el consentimiento previo por escrito del Vendedor. Este Convenio (incluso, sin limitación, la identificación de la Cuenta) deberá considerarse como Carta de Agencia y constituye el convenio íntegro entre las Partes, y sustituye todos los acuerdos verbales y escritos. No hay terceros beneficiarios de este Convenio y no existe la intención de nombrar ninguno. Este Convenio podrá enmendarse sólo por escrito y con la firma de ambas Partes o con notificación del Vendedor al Comprador, según lo descrito en las secciones 3 y 4 anteriormente. No later than 30 days prior to the May 2014 meter reads, Seller shall send Buyer notice of any changes to this Agreement and the new Fixed Rate applicable for the May 2014 meter reads through the end of the May 2015 meter reads that will have been negotiated with the City pursuant to the Program Agreement provided however, if no such price is agreed upon by the City and Seller then Seller reserves the right to terminate this Agreement effective with the May 2014 meter reads with notice to Buyer. Term of Agreement: February 2013 meter reads (subject to successful enrollment) through May 2015 meter reads. Renewal as follows: a. Buyer may rescind the Agreement and the pending enrollment within 10 calendar days after the Utility processes the enrollment request by contacting (a) Seller or the Utility, if Buyer is a residential customer or (b) Seller, if Buyer is a nonresidential customer.
