One is a metal pole building with approximately 2,600 sf. and the other is wood construction with approximately 1,500 sf. Brief Conditions of the Sale: All bidders are required to submit two certified checks along with the executed Contract of Sale. The first should be in the amount of 30% of the bid amount as earnest money. The second certified check should be for $3, to serve as a performance deposit. The second check is refundable after satisfactory removal and cleanup of structures. UCONTRACT OF SALE PROPOSAL AND COMMITMENT (FOR BIDS AND DIRECT OFFERS TO PURCHASE) Proposal The Potential Buyer (hereinafter referred to as Bidder ) hereby offers the South Carolina Department of Transportation (hereinafter referred to as SCDOT ) the amount of (U$ ) (hereinafter referred to as the "bid" or offer) to purchase the improvements (hereinafter referred to as the Subject Property ) located at one of the following locations: File: U AU Road/Route: RRoute I-73 County: Dillon The Subject Property (house and any improvements) to be purchased and moved are at the following location: (Choose the appropriate property below only one location and bid per contract. *) 1126 SC Route 917 West, Latta, SC (Tract 59) Approx. 3,944 square feet, two story brick house, 3 bedrooms, 2.5 baths and bonus room. Red Metal Pole Building and Old Wooden Barn adjacent to 1126 SC Route 917 West, Latta SC (Tracts 56, 57) Work of Removal If Bidder is awarded the contract, Bidder agrees to remove, at his/her own expense, and to SCDOT s satisfaction, all improvements at the above location on or before September 1, After moving the desired improvements, the location must be left in a child safe condition, i.e. no large holes, nails, or dangerous materials are to be left exposed. Pipe is to be cut off at ground level and capped. Septic tanks and wells should be left intact and undisturbed. The foundation is to be removed to ground level. If the improvement is on a slab foundation, the concrete slab may remain on the property unless it is broken up. If the slab is broken up during removal, the concrete will need to be removed by the successful bidder. Terms of Sale By the submission of this offer, Bidder agrees to be bound to all of the terms and conditions of SCDOT's Procedures and Conditions of Sale for Surplus Property, a copy of which is attached.

4 If Checks Page 2 of 5 If Bidder's offer is accepted by SCDOT as the highest responsible and responsive bid, Bidder will be notified in writing by mail of the award of the contract. The award letter, this Proposal and Commitment, and SCDOT's Procedures and Conditions of Sale for Surplus Property shall constitute the entire Contract for the purchase and sale of the subject property. UBid Guaranty Attached hereto is a certified check or money order made payable to SCDOT in the amount of $ which is 30%U of the bid amount as a guaranty that if SCDOT determines that Bidder is the highest responsive and responsible bidder, Bidder will purchase the subject property in accordance with this Proposal and Commitment and SCDOT's Procedures and Conditions of Sale for Surplus Property. UNO PERSONAL CHECKS WILL BE ACCEPTED U will be returned for all unaccepted bids. Performance and Payment Deposit The Successful Bidder may be required to provide a Performance and Payment Deposit in accordance with Paragraph 13 of the Bid Procedures and Conditions of Sale. SOUTH CAROLINA DEPARTMENT OF TRANSPORTATION (SCDOT) BID PROCEDURES AND CONDITIONS OF SALE 1. UAll purpose form.u These Bid Procedures and Conditions of Sale are designed to cover the sale of all types of surplus property in SCDOT's inventory, including, but not limited to, vacant and improved real estate, residential and commercial property, and buildings only. Therefore, some sections may be lined through or marked "N/A" (not applicable) because they do not apply to the property being offered for sale. U used as a Contract of Sale, the words BID and BIDDER are to mean OFFER and OFFERER. 2. USubmission of Bids.U All bids must be submitted on a proposal and Commitment sheet provided by SCDOT, or a copy of same. The Proposal and Commitment sheet must be completed and signed by the bidder and witnessed by a witness. The completed Proposal and Commitment, with the bid Guaranty, must be submitted to SCDOT in a sealed envelope. The envelope shall indicate on its face that it contains a bid, the bidder's name and address, the property for which the bid is submitted and the county in which the property is located. When sent by mail, the sealed bid envelope must be mailed to SCDOT Right of Way Division, Attn: Surplus Property, Post Office Box 365, Columbia, South Carolina, When hand delivered, the sealed bid envelope must be delivered to SCDOT's Right of Way Division, Silas N. Pearman Building, 955 Park Street, Room 422, Columbia, South Carolina Telephone No. (803) UDeadline for Submission of BidsU In order to be considered, all bids must be received by SCDOT's Right of Way Division prior to the deadline stated in the Notice to Bidders. SCDOT will not be responsible for delays in the mail. Bids received after the time for opening of bids will be returned to the bidder. The deadline for submission of bids stated in the Notice to Bidders shall control over any other dates published or printed. No bids

5 Page 3 of 5 will be received nor will any higher bidder be allowed to withdraw a bid after the deadline stated therein. When not in a bid transaction and a direct offer is being made, arrangements should be made with the Surplus Property Section via telephone for submission of offers. 4. UBid GuarantyU. No bid will be considered unless it is accompanied by a certified check made payable to SCDOT in the amount of U30 percentu of the bidder's bid amount. SCDOT will retain the successful bidder's check as a guaranty that the bidder will close the transaction in accordance with the contract. The successful bidder will be entitled to a credit against the full bid amount due at closing in the amount of the bid guaranty. SCDOT will return all unsuccessful bidders' certified checks by regular mail unless a bidder makes other arrangements with SCDOT for the return of the bidder's check. 5. UConfidentialityU. All properly submitted bids shall be kept confidential until bid opening. When direct contract offers are involved, the offer will be kept confidential until closing. 6. UBid Opening and Evaluation.U The sealed bids will be opened and evaluated within 24 hours of the bid deadline. After the bids are opened and read, they will be compared to determine which bid is the apparent highest bidder, but an award will not be made at that time. The bid deadline date for this transaction is: 11:00 AM on July 3,, UAward of ContractU. USCDOT retains the right to reject all bids if it determines that it is not in SCDOT's or the State's best interest to accept the bids that are presented U. The award of the contract, if it be awarded, will be made to the highest responsive and responsible bidder whose bid proposal complies with all bid requirements. The award of the contract will be made within 30 days after the opening of the bids. The successful bidder will be notified, by regular mail to the address shown on the bid proposal, that the bidder has been awarded the contract for the purchase and sale of the subject property. 8. UMarketability of Title and ConveyanceU. SCDOT makes no representations as to the marketability of the title to the Subject Property. SCDOT will convey its right, title and interest to the successful bidder by Quitclaim Deed, subject to all existing easements, restrictions, covenants and conditions appearing of record or upon a reasonable examination of the property. 9. UCondition of Subject PropertyU. SCDOT makes no warranty of any kind, either express or implied, as to the physical condition of the Subject Property or of its fitness for a particular purpose. The Subject Property is being sold in "AS IS" condition. The submission of a bid shall be considered prima facie evidence that the bidder has made all examinations and inspections of the Subject Property that it deems necessary to be fully informed as to the conditions to be encountered in purchasing the Subject Property. 10. UInspections of Subject PropertyU. SCDOT will make the Subject Property available to prospective bidders by contacting the office for examination and inspections of any kind,

6 Page 4 of 5 including, but not limited to the following: inspections for environmental or soil conditions; the existence of hazardous substances; surface or storm water conditions; termite, water or fungus damage; or structural defects. All examinations and inspections of the Subject Property shall be at the bidder's own risk. Any prospective bidder who enters, or directs its agents or employees to enter, upon the Subject Property for viewing or inspection agrees to indemnify and hold harmless SCDOT from any and all injuries to people or property that may arise out of such viewing and inspection. 11. UPossessionU. Possession of the Subject Property will be given to the successful bidder once the successful bidder receives an award letter and any keys for the said property from SCDOT stating that all funds have been received and the purchaser can proceed with the removal of the structures. 12. UPerformance and Payment Deposits or Bonds.U When it is necessary for the successful bidder to perform work as a part of the purchase, SCDOT may require a performance and payment deposit or bond. Such performance or payment bond or deposit shall be delivered to SCDOT at closing or prior to the starting of any work or the moving of any items. The checks will be returned on all unaccepted bids. (a) UPerformance and Payment Deposits. If a Performance or Payment Deposit is required, the deposit must be in the form of a certified check payable to SCDOT. The deposit will be held by SCDOT to assure that the removal work required under the contract is performed to SCDOT's satisfaction within 90 days of the signed sealed and deliverance of this contract. If the work required is performed to SCDOT's satisfaction, the deposit will be returned to the successful bidder within two weeks after the inspection and acceptance by SCDOT of the work. If the work is not completed to SCDOT's satisfaction, SCDOT will notify the successful bidder in writing of the deficiencies. If the successful bidder fails to correct the noted deficiencies within 72 hours to SCDOT's satisfaction, SCDOT may retain the deposit as liquidated damages. The amount of the performance and payment deposit required for this bid is: U$3,000.00U. (b) UPerformance and Payment Bonds.U A Performance and Payment Bond may be required from the successful bidder when the financial outlay for the consideration and construction work is considered by SCDOT to present a financial hardship on the awardee. The Amount of the Performance and Payment Bond required for this bid is: N/A 13. Permits. The successful bidder is responsible for acquiring any and all necessary construction/moving permits required for the work of the contract. 14. UIndemnification AgreementU. The successful bidder agrees to indemnify and hold harmless SCDOT from any and all liability for damages or injuries which may arise out of the performance of the work of the contract.
