The ICICI direct Platinum Advisory Services ( Product ) comprises of : a Risk Analyzer questionnaire for assessing personal financial risk tolerance; a Client Profiler for ascertaining client s personal details, family details, goals, income, expenses, assets, liabilities, etc. a methodology for incorporating the test results into the financial planning process; Investment details to conduct a analysis on asset allocation, portfolio details, return on portfolio against benchmark, diversification and un-systematic risk analysis etc Consensus Analyst View on the Stock Portfolio. a Risk Profile Report identifying client s financial condition and laying out comprehensive financial/ action plan to meet clients financial objectives. This document sets forth the terms and conditions governing your subscription to the ICICI direct Platinum Advisory Services. I-Sec may advise clients on debt securities but does not enter into principal to principal transactions with its advisory clients for such debt securities. Other clients (non investment advisory) may enter into Principal to Principal transactions with I-Sec in the normal course of its business for transacting in select debt securities, where I-Sec would act as a seller or a buyer of the security. The transactions are reported to the Exchange and settled vide the exchange prescribed settlement mechanism. However, I-Sec advises various products and services to its clients based on independent objective criteria and sound principles of financial planning based on customer s financial goals. I-Sec receives commission ranging from 0.8% to 35% as First year commission and renewal commission ranging from 0.1% to 7.5% on Life Insurance Policies bought through I-Sec receives commission ranging from 5% to 15% on General Insurance Policies bought through I-Sec receives commission ranging from 0.22% to 1.80% on Corporate Fixed deposit made through ICICI Securities Ltd. I-Sec receives commission ranging from 0.6% to 1% on loans / property sourced through ICICI Securities Ltd. 3 transaction charges, SEBI turnover fee etc. I-Sec does not recommend any transaction which is required to be dealt with on a Principal to Principal basis. If payment in full is not received from you, I-Sec reserves the right to cancel your service. 4 YOUR REPRESENTATIONS AND RESPONSIBILITIES The primary purpose of the risk profile report ( Risk Profile Report ) is to clarify and document the level of financial risk that the client would usually prefer to take. You agree that you will provide accurate data or information as required in the Client Profiler and Risk Analyzer Questionnaire for assessing your risk profile, financial goals and investment needs. You acknowledge that the product outlines an action plan that will help you to effectively manage your portfolio. You agree that you will provide your investment and portfolio details correctly to analyze of portfolio performance. You agree and understand that the objective of this service is to provide an analysis of your portfolio performance and you agree that the analysis shall be based on historical returns and performance of your portfolio only. You acknowledge that you will exercise your own independent judgment in using any of the information and reports provided by I-Sec and that you will conduct separate research into the suitability of the Product for a particular financial situation, circumstances, attitudes, motivations and preferences. I-Sec does not guarantee or represent that the Product assesses a client s current state of mind or will predict a client s future state of mind or behaviour. You understand that past performance may not always reflect future performance. You have not relied on any representation made by I-Sec which has not been expressly stated herein or upon any descriptions or illustrations or specifications contained in any document including catalogues or publicity material provided by I- Sec. You agree to generally comply with the instructions and materials provided by I-Sec for the use of the Product / Report. The factors, other than personality, which influence risk tolerance include financial know how and experience, as well as personal, family and work situations and aspirations. If there is a significant change in any of these, risk tolerance should be re-tested. This re-testing is not only for your subsequent decision-making but also for review of decisions made before the change. It is advisable your risk tolerance should be re-tested every two or three years as it may change slowly with age. I-Sec cannot endorse or support any specific decision you may make because we are not privy to all the other information that effective financial decision making requires. CONFIDENTIALITY Except to the extent required by law, I-Sec will not disclose any Confidential Information about the Client obtained during the course of preparing a financial plan for the Client to any third party without the prior consent of the Client, written or otherwise, affording the Client the opportunity to object. The term 'Confidential information' shall include Client's personal information, family details, income, expenses, investments, assets and liabilities declared by the Client to I-Sec for charting out a financial plan for the Client. You acknowledge and agree that I-Sec may use the risk tolerance and demographic data for research and to further develop the Product and may combine this data with similar data from other people provided that any information which could identify a client personally will be removed from the data.

5 DISCLAIMER AND LIMITATION OF LIABILITY You acknowledge that the Risk Profile Report and financial plan suggested to you is based on the information provided by you to I-Sec and on certain assumptions as stated in the Report. The suggested financial plan to achieve your financial goals may not be accurate or yield expected results if the information provided by you is incorrect or any of the assumptions made are rendered invalid due to uncontrollable external forces like change in interest rates, change in government policies, etc. I-Sec does not warrant that the Product is free from errors and make no warranty of accuracy, completeness, timeliness, functionality, reliability or suitability of the Product. Except as set out below, I-Sec exclude any: 1. condition or warranty which would otherwise be implied herein, relating in any way to the Product; 2. liability (including for negligence) to you or anyone else for any loss, damage, costs or expense (including special, consequential or indirect loss or damage including without limitation, loss due to unavailability of systems or loss of data, loss of business, loss of profits or investment, or the like) arising from or in connection with the use of this Product or your reliance on the information available through the Product. To the extent permitted by legislation, our liability for breach of any terms and conditions or any non-excludable condition or warranty is limited to the re-supply of services. In no event will I-Sec s and/or its representatives total liability to you for any and all claims or damages under this agreement for any cause whatsoever (including negligence) exceed the total amount paid for this subscription by you. ICICI Securities Limited is not providing the service of Portfolio Management Services (Discretionary or Non Discretionary) to its clients. LICENSE, INTELLECTUAL PROPERTY RIGHTS, AND RESTRICTIONS In respect of the System, I-Sec is the owner and licensor of: 1. any copyright, trade or service mark, design, patent, trade, business or company name or other proprietary right; 2. any right to registration or application for registration of the rights referred to in clause 1 above; and 3. trade secrets, ideas, concepts, methods, know-how and techniques (collectively, I-Sec s Intellectual Property Rights ).

6 You accept that in relation to your subscription: 1. You will not seek to register any of I-Sec s Intellectual Property Rights; 2. You are only permitted to use I-Sec s Intellectual Property Rights for the purposes as stated herein; 3. You will not exploit, sell, redistribute, lease or rent any of I-Sec s Intellectual Property Rights to any person; 4. You will not copy, publish, modify, adapt or reproduce any of I-Sec s Intellectual Property Rights, except insofar as such is for your use in the management of your financial affairs; 5. You will not make copies of any related documentation, reports or other outputs for any purpose unconnected to this terms and conditions; 6. You will not reverse assemble or reverse compile the whole or any part of I-Sec s Intellectual Property Rights except as expressly authorized under any applicable law; 7. You will not do or omit to do, or authorize any third party to do or to omit to do, anything which could invalidate or be inconsistent with I-Sec s Intellectual Property Rights; 8. You will not commit any act or omission the likely result of which is that I-Sec s reputation will be brought into disrepute or which act or omission could reasonably be expected to have or does have a material and adverse effect on I- Sec s interests; This Agreement does not limit any rights that I-Sec may have under trade secret, copyright, patent, trademark or other laws. INDEMNIFICATION You agree to indemnify, defend, and hold harmless I-Sec and its affiliates, officers, directors, employees, consultants, agents and shareholders from any and all claims, liability, damages and/or costs (including without limitation attorneys' fees) arising from your failure to comply with the terms and conditions mentioned herein, or relating or arising in any way out of any services or advice alleged to have been rendered or not rendered.
