3 The South West Lakes Trust wishes to appoint a suitably experienced company to construct three developmental high ropes courses on three of its sites. The sites are; Roadford Outdoor + Active Centre, nr Lifton Siblyback Outddor + Active Centre, nr Liskeard Wimbleball Outdoor + Active Centre, nr Dulverton The Lakes trust currently has planning permissions for the Wimbleball high ropes course and would be looking for the tenders to return a full cost for the materials, installation, training and equipment for the site with guideline prices for the other two locations, which are currently awaiting planning permissions. The high ropes courses should be a rectangular system and should consist of no more than 9 poles, the courses should be targeted at children to young adults. The courses should be run on a continuous belay system to enable the course to be run with minimal staffing. Ideally 1 to 2 staff members. Each of the sites has a budget of 80,000, all works, fencing and training must be included in this cost. The proposals will be graded by a High Ropes Course development group and will include in-put from local interest groups (Scouts / Brownies). The Lakes trust will then work with the successful tender to approve a timescale for the construction of the courses. This project is being invested in under the Rural Development Programme for England The European Agricultural Fund for Rural Development: Europe investing in rural areas.

4 Conditions of Contract for; (O+A-2) CONSTRUCTION OF MULTIPLE HIGH ROPES COURSES 1. Between SOUTH WEST LAKES TRUST (the employer) of Lidn Park, Quarry Crescent, Launceston, Cornwall, PL15 7PF. Tel: and 2.1 The contractor will carry out and complete the following work: Construction of multiple High Ropes Courses on three sites (as above); for the fixed sum of excl VAT. 2.2 The Contractor will complete the full breakdown of the bill of quantities and rates for the work before commencement on site. 3. The work will start in and will be completed within 12 weeks. (Weather dependant) The contractor will not leave the site for more than 5 days in a row without a reasonable explanation, and will carry out the work using reasonable skill, care and progress. The contractor will tell the employer straight away of the cause and extent of any delay. If the contractor cannot meet the original completion date because of things outside their control, such as bad weather or sudden illness, they will agree extra time with the employer for carrying out the work. 4. The contractor will provide everything necessary for, and be responsible for, carrying out the work properly and efficiently, including labour, materials and equipment, unless the employer says otherwise in writing. All materials will be fit for their purpose, and will be new unless the employer has agreed otherwise in writing The following person is responsible for getting any necessary planning permission and building regulations consent and must make all notifications, arrange inspections and pay any application fees in connection with the work: the employer. 5.2 In addition to 5.1;The Contractor will make arrangements for all Build Regulations inspections during construction. 5.3 The contractor will liaise with the employer s CDM Co-ordinator on all health and safety issues. 6. The employer will, where practical, make sure there are no obstructions on the site, such as blocked paths or driveways, and remove all furniture, fixtures and fittings that are necessary for the contractor to carry out the work. The employer will provide access to the necessary services (for example, power and water) as long as the contractor gives them plenty of notice. The contractor will ensure that access to these services will not cause deterioration or loss of the services to the employer and rectify any faults to the employer services caused by their negligence. 7. The contractor will only carry out variations to the work (for example, extra or different work) if they have written instruction from the employer, including agreement to extra costs and time for completing the contract. 8. The contractor will take full responsibility for the work, including any work carried out by his sub-contractors. He will put right, at his own expense, any loss or damage caused either by himself or his sub-contractors. The contractor will give the employer appropriate evidence of insurance.

5 9.1 The contractor will meet legal insurance requirements for their employees; and provide suitable cover against injury to third parties or damage to third party property under public liability insurance, to a minimum of 2 million. The contractor will give the employer appropriate evidence of this insurance. 9.2.a. The employer will insure the works during construction, when the works are adjoining or amending their existing property. 9.2.b The contractor will insure All Risks in the case of erection of a new building or groundworks. 10. The contractor will tell the employer if they plan to sub-contract the work, or any part of the contract, and will make sure that any subcontractors meet the standards necessary to complete the work satisfactorily. 11. The contractor will be responsible for maintaining safety on the site, including any agreed sub contractors, in accordance with legal requirements; and keeping the site tidy while work is in progress, including removing rubbish as necessary. When they have completed the work, they will leave the site clean and tidy, and remove all rubbish. The contractor will meet any legal requirements for removing waste products (including hazardous waste) The employer and contractor may agree that the employer will pay in installments as certain stages of the work are completed to the employer s satisfaction Payment Schedule; 4 payments at: on completion 12.3 The employer will pay valid invoices, to the value of the completed works, or part payments as agreed by the payment schedule, within 14 days of receiving The employer will retain 2.5% of the total contract sum until the completion of the retention period, which will be 6 months from the agreed date of hand over or until all faults arising within the retention period have been rectified by the contractor at their expense The contractor will rectify any faults, at their own expense, occurring within one year of the agreed date of hand over. 13. The employer may end the contract by sending the contractor a written notice if the contractor: does not carry out the work with reasonable skill, care and progress, or stops the work before it is finished without reasonable cause; or does not follow the employer s instructions without reasonable cause for 14 days after receiving a written notice specifying the failure; or does not in keep a high standard of Health & Safety in accordance with legal requirements; or goes into bankruptcy or liquidation. In any such case, the contractor must stop working, and another contractor may be employed to complete the agreed works. The cost of doing this will be deducted from any amount due to be paid to the contractor. 14. The contractor may end the contract by sending the employer a written notice if the employer: delays the work for 4 weeks or longer without reasonable cause, except by previous agreement; or goes into bankruptcy. In any such case the employer must pay for the work already carried out, as well as for goods and materials legitimately purchased for the work. 15. The contractor will co-operate with advice agencies and local authorities acting on the employer s behalf. 16. The contractor agrees to accept and comply with any additions to conditions of contract within this document. The employer s signature :... Date... The contractor s signature :... Date...

6 1.1 ENTRY ONTO THE SITE Entry onto site will be agreed with the project officer on award of the contract, in general all sites are open between Mon-Sun from SITE FENCING Temporary site fencing shall be erected and shall be to the satisfaction of the project officer and shall be sufficient to exclude members of the public from the works areas. The Contractor shall erect such fencing as soon as he is given possession of the relevant portion of the Site. The Contractor shall regularly inspect and maintain all such fencing, any defects being made good without delay. Access shall be provided in temporary site fencing as necessary for the use of the occupiers of adjacent lands. Temporary site fencing shall remain in position until either it is replaced by permanent fencing or the Works are sufficiently completed to enable that portion of the Site to be brought into use. 1.3 INTERFERENCE WITH LAND INTERESTS The Contractor shall confine his constructional operations within the Site, or such other areas of land as may be negotiated, and shall instruct his employees not to trespass Subject to any unavoidable disturbance which may be necessitated by the execution of the Contract, the Contractor shall not interfere with any leisure or amenity activity which may be enjoyed on or near the Site. 1.4 PROTECTION AGAINST DAMAGE The Contractor shall take all necessary precautions to avoid causing any unwarranted damage to roads, tracks, lands, properties, trees and other features and, during the currency of the Contract, shall deal promptly with any complaints by owners or occupiers. 1.5 TRAFFIC REQUIREMENTS The Contractor shall take all reasonable steps to prevent vehicles entering and leaving the Site depositing mud or other debris on the surface of adjacent roads or footways, and shall remove expeditiously any materials so deposited The Contractor shall provide and suitably sign points of entry to and exit from the Site for vehicles and plant engaged on the Works. 1.6 TIDINESS OF SITE The Contractor shall be responsible for the proper upkeep and maintenance of the Site and the Works and shall remove from the Site rubbish and other waste as it accumulates. Materials and equipment shall be positioned, stored and stacked in an orderly manner As soon as possible after completion of the Works, the Contractor shall: Remove from the Site and dispose of all temporary buildings, foundations, hardstanding, plant etc, rubbish and litter and in general tidy-up the Site to the satisfaction of the Project Officer.

7 Fill with approved materials all temporary excavations, pits, etc, and all ruts and depressions Reinstate disturbed areas including temporary haul roads and access tracks as nearly as possible to their original condition, including supplying and spreading imported topsoil and seeding all reinstated areas as necessary. 1.7 WORKS AFFECTING WATERCOURSES All necessary precautions shall be taken to prevent oil or other pollution from plant, storage tanks and all other elements of the works. These shall include the provision of lined bunds, lagoons, interceptor pits and drip trays. 1.8 EMERGENCY ARRANGEMENTS The Contractor shall maintain arrangements whereby he can quickly call out labour outside normal working hours to carry out any work needed for an emergency associated with the Works. The Project Officer shall be provided at all times with a list of addresses and telephone numbers of the Contractor s staff who are currently responsible for organising emergency work The Contractor shall acquaint himself and his employees with any relevant local arrangements which are in existence for dealing with emergencies. 1.9 HEALTH AND SAFETY AT WORK The Contractor shall comply with the Health and Safety at Work Act, 1974, and its current enactment s and amendments The HSE have been notified of the project under the CDM Regulations:2007. The successful tenderer will therefore be appointed as the Principal Contractor and shall carry out all duties as the Principal Contractor according to the Approved Code of Practice Safety headgear, footwear and suitable protective clothing shall be worn at all times within the construction area. Other safety and protective equipment such as eye protectors, ear defenders, facemasks etc, shall be made available by the Contractor and used as necessary SERVICES There may be private supplies crossing the site which have not yet been fully identified. If located by the contractor, they must be clearly marked and suitable precautions should be taken while working around these areas.
