2 ANNUAL GENERAL MEETING May 22, 2013 MINUTES MINUTES of the Annual General Meeting of the Members of Imagine Canada held on May 22, 2013 at the Courtyard Marriott Hotel, Toronto, Ontario. 1. CALL TO ORDER Faye Wightman, Chair of the Board of Directors, called the meeting to order. She confirmed that the Notice of Meeting had been duly sent to members on April 30, 2013 and reported that no proxies had been received. It was moved by David Morley, seconded by Bob Wyatt, that the Agenda be approved as presented. CARRIED 2. MINUTES OF JUNE 2012 ANNUAL GENERAL MEETING It was moved by Tim Moro, seconded by Kevin McCort, that the minutes of the Annual General Meeting of the members of Imagine Canada held on June 12, 2012 be approved as presented. CARRIED 3. REPORTS FROM THE CHAIR AND PRESIDENT & CEO Faye Wightman, Chair of the Board of Directors, spoke about her time as Chair of the Board and of the Standards Program from the point of view of the Vancouver Foundation. Marcel Lauzière, President & CEO, referred members to the Annual Report, provided in hardcopy at the meeting. The Chair of the Board: - thanked everyone for attending. - announced this was her last meeting as Chair of the Board, although she will remain on the board as past chair for one year. - thanked the staff and her fellow board members for their dedication. - shared her experience of going through the Standards Program, noting the positive impact it had on the Vancouver Foundation. - recognized the leadership role of Imagine Canada and Marcel. - mentioned her pride in having sat on the search committee that found Marcel. The President and CEO thanked Faye for her service as Chair of the Board. He also spoke to her leadership and support and he indicated how much he enjoyed with Faye during her term. Describing 2012 as a year of accomplishments, he provided an overview of key activities and milestones, including:
3 - The Standards Program was launched to all Canadian charities and public-benefit nonprofits. Demand for the Program, especially from smaller organizations, has been greater than expected. Almost a quarter of participants are Level 1 organizations, which means they have less than 5 FTE staff. We are also hearing that although many organizations start out wanting to join because they want to use the trustmark, they end up quickly realizing how important the process is to improve their governance and involve their Board and Staff. - CharityFocus, Imagine Canada s first citizen-focused portal was launched. Imagine Canada encourages charities to upload additional information to their CharityFocus profiles. The CRA is now talking about this as a partnership and has posted links to CharityFocus on their site. The Washington-based Aspen Institute also highlighted it in a recent report. - A new version of the Canadian Directory to Foundations & Corporations, called Grant Connect, was launched. Although the Directory has been around for more than 25 years, we are viewing Grant Connect as a social enterprise and focusing on it as a way of generating more revenue for Imagine Canada. This is a good way to show that having a social enterprise does not have to get in the way of delivering on your mission. - In 2012, we secured funding to hire a Chief Economist for the Charitable and Nonprofit Sector. Brian Emmett has been hired to fill this position and is now working on creating an advisory committee to help with priorities for the Chief Economist. - Leadership for a Stronger Canada, Imagine Canada s first fundraising campaign, has had an 80% response rate from foundations, corporations and friends of Imagine. - Imagine Canada currently has close to 18,000 followers on Twitter. Looking to 2013, Marcel highlighted a number of key initiatives, including: - The launch of Imagine Canada s new strategic plan for In the next month, Imagine Canada and The Muttart Foundation will be announcing the winners of the Student Verb Charities contest, which challenged college and university students across the country to develop an awareness campaign for the charitable sector. The top six entries will receive cash awards at a ceremony in late June (with the top prize being 50K). - First-time Donor Super Credit Although we are pleased with the introduction of the First-time Donor Super Credit, we continue to push for the Stretch Tax Credit. To this end, we need to find ways to measure the impact of the Super Credit and determine how to use that data to advocate for the Stretch Tax Credit. - Work on a new narrative for the sector will continue in We need to reconnect with Canadians, but the challenge is how to make it inspirational. - On the research front, we will continue with our Sector Monitor survey program. We are also conducting the Talking About Charities survey on behalf of The Muttart Foundation. - We are hoping that our new Sector Source website, launched earlier this year, will become the new go to portal for resources for charities across the country. 2
4 4. FINANCIAL STATEMENTS AND AUDITOR APPOINTMENTS Martha Tory, Chair of the Audit and Finance Committee, reported on the 2012 Financial Statements (hard copies were distributed at the meeting). A few points were highlighted, including: - Revenue and expenses It was an extremely active year. There is a small deficit but is lower than last year and this is mostly related to a timing issue. - New revenue This was a year for building and investing. There have been huge efforts in finding new revenue and these have been very successful. Some of these efforts did not come to fruition until later in the year, which contributed to the deficit. It was moved by Martha Tory, seconded by Willy Van Klooster that the Audited Financial Statements for the year January 1, 2012 to December 31, 2012 be accepted as presented. CARRIED It was moved by Martha Tory, seconded by Kevin McCort that Grant Thornton LLP be appointed Auditors for the Corporation for the year ending December 31, CARRIED 5. ELECTION OF DIRECTORS Bob Wyatt, Chair of the Governance and HR Committee, noted that a number of strong candidates were put forward for the Board of Directors. He presented the following slate of nominees for election and re-election as Directors: Re-election for a three-year term: Owen Charters, Tim Moro, Willy van Klooster. Election for a three-year term: Bruce MacDonald, Mike Pedersen Election for a two-year term: Derek Gent Election for a one-year term: Darlene Jamieson It was moved by Bob Wyatt, seconded by Stéphane Vallaincourt, that the nominees be elected as Directors of Imagine Canada for the indicated terms. CARRIED 6. OTHER BUSINESS Marcel Lauzière thanked the Board members for their service and commitment over the past year and acknowledged with appreciation retiring directors. 7. AJOURNMENT It was moved by Faye Wightman, seconded by Stéphane Vallaincourt, that there being no further business, the meeting was adjourned. 3

6 IMAGINE CANADA Biographies of Candidates for Election June 18, 2014 To be elected for a three-year term: Marlene Deboisbriand Boys and Girls Club of Canada Gatineau, QC Marlene has been Vice-President, Member Services at Boys & Girls Clubs of Canada since April In her current position, she leads a team of 12 staff. Her responsibilities include: leadership to Regional staff (who provide direct services and support to local Clubs, leadership to public policy and research (Federally as well as Provincially and Territorially), and leadership to the Peer Review process and professional development activities of the organization. Before joining Boys & Girls Clubs, Marlene was president of Volunteer Canada for nearly 5 years. In that role, she led a team of 25 dedicated staff members committed to supporting volunteerism and civic participation in Canada. Marlene received her Master's of Management (McGill University) through the McGill-McConnell Program in Marlene's understanding of the voluntary sector comes from more than 20 years of working with charities and nonprofit organizations. Her work with United Way established a landmark agreement between United Way of Canada-Centraide Canada and its members. On December 5, 2001, as chair of the Senior Sector Steering Group for the Voluntary Sector Initiative, Marlene joined the Prime Minister of Canada to sign the Voluntary Sector Accord. Margaret Mason Bull, Housser & Tupper LLP Vancouver, BC Margaret Mason provides counsel to a wide range of not-for-profit organizations and charities. She has over 25 years of experience working with the voluntary sector and is a frequent writer and speaker both nationally and regionally. Her practice spans a broad range of issues which affect charities and not-for-profits including tax exempt status, governance, international programs and social enterprise. Margaret represents organizations across the sector including family and corporate foundations, religious organizations, healthcare, education, sport, international aid, research and social services. Margaret assists charities and not-for-profits with their corporate structuring, charitable registration and regulatory compliance issues and has particular expertise with respect to governance and social enterprise. She also provides general commercial advice to notfor-profits and charities. Margaret also advises donors with respect to their philanthropic planning and has extensive experience with trust and estate related matters including all aspects of estate planning and the administration of estates and trusts, both within Canada and elsewhere.
