3 SUMMARY OF RULES, GUIDES, AGREEMENTS AND FORMS General information Nets This guide is provided by Nets Denmark A/S, in the following called Nets. Purpose The purpose of this guide is to review LeverandørService and its concepts and features. Target group This guide is aimed at customers (creditors) using LeverandørService irrespective of whether they are creditors who themselves are data providers and exchange data files with Nets or creditors who use a subcontractor to exchange data with Nets. 4 Brief description of LeverandørService LeverandørService LeverandørService is for businesses with close and regular trading with their commercial customers and use it for payments in Danish kroner between accounts in banks linked to LeverandørService. LeverandørService is a business product intended for recurring payments from debtors, but the creditor may also initiate one-off payments or initiate refunds to debtors. The solutions gives you, the supplier, the option of withdrawing your balances directly from your business customer's account in the bank as agreed with the customer and the customer's bank. It is you, the supplier, who subsequently takes the initiative to encourage your customers to set themselves up as debtors. Your customer (debtor) gives you (creditor) permission to withdraw your balance directly from the account provided by the customer, on condition that the customer's bank approves this agreement. You, the creditor, must ensure that you notify the debtor before the payment is made on the agreed payment date. NOTE: LeverandørService is reserved for payments between businesses. The figure below provides an overview of LeverandørService. 4

5 Definitions and glossary Notification Settlement account Refusal Payment A notification is a specification from the creditor to the debtor that informs the debtor that the creditor is effecting a payment from or to the debtor s account through LeverandørService. Account used for settlement of payments in LeverandørService. If a payment is refused, it cannot be executed. The debtor can refuse a future payment before the payment date. Payments in LeverandørService can either be collections drawn on the debtor's account or payments to the debtor's account. Payment date The payment date is the day on which the amount is debited from or paid to debtor s account. Payments are processed on banking days only. Payment date Payment information Payment authorisation Bookkeeping entry date Debtor Debtor rules Creditor The date indicated by the creditor that Nets is to debit the amount from or pay the amount into the debtor's account and pay or withdraw the amount from the creditor's account. Payment information contains a status for each payment. When LeverandørService has executed the payment, Nets sends the payment information to the creditor. A payment authorisation is an agreement between the debtor and the creditor in which the debtor authorises the creditor to use LeverandørService to collect payments from or pay amounts into the debtor s account. Same day as the payment date. The creditor's customer who has given the creditor permission to withdraw balances directly from the debtor's account in a bank. Debtor rules means the General Rules for LeverandørService Debtors. A business that itself takes the initiative to withdraw balances from its customer's accounts in a bank using LeverandørService. Creditor rules Creditor rules means the General Rules for LeverandørService Creditors. Receipt and remark information Refund Information about additions and removals The receipt contains preliminary acceptance of each payment and any remarks. Nets sends the receipt and remarks when LeverandørService has processed a delivery with debtor information. When a payment is refunded, the amount will be charged back from the creditor s account to the debtor s account. Debtor or debtor s bank may request a refund of a payment already made in accordance with the applicable provisions. Information about additions and removals is a periodic overview of payment authorisations created or cancelled. 5

6 How to become a customer Agreement between creditor and Nets To become a creditor in LeverandørService you first have to enter into a creditor agreement with Nets. The agreement contains your company's master data, information on ownership and powers of attorney, if applicable. Agreement on LeverandørService Creditor agreement The creditor agreement is the agreement that you have to enter into with your bank and Nets in order to be set up as a creditor in LeverandørService. The agreement is a prerequisite for you, the creditor, being able to use LeverandørService. The agreement becomes effective when your bank has authorised the linking of an account to LeverandørService and your charge account. The bank is not obliged to provide an account for your use of LeverandørService. The creditor agreement consists of The creditor agreement consists of: Agreement Form LS01 General Conditions for LeverandørService Creditors In addition, you will need to complete a Data Provider Agreement DL01. Agreement Form LS01 Agreement Form LS01: complete the whole form and sign it. your bank also has to sign the form and thereby authorise the agreement. The schedule below provides explanations of the fields contained in Agreement Form LS01. Field CVR number Contact Settlement account Charge account Customer number designation The data provider s CVR number. Specified payment information required Explanation The number your company has been allocated by SKAT or the Danish Business Authority. The person in your company whom Nets can contact about LeverandørService. Your account approved by the bank for settling payments in LeverandørService. The account that Nets is to invoice its charges from. If this field is empty, the settlement account will be used. The designation used for your customer numbers, e.g. member number, consumer number, telephone number etc. If Nets receives your data from an external data provider, you must enter the data provider's CVR number here. If you yourself send data to Nets, you must provide your own company's CVR number which must correspond to the CVR number you provided in the Data Provider Agreement (DL01). Specified payment information is information about each payment that has been completed in LeverandørService. 6

7 Your registration in Nets Setup procedure The procedure involved in entering into an agreement on LeverandørService: Step Action 1 You complete and sign a creditor agreement in consultation with your bank. 2 You complete and sign the Data Provider Agreement if you yourself are to be the Data Provider. 3 Your bank stamps/signs the creditor agreement and sends the agreement on to Nets with a DL form, if applicable. 4 Nets allocates you a creditor number and registers the agreement. 5 You will be sent a master record which is your copy of the information contained in the creditor agreement. The master record contains your creditor number in LeverandørService. 6 You ensure that the information on the master record is correct. You contact Nets if it contains incorrect information. 7 You are now able to contact your customers (debtors) and ask them to register as debtors in LeverandørService. Creditor master record When Nets has registered your creditor agreement in LeverandørService, you receive a master record. The master record is based on the agreement and contains your master information, including account information. It is important that you check that the information on the master record is correct and registered according to your requirements. You receive a new master record every time you change your master data. How to change information in the customer agreement Creditor rules Changes to your general master record such as name, address, contacts etc. can be carried out on the creditor agreement at any time. If you wish to change your account information in the creditor agreement, e.g. by adding a new account number, you must send in a new creditor agreement which has been signed by your bank. You are under obligation to notify Nets of any changes to your company information. It is your responsibility if you do not receive important messages from Nets because you have not updated your information. The creditor rules for LeverandørService are available at 7

8 Your customers and LeverandørService Your customer's setup of payment authorisation for LeverandørService How a company becomes a debtor Your customer becomes a debtor in LeverandørService by your customer's company setting up a payment authorisation. The payment authorisation only applies to the creditor the payment authorisation pertains to. When the payment authorisation has been set up with Nets, your and your debtor's relationship in LeverandørService consist of your creditor number and the debtor's customer number with you. What is a payment authorisation? The debtor's payment authorisation The debtor's payment authorisation authorises you, the creditor, to initiate payments from debtor to creditor using LeverandørService from the nominated account. It also states that the debtor has accepted the General Rules for LeverandørService Debtors. Setting up a payment authorisation Setup options The contents of a payment authorisation Payment authorisations can be set up in one of the following ways: You can set up the payment authorisation with your customer. This means that you submit the payment authorisation electronically to Nets according to the guides for this. Please see Rules for own Registration Form (p. 9). The debtor s bank may obtain or amend a payment authorisation on behalf of the debtor, if the debtor has signed a special form. The debtor s bank may refuse to allow the debtor to use an account for LeverandørService. On your website, you can set up a link to a registration form with Nets where your customer can register a payment authorisation. This set-up option requires a separate agreement with Nets (using Form LS04). Payment authorisations cannot be amended using this solution. A payment authorisation is an agreement between one creditor and one debtor and is set up using a debtor form and consists of the following information: Part Function Number of characters Creditor number Customer number Registration number Account number CVR number You are allocated a creditor number by Nets. Your company is registered under this number in LeverandørService. The number that you identify the debtor by. The customer number may consist of both upper case letters and/or numbers. (Special characters as well as the Danish æ, ø and å cannot be used) The registration number of the bank from which the debtor which payments to take place. The number of the account from which the debtor allows you to withdraw your balance. The number that companies are allocated when they register with SKAT or the Danish Business Authority. 5 max

9 Rules for own Registration Form Payment information submitted by the debtor If you obtain the debtor's payment authorisation on your own registration form, please remember that: you must ensure that the debtor is provided with a copy of the debtor rules. you guarantee that the payment authorisation contains the debtor's valid and binding signature. you must keep the payment authorisation with the debtor's signature for a minimum of four months after the customer relationship has come to an end as you must, in the event of a dispute with the debtor, be able to document that a valid payment authorisation has been issued. If you, as creditor, wish to develop the option of offering your customers submission of payment information using a web form, the debtor must for every payment approve the creditor's right to withdraw payment from the debtor's account. The debtor must approve the amount to be collected and the payment date. The creditor must at all times be able to provide evidence that debtor has granted approval. Who needs to set up the payment authorisation? If Nets has to capture the payment authorisation based on the information on the registration form, you yourself submit the payment authorisation electronically to Nets, the bank sets up the payment authorisation on behalf of the debtor, then the debtor has to sign the Registration Form LS-031 before Nets receives the form for data capture. you must follow the creditor rules. the debtor must sign and the bank send the authorisation in to Nets. The creditor must, over the Internet, ensure that the debtor is provided with a receipt for the above approval. The receipt must reach the debtor no later than one banking day before the payment date. The creditor must ensure that the receipt is delivered to debtor before the expiry of the deadline. Amendments to your customer's payment authorisation Responsible for notification of changes It is the debtor's bank that is responsible for the notification of changes to the debtor's payment authorisation for Nets. If the change relates to account terms CVR number customer number then the debtor must in consultation with the debtor's bank ensure that the new information is submitted to Nets so that the payment authorisation is updated in LeverandørService. you, the creditor, must submit the changes to Nets. ATTENTION: This applies irrespective of whether you, the debtor or the debtor's bank has set up the payment authorisation. Cancelling the debtor's payment authorisation Your customer may at any time notify the bank or you directly as the creditor that the customer wishes to cancel the payment authorisation. When Nets has registered the cancellation of a payment authorisation, no further payments will be possible under the payment authorisation. The debtor s cancellation of a payment authorisation must take effect as of 9

10 the banking day following Nets registration of the cancellation. If the cancellation has been submitted to the bank, the bank must forward the cancellation to Nets. If the debtor has cancelled the authorisation directly with you, the creditor, you must immediately forward this to Nets using transaction 540. If your business relationship with the debtor ceases, you must also cancel the debtor's payment authorisation. New bank New customer number? If the debtor changes branch or bank, the new bank must change the payment authorisation. As creditor, you may need to give a debtor a new customer number. If you are in doubt about what to do, please contact Nets CS Payments DK. TIP: If you yourself are registering the debtor's payment authorisation electronically with Nets, you can change the customer number here. Notification to debtors Notification to the debtor Notification deadlines Content of notification A notification to the debtor is information from you, the creditor, about a forthcoming payment. According to the creditor rules you, the creditor, must notify the debtor in LeverandørService. The debtor must receive the notification no later than three banking days before the payment date. If the debtor is submitting payment information over the Internet, the creditor must, also via the Internet, provide the debtor with the receipt for the above approval from the debtor. The receipt must reach the debtor no later than one banking day before the payment date. The creditor must ensure that the receipt is delivered to debtor before the expiry of the deadline. The debtor is entitled to information about each payment although the debtor because of the debtor's payment authorisation gives you the right to withdraw your balance directly from the debtor's account. The notification must at a minimum include information to enable the debtor to identify the forthcoming payment. This means: what the payment covers the amount and the date of the payment. EKSEMPEL: A notification may be an invoice or a credit note. You agree with the debtor how the notification should be designed. 10

11 Your customer's rights in LeverandørService Debtor rules Refusing or refunding a payment Lack of notification You have to collect arrears yourself Disputing an unauthorised payment Dispute period Even though the debtor has authorised you to withdraw your balance directly from the debtor's account, according to the Debtor Rules the debtor has special rights applicable to the payment authorisation and each payment. The debtor rules can be found at The debtor can refuse a payment by sending a written request for nonexecution of the payment to the debtor's bank. The debtor can always refuse a payment, e.g. if goods have not been received. The debtor can correspondingly refund a payment by sending a written request for refund of the payment to the debtor's bank. A request for a refund through the bank must have been received by Nets no later than three banking days after the payment date. The debtor can only refuse or refund the full amount. The debtor s refusal or refund applies only to the payment(s) specifically mentioned in the request. BEMÆRK: A refusal does not apply to other payments covered by the payment authorisation, including future payments. If the debtor does not receive a notification from the creditor about a forthcoming payment within three banking days of the payment date, the debtor may refuse the payment in question in accordance with the procedure described in Refusing or Refunding a Payment. If you ascertain that a customer has not paid because the customer has exercised his right to refuse or refund a payment, you must ensure that your customer pays the amount owed. The debtor may dispute a payment with his bank if no valid payment authorisation exists with the creditor to use LeverandørService for the outstanding debt or that a payment has been carried out erroneously. A payment is deemed to be unauthorised if it cannot be documented that a valid payment authorisation exists. Payments are incorrectly executed if they are not registered and booked correctly or if affected by technical failure or similar failure caused by Nets or the bank. If the payment is unauthorised or incorrectly executed, the payment may be returned through the debtor s bank. The debtor must submit his dispute to his bank as soon as possible and no later than four months after the payment date. The rights of the banks as regards to your customer Approval of the payment authorisation Setting up a payment authorisation requires that the debtor's bank approves the agreement. The debtor's bank may at any time withdraw its approval and cancel the debtor's payment authorisation. Refunding a payment The debtor s bank may return a payment if: - the debtor s account does not hold sufficient funds on the payment date - the payment authorisation used has been cancelled by the debtor or the 11

12 debtor s bank - the debtor s bank does not accept the payment authorisation - the payment authorisation has expired because the debtor no longer holds an account with the bank - payment data or processing is incorrect. NOTE: A request for refund from debtor s bank may be made after the expiry of the three-day period. 12

13 Documentation requirements Documentation for setup and contents If a payment authorisation has been obtained by the creditor, the creditor must be able to document that he holds a valid payment authorisation from the debtor, when Nets requests such documentation. If creditor is unable to document that a payment authorisation existed on the payment date, the payment is likely to be refunded. The creditor should retain documentation of payment authorisations for at least four months after the business relationship with the debtor has ended. If the debtor has provided the payment authorisation through his bank, the debtor s bank must document the existence of the payment authorisation. 13

14 Changes to your agreement for LeverandørService Introduction Creditor Agreement LS01 Exchange of data New CVR number It is important that your agreement as creditor in LeverandørService is always kept updated in Nets. You, the creditor, are under obligation to ensure that Nets is always in possession of the correct information. Changes to your general master record such as name, address, contacts etc. can be carried out at any time. Please use Form LS01 at and send it to Nets by or fax. If you need to make changes to your settlement account number, you must involve your bank whose signature is required. Then you must send the new information to Nets in order to update your agreement in LeverandørService. If you change information that affects your communication and exchange of data with Nets, you must contact the Nets Service Desk Find out more about changes affecting the exchange of data in Exchanging data with Nets below. If your company is allocated a new CVR number, you must ensure that your agreement is updated in Nets. If you are allocated a new CVR number and your yourself area acting as data provider and send your payments directly to Nets, use an external data provider use an external data provider and the external data provider gets a new CVR number remember to coordinate with Nets when you send payments using the new CVR number change both your Creditor Agreement LS01 and Data Provider Agreement DL01. change Creditor Agreement LS01 and notify your data provider that you have a new CVR number. the external data provider must coordinate with Nets when payments with the new CVR number can be sent change LS01. Merger If your company merges with another company which is also a creditor in LeverandørService, please contact Nets CS Payment DK. Nets will advise you and help you find a solution to how to act as creditor in LeverandørService in future. 14

15 Payments to LeverandørService When the creditor sets up payments for LeverandørService, several things should be noted: This section lists the most important. Awaiting information on additions and removals Payment types Payment date Delivery deadline The debtor is only ready for payment when Nets has registered the payment authorisation and the creditor has received additions and removals where the debtor in question acts as addition. ATTENTION: This means that the creditor cannot send the set-up of a debtor's payment authorisation and a payment to the same debtor in the same delivery. There are two payment types in LeverandørService. Collection (record type 580) which means that you withdraw your balance from the debtor's account. Payment (record type 585) which means that you transfer an amount to the debtor's account. For example, a credit note. The amount will be debited from the debtor s account and credited to the creditor s account on the due date specified by the creditor in the payment data. The payment date is the bank date on which the amount is credited to your and your debtor's account. IMPORTANT: The payment delivery deadline via LeverandørService is no later than the banking day before the payment date at 4 pm. When can you deliver payments? You can deliver payments to Nets every day up to 90 calendar days in the future but only a collection or a payment and remember that the payment date must be a banking day the payment date must be a banking day this applies per customer number per payment date. IMPORTANT: You can only execute one payment per customer number per payment date. Payment receipt Stopping a payment Collection of payments through LeverandørService will discharge debtor from his payment obligation to creditor. The debtor is entitled to consider an account statement specifying the payment as evidence of the executed payment. This does not apply, however, if the payment is subsequently refunded. You are not able to stop or cancel a delivery. Instead you can cancel one or more payments by sending one or more new payments with DKK 0 as the amount with the same payment date as the payment(s) that you wish to cancel. This means that the debtor's account will not be debited. Depending on the bank's policy a DKK 0 transaction may, however, be shown on the debtor's account statement. ATTENTION: The last imported and updated payment to the same debtor with the same payment date cancels previously updated payments. This applies irrespective of whether you deliver the payments in the same or in several deliveries. 15

16 When you receives payment receipt and remark information, this will include information about whether the payment have been replaced by new payment. NOTE: Several payments to the same debtors may not be contained in the same delivery. Schedule of payments in LeverandørService Payment process When the creditor sends a payment to LeverandørService, a number of mutually dependent processes are commenced. The schedule is described below for Banking Day 0-4 with a description of each step per banking day. Description Banking day Today 0 1. Payment date The following are happening at creditor site 1. You send your payments with payment date = next banking day to Nets before 4 pm. 4. You receive the delivery receipt. 6. You receive a receipt and remark information. 7. You receive payment information. 2. Your bank account is credited/debited for the payments that have been carried out in accordance with the payment information. And in Nets or at the debtor site 2. Nets imports and validates each individual payment for potential errors. 3. Nets sends a delivery receipt. 5. During the evening Nets creates receipt and remark information and payment information. 1. The payments are executed. 3. The debtor's bank account is debited/credited. 4. Possible for the debtor or debtor's bank to refund the payment. Days 2, 3 and 4 1. Your bank account is debited/ credited if the debtor or bank has refunded the payment. 4. You receive additional payment information if payments have been refunded. 2. Possible for the debtor or debtor's bank to refund the payment. 3. Nets sends payment information if refunds have been made. Timeline The payment procedure is illustrated below with a timeline. 17 Exchanging data with Nets Receipt and delivery of data Data structure A description of how to structure data can be found in the following documents: LeverandørService Description of Electronic Input Data to Nets LeverandørService Description of Electronic Output Data from Nets at Information about additions and removals Definition of additions and removals Information about additions and removals are a status summary of which debtors have had their payment authorisation set up or cancelled since the last additions and removals were created. If you yourself set up your debtors, information on additions and removals is a receipt for your debtor information to Nets and is sent electronically on a daily basis. Contents of information about additions and removals Information about additions and removals contains: Information about Debtor addition Debtor removal which tells you the debtor s customer number the date on which Nets has registered the payment authorisation. the debtor s customer number the date on which Nets has registered that the payment authorisation has been cancelled. Awaiting information on additions and removals When Nets receives a set-up or cancellation of a payment authorisation in LeverandørService, the following takes place: Step Action 1 Debtor register at Nets is updated. 2 You receive information on additions and removals electronically from Nets. 3 This means that: If it involves setting up a payment authorisation cancelling a payment authorisation Then LeverandørService is ready for you to send payments to the debtor and you can now use LeverandørService if the payment authorisation has been cancelled, and you are no longer able to collect money from the customer through LeverandørService. Total summary A Total Summary is a separate chargeable service that contains information about all your debtors that have been created at the time the summary was produced. ATTENTION: If you require a Total Summary of your debtors, please contact Nets CS Payment DK on

18 Delivery receipt Definition A delivery receipt is the data provider's acknowledgement that Nets has received and imported the delivery in LeverandørService. Delivery receipt When Nets receives data for LeverandørService, the following takes place: 1. Nets sends a delivery receipt immediately after receiving and importing your delivery into LeverandørService. a. If you yourself act as data provider, we send the receipt to you. b. If you are using an external data provider, we send the delivery receipt to the data provider. Content of delivery receipt This delivery receipt contains information about: Whether your data have been accepted or not. Whether errors exist in the content of the delivery that cause the whole delivery to be refused. Whether individual errors exist in the content that do not affect the content of the whole delivery. Receipt types The following receipt types exist: T-file (transmission receipt), which confirms that the delivery has been received on the Nets server. V-file (validation receipt), which indicates that the delivery contains errors or has been set up in the correct formats. The V-file will contain an indication of the number of records received and any amounts. D-file. Deliveries containing data for the data provider, e.g. payment information. Receipt and remark information Definition Receipt and remark information is a receipt that tells you that Nets has updated your delivery with debtor information in LeverandørService. 18

You are informed of: the debtor s customer number the date of the cancellation of the payment authorisation the amount of the refused payment the number of the settlement account where the amount is settled Specified payment information Definition When does Nets send the specified payment information? Specified payment information is an acknowledgement for the creditor stating the payments that have been executed in LeverandørService. The payments are shown individually with customer numbers and amounts. If there are payments that have not been executed, you will be given the reason for this. When you send payments to LeverandørService, you indicate a payment date, and Nets sends specified payment information during the evening/day before the payment date. Delivery deadlines for payment data to LeverandørService Data delivery deadlines The data delivery deadline is the day before the payment date before 4 pm. We recommend that you send your payment data as early in the day as possible. Particularly in those cases where you are sending payments with the 20

21 payment date the next banking day. If you send your data in good time, it gives you the opportunity to correct potential errors and send a new delivery before the deadline. If you want communication to take place between Nets and an independent data provider, you must make sure that the data provider is known to Nets.
