Without prejudice to the above, 16 (sixteen) Board Members other than those meeting the requirements specified in the first paragraph of this Article 29.1 must be chosen as follows: (i). 6 (six) from amongst shareholders resident in provinces of Veneto and Emilia-Romagna, other than Parma and Piacenza (the Traditional Verona Area ); (ii). 6 (six), of whom 1 (one) resident in the provinces of Lucca, Pisa or Livorno, from amongst shareholders resident in provinces of Lombardy, other than Pavia, of Tuscany and in those of Parma, Piacenza, Genoa and La Spezia (the Traditional Lodi Area ); (iii). 4 (four) from amongst shareholders resident in provinces of Piedmont, Valle d Aosta, Lazio, Southern Italy, the Islands and in those of Pavia, Savona and Imperia (the Traditional Novara Area ). Hereinafter the Traditional Verona Area, the Traditional Lodi Area and the Traditional Novara Area shall be jointly referred to as the Traditional Areas. The remaining Board Members are chosen from amongst the Company s shareholders without residency restrictions. The minority Board Members are appointed in accordance with legal and regulatory provisions. Application of the provisions of Articles 29.5 to 29.7 must in any case allow for at least one Board Member to represent the minority list which is not related, even indirectly, to the shareholders who submitted or voted for the list achieving the highest number of votes, pursuant to regulations in force at the time. The requirements set forth in the first paragraph of Article 29.4 for submission by shareholders of lists of candidates apply insofar as compatible with legal and regulatory provisions in force at the time. The composition of the Board of Directors ensures the gender balance in accordance with the provisions of Italian Law 120 of 12 July 2011 and subsequent amendments and of regulatory legislation in force. 15

At least one third of the members of the Board of Directors are independent directors as defined in Article 29.2 bis below (with round-down to the nearest unit if the result of the division is not a whole number) Prohibitions and Incompatibility Those who are considered ineligible or who have lost office pursuant to Article 2382 Italian Civil Code or who do not meet the integrity and professional requirements established by applicable legal and regulatory provisions may not be appointed as members of the Board of Directors. Those who are or become members of administration bodies or employees of companies that perform or belong to groups that perform activities in competition with those of the Company or the Group cannot be appointed to the office, and if appointed shall forfeit office, unless the company concerned is a central industry association or a direct or indirect investee of the Company. The aforesaid prohibition shall not apply when the participation in administrative bodies of other banks is undertaken in representation of industry organisations or associations from the banking sector. Without prejudice to any stricter causes for ineligibility and loss of office and the prohibitions established by legal and regulatory provisions, the limits to multiple office holding are governed in special internal regulations. Board Members meeting the requirements specified in the first paragraph of Article 29.1 shall fall from office with immediate effect if for any reason their employment relationship with the Company or with Group subsidiaries should terminate. In these cases the right to compensation of damages is excluded bis. Non-executive directors and independent directors The members of the Board of Directors other than those listed below are nonexecutive directors : (i) (ii) the Managing Director, directors to whom the Board of Directors has delegated powers pursuant to Article 2381(2) of the Italian Civil Code and Article 33.2, second paragraph, letter f) of the Articles of Association and directors who, on a de facto basis, perform functions concerning corporate management; directors who are members of the Executive Committee; (iii) members of the Board of Directors who hold management positions in the Company, overseeing certain areas of corporate management, and 16

those who meet the requirements set forth in Article 29.1, first paragraph, of the Articles of Association. Non-executive directors also include the members of the Board of Directors who do not hold the offices or the positions set forth in points (i), (ii) and/or (iii) of the previous paragraph in any company of the Banco Popolare Banking Group. Independent directors are the non-executive directors who do not have or have not had directly or indirectly relations of a professional, financial, personal or other nature with the Company or parties associated with it, such as to influence their independent judgment. For the purposes of the above, directors who find themselves in one of the following positions are not considered independent directors : a) directors who are, or have been in the previous three years, prominent representatives (meaning: Chairman of the Board of Directors, executive directors and executives with strategic responsibilities, meaning persons who have the power and the responsibility, directly or indirectly, for planning, managing and controlling the Company s activities) of the Bank or of one of its subsidiaries; b) directors who hold the office of executive director in another company in which an executive director of Banco Popolare has a position as director, including non-executive director; c) directors who are shareholders, directors or employees of a company or an entity belonging to the network of the company appointed to perform the statutory auditor of the Banco Popolare; d) directors who receive or have received in the previous three years, from Banco Popolare or from a subsidiary company, a significant additional remuneration (over the fixed emolument of non-executive director of the Bank, the consideration for participation in the internal committees of the Board of Directors, any meeting attendance fee), including any participation in incentive schemes linked to the corporate performance, including equity-based schemes; e) directors who are close relatives (meaning: the spouse, unless legally separated, relatives and in-laws up to the fourth degree of kinship, cohabiting partner or children of the cohabiting partner and cohabiting relatives) of a person who is affected by one of the situations listed in the previous points; 17

f) directors who are close relatives (according to the meaning provided in the previous point) of directors of Banco Popolare and of directors of its subsidiary companies; g) directors who have, or have had in the previous three years, relations of independent or subordinate employment or ongoing collaboration, even on a fixed-term basis, with the Bank, one of its subsidiaries, or with any of their respective prominent representatives, as defined above; for this purpose relevance is also given to situations in which: - the directors are close relatives of a person who is in one of the situations referred to in this point; - the relations are held by the directors with the close relatives of the prominent representatives of the Bank or its subsidiary; h) directors who, excepting in the cases referred to in point g) above, have or have had in the previous year, directly or indirectly, a significant relationship of a professional, economic, commercial or financial nature with the Bank, a subsidiary company of Banco Popolare or with any of their respective prominent representatives, as defined above; for this purpose relevance is also given to situations in which: - the directors are close relatives of a person who is in one of the situations referred to in this point; - the relations are held by the directors with the close relatives of the prominent representatives of the Bank or its subsidiary; i) directors who are not affected by any other situation of lack of the requirement of independence provided for by legislation or by the recommendations contained in the Code of Self-Regulation of Borsa Italiana S.p.A., without prejudice to exceptions that may be approved by the Bank s Board of Directors. The Board of Directors generally determines suitable quantitative and/or qualitative criteria to determine the significance of the relations specified in points d) and h) of the previous paragraph. The loss of the requirement of independence as defined above by one or more directors shall not cause their fall from office if the requirements are still met by the minimum number of directors who, according to these Articles of Association, in compliance with applicable legislation, must meet this requirement Term of Office 18

Members of the Board of Directors remain in office for three financial years and their term expires at the date of the Shareholders Meeting convened to approve the financial statements of the last year of office. They may be reelected upon expiry of their mandate Lists of Candidates Members of the Board of Directors are appointed on the basis of lists in which candidates are assigned consecutive numbers. Lists may be submitted by the Board of Directors and/or by at least 500 shareholders with voting right, irrespective of the total percentage of share capital they hold, or by one or more shareholders with voting right who hold a total shareholding equal to at least 0.50% of the Company s capital. In order to be admissible: a. Lists of candidates must be filed and made available to the public in accordance with the forms, procedures and time limits established by laws in force at the time. The signature of each submitting shareholder must be authenticated by a notary public or affixed in the presence of a specially delegated employee of the Company or of Group banks. b. Each shareholder may submit and vote for one list of candidates only, even if through a third party. Shareholders belonging to the same corporate group meaning the parent, the subsidiaries and the companies subject to common control and shareholders that sign up to a shareholding agreement pursuant to Article 122 of Italian Legislative Decree 58/1998 regarding the Company s shares cannot submit or vote for more than one list, even if through a third party or through a trust company. Each candidate may be present on one list only, under penalty of ineligibility. c. The lists contain between 20 (twenty) and 24 (twenty-four) candidates and in this case their composition must comply with the provisions of point d. below. It is also possible to submits lists in which the number of candidates is lower than 20 (twenty), but no higher than 4 (four), and in this case their composition need not comply with the provisions of point d. below, but cannot include candidates meeting the requirements specified in the first paragraph of Article In addition to complying the aforementioned requirements, in all the lists at least half of the candidates eligible as Board Members other than those specified in the first paragraph of Article 29.1 must meet the independence requirements established by Article 29.2 bis. 19

d. In order to ensure that the composition of the Board of Directors complies with provisions of the third paragraph of Article 29.1 of the Articles of Association, each list containing a number equal to or higher than 20 (twenty) candidates must contain indication of at least 6 (six) candidates chosen from amongst shareholders resident in the Traditional Verona Area, 6 (six) of whom 1 (one) resident in the provinces of Lucca, Pisa or Livorno - chosen from amongst shareholders resident in the Traditional Lodi Area, 4 (four) chosen from amongst shareholders resident in the Traditional Novara Area and at least 3 (three) meeting the requirements specified in the first paragraph of Article e. The candidates of each list chosen according to the criteria specified in the third paragraph of Article 29.1, must be listed continuously from the first place in the list and with specific indication, beside each name, of the Traditional Area from which they originate. Candidates meeting the requirements specified in first paragraph of Article 29.1, must be listed continuously from the seventeenth place in the list. f. Unless otherwise specified by laws in force at the time, together with each list, and within the deadline for its filing, comprehensive information on the candidates personal and professional characteristics must be filed at the Company s registered office, in addition to the statements by which each candidate accepts the nomination, certifying under his own responsibility, the absence of causes of ineligibility and incompatibility, as well as the existence of the requirements established by legal and regulatory rules and by the Articles of Association for holding the office of Member of the Board of Directors and the list of administrative and control offices held in other companies. g. Lists containing a number of candidates equal to or higher than three must also include candidates of different gender, in order to ensure that the composition of the Board of Directors complies with the gender balance as provided by legislation, including that of a regulatory nature, in force at the time. Lists submitted without complying with the above provisions shall be considered as not submitted. However, failure to provide documentation on individual candidates in a list shall only lead to exclusion of the candidates concerned and shall not affect the valid submission of the lists to which they belong, without prejudice to compliance with the provisions of letter c. of the previous paragraph. 20
