3 9.2 CHAIR OF THE B0A1U) Position Title: Chair of the Board Basic Function: The Chair shall serve as the chief-elected officer of the Beatrice Area Chamber of Commerce and shall preside at all meetings of the Membership, Board of Directors and Executive Committee. Directs other officers and acts as chief spokesperson for the corporation. 1. Presides at all meetings of the Beatrice Area Chamber of Commerce Board of Directors and Executive Committee. 2. Schedules and works with the President to prepare the agenda for meetings of the Board of Directors and Executive Committee. 3. Keeps the Board of Directors, Executive Committee and committees informed on conditions and operations of Chamber. 4. Selects or approves chairpersons for all Chamber committees or task forces. Outlines the purposes and duties of the committees and monitors their progress with regular reports from the committee chairs. 5. Directs the Board of Directors in formulating policies and programs that will further the goals and objectives of the Chamber. When necessary, recommends changes in structure (board, committees, etc.) to the Board of Directors. 6. Conducts an annual review of the President s performance. 7. Acts as spokesperson for the Beatrice Area Chamber of Commerce to the public, press, legislative bodies and other related organizations. Includes writing and giving speeches at Chamber events, grand openings, annual meeting, etc. 8. Monitors Chamber expenditures to assure operation within the annual budget. Signs payroll and additional check(s). 9. Promotes active participation in the Chamber on the part of the membership. 10. Presents a report at the annual meeting of the Beatrice Area Chamber of Commerce members. 11. Maintains good communication and counsel frequently with the President. 12. Write(s) monthly articles for various publications such as Chamber newsletter, annual report, etc. 13. Serves as Chair of the Board and Officer s Nominating Committee. 9-2 Revised as of I/2(!7
4 9.3 CiiAm ELECT Position Title: Chair-Elect Basic Function: The Chair-Elect shall exercise temporary powers and authority and perform the duties of the Chair in the short-term absence or disability of the Chair. The Chair-elect shall also serve as the head of the forthcoming Board of Director s Planning Conference. As such, the Chair-elect and the Board of Directors will be responsible for determining that the program activities of the Chamber are of such duration as is required, at all times being alert to assure that the activities of the Chamber are directed towards achieving business and community needs in the area served by the Chamber. 1. Serves on the Board of Directors and the Executive Committee. 2. Temporarily assumes the duties of the Chair in the short-term absence of the Chair. 3. Is a Board Liaison to a committee of the Chamber. 4. Prepares themselves for eventually assuming the role of the Chair of the Board by being knowledgeable of the Program of Action and activities in which the Chamber is currently involved. 5. Serves on the Nominating Committee for the Board of Directors and Executive Committee. 6. Officially represents the Chamber at functions or special events when requested by the Chair. Should be flexible to assume extra duties normally done by the Chair due to the Chair s time constraints. 7. 5 9.4 PAST CHAIR Position Title: Past Chair Basic Function: To aid and assist in the functioning of the Board of Directors and Executive Committee in view of the expertise acquired as Chair of the Board. 1. To serve as a non-voting advisor to the Board of Directors and Executive Committee. 2. Acts as mediator, seeking input and consensus from the Board to assist in developing a broad support of Chamber activities. 3. Maintains open channels of communication to facilitate as council for Chair of the Board and President as requested. 4. Be well versed in past and present policies of the Chamber to be able to accurately advise the Board of Directors and Executive Committee, when needed. 9-4 Revised s of 112ufl7
6 9.5 SECRETARY Position Title: Secretary Basic Function: Assure the filling of the corporation s permanent records. Serves on the Board of Directors, Executive Committee and is a member of the Nominating Committee. 1. Accepts and certifies Nominating Committee report no later than October of each year. All nominees must be members in good standing or representatives of members in good standing of the Corporation. 2. Accepts nominations for the Board of Directors by petition in writing by at least 3% of the members in good standing, no later than September 15th of each year. Nominations by petition must contain an indication that the nominee(s) will serve if elected. 3. Represents the Beatrice Area Chamber of Commerce as assigned by the Chair of the Board. 4. In the absence of all other officers acts as temporary Chair of the Chamber. 9-5 Revised as of 1/2u7
7 9.6 TREASURER Position Title: Treasurer Basic Function: Ensures the integrity of the fiscal affairs of the Chamber. Such funds shall be kept on deposit in financial institutions, or invested in a manner approved by the Board of Directors. Serves on the Board of Directors, the Executive Committee and Chairs the Finance/Budget Committee. 1. Checks are to be signed by any two (2) of the following: Executive Committee member or/and President. All payrolls and any check(s) in the amount of $ or more must be signed by at least one (1) Executive officer, and/or President. 2. Ensures that the Beatrice Area Chamber of Commerce maintains accurate financial records. 3. Reviews Chamber expenditures and financial status on a monthly basis with C.P.A. and Chamber Financial Treasurer/President to ensure overall fiscal integrity. Be aware of reporting procedures between staff and C.P.A. 4. Offers financial counsel on special projects. Reports any trends or procedures that would negatively affect the Chamber financially. 5. Ensures that monthly financial reports (balance sheet and monthly cash flow variance report) are submitted and verbally reported to the Board of Directors and Executive Committee regular meetings. 6. Submits the financial accounts of the Chamber for an annual independent compilation audit. 7. Assists the President in drafting the annual budget before October 15 th of each year, and proposes to the Board of Directors at their November meeting. 8. Represents the Beatrice Area Chamber of Commerce as assigned by the Chair of the Board. 9. In the absence of all other officers act as temporary Chair of the Chamber. 9-6 Revised as of 1/20(17
8 9.7 PRESIDENT Beatrice Area Chamber of Commerce Position: President Reports to: Chair of the Board Date: Sept Exempt position - Full time! Salary position may include some Saturdays, some evenings and!or early mornings Position Description: The President is the chief administrative officer of the organization. Duties are subject to the direction of the Board of Directors. The President manages the property, business affairs and staff of the chamber. The President is responsible for initiating, implementing and evaluating all aspects of Chamber activities. Primary responsibilities include: Operations Management Long-range planning for the organization Membership relations Policy recommendations to the board and Be a visible member of the community The President s responsibilities include: 1) Planning The Chamber President will work with the officers and directors of the board on: a) Annual business plan with long term and short term objectives b) A realistic annual budget to achieve objectives 2) Policy The Chamber President will develop, monitor and evaluate: a) organizational structure to accomplish the objectives b) appropriate financial, legal and operational policies and procedures to support effectiveness c) Provide guidance and direction to key stakeholders including the Board of Directors, key volunteers and staff regarding the organization s purpose, goals, and policy positions 3) Financial Management The Chamber President will: a) Supervise the preparation and maintenance of all records, reports and legal documents for the chamber b) Present an annual budget recommendation that adequately funds the organizational needs c) Supervise all investments and expenditures against the approved budget d) Present a monthly financial statement to the Board for approval e) Prepare a year end report on the organization s finances and activities 9-7 Revised as of 1/2H}7
