1 2015 Advance Auto Parts and General Parts International CUSTOMER TRIP EARN-BACK PROMOTION - OFFICIAL RULES This customer trip earn-back promotion (the Promotion ) is available to qualified CARQUEST Independent Store Owners, TECH-NET Professional members and qualified ProRewards customers located in the 50 United States, the District of Columbia ( D.C. ), Puerto Rico, Virgin Islands and Canada only. To participate, you must meet all of the eligibility requirements set forth in these Official Rules. Void where prohibited by law. This Promotion is governed by these Official Rules and is subject to all applicable federal, state, provincial, territorial, municipal and local laws. All prices stated in these Official Rules are in U.S. dollars. REGISTRATION PERIOD: Registration for the Promotion begins March 1, 2015 and ends December 31, SPONSOR: Advance Stores Company, 5008 Airport Road, Roanoke, VA (referred to herein as Sponsor or Advance Auto Parts ). ELIGIBILITY: This Promotion is open to qualified commercial customers of CARQUEST Auto Parts and Advance Auto Parts stores that are either active TECH-NET Professional members (immediately prior to registering and throughout the Registration Period), active ProRewards customers that: (i) are located in the United States, Puerto Rico, U.S. Virgin Islands, D.C. or Canada; and (ii) have a valid account number with a CARQUEST Auto Parts or Advance Auto Parts store that is current within set payment terms immediately prior to registering and throughout the Registration Period (each a "Customer") (iii) have achieved a total purchase minimum of $2,500 the month prior to registration. Only one (1) authorized owner/employee (an "Authorized Individual") of a Customer may register on behalf of the Customer. To be eligible to register on behalf of a Customer, the Authorized Individual must have obtained express permission from the Customer. By registering for the Promotion, the Authorized Individual represents that he/she is authorized to register for the Promotion on behalf of the Business and that his/her participation in the Promotion does not violate any company policies or any laws, association rules or policies applicable to that Business. (If the Authorized Individual is an employee of the Business, the Business Owner may change its Authorized Individual at any time up to 60 days before the trip commences, at which time no substitutions or modifications regarding the Authorized Individual can be made.) Further details and restrictions regarding travel plan changes, substitutions and cancellations are set forth below. Advance Auto Parts reserves the right to disqualify a Customer if an individual has improperly registered for the Promotion on that Customer's behalf or if there is already an Authorized Individual for that Customer. Participation in the Promotion constitutes Authorized Individual s and Customer's full and unconditional acceptance of these Official Rules and each Customer and Authorized Individual agrees to be bound by them. Eligibility to receive an earn-back is contingent upon fulfilling all requirements as set forth in these Official Rules. National accounts of Advance Auto Parts and CARQUEST members, new vehicle dealerships and retail customers of Advance Auto Parts and CARQUEST are not eligible to participate in the Promotion. Employees, officers, directors, agents and representatives of Advance Auto Parts, General Parts, Inc., and their respective parent, subsidiary, affiliated and member companies, suppliers, advertising, promotion and administrative agencies, (hereafter, collectively Released Parties ) and their respective affiliated entities, as well as

2 the immediate family members (mother, father, sister, brother, any child, husband, wife, regardless of where they reside), and/or persons living in the same household of such persons, whether or not related, are not eligible to participate in the Promotion. CUSTOMER TRIP PACKAGE: Trip: Customers can purchase a Maui trip getaway package starting at $3260 per person based on double occupancy (prices listed below do not include airfare). Room Type Price* 3 rd /4 th Person Cost Ocean View Room (414 available) Starting at $3260 per person, based on 3 rd person cost: $ th person cost: $1250 double occupancy. Rooms are available on a first come, first serve basis. Customers should contact Cardinal Travel at for room availability prior to registration. Additional charges apply for third and fourth guests. Maximum of 2 adults and 2 children per room. Earn-back credits (described below) may be used towards the price of the original trip package purchased at time of registration (less Deposit, defined below). Customers may purchase additional trip packages on the same payment terms and earn-back credits; if purchased at the time of initial registration and following the below guidelines. Trip begins on January 31, 2016 and ends on February 5, Packages include the following: Room (various room types available) Airport transfers to and from Kahului Airport (OGG) included if air is purchased through Cardinal Travel All meals on hotel property State and local taxes, food and beverage service charges, and other fees Gratuity and Porterage Dedicated onsite trip staff exclusively for Advance Auto Parts and CARQUEST guests Welcome gift bag CUSTOMERS AND THEIR GUESTS ARE SOLELY RESPONSIBLE FOR ANY ADDITIONAL COSTS OR EXPENSES INCURRED IN CONNECTION WITH THE PROMOTION. Rooms, events, and excursions subject to availability. Sponsor is not responsible if itinerary or all or any portion of an event is delayed, postponed, cancelled or modified for any reason. Any and all costs and expenses not expressly included in the description of the trip package set out above, including, without limitation, transportation to and from an event, drinks, meals requiring an additional fee, off-property meals, excursions, incidental expenses and all personal expenses of any kind or nature are the sole responsibility of the Customer and his/her guest(s). Customer and his/her guests(s) are responsible for obtaining all necessary travel documentation, such as valid passports and/or photo identification, and must have the right to enter and exit the U.S.A. It is recommended that the Customer and his/her guest(s) obtain sufficient personal insurance (including medical) prior to departure. Other

3 restrictions may apply. Minors must be accompanied at all times by a parent or legal guardian. Trip packages may not be transferred or combined with any other offers and no cash or other substitutions will be made, except in Sponsor s sole discretion. Airfare: Upon request, Cardinal Travel will book airfare at the time of registration for those passengers listed on the registration form. Airfare is not eligible for earn-back. If airfare has not been released from the airlines at the time of registration, Cardinal Travel will assign an estimate based on flight costs at the time of registration from expected departure to arrival destination. If, at time of actual booking there is a difference in flight cost, customer trip account will have a one-time credit or debit applied. HOW TO PARTICIPATE: 1. Registration To participate in the Promotion, Customers (through an Authorized Individual) must register online at during the Registration Period. No faxed, ed, mailed or telephoned-in registrations will be accepted. All required information must be completed to be eligible. Upon Advance Auto Parts receipt of complete registration information and payment of deposit during the Registration Period, customers will become eligible to receive the monthly earn-back. Customers are eligible to begin receiving earn-back in the same month the registration is completed provided Advance Auto Parts receives the completed registration on or before the last day of that month. The Released Parties (defined above) are not responsible for: (i) computer equipment or hardware, software or program malfunctions or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature, (ii) any lost or delayed data transmission, (iii) any incorrect or inaccurate entry of information of any kind, whether caused by users or by any of the equipment or programming associated with or utilized in the Promotion or by any technical or human error, which may occur in the processing of the registrations in the Promotion, including, but not limited to, typographical or other errors in printing or posting of the offer or official rules, or (iv) any other error or malfunction which affects a potential participant s ability to register. PAYMENT TERMS: A non-refundable deposit is payable upon registration (the Deposit ). The balance of the total amount owing will be billed to the Customer s credit account in equal monthly payments (the Monthly Payment Amount ). The Deposit percentage and amount will vary based on Room price and time of registration (see chart below). The number of monthly payments for the balance will vary depending on the month of registration as set out in the chart below:

All payments are due according to Customer set payment terms, but final payments are due no later than the January 2016 invoice. EARN-BACK: Customers who purchase a trip package can receive earn-back credits to help offset the cost of their trip package. Earn-back credits will be calculated by Sponsor or its designated administrator, whose decisions regarding the earn-back amounts are final and binding in all respects. Earn-Back credits will be calculated from net purchases less returns, prompt payment discounts, rebates and business development funds. Potential earn-back is subject to verification by Sponsor. A Customer does not receive an earn-back credit until the Customer's eligibility has been verified, registration is complete and their deposit has been received by Sponsor. If the Authorized Individual or Customer otherwise fails to comply with the Official Rules, that potential earn-back will be rescinded. HOW THE PROGRAM WORKS: Customers earn points in two ways: Manufacturer Points and Store Points. Both store points and manufacturer points are valued at $0.01 per point. Manufacturer Points-- 1. Once enrolled, Customers earn Manufacturer Points based on participating Manufacturers qualifying product lines. Points for returned product will be netted against points for product purchases. For example, if a Customer purchases a part in January and returns the part in February, the points will be reflected as a deposit in the account for January and reflected as a credit (negative points) for February.

5 Store Points: Points earned from Manufacturer purchases will be independent from Store purchases (i.e., customers may earn Manufacturer Points even when they do not achieve their Store s monthly purchase objective). A list of participating manufacturers can be found on the customer s personal tracking site once they have created a username and password at or can be supplied by the Advance Auto Parts or CARQUEST account representative. 1. Customers are assigned a sales goal 2. Customers earn thirty points for every $10 of incremental purchases over the prior year once they attain the month s goal. 3. If the customer s purchases for the month are below the previous year, they lose thirty points for every $10 they are behind. REDEEMING POINTS: All points (Manufacturer/Store) will be combined at the end of each month any applied to the next month s payment. If the entire monthly payment amount is met via your combined monthly store and manufacturer points, points will rollover to go towards the next month s payment. If the entire cost of the trip is earned back, points will go towards earning back the initial deposit. Airfare, travel insurance and hotel pre-nights purchased through Cardinal Travel Service are not eligible for earn-back. RESTRICTIONS: Member points earned are non-transferrable, have no monetary value and may not be redeemed for cash. Any transfer or attempt to transfer Member's points shall be null and void and shall result in automatic cancellation of Membership forfeiture of Member's points. Any fraudulent or unauthorized use of a Member's account is prohibited and shall result in termination or disqualification from the Program. ADDITIONAL TERMS AND CONDITIONS: Advance reserves the right to cancel, modify, or restrict any aspect of the Program at any time, with or without notice. A Member's continued participation in the Program constitutes such Member's acceptance of any changes to these Terms and Conditions. Each Member is responsible for knowing and understanding any changes to the Program. For the most current version of the Terms and Conditions, a Member may visit and such Terms and Conditions shall supersede any other prior versions of these Terms and Conditions. Advance reserves the right to seek all remedies, whether available at law or at equity, criminal or civil, in the event Member abuses the Program, fails to follow these Terms and Conditions, or makes any misrepresentation to Advance.

6 LIMITATION OF LIABILITY: Advance shall not be liable nor shall it be responsible for any incorrect or inaccurate information; for communication, including Rewards, lost due to a change of Member's address or other contact information; for malfunctions or errors due to equipment or programming associated with the Program or utilized by a Member; for any interruption, or problem associated with any telephone communication or electronic transmission, including Internet connections; for problems relating to computer equipment, software, inability to access the Program's website, or for any other technical or nontechnical error or malfunction whether caused by human error, act of God, or otherwise. UNDER NO CIRCUMSTANCES SHALL ADVANCE OR ANY OF ITS AFFILIATES, TEAM MEMBERS, SUPPLIERS, OR ANY OTHER PARTY ASSOCIATED WITH THE PROGRAM BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THE PROGRAM OR REWARDS OFFERED THROUGH THE PROGRAM EVEN IF ADVANCEOR ANY OF ITS AFFILIATES, TEAM MEMBERS, SUPPLIERS OR ANY THIRD PARTY ASSOCIATED WITH THE PROGRAM HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF A MEMBER IS IMPROPERLY DENIED A REWARD, AAP PROFESSIONAL'S MAXIMUM LIABILITY SHALL BE LIMITED TO THE VALUE OF THE REWARD. TO THE FULLEST EXTENT PERMITTED BY LAW, ADVANCE AND ITS AFFILIATES SPECIFICALLY DISCLAIM ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, CONCERNING ANY REWARDS, PRODUCTS, MERCHANDISE, AND/OR SERVICES OFFERED OR RECEIVED UNDER THE PROGRAM, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTIBILITY OR FITNESS FOR A PARTICULAR PURPOSE. SOME STATES DO NOT ALLOW DISCLAIMERS OF WARRANTIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO SOME MEMBERS. MEMBERS AGREE TO RELY SOLELY ON THE MANUFACTURER'S APPLICABLE WARRANTY, IF ANY, FOR ANY REWARDS OR PRODUCTS REDEEMED OR PURCHASED THROUGH THE PROGRAM. Independently-owned CARQUEST Auto Parts stores are not eligible for earn-back but may use up to $1500 of their available 2015 or 2016 Co- Op funds to offset their travel package. Once you ve paid the first $1500 of your package cost, you can file for reimbursement from your Co-Op funds via our standard claim form. Co-Op funds can t be used to offset package cancellation penalties. Independently-owned CARQUEST Auto Parts qualifying for Platinum Store Status can receive an additional $1000 credit toward their travel package. These additional funds are subject to Platinum Store Program rules and do not impact your co-op budget.

7 CHANGES and CANCELLATIONS All changes and cancellations must be received in writing and can be faxed to or ed to Any changes made after December 1, 2015 will incur a $100 fee plus any applicable airline fees (including any increase in air fare) due to the change made. Change fees or cancellation penalties will be collected prior to processing the change. Once completed, an confirmation will be sent to the passenger(s) confirming the change and fee charged. Changes include, but are not limited to: Adding additional people in room Adding additional rooms Decreasing number of people in a rooms after the deadline Cancellation Cancellations: $500 Deposit per person (nonrefundable) Cancellations received after June 1, 2015 will be subject to penalty of 25% Cancellations received after November 15, 2105 will be subject to penalty of 50% No credits or refunds for any cancellation received after December 14, Changes to Airline Itinerary: In order to provide the best possible flights for our customers, airfare will be booked once the registration is received and approved by the passenger(s). Once approved by you and ticketed by Cardinal Travel, all airfares are non-transferable and non-refundable, regardless of the date of any change or cancellation requests. Any request to change an air itinerary after being booked represents a cancellation of the original itinerary. A new itinerary will be proposed and issued. The value of the original ticket will be used towards the airline change fee and the new airfare. Any changes made after December 1, 2015 will incur a $100 fee plus any applicable airline fees due to the change made. Name Changes: FAA prohibits name changes on airline tickets. Name changes can be made to the room portion of the reservation to all but one of the original names listed on the booking, and may be subject to additional charges. The following are the exceptions: Once airfare is booked, it is non-transferable and non-refundable. In the event of a name change after airfare has been issued, the airfare may be used by the original passenger(s) in most cases up to one year of issued date for a fee and based on the carrier (airlines) guidelines. The customer will be required to purchase new airfare for the new passenger(s) through CARDINAL TRAVEL. Any request to change all names on a booking represents a cancellation and a release of

8 space. Any adjustments to a reservation made after December 1, 2015 are subject to a $100 per change. Notice: If a customer is not sure of the passengers going on the trip at time of registration, they should enter TBD under the names in the registration form. Full legal names, as shown on passports must be provided to CARDINAL TRAVEL no later than November 15, Full deposit is still applicable. ADDITIONAL TERMS AND CONDITIONS: Any dispute or claim arising out of this Promotion, or any disputes with site users which arise as a result of the use of this website shall be resolved in the U.S. and shall be governed by the laws of the State of North Carolina without respect to conflicts of laws principles. Any such claim shall be brought and maintained in the federal or state courts of the State of North Carolina. If any provisions of these Official Rules are determined by a court of competent jurisdiction to be invalid or unenforceable, such determination shall not affect the validity or enforceability of any other provision. Advance Auto Parts assumes no responsibility for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of, registration information or earn-back calculations. Advance Auto Parts reserves the right to disqualify any participant who they determine in their discretion, has threatened the operation of this Promotion or violates these Official Rules or is otherwise found to be acting in a disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Advance Auto Parts reserves the right, in its sole discretion, to cancel, suspend or amend this Promotion if the Promotion cannot be operated as planned or should other causes beyond Advance Auto Parts s control affect the administration or security of this Promotion. Any attempt by a Customer, an Authorized Individual or any other individual to deliberately damage or undermine the legitimate operation of the Promotion may be a violation of criminal and civil laws and should such an attempt be made, Advance Auto Parts reserves the right to prosecute any fraudulent activities, seek damages and other remedies from any such person to the fullest extent permitted by law. AFFIDAVIT AND RELEASES AND PUBLICITY RELEASE: Upon the request of Advance Auto Parts, the Authorized Individuals representing the Customers will be required to sign and return an Affidavit of Eligibility and a Liability and Publicity Release (except where prohibited by law) within seven (7) calendar days of the date when such documents are mailed to the participant, or eligibility may be forfeited. By accepting earn-back credit, the Customer grants to Advance Auto Parts, and those acting on Advance Auto Parts's behalf, the right and permission at any time to print, publish, broadcast and use, worldwide in any media now known or hereafter developed, throughout the world in perpetuity, including, but not limited to, the world wide web, its company name and location as news or information and for advertising, trade and promotional purposes without additional consideration, and without review, notice or approval, except where prohibited by law. LIMITATION OF LIABILITY: BY PARTICIPATING IN THE PROMOTION, CUSTOMERS AND AUTHORIZED INDIVIDUALS AGREE TO RELEASE AND HOLD HARMLESS THE RELEASED ENTITIES AND THEIR AFFILIATED ENTITIES, AS WELL AS AGENTS, REPRESENTATIVES, OFFICERS, DIRECTORS, SHAREHOLDERS, MEMBERS AND EMPLOYEES OF EACH OF THE FOREGOING FROM AND AGAINST ANY INJURIES, INCLUDING DEATH, LOSSES, DAMAGES, CLAIMS, ACTIONS OR ANY LIABILITY OF ANY KIND RESULTING FROM OR ARISING FROM

EACH CUSTOMER AND AUTHORIZED INDIVIDUAL FURTHER ACKNOWLEDGES THAT, TO THE FULLEST EXTENT PERMITTED BY LAW, THE RELEASED PARTIES HAVE NEITHER MADE NOR ARE IN ANY MANNER RESPONSIBLE OR LIABLE FOR, ANY WARRANTY, CONDITION, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE PROMOTION, REGARDING THE USE, MISUSE, VALUE OR ENJOYMENT OF THE PROMOTION, INCLUDING WITHOUT LIMITATION, ITS QUALITY OR FITNESS FOR A PARTICULAR PURPOSE. Subject to a participant s decision to opt-out, by participating in this Promotion, participant understands that Sponsor and its advertising or promotion agencies may use participant s account information (including business address) for marketing purposes and to provide participant with information about Sponsor's products, services and special offers.
