3 SCHOOL NAME The name of this school shall be Santiam Christian Schools (SCS) SPONSORSHIP AND CONTROL 1.02 Santiam Christian Schools is incorporated in the State of Oregon as a not for profit corporation which establishes and maintains a Christian day school. It shall consist of three (3) departments: Santiam Christian High School, Santiam Christian Junior High School, and Santiam Christian Elementary School. The Articles of Incorporation for Santiam Christian Schools were filed with the State of Oregon Corporation Commission on August 17, The By-Laws for Santiam Christian Schools were developed by the initial directors and adopted as official on September 18, Santiam Christian Schools was granted exemption from Federal Income Tax under section 501(c)(3) of the Internal Revenue Service Code on 5/12/79. Tax Exempt Number: Tax Identification Number: The Articles of Incorporation and the Official By-Laws are the foundational documents for the sponsorship and control of Santiam Christian Schools. They are included as reference documents at the end of Volume One. The members of the corporation shall be the teachers, administration, and all parents of students attending the school. Others who support the school's Statement of Faith may also be elected to membership by the School Board. The corporation shall select a School Board from among qualified members of the parent body. Among the duties of the Board is setting the policies and program of the school in accordance with the Corporation's By-Laws, appointing and contracting for administrative and teaching personnel and employing persons as may be necessary. The ultimate authority for governing and operating the school is the School Board.

4 MISSION STATEMENT 1.03 The primary purpose of Santiam Christian Schools shall be to assist parents in the Christian training of their children by providing a Christ-centered, academic environment that encourages the development of a Christian world-view emphasizing academic excellence, Christian character, responsible citizenship, and service to others. June 18, 2001 STATEMENT OF PURPOSE 1.04 In this academic environment we strive to provide a challenging and supportive setting that fully integrates knowledge and faith. This emphasis on integration encompasses all areas, including the classroom, athletics, activities, and service. In short, our purpose is to provide, in alliance with family and church, an atmosphere in which young people can grow in wisdom and stature and favor with God and man." (Luke 2:52) Santiam Christian desires to provide its students with a college preparatory education, integrated with a Christian view of God and the world, based upon the authoritative and inerrant Word of God. This educational program is designed for children in grades K-12 and offers rigorous academic instruction, challenging athletic and recreational activities, and creative expression in the Fine Arts. Functioning as an extension of the Christian home, Santiam Christian Schools supports parents who seek to provide Biblical instruction for their children which is consistent with the Christcentered teaching received at home and at church. In this regard, the primary approach will represent nurture and discipleship rather than evangelism. Evangelism, however, will be a part of the school program and is an expected outgrowth of discipleship, and is evidenced by students and staff reaching out to others. Because the Christian approach to learning differs significantly from the secular viewpoint, Santiam Christian Schools offers a curriculum rooted in a God-centered view of life. This view holds that God's truth is the standard for all truth. The curriculum, taught by qualified Christian teachers and administrators who serve as role models in their Christian walk, and who are maturing in both their professional life and their Christian faith.

5 CHRISTIAN SCHOOL PHILOSOPHY 1.05 Santiam Christian Schools bases its educational philosophy on a Christian world-view which follows from the truths of the Christian faith found in the infallible, inerrant, and inspired Word of God. The Bible is authoritative, reliable, and the final source of truth. We believe that God created, sustains, and will consummate all things through His son, the Lord Jesus Christ. Therefore, the universe and all life are dynamically related to Him and have the purpose of glorifying Him. Man is created in God's image and is therefore of infinite worth. He is also a sinner by nature and by choice because of the fall of Adam. As such, he is separated from God and incapable of knowing or glorifying God apart from a work of reconciliation by God through the atoning death of Jesus Christ. Man can be reconciled to God only by being born again through receiving Jesus Christ as Savior and Lord by faith. Education can most effectively be accomplished in an environment which recognizes that all truth is God's truth. The fear of the Lord is the foundation of all wisdom and knowledge, and only a redeemed person can fully comprehend truth as the Holy Spirit reveals it to him. In the curricula, our responsibility for the student encompasses the spiritual, mental, intellectual, physical, social, and emotional areas with the primary emphasis on the unity of all truth and on the development of an eternal, spiritual perspective for life. Scripture clearly teaches that parents are responsible for their children's education and discipline. The school views itself as an indispensable part of the three major forces on the life of each child: the home, the school, and the church. The school is not a substitute for the home or the church, but is an extension of the home and one means through which parents can fulfill the responsibility the Lord has given them to thoroughly train their children to love, obey, and serve God in every area of their lives. It intends to be cooperative with the churches represented among the student body and supportive of activities and programs of those churches. Therefore, our approach is God-centered rather than man-centered. We believe that full truth cannot be taught if the Creator is ignored and denied. Even though knowledge is factually the same for both viewpoints, the interpretation and significance of it are not the same. Christian education cannot take place unless the following truths underlie all activities of the school: 1. God is the Creator and Sustainer of all things, and the Source of all truth and wisdom. 2. Because of sin, man by nature omits God and thus fails to relate himself and his knowledge to God.

6 3. Regeneration is by faith in Jesus Christ. The meaning and value can be understood only in the light of His Person, purpose and work. 4. God has revealed Himself in a general way in His world and universe, and in an authoritative way in the Bible. In view of the above, we believe the home, the church, and the school should complement each other, promoting the student's spiritual, academic, social, and spiritual growth. REVIEW AND REVISION OF PHILOSOPHY 1.06 The philosophy of Christian Education for Santiam Christian Schools shall be made available to each staff member and parent of students in the school and shall be reviewed systematically by the School Board. Opportunity shall be made available for staff members to suggest changes in the philosophy of Christian Education. Changes will be made only upon the recommendation of the staff and the approval of the School Board. USE OF PHILOSOPHY 1.07 The Philosophy of Christian Education for Santiam Christian Schools shall be the guiding tool to apply Biblical principles to teaching practices. All philosophies of subjects, policies of the school, curriculum materials and teaching methods shall conform to the Philosophy of Christian Education. The School Board and staff members must understand and apply the Philosophy of Christian Education in their decision-making in Board meetings and in their daily work for Santiam Christian Schools. Employees shall be committed to fulfilling the principles outlined in the Philosophy of Christian Education in every reasonable way they can.

7 EDUCATIONAL OBJECTIVES 1.08 Our objective shall be to develop a balanced curriculum that trains the student toward maturity (I Cor. 13:11). Santiam Christian Schools seeks for student growth in spiritual, academic, physical, and personal excellence. It is to be understood that the educational goals which follow must be construed as interdependent and they represent a guideline for the administrative and educational programs of Santiam Christian Schools. STUDENT GOALS Spiritual and Moral Growth A. To teach that the Bible is only Word of God, thus developing attitudes of love and respect toward it (II Tim. 3:15-17, II Pet. 1:20,21). B. To teach the basic doctrines of the Bible as presented in our Statement of Faith (Titus 2:1). C. To lead the student to a decision of confessing Christ as Savior and Lord (Rom. 10:9,10). D. To teach the student to know and obey the will of God as revealed in the Scriptures, thus equipping the student to carry out God's will daily (Rom. 12:1,2, II Tim. 2:15). E. To encourage and facilitate faculty, staff, and students to become involved in world evangelism and the needs of the world by participating in mission trips and events in a complimentary partnership with school-based academic curriculum. (Eph. 4:12, I Cor. 12:1-31, Matt. 28:19,20). : 4/21/03 F. To teach Biblical character qualities and provide opportunities for the student to demonstrate these qualities (I Sam. 16:7, Gal. 5:22, 23). G. To encourage godliness through pursuit of the mind of Christ (Phil. 2:5, I Tim. 4:7) H. To encourage the student to develop self-discipline, responsibility, and submission to God and other God-given authority (I Tim. 4:12, I Cor. 9:24-27, Rom. 13:1-7, Eph. 6:1-3).

8 I. To help the student develop a Christian world-view by integrating life, and all studies, with the Bible (II Pet. 1:3). J. To teach the student how to study God's Word (II Tim. 2:15) and how to hide God's Word in his heart through memorization and meditation (Ps. 119:11, Ps. 1:1-3). K. To prepare the student for a life of service to God and his fellow man (I Cor. 10:31, 15:58). L. To teach that God is the Author of all truth (Num. 23:19, John 18:37). M. To teach a Biblical view of sin, temptation, and victorious living over sin (I Peter 5:8, I Cor. 10:13). N. To encourage student involvement in a local church (Heb. 10:25). 2. Personal and Social Development A. To help the student develop Christian character based on a proper understanding and acceptance of himself as a unique individual created in the image of God and in the fullest possible development of his own capabilities (Ps. 139:13-16). B. To teach the student to treat everyone with love and respect as unique individuals created in God's image (Phil. 2:1-4, Eph. 5:21). C. To teach the student how to become a contributing member of his society, realizing his dependance on others, their dependance on him, and the need to fulfill the Biblical mandate to serve others (Gal. 5:13, Rom. 12:10). D. To teach the student Biblical skills for personal and social relationships which can positively impact today's society (Ps. 119:9, Eph. 4:12). E. To teach the student the Biblical view of dating, marriage, and the family and an understanding of the development of God-honoring homes. (I Thess. 4:1-7, Eph. 5:22-33, I Tim. 4:12, Gen. 2:18-25). F. To teach the student Biblical attitudes toward money and material things and his responsibility for using them to God's glory (I Tim. 6:17-19, Matt. 6:19,20, I Cor. 10:31). G. To promote an understanding of time as a God-given commodity and the individual responsibility for effective use of time (Ps. 90:12). H. To communicate a realistic Biblical view of life and work (Matt. 16:26, Prov. 12:11).

9 I. To teach each student the necessity of forming personal convictions before God and to respect the same in others (I Peter 3:15). 3. Academic and Intellectual Development A. To promote high academic standards which encourages each student to develop his full academic potential. B. To help each student to gain an understanding and command of the fundamental processes used in communicating and dealing with others (such as reading, writing, speaking, and listening) (II Cor. 5:20). C. To teach and encourage the student to use good study skills and habits (II Tim. 2:3-7). D. To teach the student how to do independent research and to reason logically, and to encourage research in areas of personal interest (Heb. 5:14, Rom. 12:2). E. To teach the student creative and critical thinking based upon the proper use of Biblical criteria for evaluation (II Tim. 3:14-17). F. To teach the student good citizenship through developing an understanding and appreciation of our Christian and American heritages of responsible freedom, human dignity, and respect for authority (home, church, nation) (I Cor. 10:11, Rom. 13:1-7). G. To teach the student an understanding of and an appreciation for God's world, developing an awareness of man's role in his environment and his God-given responsibility to subdue, use and preserve it (Ps. 8:6, Heb. 2:6-8). H. To promote an appreciation for, and encourage participation in, the fine arts. I. To enable, through a study of history, students to adequately understand, appreciate, and act on the privileges and responsibilities of living in a democratic republic. J. To encourage students to appreciate and understand cultures other than their own. K. To cultivate, through mathematics, an appreciation of orderliness, honesty, and exactness as an expression of God's nature and character. L. To develop, through science, an appreciation of what creation shows of the orderliness, faithfulness, justice, exactness, holiness, love, and beauty of God. M. To motivate students to pursue areas of personal interest and to develop their God given talents and creative skills.

10 N. To teach a God-centered view of the issues of human existence and to relate current events to God's plan for man and to the world. O. To teach the student to work both independently and cooperatively with others. P. To develop the skills necessary to function in a world of changing technology. 4. Physical Development A. To teach the student physical fitness, good health habits, and wise use of the body as the Temple of God (I Cor. 6:19, 20). B. To provide opportunities for growth in physical performance skills and to compete in inter-scholastic competition. C. To teach good sportsmanship and teamwork. D. To develop coordination, muscle tone, and endurance. E. To teach recreational activities profitable for a worthy use of leisure time. : April 21, 2003

11 HOME/FAMILY GOALS To bring those family members who are not Christians to the saving knowledge of Jesus Christ (II Peter 3:9). 2. To aid families in Christian growth and to help them develop Christ-centered homes (Eph. 5:22-33, II Pet. 3:18). 3. To cooperate closely with the parents in every phase of the student's development, especially as it relates to the school program (Mark 10:45). 4. To assist parents in keeping up with the changing culture and its effect on the home and the implications for their children. 5. To encourage family attendance and involvement in the local church (Heb. 10:24,25). 6. To encourage parents to realize and shoulder their responsibility for the spiritual, moral and social education of their children (Deut. 6:4-7, Prov. 22:6). TEACHER GOALS To insure that every staff member is a growing, maturing Christian that models and clearly teaches God s Truth. 2. To provide a balance of male and female, married and unmarried, and less and more experienced teachers within our school. 3. To provide a salary structure and benefits that would allow and encourage staff members to commit their total working attention to their job at Santiam Christian and to attract them to stay for a long (10-20 years) period of time. 4. To provide health and other benefits for the staff that would meet their needs. 5. To provide a classroom environment that is enjoyable for teachers and students.

12 6. To encourage and support the continued spiritual and professional development of teachers. 7. To encourage the development of a close personal, professional and spiritual bond between the staff members so they can unitedly serve students and parents. 8. To secure the advice of teachers for the ongoing evaluation and development of the spiritual, academic, social, and physical programs of the school. REVIEW AND REVISION OF GOALS 1.12 The goals of Santiam Christian School shall be made available to each staff member and parent of students in the school and shall be reviewed systematically by the School Board. Opportunity shall be given for parents and staff to suggest changes in the goals of Santiam Christian Schools. All suggested changes will be considered, however, official changes in school goals will only be made upon the recommendation of the staff and the approval of the School Board. USE OF GOALS 1.13 The previously stated goals will be used to guide the school in their decisions regarding recruitment, retention and development of teachers and students and in the preservation of the spiritual, academic, socio-emotional and physical ministry of the school.

13 STATEMENT OF FAITH 1.14 Santiam Christian Schools was founded and functions upon the basic fundamental principles of the Word of God, and it espouses the historic Christian view of life as presented in the BIBLE. The following statements of faith and practice are held by every Santiam Christian School employee and school family: 1. We believe the Bible to be the inspired, only infallible, authoritative, inerrant Word of God (II Timothy 3:15, II Peter 1:21). 2. We believe there is one God, eternally existent in three persons - Father, Son, and Holy Spirit (Genesis 1:1, Matthew 28:19, John 10:30). 3. We believe in the deity of Christ (John 10:33); His virgin birth (Isaiah 7:14, Matthew 1:23, Luke 1:35); His sinless life (Hebrews 4:15, Hebrews 7:26); His miracles (John 2:11); His vicarious and atoning death (I Corinthians 15:3, Ephesians 1:7, Hebrews 2:9); His resurrection (John 11:25, I Corinthians 15:4); His ascension to the right hand of the Father (Mark 16:19); His personal return in power and glory (Acts 1:11, Revelation 19:11). 4. We believe in the absolute necessity of regeneration by the Holy Spirit for salvation because of the exceeding sinfulness of human nature; and that men are justified on the single ground of faith in the shed blood of Christ and that only by God's grace through faith alone are we saved (John 3:16-19, John 5:24, Romans 3:23, Romans 5:8-9, Ephesians 2:8-10, Titus 3:5). 5. We believe in the resurrection of both the saved and the lost; they that are saved unto the resurrection of life, and they that are lost unto the resurrection of damnation. (John 5:28 29). 6. We believe in the spiritual unity of believers in our Lord Jesus Christ (Romans 8:9, I Corinthians 12:12-13, Galatians 3:26-28). 7. We believe in the present ministry of the Holy Spirit by whose indwelling the Christian is enabled to live a godly life (Romans 8:13-14, I Corinthians 3:16, I Corinthians 6:19-20, Ephesians 4:30, 5:18).

14 USE OF STATEMENT OF FAITH 1.15 The Statement of Faith shall be given to every person prior to their being offered employment at Santiam Christian School. Persons shall only be employed at Santiam Christian School if they are in complete agreement with the Statement of Faith. If a person changes their beliefs with respect to the Statement of Faith following their employment at Santiam Christian, they may be asked to leave the employ of the organization. INTER-DENOMINATIONAL POSITION 1.16 The Santiam Christian Schools Statement of Faith is fundamental to basic Christian tenets and contains those doctrines to which we unreservedly adhere and teach. We also recognize that there are specific doctrinal areas that are unique to the varied denominations making up our parent body. Since it is our desire to maintain a non-denominational position, it is necessary that we remind faculty, staff, parents, and students, that in the following areas there are differences of opinion among Christian believers. This list is designed to represent major areas of denominational difference, but is in no way exhaustive of possible areas of difference: 1. Styles of church government, authority, and discipline 2. Time and mode of water baptism 3. Security of the believer 4. Timing of future events 5. Second work of grace, or baptism of the Holy Spirit 6. Sinless perfection 7. Gifts of the Spirit, i.e., tongues, interpretation of tongues, prophecy, etc. In honoring this desire concerning the purpose and outreach of the school, there shall be no attempt by student, teacher, or parent to promote a specific denominational position as the correct" or only" position a believer can have. We desire to remain united in the salvation and love of Christ, avoiding the dissension which may be caused by denominational distinctives.

15 NOTICE OF NONDISCRIMINATION 1.17 Santiam Christian Schools admits students of any race, color, national and ethnic origin to all the rights, privileges, programs, and activities generally accorded or made available to students of the school. It does not discriminate in administration of its educational policies, admissions policies, hiring practices, tuition aid programs, athletic and other school-administered programs. The School Board of Santiam Christian School also unanimously adopted the following methods of public disclosure of our policies which meet IRS guidelines: 1) that the Notice of Nondiscriminatory Policy shall be published in a newspaper likely to be read by prospective students and their families in accordance with IRS Procedure and 2) that the following notice be included in any written advertising published by the Corporation: "Santiam Christian School admits students of any race, color, and national or ethnic origin." ACCREDITATION 1.18 The parents who enroll their children in a Christian school bring a high level of trust about the quality of education their children will receive. That trust, by the parents, should be nurtured, but more importantly, it should be warranted. The recognized means of quality assurance for an education institution is accreditation. Santiam Christian Schools shall hold accreditation with those organizations which demonstrates to our parents and constituents our commitment to academic excellence. Our desire for excellence in education is not a desire to receive acclaim from the world but to honor out God, whose very name is excellent (Psalm 8:1). It is a demonstration of our commitment to doing things well. Santiam Christian Schools shall hold accreditation with the Association of Christian Schools International (ACSI) and shall comply with those criteria necessary for ongoing renewal of accreditation. Santiam Christian Schools shall also hold regional accreditation with the Northwest Association of Schools and Colleges(NWASC). If a time should arise when the conditions of renewal with this regional, public accrediting body would be in conflict with the mission and purposes of Santiam Christian Schools then our affiliation with this organization would be reviewed by the Board.

16 Articles of Incorporation of Santiam Christian Schools 1.19 The undersigned, natural persons over the age of twenty-one years and citizens of the state of Oregon and of the United States, desiring to form a non-profit corporation under the non-profit corporation law of the state of Oregon, do hereby certify: ARTICLE I The name of the corporation shall be SANTIAM CHRISTIAN SCHOOLS. The period of duration shall be perpetual. ARTICLE II ARTICLE III Said corporation is organized exclusively for religious, educational and charitable purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501 (c) 3 of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue law). ARTICLE IV Said corporation shall have no stockholders but shall have members. The members of said corporation shall consist of the duly elected, qualified and acting directors of the corporation and such other persons as shall be approved for membership by the initial directors and who shall have subscribed to the following statement of faith, namely: 1. We believe the Bible to be the inspired, the only infallible, authoritative word of God. 2. We believe that there is one God, eternally existent in three persons: Father, Son and Holy Ghost.

We believe in the deity of our Lord Jesus Christ, in His virgin birth, in His sinless life, in His miracles, in His vicarious and atoning death through His shed blood, in His bodily resurrection, in His ascension to the right hand of the Father, and in His personal return in power and glory. 4. We believe that for the salvation of lost and sinful man regeneration by the Holy Spirit is absolutely essential. 5. We believe in the present ministry of the Holy Spirit by whose indwelling the Christian is enabled to live a godly life. 6. We believe in the resurrection of both the saved and the lost; they that are saved unto the resurrection of life and they that are lost unto the resurrection of damnation. 7. We believe in the spiritual unity of believers in our Lord Jesus Christ. Such members shall be the only persons entitled to vote at the annual meeting or any special meeting of the membership of such corporation. 18 ARTICLE VI No part of the net earnings of the corporation shall inure to the benefit of or be distributable to its members, trustees, officers or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article III hereof. No substantial part of the activities of the corporation shall be the carrying on of propaganda or otherwise attempting to influence legislation, and the corporation shall not participate in or intervene in (including the publishing or distribution of statements) in a political campaign on behalf of any candidate for public office. Notwithstanding any other provision of these Articles, the corporation shall not carry on any other activities not permitted to be carried on by: (a) (b) A corporation exempt from federal income tax under Section 501 (c) 3 of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue law), or, A corporation, contributions to which are deductible under Section 170 (c) 2 of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue law). ARTICLE VII Upon the dissolution of the corporation, the School Board shall, after paying or making provisions for the payment of all the liabilities of the corporation, dispose of all the assets of the corporation exclusively for the purposes of the corporation in such a manner, or to such organization or organizations organized and operated exclusively for religious, charitable or educational purposes as shall at the time qualify as an exempt organization or organizations under Section 501 (c) 3 of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue law) as the School Board shall determine. Any of such assets not disposed of shall be disposed of by the Circuit Court of the State of Oregon for the County of Linn, exclusively for such purpose or to such organization or organizations as said Court shall determine to be organized and operated exclusively for the purposes aforesaid. ARTICLE VIII The initial registered office of said corporation shall be at 2817 S.E. Santiam Highway, Albany, Oregon Its initial registered agent at such address shall be OSCAR C. BRIDGEMAN.

19 The Official By-laws of Santiam Christian Schools 1.20 ARTICLE I Name and Purpose The organization shall be known as SANTIAM CHRISTIAN SCHOOLS, an institution incorporated under the laws of the state of Oregon to provide week-day instruction in accordance with the Statement of Faith, reading as follows: 1. We believe the Bible to be the inspired, the only infallible, authoritative Word of God. 2. We believe that there is one God, eternally existent in three persons: Father, Son and Holy Ghost. 3. We believe in the deity of our Lord Jesus Christ, in His virgin birth, in His sinless life, in His miracles, in His vicarious and atoning death through His shed blood, in His bodily resurrection, in His ascension to the right hand of the Father, and in His personal return in power and glory. 4. We believe that for the salvation of lost and sinful man regeneration by the Holy Spirit is absolutely essential. 5. We believe in the present ministry of the Holy Spirit by whose indwelling the Christian is enabled to live a godly life. 6. We believe in the resurrection of both the saved and the lost; they that are saved unto the resurrection of life and they that are lost unto the resurrection of damnation. 7. We believe in the spiritual unity of believers in our Lord Jesus Christ. The organization is a charitable religious and non-profit educational society. ARTICLE II Membership The corporation shall have as its members all parents of students attending the school. Others who support the school's Statement of Faith may also be elected to membership by the School Board.

20 ARTICLE III Meetings Section 1: The annual meeting of the corporation shall be held in April of each year, at a time and place to be determined by the School Board. At the annual meeting, the President of the school, or others designated by him, will give a report of the activities of the past year. The Treasurer of the Board will give a report on finances, and the budget for the following year will be presented. The annual election of board members in accordance with Article IV below shall take place. Section 2: Special meetings may be called at any time by the School Board or by the President of the Board. The Board shall call a special meeting when requested in writing by at least one-fourth of the members. Such a request shall state the reason for the meeting. Special meetings shall be limited to the items announced in the meeting notice. Section 3: Notice of all meetings shall be given by mail at least five days prior to the meeting. A quorum shall consist of those members in attendance. Record of attendance at meetings shall be kept by requiring each member to sign a register at the meeting. Section 4: All meetings shall be governed by "Robert's Rules of Order". A simple majority of those present will be necessary to pass any matter brought to vote, with all votes concerning people to be taken by secret ballot. Changes to By-Laws require a two-thirds vote, as stated in Article X. ARTICLE IV School Board Section 1: A School Board consisting of twelve persons shall be chosen by and from the membership. The term of office shall be three years, with four members retiring and four being elected each year. The terms of office of newly elected Board members will begin July 1. Section 2: It is intended that the religious philosophies of those attending the school be broadly represented. Thus, no more than four board members shall be from the same denomination. Section 3: The Board will form a screening committee, led by a Board member. The goals of the committee will be to select and evaluate all candidates who will then be approved by the Board prior to the annual meeting. The Screening Committee will seek to develop a slate of candidates in excess of the number needed. All recommendations for office will be directed to the Screening Committee.

21 Section 4: Vacancies during a term shall be filled by the School Board for the unexpired term of the members whose places are being filled. Section 5: At the June meeting after the annual meeting of the corporation, the Board shall elect from its own membership the following officers: President, Vice-President, Secretary and Treasurer. Terms of office for these position shall run from July 1 to June 30. The officers of the Board shall also be the officers of the corporation, serving in their respective capacities at all meetings. Section 6: The School Board may appoint such committees, each chaired by one of their members, as they shall deem necessary in order to carry out the functions of the Board. ARTICLE V Authority and Duties of the School Board Section 1: The corporate powers, business and affairs of the corporation shall be exercised, conducted and controlled by the School Board. The Board shall have full power and authority to borrow money on behalf of the school, including the power and authority to borrow money from the members, trustees or officers of the corporation, and to authorize the execution of promissory notes or other evidences of indebtedness of the corporation, and to agree to pay interest thereon. The School Board shall also have the power to sell, convey, alienate, transfer, assign, exchange, lease and otherwise dispose of, mortgage, pledge, and otherwise encumber the property, real and personal, and the franchises of the corporation to purchase, lease and otherwise acquire property, real and personal, on behalf of the corporation, and generally to do and perform or cause to be done and perform; provided, however, the School Board shall make no purchase or sale of real property without first obtaining the prior consent of the membership at a regular or special meeting. Section 2: The School Board shall perform the following duties: a. Determine the school policies in harmony with the principles of the Statement of Faith and the Philosophy of Education. b. Select a principal and teaching staff which is qualified to carry out the educational policies of the school. c. Administer the temporal, spiritual, financial and legal affairs of the school. d. Provide a financial program to raise the necessary finances for the operation of the school, through tuition, fees and free-will donations of members and friends of the school.

22 ARTICLE VI Duties of the Officers Section 1: It shall be the duty of the President of the Board to preside at all Board and corporate meetings. The President is an ex-officio member of all committees and shall be notified of their meetings. Section 2: The Vice-President shall assist the President whenever possible in the discharge of the duties. In the absence of the President, the Vice-President shall act in his capacity. Section 3: The Secretary shall be responsible for the official documents of the organization; he shall conduct necessary correspondence; and shall enter into the record minutes of all meetings after they have been approved. Section 4: The Treasurer is entrusted with the receipts and disbursements of the corporation. All monies received by him shall be deposited in the name of the corporation in a bank approved by the Board. No disbursements may be made except by check in the manner directed by the Board. He shall report regarding finances at all regular meetings of the Board and at the regular meetings of the corporation. He shall have an audit made by an independent auditor annually. ARTICLE VII Meetings of the School Board Section 1: The School Board shall meet monthly or as often as is necessary in order to conduct the business of the school. Section 2: Seven members of the Board constitute a quorum. However, on matters of personnel, more than half of the entire Board must vote in agreement regarding hiring or removal.

23 ARTICLE VIII Pupil Requirements Each prospective student shall submit an application on a form approved by the Board. The Board has full power to accept or reject any application, for reasons adequate to the Board. The school admits students of any race, color, national and ethnic origin to all the rights, privileges, programs, and activities generally accorded or made available to students at the school. It does not discriminate on the basis of race, color, national and ethnic origin in administration of educational policies, admissions policies, scholarship and loan programs, and athletic and other school-administered programs. As a requirement of admission, high school students shall subscribe to the Statement of Faith and all students are expected to abide by the policies of the school. The School Board shall have the authority upon the recommendation of the principal to dismiss from school any student whose presence is an undesirable influence. ARTICLE IX Academic Philosophy All instruction at the school shall be consistent with the Statement of Faith. Any doctrinal position presented shall be handled with balance and sensitivity to the interdenominational nature of the school. ARTICLE X Amendments These By-Laws may be amended by a two-thirds vote at the annual meeting of the corporation provided that two weeks previous notice has been sent to each member stating the desired change.
