3 3 CHAPTER 1 GENERAL PROVISIONS 1. Bank Zachodni WBK S.A., hereinafter referred to as BZ WBK / Bank, collects fees and charges as per this Schedule Part I A. 2. Fees and charges are set in Polish zloty or in foreign. 3. In the case of operations denominated in foreign, the basis for setting the amount of fees and charges is: a) PLN equivalent of the operation amount - in the case of fees and charges stated in PLN, b) operation amount - in the case of fees and charges denominated in foreign. In the case of fees and charges denominated in PLN, the conversion is made at the average NBP rate applicable on the day of collecting the fee / charge, except for fees / charges related to: - payment orders calculated at the NBP average exchange rate as at the previous day, - handling fx loans and guarantees issued by BZ WBK - calculated at the buy / sell rate for BZ WBK, - purchase / sale of the at BZ WBK cash desk - calculated at the buy / sell rate for BZ WBK money, - purchase of export receivables (forfaiting) calculated at the average NBP rate as at the payment day, - executing in a convertible currency documentary collection, letter of credit and advised guarantees issued by another bank for the benefit of the BZ WBK customer calculated at the buy / sell rate for BZ WBK. The above rates are applied to calculate the operation amount respectively, with the exclusion of transactions executed with the use of payment cards. 4. In the case of costs of foreign banks denominated in a currency other than the currency in which they will be collected, the conversion is made at the average NBP rate applicable on the day of collecting costs, except for costs of operations related to the realization in convertible currency of collections and letters of credit, early advice, indirect and confirmed guarantees - converted at the sell rate for foreign applicable in BZ WBK. 5. Fees and charges are collected: a) on the day of making or executing an instruction or b) on a monthly basis, on the last day of a given calendar month - refers to the fees and charges for account maintenance, transfers (incl. additional fee for SORBNET transfer below PLN 1m), direct debit (excluding fees for an instruction to cancel direct debit, an instruction to cancel unexecuted direct debit or an instruction to make a refund in relation to executed direct debit, placed at a BZWBK outlet, for which the Bank collects fees in line with item a) cash lodgement to the Holder s own account, cash withdrawals from an account at BZ WBK outlets, statements and confirmation of operations (appendix / duplicate) attached to the statement; excluding accounts listed in Appendix 3 for which the aforementioned fees are collected on the last day of a calendar month which is the Bank s business day or c) on other dates referred to in the Schedule under individual fees and charges or in the agreements concluded by and between the Customer and BZ WBK. If a given agreement is terminated, regular fees or charges are collected on the last day of the agreement s validity period. That applies also to fees or charges collected from another customer s account. 6. The principle of cyclical collection of fees and charges referred to in point 5. sub-point b) is observed in the following manner (subject to the reservation referred to in point 7.): a) a monthly account maintenance fee is collected on a monthly basis accrued for each commenced calendar month of account maintenance and aggregate fees for the executed transactions and statements and confirmation of operations (appendices / duplicates) attached to the statements, sent or collected in an outlet from the first day of a given calendar month to the last day of that month inclusive; excluding aggregate fees for accounts listed in Appendix 3 for which the fees are collected for operations effected in the period from the last business day of the Bank in the previous calendar month (inclusive) to the day preceding the last business day of the Bank in the present calendar month; b) the principal of cyclical collection of fees and charges does not refer to the fees and charges defined in this Schedule as additional (excl. the exceptions outlined above). 7. If the customer makes and instruction for changing the pricing schedule, the fees and charges referred to in point 5. sub-point b) and point 6., shall be collected as per the new schedule for the calendar month when the schedule was changed. 8. Fees and charges due are paid by the party that orders a transaction unless the parties to a given transaction agreed otherwise or the instruction submitted states otherwise and BZWBK accepts it. 9. Amounts of collected fees and charges are rounded based on commonly applicable principles. 10. For services ordered by domestic and international customers, the following fees and charges are collected, apart from those listed in this Schedule: a) fees and charges collected by banks acting as agents, while effecting an order, b) fees and charges for telecommunication and postal services for domestic and international transactions, c) fees for post sent by courier at a Customer s request.

Fees and charges for banking services are not collected for: a) operations related to the repayment of receivables of Bank Zachodni WBK S.A. or its subsidiaries, irrespective of their type, excluding the repayments of revolving loans and overdrafts, b) cash lodgements to accounts with KBC Securities N.V., c) lodgement of coins in convertible, to cover fees and charges payable to the Bank, d) cash lodgements made by BZWBK Customer to cover the tax on civil law transactions if the tax payment is related to services provided by BZ WBK, e) cash withdrawals at the closure of the settlement account. 12. Fees and charges related to settlement accounts referred to in chapters which do not contain break-downs into pricing tariffs apply to accounts maintained in all types of pricing tariffs. 13. Current account operated under individually set terms and conditions is an account with a different interest rate than the standard one, with different level of fees and charges or with fees collected in a different manner than the one defined in this Schedule (re. fees and charges referred to in item 5. sub-item b). Among all the customer s PLN accounts operated on separately set conditions, the first account is the one for which the account maintenance fee has been set at the level most similar to the basic fee (account with the smallest discount). 14. For the needs of this Schedule of Fees and Charges, the average balance in the settlement account is calculated as the sum of balances in a given account at the end of each day in the period from the last day of the previous calendar month to the last but one day of the current calendar month, inclusive (refers to fees specified in point 5 sub-point b) divided by a relevant number of days. 15. Fees for transfers to an account in another bank do not refer to funds transferred in a foreign currency to accounts of domestic banks and to transfers to accounts in foreign banks fees for the delivery of these transactions are collected in line with the fees for withdrawal orders. 16. Fees and charges for transfers / cash lodgements / payment orders / direct debits made to an account held with BZ WBK apply also to the above transactions executed through accounts of BZ WBK subsidiaries and BZ WBK Partner outlets, i.e. agency outlets of BZWBK operating under Bank Zachodni WBK Partner brand. 17. Unless specified otherwise in the Schedule s chapters or other regulations, the fees and charges applicable in BZ WBK outlets also refer to banking services for business customers rendered in BZ WBK Partner outlets. 18. During the Agreement s validity period, the Bank will have the right to make amendments to the Schedule, in particular, to change the level of fees and charges. The changes in fees and charges will be determined by at least one of the following factors: a) the level of workload and the scope and form of performing specific activities / services, b) financial instruments of the money market and capital market: interest rate on the NBP rediscount loan, interest rate on the NBP Lombard loan, the manner of calculating the obligatory reserve of banks, interest rates applicable on the inter-bank market, yield on T-bills issued by the Finance Minister, yield on money bonds issued by the NBP. In addition, over the Agreement s validity period, the Bank will have the right to introduce new fees and charges. 19. BZ WBK will not notify customers of such changes to this Schedule of Fees and Charges which will consist only in introducing new types of products or services to the BZ WBK s proposition and in the case of changes in the functioning of products or services which are not an object of the agreement that the customer has signed with the Bank.

Should the a/m condition not be fulfilled, the account maintenance fee is PLN 25 per month and will be collected in the month following the month in which the transfers have not been made. 2) Only one basic account can be opened. 3) Holders of Konto Firmowe Godne Polecenia (Account Worth Recommending Business Account) have the right to be exempted from the monthly fee for maintenance of one additional current account in the Optimum Tariff in one of the following : EUR, USD, GBP. Any other account in any of the above is subject to fees as per the Schedule of Fees and Changes. Closing the main current account in PLN also results in charging fees for fx accounts as per the Optimum Tariff. 4) Holders of Konto Firmowe Godne Polecenia Premium (Account Worth Recommending Premium Business Account) as the main current account have the right to be exempted from the monthly fee for maintenance of all additional current accounts in the Optimum Tariff in the following : EUR, USD, GBP, CHF, NOK, SEK, DKK, CZK, and to be exempted from the monthly fee for maintenance of all additional current accounts in PLN. As regards such as NOK, SEK, DKK and CZK, opening of an account depends on the Bank s decision. Closing the main current account in PLN results in charging fees for additional fx accounts as per the Optimum Tariff. As regards additional accounts in PLN, closing the main account means changing the tariff into the tariff for additional accounts (Konto Firmowe Godne Polecenia). 2. Fee indicated in sub-item 2) is collected for each additional alert, exceeding the number of alerts available within the fee for using the package. 2) Fees referred to in item 3. are collected on the 5th day of a calendar month following the month they refer to. For execution of orders, transactions and requests submitted via e-banking services, fees and charges are collected as listed in other Chapters of this Schedule of Fees and Charges.

Fee for automatic extension of the lending period the fee is payable on the day of the automated extension of the lending period 2.5% The automated extension of the lending period means deferring the overdraft repayment date by one year based on the existing conditions without any need to conclude an annex to the agreement in writing. 5. Commitment fee (on an annual basis) min. 2% 1) Commitment fee applies to w/c and investment loans. It is collected on the difference between the loan made available and the disbursed loan amount.
